Der Erschienene wies sich durch seinen Reisepass aus. Der Notar hat sich davon überzeugt, dass der Erschienene geschäftsfähig ist und ausreichende Kenntnisse der englischen Sprache besitzt, die ihn in die Lage versetzen, der notariellen Beurkundung auf Englisch zu folgen. Der Erschienene verzichtete auf sein Recht auf eine Übersetzung dieser Urkunde.
Der Notar fragte den Erschienenen, ob ihm Umstände bekannt sind, die den Notar nach § 3 Abs. 1 Nr. 7 BeurkG von der Mitwirkung ausschließen. Die Frage wurde von dem Erschienenen verneint. Der Erschienene bat um die Beurkundung des folgenden Affidavits:

Herr X, wohnhaft xxx, erklärt unter Eid folgendes:
Ich bin über 18 Jahre alt und auch im Übrigen in vollem Umfange in der Lage, vorstehende Erklärung abzugeben. Ich habe persönliche Kenntnis sämtlicher Umstände, die nachfolgend genannt sind. Diese Umstände sind wahr und zutreffend.
Ich gebe diese Erklärung im Rahmen des oben genannten Zivilverfahrens zum Zwecke der Unterstützung des Antrages der Beklagten auf Klageabweisung ab.
Ich bin einer von drei Geschäftsführern der A-GmbH mit ihrem Hauptsitz in Stuttgart. Ich habe Universitätsabschlüsse als Diplom-Kaufmann und Master of Business Administration erworben. Ich begann meine Karriere 1982 als Mitarbeiter der Controlling Abteilung der S-AG und setzte sie im Jahre 1998 bei der A-GmbH als Leiter der Controlling-Abteilung fort. Ich habe meine gegenwärtige Position seit 1996 inne. Ich bin deutscher Staatsbürger und wohnhaft in Deutschland.
Die A-GmbH ist eine nicht börsennotierte Kapitalgesellschaft nach dem Recht der Bundesrepublik Deutschland. Sie wurde im Jahr 1948 gegründet. Ihre gegenwärtigen Anteilseigner sind Abkömmlinge ihrer beiden Gründer. Keiner der Anteilseigner ist ein Staatsbürger der Vereinigten Staaten von Amerika oder dort wohnhaft.
Die A-GmbH hat drei Geschäftsführer, die gemeinschaftlich für das Management der Gesellschaft zuständig sind. Nach den Bestimmungen des Gesellschaftsvertrages der A-GmbH wird die Gesellschaft durch zwei Geschäftsführer gemeinschaftlich vertreten. Die A-GmbH hat nach dem Recht der Bundesrepublik Deutschland rechtlichen Bestand und ist berechtigt, das Eigentum an den ihr zugewiesenen Vermögensgegenständen inne zu haben und in der Weise geschäftlich tätig zu sein, wie dies gegenwärtig der Fall ist. Der Geschäftsbereich des Unternehmens ist die Herstellung, der Vertrieb und der Service von bestimmten Verpackungsmaschinen. Bis heute hat die A-GmbH keine geschäftliche Repräsentanz in den Vereinigten Staaten von Amerika und betreibt dort auch keinen aktiven Vertrieb für ihre Produkte. Anlässlich einer Messe in Stockholm am 12. Juni traf ich Herrn M. und Herrn S., die sich als Vorsitzende der Geschäftsführung bzw. Finanzvorstand der L-Corp. mit dem Sitz in Albany, New York, vorstellten. L-Corp. stellt bestimmte Geräte her, die zusammen mit unseren Maschinen vertrieben werden könnten. Bei unseren Gesprächen in Stockholm zeigte sich, dass es in den Vereinigten Staaten von Amerika Geschäftschancen geben könnte, die für unsere beiden Unternehmen interessant wären.
Nach meiner Rückkehr nach Deutschland dachte ich über die von Herrn M und Herrn S genannten Geschäftschancen nach. Nachdem das beschriebene Konzept vielversprechend aussah, entschloss ich mich, die Kontakte zur L-Corp zu intensivieren. Ich lud Herrn M und Herrn S nach Stuttgart ein, wo wir ausgiebige Gespräche führten. Ich reiste dann zweimal, nämlich vom 12. – 14. Februar und 23. – 27. März in die Vereinigten Staaten und traf Herrn M und Herrn S in Albany und in New York City. Während unserer Begegnungen entwarfen und diskutierten wir die Grundlagen eines Kooperationsvertrages, der es der A-GmbH ermöglicht hätte, ihre Produkte in den USA mit Hilfe der L-Corp zu vermarkten.
Etwa um die Zeit, während der diese Treffen stattfanden, hatten wir unsere Patentanwälte beauftragt, die Patentsituation in den USA im Hinblick auf unsere Produkte näher zu untersuchen. Leider war das Ergebnis negativ. Im April informierte uns unser Patentanwalt, dass wir möglicherweise zwei US-Patente verletzen würden, wenn wir unsere Maschinen in die USA exportierten. Aus diesem Grunde mussten wir die Kooperationsgespräche mit der L-Corp beenden. Ich informierte Herrn M. und Herrn S. durch E-Mail vom 15. Mai Danach rief mich Herr M an und erklärte, dass er unsere Entscheidung im Lichte der schon weit vorangekommenen Gespräche für inakzeptabel halte. Nach seiner Meinung hatten wir bereits eine informelle Vereinbarung. Ich wies diese Auffassung zurück und erklärte, dass wir aus Gründen des Patentrechts mit dem beabsichtigten Projekt nicht fortfahren könnten.
Zu keinem Zeitpunkt unserer Gespräche unterzeichnete ich namens der A-GmbH oder anderweitig Dokumente oder Vereinbarungen mit der L-Corp. Ich bin mir keinerlei schädigender Handlungen bewusst, die ich selbst oder Mitarbeiter der A-GmbH gegenüber der L-Corp begangen hätten. Außer mir hat kein Mitarbeiter aus unserer Organisation je Herrn M oder Herrn S in den USA besucht.
Damit schließe ich meine Erklärung.
Der Erschienene wurde von dem beurkundenden Notar über die Bedeutung eines Affidavits und die Konsequenzen falscher Angaben unter Eid belehrt. Der beurkundende Notar verlas sodann gegenüber dem Erschienenen folgendes:
Sie schwören, dass nach Ihrem besten Wissen die von Ihnen abgegebenen Erklärungen wahr und vollständig sind.
Und der Erschienene antwortete mit den Worten:
Ich schwöre es.
Die vorstehende Urkunde wurde dem Erschienenen vorgelesen, von ihm genehmigt und beeidet sowie von ihm und dem beurkundenden Notar wie folgt unterzeichnet.

According to the conviction of the notary public the appearing person is of full legal capacity and has sufficient command of the English language enabling him to follow the notarial recording in English. The appearing person waived his right to a translation of this deed.
The notary public asked the appearing person whether he is aware of any circumstances according to § 3 para. 1 No. 7 BeurkG - German Notarization Law - preventing the notary public from acting. Such was denied by the appearing person. The appearing person requested the notarial recording of the following Affidavit:

Mr. X, with his address at xxx, being duly sworn, deposes and says:
I am over the age of 18 years and I am otherwise fully competent to make this declaration. I have personal knowledge of all the facts stated below and those facts are true and correct.
I submit this declaration in support of Defendant’s Motion to Dismiss in the above captioned lawsuit.
I am one of three managing directors of A-GmbH with its headquarter in Stuttgart. I hold university degrees as a Diplom-Kaufmann and Master of Business administration. I started my career in 1982 in the Controlling Department of S-AG and continued as head of Controlling in A-GmbH in 1988. I hold my present position since 1996. I am a citizen and resident of the Federal Republic of Germany.
A-GmbH is a closely held corporation organized under the laws of the Federal Republic of Germany. It was founded in 1948. Its present shareholders are the descendants of its two founders. None of the shareholders is a citizen or resident of the United States of America.
A-GmbH has three managing directors who are collectively in charge of the management of A-GmbH’s business. According to A-GmbH’s Articles of Incorporation the company is legally represented by two managing directors jointly. A-GmbH is in good standing and has the power and authority to own its assets and to conduct its business as presently being conducted. Its line of business is the manufacture, sale and service of certain packaging machinery. As of yet, A-GmbH does not have any business presence in the United States of America nor does it actively market its products there. On the occasion of a trade show in Stockholm on 12 June I met Mr. M and Mr. S who identified themselves as the CEO and the CFO of L-Corp. domiciled in Albany, New York. L-Corp. is a manufacturer of certain equipment, which could be marketed together with our machinery. During our conversations in Stockholm it turned out that there were possible business opportunities in the United States of America which could have been of interest to both of our companies.
After my return to Germany I gave some thought to the opportunities indicated by Mr. M and Mr. S. As the outlined concept looked promising, I decided to intensify contacts to L-Corp. I invited Mr. M and Mr S to Stuttgart where we had extensive discussions. I then travelled twice, namely from 12 to 14 February and 23 to 27 March to the United States and met Mr. M and Mr. S in Albany and in New York City. During our meetings we designed and discussed the basic terms of a cooperation agreement which would have been enabled A-GmbH to market its products in the U.S. with the help of L-Corp.
At about the same time such meetings took place we had instructed our patent attorneys to more closely investigate the patent situation with regard to our products in the U.S. Unfortunately, the outcome was negative. In April our patent attorney informed us that we might violate two U.S. patents if we would export our machinery to the U.S. This was the reason for me to terminate the cooperation discussions with L-Corp. I informed Mr. M and Mr. S by e-mail on 15 May. Thereafter, Mr. M called me and declared that he found our decision unacceptable in light of our already far developed discussions. According to his view, we already had an informal agreement. I rejected this view and declared that for patent law reasons we could not continue with the intended project.
At no point in time during our discussions did I sign in the name of A-GmbH or otherwise any documents or agreements with L-Corp. I am not aware of any torts committed by myself or employees of A-GmbH against L-Corp. Besides myself nobody of our organization ever visited Mr. M or Mr. S in the U.S.

The appearing person has been instructed by the recording notary public with regard to the meaning of an affidavit and the consequences of untrue affirmations under oath. The recording notary public read out aloud to the appearing person:

And the appearing person responded with the words:
