French term or phrase: la liquidation pure et simple
I am translating English articles of associations that were originally written in French. "La liquidation pure et simple" is translated to English with "pure and simpel liquidation" which I think might be not totally accurate.

I would appreciate an English explanation of the juridical meaning of the French term.

Context: "L’assemblée générale des actionnaires d’un compartiment peut décider soit de la liquidation pure et simple dudit compartiment"

(UK) ordinary winding-up; (Ind) liquidation simpliciter
Explanation:
No. There is no substantive difference between winding-up and liquidation, though the former is the start and the latter is the end of the process.

In the UK, ordinary means either member's or creditors'/ debenture-holders' voluntary winding-up vs. a compulsory wind-up ordered by the court and an 'extraordinary' one precipitated by the DTI - Department of Trade & Industry with the appointment of an Official Receiver.

cf. liquidation simpliciter in India: law.incometaxindia.gov.in/DitTaxmann/IncomeTaxActs/2008ITAct/%5B1998%5D231ITR0108(Guj).htm

liquidation, purely and simply

Explanation:
It looks too much like the everyday expression to be a specific type of liquidation, so I'd say "liquidation, purely and simply", or, to be purer and simpler, "winding up, purely and simply".

The Court of Appeal had held that the liquidation by itself was a transaction in securities. The Revenue did not contend that a straightforward liquidation without any variation of the rights attached to the shares was a transaction in securities, and the House did not hold that it did.
