Explanation:
I think the word "medarbejder" indicates that the person empowered to bind the company must be a subordinate, not just an agent. An agent can be someone outside of the company and does not necessarily have to be a subordinate.

I would probably say "legally empowered by him or her to bind the company" to be correct regardless of whether "chefen" is male or female.
