Chris, that is precisely the point of my question! I know what the literal translation says, but in the context of the paragraph I cannot make head or tail of it. The agreement is between X & A, who are the shareholders of the new company under formation. Y is merely to be appointed as its MD, as he plays no major role in the body of the agreement - other than as MD. X is the major shareholder with 80% and A is the minor shareholder with the remainder & is the financial backer. I hope that has cast more light on this conundrum. |
