Please note: In the USA and Canada, the Certificate of Incorporation is nothing but a one-page document, saying that the company was incorporated in this and that place, on this and that date, and its name is this and that, signed in the USA by the Secretary of State. It looks fancy, like a college diploma etc., with borders. It does not list what the Memorandum of Association or Articles of Association list http://www.google.com/imgres?imgurl=http://nonamecallingday.... it is just a legal vehicle The entry in the Companies Register includes the following information: • the name of the entity and the address of its registered office • its identification number • the scope of business activities • the type of entity • the names and addresses of the executives or directors, together with details of their authorization to act on behalf of the entity • details of any branches and their Heads • in the case of a joint stock company - the nominal capital, number and nominal value of the shares of each class, names and addresses of the supervisory board members. If a joint stock company has only a single shareholder, the name of the shareholder • in the case of a limited liability company - the names and addresses of the members, the proposed nominal capital, the amount of each individual members contribution and the names and addressses of the supervisory board members if established • in the case of a general or limited partnership - the names and addresses of the partners • in the case of a co-operative - the proposed registered capital and the amount of each individual's contribution • in the case of a branch - its business name and address in the country of incorporation, the scope of its business activities, the legal form of the company in its country of origin, the business address in the Czech Republic, the name and address of the Head of the Branch, http://www.mzv.cz/london/en/trade_and_economy/setting_up_a_b...

meaning that a full extract signifies the above, and no other description is needed, and, with your permission, especially not the Certificate of Incoroporation, as demonstrated above. The Deed of Association or Deed of Foundation (depending how many people had found it) would be the approximation to the Certificate of Incorporation, IMHO.
