16.1. Condemnation. Franchisee shall give Franchisor prompt written notice of any taking of the Hotel by eminent domain which is threatened in writing. If such taking involves all or any substantial portion of the Hotel, then this Agreement shall terminate on the date that title vests in the condemning authority, and Franchisor shall share in the condemnation award to the extent such award includes an allocation for its lost royalty and/or program fee income. If such taking does not involve a substantial portion of the Hotel, then Franchisee shall promptly restore the Hotel to substantially the same condition, character and appearance as it had prior to such condemnation.
