A principled criticism of such practices is that the ‘bargain’ should be determined, first and foremost, by the contracting parties themselves. Judges should neither ‘make’ nor ‘remake’ contracts. Nor should they imply terms into contracts based on amorphous and multifarious judicial conceptions of fairness or commercial expediency (Trakman, 1983). They should rather interpret contracts textually in order to regulate contracts efficiently .
