Explanation: les dates de livraisons ... ne pourront pas être transformées en élément essentiel du contrat par l'envoie d'une note. -------------------------------------------------- Note added at 49 mins (2020-05-23 09:35:44 GMT) -------------------------------------------------- if an element of a contract is "of the essence" and the obligation that is "of the essence" is not fulfilled, then the contract becomes simply void, gone in a puff of smoke, no second chances. If a delivery date is "of the essence", and the goods/services are not delivered by that date, the contract is simply terminated. A delivery even just one day after is no good. The buyer would be entitled to refuse to take the delivery and ask for reimbursement of any advance payment. What this clause says is: our delivery dates are "for your information only" we'll deliver when we can, and you the Buyer declaring that you must have it by a certain date (= "time is of the essence") won't change anything. |
