Drag-Along. If XXX intends to sell any of its shares in the Company so that its shareholding in the Company is reduced to a level below 50%, XXX may require from YYYY, and YYYY shall be obligated, to sell, the YYY Shares held by it to the buyer at the same terms as are agreed between XXX and the buyer (“Drag-Along”).

4.2 Tag-Along. If XXX intends to sell any shares in the Company so that its sharehold- ing in the Company is reduced to a level below 50%, YYY is entitled to re- quire from XXX, and XXXX shall be obligated to procure, that in case of a sale to the third-party buyer the YYY Shares are sold along at the same terms as are agreed between XXX and the buyer (“Tag-Along”).
