Ladies and Gentlemen, help please.

Is there a nice simple and exact term in German for "Transfer Shares" that could also be used in "Definitions and Interpretations?"

Preferably not involving the word Aktie, but rather Anteil. Übergabeanteile? Übertragungsanteile? Übertragsanteile? Here's the context:

by way execution of the necessary instrument of transfer between XXX and YYY, XXX shall transfer to YYY, and YYY shall accept the transfer of, 100 shares in the Company for valuable consideration of USD 1.00 which shall be transferred free from all security interests, options, equities, claims or other third party rights of any nature whatsoever, including any rights in respect of first refusal or pre-emption rights and together with all rights attaching to them (save as may be expressed in the Company's constitutional documents) ("Transfer Shares")

I am also trying to find an elegant differentiation between "Closing," "Closing Date" (when the shares are allocated/allotted) and the "Transfer Date," which is when the shares are actually transferred.
