EQUITY COMPENSATION PLAN
REIMBURSEMENT AGREEMENT

WHEREAS, Parent has established certain Equity Compensation Plans to provide for the granting of Options and Restricted Stock Units to employees of Parent and its nominated subsidiaries;

WHEREAS, Employer is a direct or indirect subsidiary or affiliate of Parent;
WHEREAS, the Empoyer employs its own employees and acknowledges that the Equity Compensation Plans are a valuable instrument to assist its purposes of attracting and motivating qualified key personnel and rewarding their continued service to the Employer;
WHEREAS the Employer has secured for certain employees the opportunity to acquire a direct equity interest in Parent, and for these purposes has agreed with Parent to afford employees the opportunity to acquire such equity interest in Parent either as awards of Restricted Stock Units or
Options granted by Parent and accordingly to participate in any increase in the value of the Parent Shares;
WHEREAS pursuant to the Equity Compensation Plans certain employees of Employer have been, and may continue to be, granted Options and Restricted Stock Units;

WHEREAS Parent shares are listed on the New York Stock Exchange

WHEREAS, Parent and the Employer have agreed that the cost incurred by Parent relating to the grant of Restricted Stock Units or Options to certain employees of Employer and the cost of such awards and exercise of such Options by those employees of the Employer should be bome by the
Employer as being beneficial to the furtherance of Employer's business and, accordingly, this Agreement is entered into in order to record the terms of that accord.

...zwłaszcza, że "Equity Compensation Plans" to coś na kształt "Harmonogramu/programu/planu (wypłaty) rekompensat kapitałowych/z kapitału". Mam nadzieję, że pomoże, a i Tobie, jako prawnikowi, jakaś iskra wysokiego napięcia zepnie to w logiczną całość :-)
