1. Trademarks and distribution grant
1.1. The products and services will be marketed and sold by Partner as white-label products. Distributor agrees to brand the products and services under the Distributor´s trademarks in order to provide the products and services to its clients. Thus the products and services will not be marketed and sold by Distributor under any trademarks, logos or trade names, whether or not registered, which are owned and used by or under license from Supplier, including without limitation, the trademarks “AAA”, “BBB”, “CCC” (“Trademarks”).

1.2. Each party shall at all times retain sole and exclusive right, title and ownership in and to all of its own trademarks. Either party may in its sole discretion from time to time change the appearance and/or style of its own trademarks.

1.3. Distributor acknowledges that Distributor has no right, title or interest whatsoever in the Trademarks and any goodwill association therewith and that all goodwill associated with the Trademarks is owned by and shall endure exclusively to and for the benefit of Supplier. Furthermore, Distributor agrees not to represent in any manner that it has acquired any ownership rights in the Trademarks. Distributor shall, during the term of this Agreement and subject to due compliance with the terms of this Agreement, have no right to use and display Supplier’s Trademarks and copyrighted material in the Territory, except as may be otherwise permitted in writing by Supplier.

1.4. Distributor shall immediately report to Supplier any actual or potential infringements of the Trademarks or any matter which may give rise to any infringement of the Trademarks, or any imitation of products and services of which Distributor is or may become aware, and Distributor shall co-operate with Supplier in protecting such Trademarks and products and services from any such infringement. Distributor shall not initiate any protective action with respect to the Trademarks or products and services without prior written authorization of Supplier.

1.5. Upon termination of this Agreement for any reason whatsoever, Distributor shall return to Supplier all price lists, catalogues, sales literature, advertising literature and all other materials relating to the products and services or confidential information in Distributor’s possession or over which it has control.

1.6. Nothing in this clause should be construed as limiting either party from naming the other in its promotions, provided that all promotional materials identifying, describing or referring to the other party in any manner shall be submitted to that party for approval prior to dissemination, publication, or use thereof.
