A Headings and/or Construction clause in the general provisions section of an agreement acts as an interpretive aid in the event of a dispute over the terms of the contract.

Out of convenience, the two are often combined into one clause. A typical Headings clause states that the headings and captions used throughout the agreement are for reference purposes only and should not have any effect on the interpretation. The Construction clause provides that the agreement should not be interpreted in favor or against a certain party—typically the drafter. If an Agreement does not contain a defined terms section, the Construction clause is a good way to assure that words of common usage do not get misinterpreted.

Headings. The section headings contained in this Agreement are for reference purposes only and shall not in any way affect the meaning or interpretation of this Agreement.

Construction. The language in all parts of this Agreement shall be in all cases construed according to its fair meaning and not strictly for or against either party.
