Lidija Klemencic: Autor je naveo upravo ovo; treba ispoštovati autora, bez obzira na pojašnjenje kolege Petrovića da je u pitanju Amerikanac. Ako se njemu iz nekog razloga dopada ovaj izraz, čini mi se da ga treba i prevesti ovako kako je g. Kozarčić predložio.

USUALLY the "corporate veil" is about the separation between the personal assets and responsibilities of [perfectly well known and genuine] company directors and the assets and debts of the company. IN THAT CASE "piercing the corporate veil" means making directors personally responsible for the company's debts.

IN THIS TEXT it's about all sorts of ways of hiding who are the real owners of the business so HERE "piercing the corporate veil" is about getting behind the obfuscation of the legal structure of ownership - finding who are the true owners - a completely different story.

You could even argue that "piercing the corporate veil" was wrongly used or that its meaning was stretched beyond the usual meaning.

What is meant in this text in fact is "to get trought the 'anonymity protection devices/structures' to find the real owners", which is NOT the "normal" meaning of "piercing the corporate veil".

BTW, if they are mentioning "beneficial owners", the business is probably owned by a trust, or some shares are held by trustees, not by real owners.

Što se tiče bukvalnog prevoda tu ništa ne mogu da učinim, tako se koristi, ali jeste u pravu da nije taj kontekst (požurila sam sa odgovorom pa nisam obratila pažnju na žalost). E tu tek, opet na žalost, mislim da se koristi bukvalan prevod - probijanje/podizanje korporativnog vela. Ali moguće je da postoji i neki "normalan" prevod; svakako se slažem da treba izbegavati bukvalne prevode gde god je to moguće.

Daryo: yes, it's one meaning of "the corporate veil" - the most usual (separating personal responsibilities of directors from company's debts), but in this text it's about a different kind of "veil" - meant to hide the real owners of a company.

-> There are no various ‘veils’ but only one-protection from personal liability, so piercing it=courts holding shareholders/directors personally liable not only for debts but also actions, in this case for withholding the ultimate beneficial owners
