An arrangement whereby a security issue is cancelled if the underwriter is unable to resell the entire issue.

Definition:
Розміщення випусків єврооблігацій може здійснюватися у кількох формах:
1) повністю гарантований андеррайтинг (гарантоване розміщення), коли банки, які розміщують емісію, дають гарантію викупити у позичальника весь випуск на дату закриття угоди (іноді дається не повна, а часткова гарантія такого викупу);
2) банки зобов’язуються докласти максимальних зусиль для продажу облігацій, але не дають жодних формальних зобов’язань щодо викупу емісії за рахунок власних коштів;
3) «все або нічого» — ця форма розміщення передбачає відзив випуску, якщо не вдається продати його цілком.
