I think that there's a drafting mistake here - please enlighten me.

or "[in accordance with] quorum and majority requirements"

There are a few ways of ordering the sentence but the general gist is that the meeting of shareholders can rule on the appointment of censeurs provided they meet the requirements in terms of quorum (are there enough in attendance) and majority (which could be unanimity, simple majority, two thirds majority... depending on type of decision).

agree  AllegroTrans: Yes, but I would be tempted to use resolutions rather than decisions since this is the more often used term in English in connection with shareholder meetings
