Of course, this source phrase may no be referring to a "board" exactly, but whatever entity or type of "committee" or organisation of people it is referring to, my translation would flow as follows:

The XXXXXX association/company shall be given aboard/committee place in its role/capacity as a founding member.

or even:

As founding members, XXXX comp/association shall be nominated(or is eligible) to sit on the board.

...or however these ideas can be combined into the target text.
