The key idea, I believe, is notice, so the main problem is to find the right verb for the clientèle (goodwill > FHS Bridge's FRE/ENG Council of Europe glossary).

Asker: Thanks for replying so quickly. I had decided to go with "ceasing of the activity or breakdown in customer relationship" to meet delivery deadline but am changing this to your proposal which is so much better.

  -> Merci and thanks! Having been weaned on surrenders of leases, I had been dubious and doubtful about using the terms of surrender or abandonment of goodwill that - compared with an assignment(-back) thereof for payment - is an unlikely scenario in ENG.

  -> Good questions and ones I was unable to answer within 20 mins. but it's a subcontract, so speculatively from the word order 1. who: entreprise XXX 2. why: on demise of the head contract, the subcontract falls on notice to the prestataire/ subber.
