Die Gesellschaft weist in Ihrer Bilanz zum 30. Juni 2009 nach Berücksichtigung der Änderungen einzelner Bilanzposten einen nicht durch Vermögenseinlagen gedeckten Fehlbetrag in Höhe von GBP 500.000 aus. Unter Betrachtung der Buchwerte liegt damit eine Überschuldung der Gesellschaft vor. Zur Beseitigung der Überschuldung ist alternativ die Erteilung einer Rangrücktrittserklärung oder einer Patronatserklärung durch die Gesellschafter denkbar.
