Salve a tutti,

sto lavorando allo statuto di una s.p.a. e non mi è chiaro il significato di "possono essere convertite al portatore" in questo contesto:

"I versamenti sulle azioni sono richiesti dall’Amministrazione nei termini e modi che reputa convenienti. A carico dei soci in ritardo nei versamenti, decorre l'interesse legale, ferma il disposto dell'art. 2344 Cod. Civ. Le azioni sono nominative e, se interamente liberate, possono essere convertite al portatore o viceversa, qualora non ostino divieti di legge."

Pertanto non saprei nemmeno come tradurlo in tedesco. Qualcosa tipo "sie können dem Inhaber umwandelt werden"?

als "Inhaber" kenne ich "titolare"... Wer die Wertpapiere (azioni nominative) vorlegt, kann sie auf den eigenen Namen umschreiben lassen. "Auf den Inhaber umwandeln" macht für mich keinen Sinn.

ringrazio per la risposta, ma mi è stato detto che trattandosi di una AG è corretto parlare di "Inhaber" come "portatore" e di "Umwandlung" come "conversione"
