Tendo em vista o "Protocolo de Justificação da Cisão Parcial", mencionado no item (1), firmado entre as partes interessadas, estabeleceu - se, parcialmente os bens componentes do Imobilizado e os respectivos saldos de Imposto Diferidos e Atestados de capacidade técnica, da empresa a ser CINDIDA para as CINDENDAS.

Penso que pode ser "a company resulting from the spin-off", mas fico em dúvida se existe um termo mais preciso para tal.
