Spanish term or phrase: no sean de libre disposición
This is from a company's Articles of Association.
I'm not sure what the right American English translation of "no sean de libre disposicion" is in this case.
Is it something as simple as "This does not apply to matters that are not able to be freely decided upon"?
The final provision states that all corporate disputes are to be submitted to the jurisdiction of arbitration by the Arbitration courts in Barcelona. So this last part is saying that this does not apply when they are not "de libre disposicion".

Todas las cuestiones societarias litigiosas que se susciten entre la Sociedad y sus administradores o socios, o entre aquellos y éstos, o estos últimos entre sí, se someten al arbitraje institucional del Tribunal Arbitral de Barcelona de la Asociació Catalana per a l'Arbitratje, encargándole la designación de árbitros y administración del arbitraje de acuerdo con su reglamento, y siendo de obligado cumplimiento su decisión arbitral.

Se exceptúan de esa sumisión aquellas cuestiones que no sean de libre disposición.
