• Определение Финальной Цены
Среднеарифметическое значение из двух показателей, определяемых по котировкам "PLATT'S Oilgram Price Report" под заголовком "FOB Med (Italy)" под заголовком "10 ppm ULSD" опубликованных на дату заполнения погрузочных документов (Дата Расчета) (при отгрузке танкером дата коносамента при отгрузке ж/д цистернами дата таможенной декларации) на филиале ТЗ - К-ком предприятии по хранению и отгрузке нефтепродуктов (далее К-р) минус скидка - долл. США/тн.

Б) На дату подписи настоящего Соглашения имущество сдано в аренду в соответствии с договором аренды, упомянутом ниже;
В) Покупатель заинтересован приобрести у Продавца данное Имущество и ее права в отношении этого Имущества;
Г) Продавец согласна продать Покупателю упомянутое Имущество и права на него в соответствии с порядком и условиями, указанными в настоящем Соглашении;
Стороны пришли к следующему соглашению:
1. Введение и определения
1.1. Введение к настоящему Соглашению и все приложения к нему являются неотъемлемой частью настоящего Соглашения;
1.2. Заголовки приведены только для удобства чтения, и не будут использоваться для интерпретации или разъяснения настоящего Соглашения;
1.3. В настоящем Соглашении единственное число употребляется в том же значении, что и множественное, и наоборот; женский род употребляется в том же значении, что и мужской, и наоборот; ссылка на целое будет рассматриваться как ссылка на любое частное из него, и наоборот; в любом случае, если иное не будет следовать из контекста.
1.4. Любая ссылка и определение в настоящем Соглашении делается с использованием терминов, указанных в пункте 2 ниже, в соответствии со значением, указанном в данном ему определении;

Source text - English 2. TERM OF AGREEMENT; EXCLUSIVITY
2.1. The term of this Agreement shall be for a period of three (3) years commencing on the Effective Date (the " Initial Term"). The Term may be extended upon mutual agreement of the parties hereto (together with the Initial Term, the "Term"). However, it is hereby clarified and acknowledged that the Term of this Agreement is subject to the validity and term of the License Agreement.
2.2. During the Term of this Agreement, will not sell the Product directly or indirectly in the Territory (other sales to the Distributor), provided that:
a. During the Term and for a period of one (1) year after termination, the Distributor agrees not to manufacture, directly or indirectly, and not to offer for sale or use products similar or competitive to the Products.
b. The Distributor shall not prospect, promote, or otherwise solicit business, with regard to the Product, outside of the Territory.
c. The Distributor shall have the above exclusive rights to distribute the Product as long as it meets the Minimum Quarterly Purchase Requirements of Products as further detailed in Appendix B (the “Minimum Quarterly Purchase Requirements”) and the other terms of this Agreement.
2.3. In the event Distributor does not meet the Minimum Quarterly Purchase Requirements for any quarter during the Term of this Agreement, shall have the right, in its sole discretion, to either (i) terminate this Agreement, or (ii) amend its terms to redefine the Territory boundaries or to make the Territory non-exclusive for the remainder of the Term.
Translation - Russian 2. СРОК ДЕЙСТВИЯ ДОГОВОРА; ИСКЛЮЧИТЕЛЬНЫЕ ПРАВА
2.1. Настоящее Соглашение действует в течение 3 (трех) лет, начиная с даты вступления в силу ("Начальный Срок Действия"). Срок может быть продлен по взаимному согласию на это сторон (совместно с Начальным Сроком Действия, "Срок"). Вместе с тем, настоящим уточняется и признается, что срок действия настоящего Соглашения обусловлен действительностью и сроком действия Лицензионного Соглашения.
2.2. В течение Срока действия настоящего Соглашения не будет реализовывать Товар, прямо или косвенно, на Территории (за исключением продаж Дистрибьютору), при условии, что:
a. В течение Срока действия и в течение 1 (одного ) года после его истечения, Дистрибьютор обязуется не производить, прямо или косвенно, и не предлагать для продажи или использовать продукцию, сходную, конкурентоспособную или аналогичную Товарам.
b. Дистрибьютор не будет изыскивать возможности реализации, продвигать, или иным образом предлагать Товары, за пределами Территории.
c. Дистрибьютор обладает указанными эксклюзивными правами на сбыт Товара, пока соблюдается Минимальные Требования по Ежеквартальной Закупке Товаров как подробно изложено в Приложении Б ("Минимальные Требования по Ежеквартальной Закупке") и другие условия настоящего Соглашения.
2.3. В случае, если Дистрибьютор не соблюдает Минимальные Требования по Ежеквартальной Закупке Товаров за любой квартал в течение Срока действия настоящего Соглашения, имеет право по своему усмотрению либо (i) прекратить действие настоящего Соглашения, либо (ii) изменить его условия для пересмотра границ Территории, либо отменить исключительный статус Территории на оставшийся Срок.
