Source text - Polish Udziały w przeciwieństwie do akcji mogą mieć równą i nierówną wartość nominalną. Umowa spółki rozstrzyga, czy udziały mają mieć równą czy nierówną wartość, tak więc O przyjęciu koncepcji odnoszącej się do równości bądź nierówności udziałów decydują sami wspólnicy. Przyjęcie, że udziały mają równą wartość nominalną, oznacza, że w konsekwencji wszystkie muszą mieć taką samą wartość. Zmiana wartości nominalnej udziałów może mieć miejsce tylko przez zmianę umowy spółki. Zawarcie w umowie sformułowania: "Wspólnik może mieć więcej niż jeden udział w kapitale zakładowym", wskazuje na równość i niepodzielność udziałów. Jeżeli udziały są równe, przedmiotem obrotu są całe udziały. Na każdy udział równej wartości nominalnej przypada jeden głos, chyba że umowa spółki stanowi inaczej. Wspólnicy mogą więc przyjąć odmienne zasady polegające na obliczaniu liczby głosów w ten sposób, że na każdy udział równej wartości nominalnej przypada więcej lub mniej głosów. W tym przypadku mówić będziemy, że udziały są uprzywilejowane co do głosu. Uprzywilejowanie co do głosu może polegać na przyznaniu maksymalnie trzech głosów na jeden udział. Przyjęcie nierównej wartości udziałów jest skutkiem tego, że wspólnik może mieć najwyżej jeden udział. Konsekwencją przyjęcia takiego rozwiązania jest to, że udziały takie mogą być dzielone na części, podczas gdy udziały o równej wartości nominalnej są niepodzielne. Przyjęcie nierównej wartości udziału prowadzi do problemu ustalenia, w jaki sposób obliczyć liczbę przypadających nań głosów. Ustawodawca proponuje rozwiązanie, zgodnie z którym na każde 10 zł wartości nominalnej udziału o nierównej wysokości przypada jeden głos. Warto w tym miejscu zaznaczyć, że minimalna dopuszczalna wartość zarówno udziału nierównego jak i równego musi wynosić co najmniej 50 zł.
Translation - English Shares, in contrary to stocks, may have equal and unequal nominal value. The company deed resolves whether the shares are to have equal or unequal value. Thus, the shareholders themselves decide about the equality of shares. Assuming that shares have equal nominal value means that consequently all must have the same value. The change of shares' nominal value may only be done by changing a company deed . The clause in a deed reading: „A shareholder may have more than one share in the initial capital” indicates that shares are equal and indivisible. If shares are equal, the object of trading are the whole shares.
Shares of equal nominal value shall carry one vote each, unless the company deed otherwise provides. Therefore, shareholders may assume different principles of counting the number of votes in such a way that each equal share carry more or fewer votes. In such case , we talk about preference shares relating to the voting rights. Preference as to vote may constitute in one share carrying maximum three votes. Accepting the unequal value of shares is a consequence of the fact that a shareholder may only have one share. Consequently, such shares may be divided into parts, whereas the equal shares are indivisible. Accepting the unequal share value leads to the problem of establishing how to count the number of votes it carries.
Legislator suggests the solution where each 10 zlotys (PLN) of the unequal share's nominal value carries one vote. It is important to signify that the minimum value of both equal and unequal shares must be no less than 50 zlotys.
