role of R&D as an investment in the future of the corporation.

OVERVIEW: A new financial metric called Economic
Value Added, or EVA*. is gaining momentum both on
Wall Street and among company managers. For the
sctentiSl, it is tempting to view EVA as simply one more
financial metric. However. this is not the case. EVA fundamentally
changes the accounting landscape by
treating R&D as a straregic capital cost rather than an
expense. This induces a number of interesting changes
that affect R&D. Some are strictly financial, such as
changing the way that R&D is budgeted. However,
others impact a wide variety of aspects centra/to R &.D
success. For example, EVA can provide a framework for
technology valuation, affect R&D portfolio management,
influence technical idea generation. and reinforce
the role of R&D as an investment in che future of the
corporation.
The valuation of R&D has been the subject of numerous
publications(/) and recently, a comprehensive book by
F. Peter Boer (2). Most of these publications use a variety
of financial melrics such as net present value and return
on investment. Some also rreat the so-called "soft s1de,"
behavioral issues that are associated with applying such
metrics to technology.
Economic Value Added, or EVA* (regiSlered trademark
of Stem Stewart & Co.). is a financial root (3-6) that has
been gaining adherents among company managers and
investors (7). Fortune magazine called it "today's honest
financial idea and getting honer" (4). The investment
house Goldman Sachs cited EVA models as being
"reliable indicators in I ) assessing overall enterprise
performance, 2) identifying the primary drivers that

enhance shareholder value, 3) determining the capital
efficiency of a company, and 4 ) ajding the equity
valuation process" (7c).
For the scientist, it is perhaps tempting to v1ew EVA as
simply one more in a long senes of financ1al melrics.
This is not the case. however. EVA fundamentally
changes the accounting landscape by rreating R&D as a
strategic capital cost rather than an expense. In addition,
il provides an accurate measure of value crea tion/
desrruction. This enables the R&D manager to use EVA
as a tool for strategic R&D portfolio management.
Finally, EVA also has the potentiaJ to affect cultural
issues surrounding R&D.
In Boer's book, EVA and the pros and cons of capitalizing
R&D receive passing treatment (2. pp. I 02-103 and
76-77, respectively). Th1s is. perhaps, justified smce of
the thousands of corporatiOns, only a handful use EVA.
However, th1s number appears to be growing (3-7) and a
diverse set of companies including Monsanto, AT&T.
Eh Lilly, Briggs & Stranon, Coca-Cola, and Millenmum
Chemicals have been using EVA, both as a barometer for
financial performance and as a cultural mantra (see
listing, next page).
The purpose of th1s anicle is to introduce EVA to the
scientist.. engineer and R&D manager. Simple examples
will illustrate the effect of R&D on EVA accounting and
suggest ways in which R&D can be used to drive EVA
growth. Finally, benchmarking across a series of EVAdriven
companies is used in an effortto probe the cultural
effects of EVA on R&D.
Economic Value Added (EVA)
The idea behind EVA is simply that a company is
creating wealth (value) when it makes more money than
its cost of doing business plus its cost of capital. From a
more financial perspective. EVA is the company's net
operating profit after taxes and after deducting a capital
charge.

10.1 General prohibition against Share transfers
No Shareholder shall do, or agree to do, any of the following without the prior written consent of the other Shareholder unless it is permitted by Clauses 10, 12 and/or 13:
10.1.1 pledge, mortgage, charge or otherwise encumber any of its Shares or any interest in any of its Shares (provided that it is acknowledged and agreed that the A Shareholder's Shares may be pledged, mortgaged, charged or otherwise encumbered in favour of Rabo Bank);
10.1.2 sell, transfer or otherwise dispose of, or grant any option over, any of its Shares or interest in its Shares; or
10.1.3 enter into any agreement in respect of the votes attached to any of its Shares (provided that it is acknowledged and agreed that the A Shareholder is party, with its shareholders, to a shareholders' agreement which regulates the affairs of the A Shareholder),
and in any event, no Shareholder shall (subject as aforesaid) sell, transfer, transfer or otherwise dispose of, or grant any option over any Shares in the Company until 31 March 2012.
10.2 Right of First Offer
10.2.1 If, after 31 March 2012 (but outside any Exercise Period and any time when a Call Option Notice or Put Option Notice is outstanding pursuant to Clause 10.6), a Shareholder (the "Offeror") desires to transfer all of its Shares, it shall first offer such Shares to the other Shareholder (the "Offeree"). The Offeror shall give notice to the Offeree (the "Offer Notice") setting forth: (i) the number of Shares being offered (the "Offered Shares"); (ii) the proposed terms and conditions of sale including the price per Share; and (iii) the date by which the Offeree must accept the offer, such date being not less than thirty (30) days from the date of the Offer Notice (the "Acceptance Date").
10.2.2 The Offeree shall be entitled to purchase all (but not some only) of the Offered Shares by delivery of an irrevocable notice of acceptance (me "Acceptance Notice") to the Offeror on or prior to the Acceptance Date.
10.2.3 Sale and purchase pursuant to this Clause 10.2 shall be completed twenty (20) Business Days after the date of satisfaction or waiver of all Permitted Conditions (whichever is the later) and at such reasonable time and place as the Shareholders agree or, failing which, at 13:00 local time at the registered office of the Company.
10.2.4 If the Offeree declines the Offer Notice or the Offeror has not received an Acceptance Notice by the Acceptance Date or the Offeree fails to purchase and pay for the Offered Shares for any reason not due to the fault of the Offeror, the Offeror shall be free to sell the Offered Shares to a third party on terms and conditions no more favourable to the purchaser for a further period of ninety (90) days provided that, the Offeror shall procure that the third party purchaser shall agree in writing to be bound by all of the terms and conditions of this Agreement as though it had been an original party hereto pursuant to a Deed of Adherence.
In the event that the Offeror is not able to complete a sale to a third party within such ninety (90) day period, the sale of Shares shall be subject to the procedures set out above.

Explain the test to the subject. “The object of this test is to walk as far as possible for 6 minutes. You will walk back and forth in this hallway at a pace of your choosing. Six minutes is a long time to walk, so you will be exerting yourself. You may get out of breath or become exhausted. You are permitted to slow down, to stop, and to rest as you feel is necessary. You may lean against the wall or sit down while resting, but then please resume walking as soon as you are able.”
Demonstrate the test to the subject. “You will be walking back and forth down this hallway. The turnaround point is marked with tape on the floor. You should pivot briskly around the tape and continue back the other way without hesitation. Now I’m going to show you. Please watch how I turn around and come back without hesitation.” Walk one lap now.
Ask if the subject has any questions and is ready to begin. “Are you ready to go? I’m going to use this lap counter to keep track of the number of laps you complete. I will click it each time you turn around at the starting line. Remember that the object is to walk as far as possible for 6 minutes, but do not run or jog. Do you have any questions? Start now or whenever you are ready.” Start the timer when the subject starts walking.

Source text - Russian Проектом предусматривается изучение нового продукта ***, предназначенного, согласно гипотезе исследований, для терапии некоторых онкологических заболеваний. Механизм действия активного вещества заключается в ингибировании протеинкиназ: CDK 1, 2, 7, 9; JAK2, TYK2, FLT3, TYRO3, ERK5 и p38d. По уровню внимания исследователей, ингибиторы протеинкиназ представляют собой одну из важнейших групп противоопухолевых лекарственных средств.
Предполагается, что лекарственная форма продукта *** будет представлять собой гранулы действующего вещества 100 мг (151.5 мг цитратной соли) в твердых желатиновых капсулах для внутреннего употребления один раз в день.
Некоторые онкологические заболевания (конкретные предполагаемые показания для последующих исследований: миелоидная лейкемия, множественная миелома, мелкоклеточный рак легких, тройной негативный рак молочной железы)
Предлагаемая терапия основывается на известном и широко распространенном механизме действия, уже многократно подтвердившем свою эффективность – ингибировании некоторых протеинкиназ, повышение активности которых коррелирует с патогенезом ряда онкологических заболеваний. Способность вещества *** ингибировать действие упомянутых выше форм протеинкиназ , может явиться его преимуществом и дифференцирующим свойством. Права на *** были лицензированы компанией *** у *** компании-разработчика *** в *** году (первое название продукта – ***).
В случае успеха исследовательской программы существующие подходы к лечению некоторых онкологических заболеваний смогут быть дополнены новым ингибитором протеинкиназ, обладающим потенциалом селективного действия.
На настоящем этапе исследований (продолжающаяся фаза 1) нельзя утверждать наличие подтвержденной клинической эффективности ***. Основанием для гипотезы эффективности служат позитивные результаты доклинических исследований на моделях и in vivo (в частности, рака молочной железы, рака легких, миеломы, меланомы, сквамозно-клеточной карциномы головы и шеи, лейкемии и др).
Удовлетворительная у 21 пациента с множественной миеломой и острой лейкемией. Основные побочные эффекты: нарушения функций ЖКТ, головная боль, кашель. 27 серьезных побочных эффектов у 21 пациента.
В настоящее время (фаза 1) в отсутствие подтвержденной эффективности, заключение о безопасности является преждевременным. Предварительная гипотеза – удовлетворительная безопасность.
Translation - English The project provides for the study of the new product of *** intended for therapy of some oncological diseases, according to the hypothesis of the study. The mechanism of an active substance action consists in inhibiting protein kinases: CDK 1, 2, 7, 9; JAK2, TYK2, FLT3, TYRO3, ERK5, and p38d. With respect to the level of attention of researchers, protein kinase inhibitors are one of the major groups of antineoplastic drugs.
It is assumed that the dosage form of *** product will be 100 mg granules of active substance (151.5 mg of citrate salt) in hard gelatin capsules for the internal use once a day.
Some oncological diseases (specific assumed indications for subsequent studies: myeloid leukemia, multiple myeloma, small-cell lung cancer, triple-negative breast cancer)
Proposed therapy is based on the well-known and widespread mechanism of action – which has its efficiency repeatedly confirmed – that is, inhibition of certain protein kinases whose increased activity correlates with pathogeny of a number of oncological diseases. Ability of *** substance to inhibit an action of the forms of above mentioned protein kinases can be its advantage and differentiative property. Rights on *** were licensed by company *** from *** design company *** in *** (first name of the product – ***).
In case of success of the research program, it will be possible to complement the existent approaches to the treatment of some oncological diseases with the new inhibitor of protein kinase possessing potential of selective action.
Current stage of the study (continuing phase 1) does now allow asserting the presence of the confirmed clinical efficiency of ***. The hypothesis of efficiency is founded on the positive pre-clinical model and in vivo results (in particular, breast cancer, lung cancer, myeloma, melanoma, neck and head squamous cell carcinoma, leukemia, and other).
Satisfactory for 21 patient with multiple myeloma and acute leukemia. Major side effects: gastrointestinal tract irregularities, headache, cough. 27 serious side effects for 21 patient.
Presently (phase 1), in absence of the confirmed efficiency, a safety report would be premature. Preliminary hypothesis is "satisfying safety".

Source text - English Finally I reached what I thought was a safe distance but the tank moved again. I had to act quickly so I grabbed the magnetic anti-tank grenade, jumped up and threw it with all my force at he tank. The magnets were very strong and stuck to it. Three and a half seconds later it exploded but I still did not know whether I had destroyed the tank. I jumped on to it with a hand-grenade in my hand and opened the hatch, which someone had unlocked from the inside. I pulled it open and was ready to throw my hand-grenade in when I noticed that the whole crew including the tank commander who was a woman, were all dead. This had an extremely bad effect on me and I started to be physically sick. Finally I located the German major and told him what happened. He found a German doctor who gave something to calm me down and stop the vomiting.
Translation - Ukrainian Нарешті я, як мені здалося, опинився на безпечній відстані, проте танк рушив знову. Я мав діяти швидко, тому вхопив магнітну протитанкову гранату, підскочив і жбурнув її в танк з усієї сили. Потужні магніти миттєво пристали до нього. Через три з половиною секунди прогримів вибух, однак я досі не впевнений, що то я підірвав танк. Я підскочив до нього з ручною гранатою в руці й відкрив люк, кимось відімкнений зсередини. Я відкинув кришку люка і приготувався жбурнути мою ручну гранату всередину, коли побачив, що весь екіпаж, включаючи жінку-командира, вже мертвий. Це страшенно вразило мене, так що в мене почалася блювота. Мені вдалося розшукати німецького майора і доповісти йому, що сталося. Він знайшов німецького лікаря і той дав мені щось заспокійливе, аби припинити блювоту.

Translation - English Brain computer tomography showed no data for hemorrhage. System thrombolysis with Actilise 90 mg has been performed. With regard to inefficiency of thrombolysis, the angiography of cerebral arteries has been performed – due to patient’s critical condition, an attempt of a thrombus extraction has been abandoned.
In view of presence of the pseudobulbar disorders, and without closest perspectives to the spontaneous breathing, the percutaneous dilation tracheostomy has been performed on 07/04/12. The circle of Willis has been monitored via transcranial dopplerography on 07/04/12 – no data for angiospasm showed. 07/09/12, based on rising signs of the systemic inflammation response syndrome of unknown etiology, the search of infection focus has been performed repeatedly; obtained data do not correlate with SIRS severity. On 07/12/12 the USDG of the lower extremities has been performed – thrombosis of the deep sural veins on the right. Examination by a vascular surgeon.
On 07/14/12 the pelvic CT control investigation showed an edema of the external and internal obturator muscles on the right. Regressive in dynamics, with calcification sites appearing.
On 07/29/12 punctate hyperemic confluent rash has appeared, rheumatic factors elevated. Because of persistent, long-lasting low fever, the plasmapheresis session has been performed according to decision made by a counsil of physicians. As a result, the regress of rash and normalization of body temperature have been recorded.
On 07/30/12, in the setting of the reduced respiratory assistance, patient has been switched to autonomous breathing through tracheostomy tube .
