Source text - Turkish Küllerinden Doğan Bir Köy: 1955 Yılı Yangını ve Derebucak’ın Yeniden Kuruluşu
Derebucak, inceleme dönemimizde, hemen çevresindeki ormanlık alanların yanı sıra ev, ahır ve samanlık gibi yapılarda yoğun olarak kullanılan ahşap malzemeler nedeniyle yangının çıkması ve yayılmasına oldukça müsait bir bölgede bulunmaktadır. Bu nedenle Derebucak’da XX. yüzyılda bazı büyük yangınlar yaşanmıştır.
Derebucak’ta yaşanmış yangınların en büyüğü 8 Temmuz 1955 tarihli yangındır. 1955 yangınında köyde bulunan 410 evden 403’ü tamamen kül olmuş, ancak 2 okul, 2 değirmen, 1 hızar ve 7 ev kurtarılabilmiştir. Yangında 2 çocuk can vermiş ve yaklaşık 50 hayvan da telef olmuştur. Köyde bulunan evlerin neredeyse tamamının eşyalarıyla birlikte yanması, 2165 vatandaşın açıkta kalmasına ve yaklaşık iki milyon liralık bir zararın ortaya çıkmasına neden olmuştur. Yangın sonrasında ahalinin ihtiyaçlarını karşılamak amacıyla, gerek Kızılay tarafından ve gerekse Beyşehir, Seydişehir ve Konya’da teşkil edilen yardım komiteleriyle yiyecek-giyecek kap-kaçak, yorgan-döşek gibi ihtiyaçlar toplanmış ve afet mahalline sevk edilmiştir. Ayrıca Konya Valiliği ve Konya Milletvekilleri, köyün yeniden inşa edilmesi için gereken yardımın sağlanması amacıyla vakit geçirmeden gerekli teşebbüslere geçmiştir. Halk, kalıcı konutlarının tamamlandığı 1960’lı yıllara kadar, yaklaşık 3-4 yıl, ilk birkaç ayı Kızılay Çadırı olmak üzere, inşaat alanının hemen dışında derme çatma, bir iki odalı ağaç evlerde ikamet etmişlerdir.
1955 yangını Derebucak Köyü’nde fiziksel-mekânsal açıdan önemli bir dönüşüme neden olmuş ve köyden kente, hatta büyük oranda yurtdışına göçün yaşanmasında da başlangıç oluşturmuştur. Devletin yurtdışına işçi gönderdiği yıllarda, 1955 yangınında zarar gören Derebucak Köylülerine öncelik verilmiştir. Nihayet pek çok kişinin yurtdışına işçi olarak gitmeye başladığı yıllardan itibaren Derebucak’ın kaderi bütünüyle değişmiştir.
Translation - English A Village Born from Its Ashes: 1955 Fire and Reconstruction of Derebucak
Derebucak lies in a region that is very suitable for outbreak and spread of a fire because of nearby forest areas and use of wood in constructions as houses, barns and haylofts. As a result, big fires were encountered in Derebucak during the 20th century.
The biggest of fires Derebucak went under is the one that took place on 8th of July, 1955. This fire turned 403 of 410 houses in the village to ashes and only structures that survived the fire were two school buildings, two mills, one sawmill and seven houses. Two children were killed and 50 livestock were destroyed in the fire. The fact that nearly every house in the village was burnt down together with commodities they held caused 2165 residents to be left homeless and economic damage of two million liras. In the aftermath of the fire in order to help the population’s needs food, clothes, kitchen appliances, sleepware etc. were collected and directed to the zone by Turkish Red Crescent and comittees gathered in Beyşehir, Seydişehir and Konya. Furthermore, governor’s Office in Konya and congressmen of Konya immediately started processes for helping the reconstruction of the village. The residents of the village were situated in shelter tents provided by Turkish Red Crescent for a few months and then they were transferred to temporary wooden houses with few rooms outside the construction site until the completion of permanent housing construction in 1960’s.
The 1955 fire caused a substantial physical change in Derebucak and ignited migration to cities and even foreign countries. During those years in which the state managed migration of workers to foreign countries villagers of Derebucak were given priority. As a result of migration of its many residents abroad Derebucak’s fate changed completely.

İnme, dünya genelinde mortalitenin 3. en sık nedenidir(1,2). İskemik inmeler ise tüm inmelerin yaklaşık %80-85’ini oluşturur(3, 4, 5). Ancak iskemik inmenin fizyopatolojisi ile ilgili sınırlı sayıda bilgi mevcuttur. İskemik inmede, iskemiye bağlı olarak nöronlarda yıkım meydana gelir. Hücreler ölmeye başladıktan sonra, hücre yüzeyindeki sinyaller değişir, nekrotik nöron parçaları açığa çıkar ve ‘tehlike sinyalleri’ salınır. Bu tehlike sinyalleri, hem nekrotik doku parçalarının beyin dokusunda hazır halde bulunan perivasküler makrofajlar ve mast hücreleri(MH) tarafından fagosite edilmesini sağlar hem de bölgeye daha fazla lökosit göçüne neden olur. Böylece, iskemik inme sonrasında SSS antijenlerine karşı antikor gelişmiş olur. Bu edinsel immun cevap, hücre ölümünün olduğu organa karşı otoimmuniteyi uyarma potansiyeline sahiptir(22). İnflamasyon iskemi sonrasında hemen başlar, hücresel immun cevap yaklaşık 24 saat içinde pik yaparken humoral immun cevabın ortaya çıkışı ise 7-10 gün kadar zaman alır(23,24). İskemik inmenin akut dönemindeki hasarda; humoral immun cevabın rolü tam olarak bilinmemekle birlikte, hücresel immun cevabın daha ön planda olduğu düşünülmektedir(23). İnme ile ilişkili humoral immun cevabın uzun dönem etkileri ile beyin atrofisi ve demans gibi iskemik süreçteki rolleri az bilinmektedir(25, 26). Benzer şekilde, tekrarlayan inmeli vakalarda olabilecek şekilde, immun sistemin, antijen açığa çıkmasına karşın bellek oluşturup oluşturmadığı ve aynı antijene karşı sonradan otoimmun cevap geliştirip geliştirmediği hakkında veri yoktur(26).
Bu çalışma ile ilk ve tekrarlayan iskemik inme geçiren hastalarda iskemik inme sonrası humoral immun cevabın sonucu olarak intratekal sentezlenen immunglobulinlerin varlığını ve miktarını saptamayı hedefliyoruz. Böylece, iskemik inmenin uzun dönem prognozu üzerinde humoral immun cevabın etkisinin varlığına ışık tutabiliriz.
MATERYAL VE METOD
Bu çalışmaya, Aralık 2012 ve Ağustos 2013 tarihleri arasında Ankara Atatürk Eğitim ve Araştırma Hastanesi Acil Servisi’ne inme için mutat bulgular olmayan bilinç bulanıklığı, ajitasyon ve dezoryantasyon şikayetleri ile başvuran, ensefalit/menenjit ayırıcı tanıları için zorunlu olarak lomber ponksiyon yapılan ancak takipleri sırasında iskemik inme tanısı alan, yaşları 18-90 arasında değişen toplam 51 hasta dahil edildi.
Hastaların tümünün şikayetlerinin başlangıcından itibaren ilk 24 saat içinde, acil serviste BBT’si ya da kraniyal MRG’si çekildi. Görüntülemede hemorajik komponenti olanlar çalışmaya dahil edilmedi. Kraniyal görüntülemesinde ve/ve ya nörolojik muayenesinde intrakranyal basınç artışı lehine bulgu saptanan ya da yüksek kanama riskine sahip olan ve ya lomber ponksiyon yapılacak yerde enfeksiyonu/ inflamasyonu bulunan hastalara lomber ponksiyon işlemi uygulanmadı.
İlk kez iskemik inme geçiren grupta henüz duyarlanma olmadığı için yüksek miktarda intratekal immunglobulin sentezi beklenmezken tekrarlayan iskemik inme geçiren grupta, ilk gruba nazaran daha hızlı ve fazla immunglobulin sentezi beklenmektedir. Henüz duyarlanma olmadan da; ilk iskemik inmeden 7-10 gün sonra BOS’ta non-spesifik immunglobulin sentezi olur(23). Bunun yaratacağı kafa karışıklığını engellemek için; şikayetlerin başladığı andan itibaren ilk 72 saat içinde lomber ponksiyon işlemi yapılmış hastalar çalışmaya dahil edildi. Otoimmun hastalığa ait öyküsü olanlar, hastalığın Ig G, A, M sentezini arttırabileceği gerekçesi ile çalışmaya dahil edilmedi.
Lomber ponksiyon işlemi öncesi hastaların kendisi ve hasta yakınlarından, kendisi onam veremeyecek durumdaki hastaların ise, yasal olarak vasilerinden bir doktor ve görüşme tanığı eşliğinde yazılı onam alındı.
Ensefalit/menenjit ayırıcı tanıları için, alınan BOS numunelerindeki hücreler, thoma lamına damlatılarak sayıldı. Bu değerlendirme aynı zamanda çalışmamızda kan beyin bariyerinin bozukluğunun tespiti için de kullanıldı.
Çalışmamızdaki hastaların BOS immunglobulin düzeyleri tübülometrik, eş zamanlı alınan kan immunglobulin düzeyleri ise nefelometrik olarak değerlendirildi. Kitler temin edilene kadar alınan serum ve BOS örnekleri -80 derecede saklandı.
Kan beyin bariyerinin bütünlüğünü değerlendirmede kullanılan albumin indeksi ile intratekal Ig G sentezinin tesbitinde kullanılan BOS IgG indeksi ve BOS Ig G/albumin oranı hesabı için eş zamanlı BOS’ta mikroalbumin ve kanda albumin değerine bakıldı.
Tekrarlamanın saptanmasında hastanın öyküsü ve/veya kraniyal MRG ya da BBT’sinde kronik iskemik lezyonun belirlenmesi esas alındı.
İskemik alan volümü hesaplamak için öncelikle region of interest(ROI) belirlendi. Her bir kesitteki lezyon alanın çevresi elle çizildi, çizili bölgenin yüzey alanı mm2 cinsinden bilgisayara yüklü PACS(Picture Archiving and Communication System software) tarafından otomatik olarak hesaplandı. Sonrasında alanlar toplandı, sonuç kesit kalınlığı ile çarpıldı(DAG kesitleri için 5mm, BBT kesitleri için 2 mm) ve sonrasında cm3’e çevirmek için sonuç 1000’e bölündü.
Hastaların klinik değerlendirilmesi için, hastalara servise yatışında Glaskow koma skalası (GKS ), National İnstitutes of Health Stroke Scale (NIHSS); taburcu olurken ise NIHSS, özürlülük tespiti için modifiye Rankin skalası (MRS) ve Barthel indeksi skalası uygulandı. Böylece immunglobulin düzeyleri ile yatış ve taburculuk sırasındaki NİHSS skoru ile MRS ve Barthel indeksi puanları arasındaki ilişkiye bakıldı. NİHSS skorunda 3 puan ve üzerindeki artışlar progresyon(kötüleşme) olarak değerlendirildi.
Araştırma verileri SPSS 15.0 istatistik paket programı aracılığıyla değerlendirildi. Tanımlayıcı istatistikler ortalama (±) standart sapma, frekans dağılımı ve yüzde olarak sunuldu. Translation - English INTRODUCTION
Strokes are the 3rd most frequent cause of death worldwide (1, 2). Ischemic strokes constitute 80-85% of all strokes. However, there is limited knowledge concerning the physiopathology of ischemic strokes. Damage in neurons is encountered in ischemic strokes due to ischemia. As cells start to die signals on the cell surface start to change, necrotic neuron fragments appear and “warning signals” are emitted. Those warning signals cause necrotic tissue fragments’ phagocytizing by mast cells (MC) and perivascular macrophages that are present in the brain tissue as well as increased leukocyte transfer to the region. Natural immune elements as microglia, which arrive at the ischemia site, perivascular macrophages, MC’s, blood monocytes, dendritic cells (DC) and monocytes cause post-ischemic inflammation by secreting various pro and anti-inflammatory cytokines and chemokine causing infiltration of inflammatory cells (6, 7, 8, 9, 10, 11, 12). Those pro-inflammatory mediators increase the ENT disorder, which causes infiltration of leukocytes and expression of endothelial adhesion molecules (13). MC’s and DC’s also contribute to the acquired immunity by presenting antigens (12, 14, 15). Through the blood-brain barrier, which has been disturbed by those pro-inflammatory mediators and chemokine, come T cells. Those T cells transform into cytotoxic T cells or T helper cells according to the cytokine content of the medium. Tissue antigens that have been produced as a result of disintegration of cell membrane and previously had been suppressed by ENT are recognized by the newly arrived B cells. Later a response independent of T cells or dependent on T cells that are sensitive to central nervous system (CNS) agents as myelin basic protein or related peptides might develop (16, 17). By activation of T cell dependent B cells, B cells transform into short living plasma cells and a little amount of Immunoglobulin (Ig) synthesizes antibodies of M isotope (18,19). Some B cells, on the other hand, transform into memory B cells and long living plasma cells. Those B cells are capable of producing Ig G, A, M (17). Some of those memory B cells are located in peripheral blood while some move into the lymphoid tissue and some into the ectopic lymphoid structure in CNS (neolymphogenesis) (20). Those memory B cells produce a quick antibody response in case they encounter the same antigen for a second time (17, 21).
Hence, antibodies for CNS antigens are developed following an ischemic stroke. This acquired immune response has an autoimmune potential against the organ in which cell death has occurred (22). Inflammation starts right after ischemia, cellular immune response peaks in about 24 hours and humoral immune response is produced within 7-10 days (23, 24). In case of a second stroke attack, in which necrotic neuron fragments are released, these antigens might get recognized by memory B cells present in the peripheral blood and ectopic lymphoid structure, due to the disturbed ENT. In such a case a quick and big Ig synthesis response might be developed against those antigens.
It is considered that in terms of damage during the acute phase of ischemic strokes cellular immune response is relatively more important although the role of humoral immune response is not exactly clarified (23). Long term effects of humoral immune responses related to strokes as well as their roles in ischemic processes as brain atrophy and dementia are little known (25, 26). Similarly, there is no data on whether the immune system develops memory against antigens and autoimmune responses in case of a reappearance of the same antigens, as it might be the case in repeated strokes (26).
This study targets to determine the existence and the amount of immunoglobulin synthesized intrathecally as a result of the immune response following a primary or repeated ischemic stroke. This way the humoral response’s effect on the long term prognosis of ischemic strokes might be clarified.
MATERIAL AND METHOD
In this study data collected from 51 patients of 18-90 years of age who came to Ankara Atatürk Training and Research Hospital within the period December 2012 – August 2013. The patients had complaints as mental fog, agitation and disorientation. Their lumbar punctures were ordered for differential diagnosis concerning encephalitis/meningitis and diagnosed with ischemic stroke during their long term follow-up.
CAT’s or cranial MRG’s were taken within the first 24 hours of each patient’s complaints. Those who had hemorrhagic components in their images were not included in the study. Lumber puncture was not applied to those who exhibited intracranial pressure increase during cranial imaging and/or neurological examinations, who had high risk of bleeding or who had infections/inflammations in lumber puncture region.
A high level of intrathecal Ig synthesis was not expected in the group with the primary strokes since there was no sensitization in their case yet. On the other hand, a relatively bigger and quicker Ig synthesis was expected in the group with repeated strokes. Even without sensitization a non-specific Ig synthesis occurs in CSF in the 7-10 days following the first ischemic stroke (23). In order to avoid the confusion likely to have resulted from those patients who went under lumber puncture within the 72 hours following appearance of their complaints were included from the study. Patients with autoimmune history were excluded on the basis that their condition might increase Ig G, A, M synthesis.
Permissions from patients’ themselves or their relatives (legal guardians etc.) were gathered prior to the application of lumber puncture processes.
For encephalitis/meningitis differential diagnosis cells in CSF samples were counted by dripping on the thoma hemocytometer. The said evaluation was also used for determination of disorders of blood brain barrier in the study.
CSF Ig levels of the patients were evaluated tubulometrically while blood Ig levels, which were taken concurrently, were evaluated nephelometrically. Serum and CSF samples were preserved at -80 degrees centigrade until the kits are acquired.
Microalbumin values in CSF and albumin values in blood were measured concurrently for albumin index, used for evaluation of blood brain barrier’s integrity, CSF Ig G index used for determination of intrathecal Ig G synthesis and for CSF Ig G/albumin ratio calculation.
In determination of repetition of stroke the patient’s history and/or detection of chronic ischemic lesions in cranial MRG’s or CAT’s were used as basis.
In order to measure the volume of ischemic area a region of interest (ROI) was first decided. Sides of lesion areas in each section were drawn by hand and area of the drawn regions were measured automatically by PACS (Picture Archiving and Communication System Software) in mm2’s. The measured area values were, then, multiplied by the section thickness (5mm for DAG sections, 2mm for CAT sections) and then divided by 1000 in order to get volumes measured in cm3’s.
For the clinical evaluation of the patients upon admission Glasgow Coma Scale (GCS), National Institute of Health Stroke Scale (NIHSS); upon discharge NIHSS, for determination of impairment Modified Rankin Scale (MRS) and Barthel Index Scale were applied. In this way relations among Ig levels with NIHSS scores at admission and discharge, MRS and Barthel Index scores were observed. 3 points or more increases in NIHSS scores were regarded as progression.
Research data were processed by SPSS 15.0 statistical software. Descriptive statistics were presented in terms of (±) standard deviation, frequency distribution and percentiles. In addition to those descriptive statistics, compliance with normal distribution was tested to determine differences between the groups. Eşrefoğulları Beyliği, XIV. yüzyıl başlarında Beyşehir ve çevresinde kurulmuş bir Türk Beyliği’dir. Beyşehir Kenti, Eşrefoğulları döneminde kurulmuş ve gelişim göstermiş bir kent olarak bu dönemden itibaren önemli bir merkez haline dönüşmüştür. Eşrefoğlu Süleyman Bey’in Beyşehir’de kurduğu külliye etrafında mimari ve kültürel açıdan gelişen şehir, bir cazibe merkezi olarak çevresindeki kent ve kırsalın artı ürününü kendi pazarına çekmek suretiyle sosyo-ekonomik yönlerden de gelişim göstermiştir. Beyşehir kent merkezindeki bu gelişim, Osmanlı hâkimiyeti sürecinde de devam etmiştir. Osmanlı hâkimiyetinde bir sancak merkezi olan Beyşehir, bu özelliğini 1842 yılına kadar sürdürmüştür. Beyşehir kenti sahip olduğu bu potansiyel nedeniyle, Eşrefoğulları döneminden itibaren demografik açıdan da gelişim göstermiştir. Ancak Beylik merkezi ve özellikle sancak merkezi olma özelliğini kaybettikten sonra, Beyşehir kent nüfusu ivmesini kaybetmiştir. Beyşehir ve çevresinde yaşanan nüfus hareketlerinin önemli bir bölümü geçici ve gönüllü niteliğe sahip olarak ortaya çıkan ama zamanla sürekli hale dönüşen daha çok ekonomik temelli iç göçler olarak değerlendirilebilir. Bu çerçevede özellikle XIX. yüzyılın ortalarından itibaren Beyşehir ve çevresinden Büyükşehirlere önemli oranlarda içgöç yaşandığı tespit edilmiştir. Ancak daha da önemli olarak, özellikle XIX. ve XX. yüzyıllarda başta Beyşehir Gölü’nden kaynaklanan ciddi sağlık problemleri nüfus üzerinde önemli etkiler oluşturduğu anlaşılmaktadır. Eşrefoğulları Beylic is a Turkish beylic founded in the early 14th century, in Beyşehir and its surrounding regions. Beyşehir was founded and developed during Eşrefoğulları era and became an important center later on. The city, which developed architecturally and culturally around the social complex founded by Eşrefoğlu Süleyman Bey, advanced socio-economically by drawing the surplus of its hinterland as a commercial center of attraction. This development of Beyşehir city center went on during the Ottoman era as well. Beyşehir had a status of Sanjak center during the Ottoman era, which it preserved until 1842. Due to its potential Beyşehir manifested demographic development since the days of Eşrefoğulları. However, after it lost its status as a Beylic center and especially as a sanjak center population growth lost its momentum. It can be asserted that administrative, social and commercial issues played big roles in stopping of population growth. Such issues caused substantial population movements around Beyşehir and its surrounding regions. Those movements mainly composed of temporary and voluntary domestic migration movements which gained permanence later on, most of which were caused by economic factors. It has been seen that a substantial level of domestic migration took place from Beyşehir and its surrounding areas to big cities especially after mid-19th century. Furthermore, serious health issues caused by Beyşehir Lake during 19th and 20th centuries are considered to have led to important population movements. The current study deals with demographic development of Beyşehir since the days of Eşrefoğulları from social and economic angles.

A process for the production of 2-methyl-1 ,4-naphthoquinone and its bisulfite abducts, comprising the following steps:
a) oxidizing 2-methyl-naphthalene (2-MNA) to achieve an organic phase containing 2-methylnaphthoquinone (2-M NQ) and 6-methyl- naphthoquinone (6-M NQ) ;
b) subjecting said organic phase to treatment with an aqueous solution of a bisulfite salt to extract preferentially the 6-MNQ isomer from the organic phase; c) separating said organic phase from the aqueous phase;
d) subjecting the organic phase of process step c) to a second bisulfitation step with an aqueous solution of a bisulfte salt, resulting in an organic phase containing 2-MNA and trace amounts of 2-MNQ and an aqueous phase containing 2-MSB and trace amounts of 6- MSB; e) optionally removing interfering bisulfite ions from the aqueous phase of process step c);
f) raising the phi of the aqueous phase from step c) or e) to higher than 8,5 in the presence of a solvent resulting in an organic phase containing 2-MNQ; 9) combining the organic phase from step f) with the organic phase being treated in the process step d);
h) recycling the organic phase from step d) back to step a) to be used as solvent for the oxidation reaction of 2-MNA.
The process according to claim 1, whereby the organic phase from step c) is used to produce pure solid 2-MNQ by cooling and by separating the precipitated 2-MNQ by any known solid-liquid separation method before being subjected to the second bisulfitation in step d).
The process according to claim 1, whereby said aqueous phase from process step d) is isolated and the bisulfite adduct of the 2 isomer is precipitated and isolated or used as a reactant to prepare other Vitamin K3 derivatives.
Process according to claim 1, whereby the step e) for the removal of interfering bisulfite ions is effected by a method selected from the group consisting of selective precipitation, ion exchange treatment. membrane treatment or conversion into inert ions.
The process according to claim 1, whereby process step f1 is performed in the absence of an organic solvent and the 2-MNQ is isolated as a precipitated solid by any solid-liquid separation method.
The process according to any of claims 1-2, whereby process step a) preferably takes place at a temperature in the range of 0-100 °C more preferably 25-60 °C and most preferably 250 °C.
7. ) The process according to any of claims 1-2, whereby process step a) employs an oxidizing agent selected from the group consisting of a Ce(111)/Ce(lV) salt redox couple.
8. ) The process according to claim 7, whereby the spent cerium salt is re- oxidized by using an electrochemical cell.
9. ) The process according to any of claims 1-2, whereby process step b) as well as process step d) are carried out at a temperature in the range of 0-70 °C, more preferably 10-50 °C and most preferably 25-40
°C.
10. ) The process according to any of claims 1-2, whereby process step b) as well as process step d) use a solution containing a bisulfde salt, preferably selected from the group consisting of sodium or potassium bisulfite.

The bisulfite solution is then treated in a recovery step (involving a ,3cleavage reaction to form pure Menadione) which allows minimizing the Menadione losses due to the bisulfite solution treatment.
Background of the invention
Several processes for producing Menadione are known in the art.
One common technique is the oxidation of 2-methyl-naphthalene by using sodium Bichromate in aqueous sulfuric acid solution. In this case, despite the low selectivity for, the 2-isomer, the high degree of destruction of the 6-isomer due to the added excess hexava[ent chromium results in a final product containing a high content of Menadione. For example, the US 3,751 ,437 discloses that although the reaction selectivity for the 2-methyl-1 ,4-naphthoquinone is not very high (50-53%), the final product is mainly composed of Menadione (94-97%), some unreacted 2-methyl- naphthalene (2-MNA) and small amounts of undefined impurities. The main drawbacks of this process are the very low selectivity of the reaction for the formation of the 2- methyl-1 ,4-naphthoquinone isomer, the need for excessive amounts of highly toxic hexavalent chromium as oxidizing agent and the creation of significant amounts of basic chromium sulfate as the reaction byproduct.

Yeniliğin arka planı
Menadiyon üretmek için çeşitli teknikler bilinmektedir.

Bu durumda 2-izomeri için düşük seçiciliğe rağmen fazladan eklenen hekzavalent cromdan kaynaklı 6-izomeri yıkımı sayesinde yüksek Menadiyon içeriği elde edilmektedir. 2. KURULUM BİLGİLERİ
a. Cihazın Kurulumu
Kurulumdan önce dikkat edilmesi hususlar
• Cihazın ilk kurulum ve çalıştırılması; gaz bağlantısı için gerekli teknik kurallar ve bölgesel direktiflere uygun olarak yapılması gerekmektedir. Farklı gaz veya basınç tipleri için gereken bağlantılar değişmektedir.
• Cihazın ahşap duvar, mobilya vb. ne yakın konumlandırılması durumunda bunların yanmaz malzemeden yapılması veya ısı yalıtım malzemesi ile kaplanması gerekmektedir(aradaki mesafe 5 cm). Eğer ısı yalıtım malzemesi kullanılmamış veya yanıcı bir cisim varsa azami olarak 20 cm mesafe olmalıdır.
• Cihazın tüm gaz bağlantıları ISO 7-1 veya ISO 228-1 standartlarına uygun olmalıdır.
• Cihazın kurulacağı bölgenin veya yapının bölgesel elektrik ve gaz tesisatı yönetmeliklerine uygun bir tesisat olmalıdır, can ve mal güvenliliğinin sağlanması için gerekli her türlü önlem alınmalıdır AKSİ TAKTİRDE FİRMAMIZ SORUMLULUK KABUL ETMEYECEKTİR.
Cihaz gaz sistemine bağlandıktan sonra gaz kaçağı sabun köpüğü veya sızdırmazlık sıvısı ile kontrol edilmelidir.

Gaz Dönüşümü sırasında aşağıdaki kurallara uyulmalıdır:
• Cihazın gaz bağlantısını sökünüz
• Cihazın arka kapak vidalarını sökerek arka kapağı çıkartınız
• Gaz valfi ve brülörler arasındaki boruları sökerek çıkartınız
• Brülör üzerindeki enjektörlerin sabitlendiği yerin çıkartınız.
• Kullanacağınız gaz tipine uygun enjektörleri yerine monte ediniz
• Gaz valfi ve brülörler arasındaki boruları tekrar yerine monte ediniz.
• Gaz dönüşüm tipine göre cihazın etiketlerini değiştiriniz
• Cihaz dönüşümüne uygun gaza bağlayarak gaz vanalarını açınız
• Eğer cihazın ısısı yeterli gelmiyorsa gaz valfi üzerinde bulunan gaz ayar enjektörünü bir tornavida yardımıyla uygun yanma ayarına alınız.
Teknik kişinin bu talimatlara uyduğu taktirde dönüşüm yaptığınız gaz tipinde ürününüzü güvenle kullanabilirsiniz.
3. KULLANIM VE BAKIM TALİMATI
a. Cihaz Montajı
Cihazın duvar mobilya vs. bölümlere yakın konumlandırılması için bu yanmaz malzemeler tarafından üretilmeleri veya uygun bir yanmaz ısı yalıtım malzemesi ile kaplanmış durumda olmaları gerekir.Bu kaideler sağladığı koşulda aradaki mesafe 5 cm ,sağlanamadığı koşullarda azami şekilde 20 cm olmalıdır.
Cihaz montajı sırasında Madde 2.a da belirtilen kurulum koşullarına uyulmalıdır.
Cihazın Tüm Gaz bağlantılarının ISO 7-1 veya ISO 228-1 standartlarına uygun olması gerekmektedir.
Gaz sistemi bağlandıktan sonra gaz kaçağı gerekli teknolojiler ile kontrol edilmelidir.
b. Kullanım Amacı
Kuzine, restoranlarda, kantin, hastane gibi yerlerin mutfaklarında, personel yemekhanelerinde, yemek fabrikalarında v.b. yerlerde yemek pişirmek amacıyla kullanılır.Kullanım amacı dışında kullanılmaz.
Cihaz havalandırma sistemine bağlı Filtreli bir davlumbaz ile çalıştırılmalıdır.
c. Kullanma Talimat
Cihazın Çalıştırılması
1.Pilotun ateşlenmesi
Pilota gazın gelmesi için termostat ayar vanası “C” basılı tutularak belirli bir süre(gaz tesisatında kalan havanın atılıp gaz çıkışı sağlanıncaya kadar geçen süre bu da yaklaşık 20-25 saniye) bekledikten sonra çakmağa “A” basılarak pilot ateşlenir.Cihazda alev denetleme tertibatı(termokulp) olduğu için,alev denetlemenin alev ısısının algılayıp gaz geçişine izin vermesi için berlli bir süre(max 20 saniye) basılı tutarız. Emniyet valfinden elimizi çektiğimizde pilot alevi sönmüyorsa bırakabiliriz.
2.Brülörün ateşlenmesi
Açık alevli ocaklarda brülörü ateşlemek için emniyet valfi “C” tam açık pozisyona getirilir. Ocak kısılmak istenirse emniyet valfi yarı alevle gösterilen pozisyona getirilir.
Brülör yanar haldeyken
Kısık alev için valf düğmesini min. Alev konumuna getirilir.
Pişirme işlemi tamamlandıktan sonra tencere ocak üzerinden alınarak cihaz kapatılır.
FIRIN KISMININ KULLANILMASI
1.Pilotun ateşlenmesi
Pilota gazın gelmesi için termostat ayar vanası “B” basılı tutularak belirli bir süre(gaz tesisatında kalan havanın atılıp gaz çıkışı sağlanıncaya kadar geçen süre bu da yaklaşık 20-25 saniye) bekledikten sonra çakmağa “A” basılarak pilot ateşlenir.Cihazda alev denetleme tertibatı(termokulp) olduğu için,alev denetlemenin alev ısısının algılayıp gaz geçişine izin vermesi için berlli bir süre(max 20 saniye) basılı tutarız. Emniyet valfinden elimizi çektiğimizde pilot alevi sönmüyorsa bırakabiliriz.
2. Fırında brülörü ateşlemek için cihazın sıcaklığını istenilen değere getirmek için termostat düğmesini istenilen sıcaklık değerine çeviriniz. Cihaz istenilen sıcaklığa geldiğinde termostat otomatik olarak brülöre gelen gazı kesecek ve brülörü devre dışı bırakacaktır. Pilot yanmaya devam edecektir. Fırın içi sıcaklık istenen sıcaklık değerinin altına düşünce termostat gaz geçişine izin verecektir. Brülör pilot tarafından ateşlenecektir.
Cihaz brülörleri yanar pozisyona geldiğinde pişirme işlemi başlatılabilir.
• Pişirme işlemi yapılacak tepsiler fırın içine yerleştirilir.
• Tepsilerin yemek hacimlerine göre seçilmesi gerekir aksi taktirde taşma ve dökülmelerle brülör sönebilir veya cihazın alt kısmında bakteri oluşabilir
• Fırına yerleştirilen tepsiler(cam kapaklı modellerde) fırın camından izlenebilir
• Isıtma veya hafif pişirme için fırın brülörleri valf düğmesinden istenilen sıcaklık değerlerine ayarlanabilir
• Tepsiler fırından çıkartılırken yemekler ve tepsi sıcak olacağından eldiven kullanılması ve dikkatli olunması gerekilmelidir.
Cihazın Kapatılması
Cihaz kısa süreli olarak kullanılmayacak ise termostat ayar vanası “B” pilot konumuna “*” konumuna getirilerek sadece pilotun yanması sağlanır. Bu hareket gaz sarfiyatını önemli ölçüde azaltacaktır.
Cihazı tamamen kapatmak için termostat ayar vanasını kapalı konuma çeviriniz ve böylece hem pilota hem de brülöre akan gaz kesilmiş olur.
Cihazı kapattıktan sonra herhangi bir tehlike durumunu önlemek için tüpü veya gaz vanasını kapatınız.
d. Güvenlik Kuralları
• Cihazın kurulumu, çalıştırılması ve bakımı sırasında ilgili İş Güvenliği Kurallarına UYUNUZ.
• Cihazın çalışacağı yer ile duvar arasında 20 cm boşluk bırakınız.
• Cihazın kullanımında LPG kullanılacak ise tüp ile cihaz arasında en az 50 cm mesafe olmalıdır.
• Cihazı çalıştırmadan önce cihaz üzerindeki ambalajı eksiksiz olarak çıkarınız.
• Cihaz mutlaka gözetim altında çalıştırılmalıdır.
• Cihazın mutlaka bir davlumbaz altında çalıştırılmalıdır.
• Bu cihaz profesyonel kullanım amaçlı olup yalnızca eğitilmiş kişiler tarafından kullanılmalıdır.
• Cihazın kullanılacağı zemin cihazın sabit durumunu koruyacak bir şekilde sağlam ve düz olmalıdır

• Eğer gaz kokusu alıyorsanız tüm gaz bağlantılarını kapatınız en kısa sürede ilgili kişilere haber veriniz
• Kullanım sonrasında veya acil durumlarda tüm gaz bağlantıları ve elektrik beslemeleri kapatılmalıdır
• Cihaz belirtilen amacı dışında kullanılmamalıdır
• Ürün kullanımı sırasında yere dökülen yağların temizlenmesi gerekir aksi taktirde kaygan zemin oluşumuna sebep olur.
• Cihazın çevresinde yanıcı maddeler bulundurulmamalıdır
• Cihazın çevresinde yanıcı maddeler var ise bu maddeleri ısı yalıtım malzemeleri ile korumaları ve yangından korunma kurallarına dikkat etmeleri önerilir
• Cihaz darbe almamalıdır
• Bir yangın durumunda tüm gaz bağlantıları ve elektrik beslemeleri kapatılmalıdır ve sadece yangın söndürücü ile yangına müdahale edilmelidir. KESİNLİKLE SU KULLANMAYINIZ
e. Temizlik
• Ürünün temizliği ilk kullanımdan önce olmak üzere her kullanımdan önce ve sonra yapılması gerekmektedir.
• Ürün temizliğinden önce cihazın tüm gaz bağlantıları ve elektrik beslemeleri kapalı olması gerekmektedir.
• Ürünün dış yüzeyini sünger ve sıvı temizlik malzemesi ile temizleyiniz. Temizlik ürününüzü cihaza zarar vermeyecek şekilde seçiniz. Kullanılan ürün aşındırıcı ve çelik temizleme malzemesi olmamalıdır ve cihazın yüzeyinde çizik oluşturmamalıdır.Temizlik sırasında tuz ruhu, cif vs Kimyasal temizlik malzemesi kullanmayınız.
• Cihazın temizliğini yaparken havalandırma deliklerinden içeriye su kaçırılmamasına dikkat edilmelidir.
• Ilık sabunlu bir bezin kullanılması önerilir.
• Yüzeylerde kirlenme olması durumunda, kir kurumadan temiz bir bez ile kurulayarak temizleyiniz.
• Cihazda tehlikeli bir durum görülmesi halinde Firmamıza danışınız ve firmamızın direktiflerine uyunuz .
f. Bakım
Cihazdan daha yüksek performans almak ve iş güvenliği ile ilgili oluşabilecek riskleri azaltmak için, periyodik bakımı en az 6 ayda bir teknik bir eleman tarafından yapılması önerilir.
Garanti süresi içinde olsa dahi firmamızın teknik elemanları tarafından yapılan periyodik bakımı ücrete tabidir.
g. Cihazın Ekonomik Ömrü
Cihazın kullanım talimatına uygun halde kullanılması halinde ekonomik ömrü 10 yıldır.
4. TAŞIMA VE YER DEĞİŞTİRME
Cihazın Yer Değiştirmesi
• Cihaz taşınması durumunda yere düşmemesi ve etrafa çarpmaması için önem gösteriniz.
• Bu cihazlar forklift gibi yardımcı araçlar ile taşınmaya uygundur.

• Garanti kapsamına giren arızaların tespiti ve giderilme şekli ve yerini üretici firma belirler.

2. INSTALLATION INFORMATION
a. Device Installation
Before the installation
• Installment and the first use of the device must be conducted according to the required technical rules and regional directives. Connections might vary with respect to different gas or pressure types.
• In case the device is going to be installed near wooden walls, furniture’s etc. these must be made sure to be made of fire proof material or covered with heat insulating coating (minimal distance is 5 cm). Otherwise the minimal distance from the device must be set to 20 cm.
• All gas connections of the device must comply with ISO 7-1 or ISO 228-1 standards.
• The regional electrical and gas infrastructure of the region or the building must comply with regulations. It must be made sure by the owner of the device that all necessary measures concerning life and commodity safety are taken. OUR FIRM CANNOT BE HELD ACCOUNTABLE IN THE OPPOSITE CASE.
After the device is connected to the gas line any possible gas leaks must be checked by soap foam or leaktightness liquid.
• The stated power of the device cannot be changed by user demands. Any intervention to valves or injectors for such a purpose would leave your device out of warranty.
• It is strongly advised that you follow fire prevention guidelines with utmost care.
• Do not use unlicensed spare parts on your device. Installment of spare parts that are not purchased from our firm will cause termination of your warranty coverage.

It is not acceptable to change technical features and the operation environment of the device without prior consulting with the manufacturing firm.

d. Gas Cycling Directive
GAS CONVERSION MUST BE CONDUCTED BY ONLY AUTHORIZED TECHNICAL PERSONNEL!
• Gas conversion can be conducted by only technical personnel.
• All gas connections must be closed prior to the gas conversion.
The rules below must be followed during gas conversion operation.
• Take the device’s gas connection off.
• Unscrew and remove the back cover from the device.
• Remove the pipes between the gas valve and the burners.
• Remove the part where injectors on burners are fastened.
• Mount the injectors that are suitable for the gas type you will be using.
• Remount the pipes between the gas valve and the burners.
• Change the labels on the device according to the gas conversion type.
• Connect to the suitable gas line and open the valves.
• In case the device does not heat to a sufficient degree adjust the gas setting injector on the gas valve with the aid of a screwdriver to a level that is suitable.
When the technical personnel follow this guideline you can safely use your product with the gas type of conversion.
3. USAGE AND MAINTENANCE DIRECTIVES
a. Device Installation
In order the device to be positioned near walls, furniture etc. those need to be either made of fire proof material or covered with some proper fire proof heat insulator material. When these conditions are met the device must be put at least 5 cm away from the nearest wall, piece of furniture and when the conditions are not met the distance must be at least 20 cm.
The guidelines of Article 2.a must be followed during the installation.
All gas connections of the device must be in compliance with ISO 7-1 or ISO 228-1 standards.
Any potential gas leak must be checked by the necessary technical equipment after the gas is connected.
b. Purpose of Use
The purpose of the device is cooking in galleys, restaurants, canteen, hospital kitchens, personnel cafeterias, food factories etc. It must not be used for any other purpose.
The device must be operated together with a hood connected to a ventilation system.
c. Directions for Use
Operating the Device
1. Lighting the pilot flame
In order that the pilot receives gas the thermostat adjustment valve “C” must be kept pressed for a while (long enough to let the air left in the gas pipes out and start the release of gas, approximately 20-25 seconds) followed by a pres on the lighter “A” to light the pilot. Since the device is equipped with a flame control mechanism (thermocouple) the button needs to be pressed until the flame control senses the heat of the flame and lets the gas through (max 20 seconds). If the pilot flame does not deflate after releasing the safety valve then it means the pilot is set.
2. Ignition of the burner
In open flame stoves, in order to ignite the burner the safety valve “C” is set to full on position. In order to decrease the flame the safety valve must be set to the position indicated by the half flame.
While the burner is on in order to get low heat the valve button is set to the minimal flame position.
After the cooking is finished the pot must be taken off the stove and the device must be turned off.
USE OF THE OVEN
1. Lighting the pilot
In order that the pilot receives gas the thermostat adjustment valve “B” must be kept pressed for a while (long enough to let the air left in the gas pipes out and start the release of gas, approximately 20-25 seconds) followed by a pres on the lighter “A” to light the pilot. 2. To ignite the burner in the oven set the thermostat button to the desired temperature level. When the device reaches the desired temperature the thermostat will cut the gas coming to the burner automatically and the burner will stop while the pilot stays on. When the temperature inside the oven falls below the desired temperature thermostat allows gas flow again igniting the burner by the pilot.
When the burners are on cooking can be started.
• Trays used for cooking are placed inside the oven.
• Trays must be chosen according to food volume for otherwise overflows can cause the burners to deflate or contamination inside the device.
• In glass covered models the trays can be watched through the cover.
• Burners can be adjusted from the valve button to different heats for different purposes as warming or undercooking.
• Mints must be used and caution must be taken while taking the trays out of the oven for foods and trays will be hot.
Turning off the Device
If the device is not to be used for a short while the thermostat adjustment valve “B” is set at the pilot position “*” leaving only the pilot on. This would reduce gas usage substantially.
In order to turn off the device completely turn the thermostat adjustment valve to “off” position. This will stop the gas flow to both the burner and the pilot.
After turning off the device put the gas feed to “off” position too to prevent possible hazards.
d. Safety Rules
• COMPLY with work safety rules during installment, operation and maintenance of the device.
• Leave 20 cm distance between the device and the walls.
• If LPG is to be used for power then there must be at least 50 cm distance between the device and the tank.
• Remove the packing completely prior to operating the device.
• The device must be operated under monitoring.
• The device must be operated under a hood.
• This is a Professional purpose device and it must be operated only by trained personnel.
• The ground on which the device will be put must be firm and plane so that it maintains the device’s stability.
• The ground on which the device will be put must be fire proof and must not contain flammable material.
• Gas connection points must be controlled thoroughly. The device must not be operated in case of a gas leak.
• Gas leaks must not be controlled by matches or other burning tools. Tests must be conducted by leaktightness test devices if possible and by foam or leaktightness liquid otherwise.
• The room the device is mounted must have sufficient ventilation.
• The device must be turned off until it is cool prior to any moving.
• If you smell gas immediately turn all gas connections off and inform related authorized personnel.
• All gas connections and electrical feeds must be turned off while not in use or in cases of emergency.
• The device must not be used outside its designated purpose.
• Oil remains dripping on the floor during device operation must be cleaned regularly to prevent slippage.
• Flammable material must be kept away from the device.
• If flammable material is needed to be kept near the device then those must be covered with heat insulating coating and fire safety rules must be followed.
• The device must be protected from impact
• In case of a fire all gas connections and electrical feeds must be turned off. The fire must be treated with fire extinguishers only and DEFINITELY NOT WATER.
e. Cleaning
• The device must be cleaned before and after each use including the initial one.
• All gas connections and electrical feeds must be turned off before cleaning.
• The outer surface of the device must be cleaned with a sponge and a detergent. Detergents must be chosen such that they do not damage the device. The cleaning products must not be corrosive, steel cleaning supplies and they must not scratch the device’s surface. Material such as hydrochloric acid, cleaning powders etc. must not be used.
• Slippage of water in ventilation wholes must be prevented.
• A warm piece of cloth with soap is recommended.
• It is advised to clean stains before they dry with a clean piece of cloth.
• In case you notice a hazardous situation, consult to our firm and comply with our directives.
f. Maintenance
It is advised that the device goes under periodical maintenance in every 6 months by technical personnel.
Maintenance activities conducted by our firm’s personnel are subject to charge even during the warranty period.
g. Economic Life of the Device
The device has an economic life of 10 years with the condition that it is handled in accordance with this manual.
4. TRANSPORTATION AND MOVING
Moving the Device
• During transportation of the device take necessary precautions against its fall or hitting obstacles.
• These devices are suitable for transportation by vehicles as forklifts.
5. WARRANTY
Warranty conditions
• Warranty period starts with the delivery of the device and is 2 years.
• The device, including all its parts, is covered by our firm’s warranty.
• The device is covered by a warranty against malfunctions caused by faulty material or workmanship as long as it is installed and operated according to the directives in this manual.
• Detection of malfunctions that are covered by warranty, the manner and place they are handled are decided by the manufacturer firm.
• Warranty covers only the device it has been issued for and under the condition that installment, usage and maintenance directives are followed.
• In case there is removal or change in information stamped on the device including the device type, model and serial number, the warranty coverage is terminated.
• Warranty coverage includes only maintenance, repairs or renewal in cases of malfunctions due to faulty material or workmanship.
• Installment must be done only by technical personnel. In case of moving the device our firm must be consulted.
• Fixing damages caused by external factors during usage of the device is not covered by the warranty.
• In case of disagreement Istanbul courts have jurisdiction.

THE EUROPEAN PARLIAMENT AND THE COUNCIL OF THE
EUROPEAN UNION,
Having regard to the Treaty on the Functioning of the European
Union, and in particular Article 50(1) and (2) (g) thereof,
Having regard to the proposal from the European Commission,
After transmission of the draft legislative act to the national
parliaments,
Having regard to the opinion of the European Economic and
Social Committee ( 1 ),
Acting in accordance with the ordinary legislative procedure ( 2 ),
Whereas:
(1) Second Council Directive 77/91/EEC of 13 December
1976 on coordination of safeguards which, for the
protection of the interests of members and others, are
required by Member States of companies within the
meaning of the second paragraph of Article 54 of the
Treaty, in respect of the formation of public limited
liability companies and the maintenance and alteration
of their capital, with a view to making such safeguards
equivalent ( 3 ) has been substantially amended several
times ( 4 ). Since further amendments are to be made, it
should be recast in the interests of clarity.
(2) The coordination provided for in point (g) of
Article 50(2) of the Treaty and in the General
Programme for the abolition of restrictions on freedom
of establishment, which was begun by First Council
Directive 68/151/EEC of 9 March 1968 on co-ordination
of safeguards which, for the protection of the interests of
members and others, are required by Member States of
companies within the meaning of the second paragraph
of Article 58 of the Treaty, with a view to making such
safeguards equivalent throughout the Community ( 5 ), is
especially important in relation to public limited liability
companies, because their activities predominate in the
economy of the Member States and frequently extend
beyond their national boundaries.
(3) In order to ensure minimum equivalent protection for
both shareholders and creditors of public limited
liability companies, the coordination of national
provisions relating to their formation and to the main
tenance, increase or reduction of their capital is
particularly important.
(4) In the Union, the statutes or instrument of incorporation
of a public limited liability company must make it
possible for any interested person to acquaint himself
with the basic particulars of the company, including
the exact composition of its capital.
(5) Union provisions are necessary for maintaining the
capital, which constitutes the creditors' security, in
particular by prohibiting any reduction thereof by
distribution to shareholders where the latter are not
entitled to it and by imposing limits on the company's
right to acquire its own shares.
(6) The restrictions on a company's acquisition of its own
shares should apply not only to acquisitions made by a
company itself but also to those made by any person
acting in his own name but on the company's behalf.

(7) In order to prevent a public limited liability company
from using another company in which it holds a
majority of the voting rights or on which it can
exercise a dominant influence to make such acquisitions
without complying with the restrictions imposed in that
respect, the arrangements governing a company's
acquisition of its own shares should be extended to
cover the most important and most frequent cases of
the acquisition of shares by such other companies.
Those arrangements should be extended to cover
subscription for shares in the public limited liability
company.
(8) In order to prevent the circumvention of this Directive,
companies governed by Directive 2009/101/EC of the
European Parliament and of the Council of 16 September
2009 on coordination of safeguards which, for the
protection of the interests of members and third
parties, are required by Member States of companies
within the meaning of the second paragraph of Article 54
of the Treaty, with a view to making such safeguards
equivalent ( 1 ) and companies governed by the laws of
third countries and having comparable legal forms
should also be covered by the arrangements referred to
in recital 7.
(9) Where the relationship between a public limited liability
company and another company such as referred to in
recital 7 is only indirect, it would appear to be justified
to relax the provisions applicable when that relationship
is direct by providing for the suspension of voting rights
as a minimum measure for the purpose of achieving the
aims of this Directive.
(10) Furthermore, it is justifiable to exempt cases in which the
specific nature of a professional activity rules out the
possibility that the attainment of the objectives of this
Directive may be endangered.
(11) It is necessary, having regard to the objectives of point
(g) of Article 50(2) of the Treaty, that the Member States'
laws relating to the increase or reduction of capital
ensure that the principles of equal treatment of share
holders in the same position and of protection of
creditors whose claims exist prior to the decision on
reduction are observed and harmonised.
(12) In order to enhance standardised creditor protection in
all Member States, creditors should be able to resort,
under certain conditions, to judicial or administrative
proceedings where their claims are at stake as a
consequence of a reduction in the capital of a public
limited liability company.
(13) In order to ensure that market abuse is prevented,
Member States should take into account, for the
purpose of implementation of this Directive, the
provisions of Directive 2003/6/EC of the European
Parliament and of the Council of 28 January 2003 on
insider dealing and market manipulation (market
abuse) ( 2 ), Commission Regulation (EC) No 2273/2003
of 22 December 2003 implementing Directive
2003/6/EC of the European Parliament and of the
Council as regards exemptions for buy-back programmes
and stabilisation of financial instruments ( 3 ) and
Commission Directive 2004/72/EC of 29 April 2004
implementing Directive 2003/6/EC of the European
Parliament and of the Council as regards accepted
market practices, the definition of inside information in
relation to derivatives on commodities, the drawing up of
lists of insiders, the notification of managers' transactions
and the notification of suspicious transactions ( 4 ).
(14) In the light of the judgment of the Court of Justice of
6 May 2008 in Case C-133/06 Parliament v Council ( 5 ), it
is considered necessary to redraft the wording of
Article 6(3) of Directive 77/91/EEC in order to remove
an existing secondary legal basis and to provide for the
examination and, if need be, the revision of the amount
referred to in paragraph 1 of that Article by both the
European Parliament and the Council.
(15) This Directive should be without prejudice to the
obligations of the Member States relating to the time-
limits for transposition into national law and application
of the Directives set out in Annex II, Part B,
HAVE ADOPTED THIS DIRECTIVE:
Article 1
1. The coordination measures prescribed by this Directive
shall apply to the provisions laid down by law, regulation or
administrative action in Member States relating to the types of
company listed in Annex I.
The name for any company of the types listed in Annex I shall
comprise or be accompanied by a description which is distinct
from the description required of other types of companies.

2. The Member States may decide not to apply this Directive
to investment companies with variable capital and to cooper
atives incorporated as one of the types of company listed in
Annex I. In so far as the laws of the Member States make use of
this option, they shall require such companies to include the
words ‘investment company with variable capital’, or ‘cooper
ative’ in all documents indicated in Article 5 of Directive
2009/101/EC.
The expression ‘investment company with variable capital’,
within the meaning of this Directive, means only those
companies:
— the exclusive object of which is to invest their funds in
various stocks and shares, land or other assets with the
sole aim of spreading investment risks and giving their
shareholders the benefit of the results of the management
of their assets,
— which offer their own shares for subscription by the public,
and
— the statutes of which provide that, within the limits of a
minimum and maximum capital, they may at any time
issue, redeem or resell their shares.
Article 2
The statutes or the instrument of incorporation of the company
shall always give at least the following information:
(a) the type and name of the company;
(b) the objects of the company;
(c) when the company has no authorised capital, the amount of
the subscribed capital;
(d) when the company has an authorised capital, the amount
thereof and also the amount of the capital subscribed at the
time the company is incorporated or is authorised to
commence business, and at the time of any change in the
authorised capital, without prejudice to point (e) of Article 2
of Directive 2009/101/EC;
(e) in so far as they are not legally determined, the rules
governing the number of and the procedure for appointing
members of the bodies responsible for representing the
company with regard to third parties, administration,
management, supervision or control of the company and
the allocation of powers among those bodies;
(f) the duration of the company, except where this is indefinite.
Article 3
The following information at least must appear in either the
statutes or the instrument of incorporation or a separate
document published in accordance with the procedure laid
down in the laws of each Member State in accordance with
Article 3 of Directive 2009/101/EC:
(a) the registered office;
(b) the nominal value of the shares subscribed and, at least
once a year, the number thereof;
(c) the number of shares subscribed without stating the
nominal value, where such shares may be issued under
national law;
(d) the special conditions, if any, limiting the transfer of shares;
(e) where there are several classes of shares, the information
referred to in points (b), (c) and (d) for each class and the
rights attaching to the shares of each class;
(f) whether the shares are registered or bearer, where national
law provides for both types, and any provisions relating to
the conversion of such shares unless the procedure is laid
down by law;
(g) the amount of the subscribed capital paid up at the time the
company is incorporated or is authorised to commence
business;
(h) the nominal value of the shares or, where there is no
nominal value, the number of shares issued for a
consideration other than in cash, together with the nature
of the consideration and the name of the person providing
that consideration;

(i) the identity of the natural or legal persons or companies or
firms by whom or in whose name the statutes or the
instrument of incorporation, or where the company was
not formed at the same time, the drafts of those documents,
have been signed;
(j) the total amount, or at least an estimate, of all the costs
payable by the company or chargeable to it by reason of its
formation and, where appropriate, before the company is
authorised to commence business; and
(k) any special advantage granted, at the time the company is
formed or up to the time it receives authorisation to
commence business, to anyone who has taken part in the
formation of the company or in transactions leading to the
grant of such authorisation.
Article 4
1. Where the laws of a Member State prescribe that a
company may not commence business without authorisation,
they shall also make provision for responsibility for liabilities
incurred by or on behalf of the company during the period
before such authorisation is granted or refused.
2. Paragraph 1 shall not apply to liabilities under contracts
concluded by the company conditionally upon its being granted
authorisation to commence business.
Article 5
1. Where the laws of a Member State require a company to
be formed by more than one member, the fact that all the
shares are held by one person or that the number of
members has fallen below the legal minimum after incor
poration of the company shall not lead to the automatic
dissolution of the company.
2. If, in the cases referred to in paragraph 1, the laws of a
Member State permit the company to be wound up by order of
the court, the judge having jurisdiction must be able to give the
company sufficient time to regularise its position.
3. Where a winding-up order as referred to in paragraph 2 is
made the company shall enter into liquidation.
Article 6
1. The laws of the Member States shall require that, in order
that a company may be incorporated or obtain authorisation to
commence business, a minimum capital shall be subscribed the
amount of which shall be not less than EUR 25 000.
2. Every five years the European Parliament and the Council,
acting on a proposal from the Commission in accordance with
Article 50(1) and (2)(g) of the Treaty, shall examine and, if need
be, revise the amount expressed in paragraph 1 in euro in the
light of economic and monetary trends in the Union and of the
tendency towards allowing only large and medium-sized under
takings to opt for the types of company listed in Annex I.
Article 7
The subscribed capital may be formed only of assets capable of
economic assessment. However, an undertaking to perform
work or supply services may not form part of those assets.
Article 8
Shares may not be issued at a price lower than their nominal
value, or, where there is no nominal value, their accountable
par.
However, Member States may allow those who undertake to
place shares in the exercise of their profession to pay less
than the total price of the shares for which they subscribe in
the course of that transaction.
Article 9
Shares issued for a consideration must be paid up at the time
the company is incorporated or is authorised to commence
business at not less than 25 % of their nominal value or, in
the absence of a nominal value, their accountable par.
However, where shares are issued for a consideration other than
in cash at the time the company is incorporated or is authorised
to commence business, the consideration must be transferred in
full within five years of that time.

Article 10
1. A report on any consideration other than in cash shall be
drawn up before the company is incorporated or is authorised
to commence business, by one or more independent experts
appointed or approved by an administrative or judicial auth
ority. Such experts may be natural persons as well as legal
persons and companies or firms under the laws of each
Member State.
2. The experts' report referred to in paragraph 1 shall
contain at least a description of each of the assets comprising
the consideration as well as of the methods of valuation used
and shall state whether the values arrived at by the application
of those methods correspond at least to the number and
nominal value or, where there is no nominal value, to the
accountable par and, where appropriate, to the premium on
the shares to be issued for them.
3. The experts' report shall be published in the manner laid
down by the laws of each Member State, in accordance with
Article 3 of Directive 2009/101/EC.
4. Member States may decide not to apply this Article where
90 % of the nominal value, or where there is no nominal value,
of the accountable par, of all the shares is issued to one or more
companies for a consideration other than in cash, and where
the following requirements are met:
(a) with regard to the company in receipt of such consider
ation, the persons referred to in point (i) of Article 3
have agreed to dispense with the experts' report;
(b) such agreement has been published as provided for in
paragraph 3;
(c) the companies furnishing such consideration have reserves
which may not be distributed under the law or the statutes
and which are at least equal to the nominal value or, where
there is no nominal value, the accountable par of the shares
issued for consideration other than in cash;
(d) the companies furnishing such consideration guarantee, up
to an amount equal to that indicated in point (c), the debts
of the recipient company arising between the time the
shares are issued for a consideration other than in cash
and one year after the publication of that company's
annual accounts for the financial year during which such
consideration was furnished; any transfer of those shares is
prohibited within this period;
(e) the guarantee referred to in point (d) has been published as
provided for in paragraph 3; and
(f) the companies furnishing such consideration shall place a
sum equal to that indicated in point (c) into a reserve which
may not be distributed until three years after publication of
the annual accounts of the recipient company for the
financial year during which such consideration was
furnished or, if necessary, until such later date as all
claims relating to the guarantee referred to in point (d)
which are submitted during that period have been settled.
5. Member States may decide not to apply this Article to the
formation of a new company by way of merger or division
where a report by one or more independent experts on the
draft terms of merger or division is drawn up.
Where Member States decide to apply this Article in the cases
referred to in the first subparagraph, they may provide that the
report under this Article and the report by one or more inde
pendent experts on the draft terms of merger or division may
be drawn up by the same expert or experts.
Article 11
1. Member States may decide not to apply Article 10(1), (2)
and (3) of this Directive where, upon a decision of the adminis
trative or management body, transferable securities as defined in
point 18 of Article 4(1) of Directive 2004/39/EC of the
European Parliament and of the Council of 21 April 2004 on
markets in financial instruments ( 1 ) or money-market
instruments as defined in point 19 of Article 4(1) of that
Directive are contributed as consideration other than in cash,
and those securities or money-market instruments are valued at
the weighted average price at which they have been traded on
one or more regulated markets as defined in point 14 of
Article 4(1) of that Directive during a sufficient period, to be
determined by national law, preceding the effective date of the
contribution of the respective consideration other than in cash.
However, where that price has been affected by exceptional
circumstances that would significantly change the value of the
asset at the effective date of its contribution, including situations
where the market for such transferable securities or money-
market instruments has become illiquid, a revaluation shall be
carried out on the initiative and under the responsibility of the
administrative or management body.

For the purposes of such revaluation, Article 10(1), (2) and (3)
shall apply.
2. Member States may decide not to apply Article 10(1), (2)
and (3) where, upon a decision of the administrative or
management body, assets other than the transferable securities
and money-market instruments referred to in paragraph 1 of
this Article are contributed as consideration other than in cash
which have already been subject to a fair value opinion by a
recognised independent expert and where the following
conditions are fulfilled:
(a) the fair value is determined for a date not more than six
months before the effective date of the asset contribution;
and
(b) the valuation has been performed in accordance with
generally accepted valuation standards and principles in
the Member State which are applicable to the kind of
assets to be contributed.
In the case of new qualifying circumstances that would signifi
cantly change the fair value of the asset at the effective date of
its contribution, a revaluation shall be carried out on the
initiative and under the responsibility of the administrative or
management body.
For the purposes of such revaluation, Article 10(1), (2) and (3)
shall apply.
In the absence of such a revaluation, one or more shareholders
holding an aggregate percentage of at least 5 % of the
company's subscribed capital on the day the decision on the
increase in the capital is taken may demand a valuation by an
independent expert, in which case Article 10(1), (2) and (3) shall
apply.
Such shareholder(s) may submit a demand up until the effective
date of the asset contribution, provided that, at the date of the
demand, the shareholder(s) in question still hold(s) an aggregate
percentage of at least 5 % of the company's subscribed capital as
it was on the day the decision on the increase in the capital was
taken.
3. Member States may decide not to apply Article 10(1), (2)
and (3) where, upon a decision of the administrative or
management body, assets other than the transferable securities
and money-market instruments referred to in paragraph 1 of
this Article are contributed as consideration other than in cash
whose fair value is derived by individual asset from the statutory
accounts of the previous financial year provided that the
statutory accounts have been subject to an audit in accordance
with Directive 2006/43/EC of the European Parliament and of
the Council of 17 May 2006 on statutory audits of annual
accounts and consolidated accounts ( 1 ).
The second to fifth subparagraphs of paragraph 2 of this Article
shall apply mutatis mutandis.
Article 12
1. Where consideration other than in cash as referred to in
Article 11 occurs without an experts' report as referred to in
Article 10(1), (2) and (3), in addition to the requirements set
out in point (h) of Article 3 and within one month after the
effective date of the asset contribution, a declaration containing
the following shall be published:
(a) a description of the consideration other than in cash at
issue;
(b) its value, the source of that valuation and, where appro
priate, the method of valuation;
(c) a statement whether the value arrived at corresponds at least
to the number, to the nominal value or, where there is no
nominal value, the accountable par and, where appropriate,
to the premium on the shares to be issued for such
consideration; and
(d) a statement that no new qualifying circumstances with
regard to the original valuation have occurred.
That publication shall be effected in the manner laid down by
the laws of each Member State in accordance with Article 3 of
Directive 2009/101/EC.
2. Where consideration other than in cash is proposed to be
made without an experts' report as referred to in Article 10(1),
(2) and (3) in relation to an increase in the capital proposed to
be made under Article 29(2), an announcement containing the
date when the decision on the increase was taken and the
information listed in paragraph 1 of this Article shall be
published, in the manner laid down by the laws of each
Member State in accordance with Article 3 of Directive
2009/101/EC, before the contribution of the asset as
consideration other than in cash is to become effective. In
that event, the declaration pursuant to paragraph 1 of this
Article shall be limited to the statement that no new qualifying
circumstances have occurred since the aforementioned
announcement was published.

3. Each Member State shall provide for adequate safeguards
ensuring compliance with the procedure set out in Article 11
and in this Article where a contribution for a consideration
other than in cash is made without an experts' report as
referred to in Article 10(1), (2) and (3).
Article 13
1. If, before the expiry of a time-limit laid down by national
law of at least two years from the time the company is incor
porated or is authorised to commence business, the company
acquires any asset belonging to a person or company or firm
referred to in point (i) of Article 3 for a consideration of not
less than one-tenth of the subscribed capital, the acquisition
shall be examined and details of it published in the manner
provided for in Article 10(1), (2) and (3) and it shall be
submitted for the approval of the general meeting.
Articles 11 and 12 shall apply mutatis mutandis.
Member States may also require those provisions to be applied
when the assets belong to a shareholder or to any other person.
2. Paragraph 1 shall not apply to acquisitions effected in the
normal course of the company's business, to acquisitions
effected at the instance or under the supervision of an adminis
trative or judicial authority, or to stock exchange acquisitions.
Article 14
Subject to the provisions relating to the reduction of subscribed
capital, the shareholders may not be released from the
obligation to pay up their contributions.
Article 15
Pending coordination of national laws at a subsequent date,
Member States shall adopt the measures necessary to require
provision of at least the same safeguards as are laid down in
Articles 2 to 14 in the event of the conversion of another type
of company into a public limited liability company.
Article 16
Articles 2 to 15 shall not prejudice the provisions of Member
States on competence and procedure relating to the modifi
cation of the statutes or of the instrument of incorporation.
Article 17
1. Except for cases of reductions of subscribed capital, no
distribution to shareholders may be made when on the closing
date of the last financial year the net assets as set out in the
company's annual accounts are, or following such a distribution
would become, lower than the amount of the subscribed capital
plus those reserves which may not be distributed under the law
or the statutes.
2. Where the uncalled part of the subscribed capital is not
included in the assets shown in the balance sheet, that amount
shall be deducted from the amount of subscribed capital
referred to in paragraph 1.
3. The amount of a distribution to shareholders may not
exceed the amount of the profits at the end of the last
financial year plus any profits brought forward and sums
drawn from reserves available for this purpose, less any losses
brought forward and sums placed to reserve in accordance with
the law or the statutes.
4. The expression ‘distribution’ used in paragraphs 1 and 3
includes in particular the payment of dividends and of interest
relating to shares.
5. When the laws of a Member State allow the payment of
interim dividends, the following conditions at least shall apply:
(a) interim accounts shall be drawn up showing that the funds
available for distribution are sufficient;
(b) the amount to be distributed may not exceed the total
profits made since the end of the last financial year for
which the annual accounts have been drawn up, plus any
profits brought forward and sums drawn from reserves
available for that purpose, less losses brought forward and
sums to be placed to reserve pursuant to the requirements
of the law or the statutes.
6. Paragraphs 1 to 5 shall not affect the provisions of the
Member States as regards increases in subscribed capital by
capitalisation of reserves.
7. The laws of a Member State may provide for derogation
from paragraph 1 in the case of investment companies with
fixed capital.
The expression ‘investment company with fixed capital’, within
the meaning of this paragraph, means only those companies:

(a) the exclusive object of which is to invest their funds in
various stocks and shares, land or other assets with the
sole aim of spreading investment risks and giving their
shareholders the benefit of the results of the management
of their assets; and
(b) which offer their own shares for subscription by the public.
In so far as the laws of Member States make use of this option
they shall:
(a) require such companies to include the expression
‘investment company’ in all documents indicated in
Article 5 of Directive 2009/101/EC;
(b) not permit any such company whose net assets fall below
the amount specified in paragraph 1 to make a distribution
to shareholders when on the closing date of the last
financial year the company's total assets as set out in the
annual accounts are, or following such distribution would
become, less than one-and-a-half times the amount of the
company's total liabilities to creditors as set out in the
annual accounts; and
(c) require any such company which makes a distribution when
its net assets fall below the amount specified in paragraph 1
to include in its annual accounts a note to that effect.
Article 18
Any distribution made contrary to Article 17 must be returned
by shareholders who have received it if the company proves
that those shareholders knew of the irregularity of the
distributions made to them, or could not in view of the circum
stances have been unaware of it.
Article 19
1. In the case of a serious loss of the subscribed capital, a
general meeting of shareholders must be called within the
period laid down by the laws of the Member States, to
consider whether the company should be wound up or any
other measures taken.
2. The amount of a loss deemed to be serious within the
meaning of paragraph 1 may not be set by the laws of Member
States at a figure higher than half the subscribed capital.
Article 20
1. The shares of a company may not be subscribed for by
the company itself.
2. If the shares of a company have been subscribed for by a
person acting in his own name, but on behalf of the company,
the subscriber shall be deemed to have subscribed for them for
his own account.
3. The persons or companies or firms referred to in point (i)
of Article 3 or, in cases of an increase in subscribed capital, the
members of the administrative or management body shall be
liable to pay for shares subscribed in contravention of this
Article.
However, the laws of a Member State may provide that any
such person may be released from his obligation if he proves
that no fault is attributable to him personally.
Article 21
1. Without prejudice to the principle of equal treatment of
all shareholders who are in the same position, and to Directive
2003/6/EC, Member States may permit a company to acquire
its own shares, either itself or through a person acting in his
own name but on the company's behalf. To the extent that the
acquisitions are permitted, Member States shall make such
acquisitions subject to the following conditions:
(a) authorisation shall be given by the general meeting, which
shall determine the terms and conditions of such
acquisitions and, in particular, the maximum number of
shares to be acquired, the duration of the period for
which the authorisation is given, the maximum length of
which shall be determined by national law without,
however, exceeding five years, and, in the case of acquisition
for value, the maximum and minimum consideration.
Members of the administrative or management body shall
satisfy themselves that, at the time when each authorised
acquisition is effected, the conditions referred to in points
(b) and (c) are respected;
(b) the acquisitions, including shares previously acquired by the
company and held by it, and shares acquired by a person
acting in his own name but on the company's behalf, may
not have the effect of reducing the net assets below the
amount mentioned in Article 17(1) and (2); and
(c) only fully paid-up shares may be included in the transaction.
Furthermore, Member States may subject acquisitions within the
meaning of the first subparagraph to any of the following
conditions:

(a) that the nominal value or, in the absence thereof, the
accountable par of the acquired shares, including shares
previously acquired by the company and held by it, and
shares acquired by a person acting in his own name but
on the company's behalf, may not exceed a limit to be
determined by Member States; that limit may not be
lower than 10 % of the subscribed capital;
(b) that the power of the company to acquire its own shares
within the meaning of the first subparagraph, the maximum
number of shares to be acquired, the duration of the period
for which the power is given and the maximum or
minimum consideration are laid down in the statutes or
in the instrument of incorporation of the company;
(c) that the company complies with appropriate reporting and
notification requirements;
(d) that certain companies, as determined by Member States,
may be required to cancel the acquired shares provided
that an amount equal to the nominal value of the shares
cancelled must be included in a reserve which cannot be
distributed to the shareholders, except in the event of a
reduction in the subscribed capital; that reserve may be
used only for the purposes of increasing the subscribed
capital by the capitalisation of reserves; and
(e) that the acquisition shall not prejudice the satisfaction of
creditors' claims.
2. The laws of a Member State may provide for derogations
from the first sentence of point (a) of paragraph 1 where the
acquisition of a company's own shares is necessary to prevent
serious and imminent harm to the company. In such a case, the
next general meeting must be informed by the administrative or
management body of the reasons for and nature of the
acquisitions effected, of the number and nominal value or, in
the absence of a nominal value, the accountable par, of the
shares acquired, of the proportion of the subscribed capital
which they represent, and of the consideration for these shares.
3. Member States may decide not to apply the first sentence
of point (a) of paragraph 1 to shares acquired by either the
company itself or by a person acting in his own name but
on the company's behalf, for distribution to that company's
employees or to the employees of an associate company.
Such shares must be distributed within 12 months of their
acquisition.
Article 22
1. Member States may decide not to apply Article 21 to:
(a) shares acquired in carrying out a decision to reduce capital,
or in the circumstances referred to in Article 43;
(b) shares acquired as a result of a universal transfer of assets;
(c) fully paid-up shares acquired free of charge or by banks and
other financial institutions as purchasing commission;
(d) shares acquired by virtue of a legal obligation or resulting
from a court ruling for the protection of minority share
holders in the event, particularly, of a merger, a change in
the company's object or form, transfer abroad of the
registered office, or the introduction of restrictions on the
transfer of shares;
(e) shares acquired from a shareholder in the event of failure to
pay them up;
(f) shares acquired in order to indemnify minority shareholders
in associated companies;
(g) fully paid-up shares acquired under a sale enforced by a
court order for the payment of a debt owed to the
company by the owner of the shares; and
(h) fully paid-up shares issued by an investment company with
fixed capital, as defined in the second subparagraph of
Article 17(7), and acquired at the investor's request by
that company or by an associate company. Point (a) of
the third subparagraph of Article 17(7) shall apply. Those
acquisitions may not have the effect of reducing the net
assets below the amount of the subscribed capital plus
any reserves the distribution of which is forbidden by law.
2. Shares acquired in the cases listed in points (b) to (g) of
paragraph 1 must, however, be disposed of within not more
than three years of their acquisition unless the nominal value or,
in the absence of a nominal value, the accountable par of the
shares acquired, including shares which the company may have
acquired through a person acting in his own name but on the
company's behalf, does not exceed 10 % of the subscribed
capital.

3. If the shares are not disposed of within the period laid
down in paragraph 2, they must be cancelled. The laws of a
Member State may make that cancellation subject to a
corresponding reduction in the subscribed capital. Such a
reduction must be prescribed where the acquisition of shares
to be cancelled results in the net assets having fallen below the
amount specified in Article 17(1) and (2).
Article 23
Shares acquired in contravention of Articles 21 and 22 shall be
disposed of within one year of their acquisition. Should they
not be disposed of within that period, Article 22(3) shall apply.
Article 24
1. Where the laws of a Member State permit a company to
acquire its own shares, either itself or through a person acting
in his own name but on the company's behalf, they shall make
the holding of those shares at all times subject to at least the
following conditions:
(a) among the rights attaching to the shares, the right to vote
attaching to the company's own shares shall in any event be
suspended;
(b) if the shares are included among the assets shown in the
balance sheet, a reserve of the same amount, unavailable for
distribution, shall be included among the liabilities.
2. Where the laws of a Member State permit a company to
acquire its own shares, either itself or through a person acting
in his own name but on the company's behalf, they shall
require the annual report to state at least:
(a) the reasons for acquisitions made during the financial year;
(b) the number and nominal value or, in the absence of a
nominal value, the accountable par of the shares acquired
and disposed of during the financial year and the
proportion of the subscribed capital which they represent;
(c) in the case of acquisition or disposal for a value, the
consideration for the shares;
(d) the number and nominal value or, in the absence of a
nominal value, the accountable par of all the shares
acquired and held by the company and the proportion of
the subscribed capital which they represent.
Article 25
1. Where Member States permit a company to, either directly
or indirectly, advance funds or make loans or provide security,
with a view to the acquisition of its shares by a third party, they
shall make such transactions subject to the conditions set out in
paragraphs 2 to 5.
2. The transactions shall take place under the responsibility
of the administrative or management body at fair market
conditions, especially with regard to interest received by the
company and with regard to security provided to the
company for the loans and advances referred to in paragraph 1.
The credit standing of the third party or, in the case of
multiparty transactions, of each counterparty thereto shall
have been duly investigated.
3. The transactions shall be submitted by the administrative
or management body to the general meeting for prior approval,
whereby the general meeting shall act in accordance with the
rules for a quorum and a majority laid down in Article 44.
The administrative or management body shall present a written
report to the general meeting, indicating:
(a) the reasons for the transaction;
(b) the interest of the company in entering into such a trans
action;
(c) the conditions on which the transaction is entered into;
(d) the risks involved in the transaction for the liquidity and
solvency of the company; and
(e) the price at which the third party is to acquire the shares.
That report shall be submitted to the register for publication in
accordance with Article 3 of Directive 2009/101/EC.
4. The aggregate financial assistance granted to third parties
shall at no time result in the reduction of the net assets below
the amount specified in Article 17(1) and (2), taking into
account also any reduction of the net assets that may have
occurred through the acquisition, by the company or on
behalf of the company, of its own shares in accordance with
Article 21(1).
The company shall include, among the liabilities in the balance
sheet, a reserve, unavailable for distribution, of the amount of
the aggregate financial assistance.

5. Where a third party by means of financial assistance from
a company acquires that company's own shares within the
meaning of Article 21(1) or subscribes for shares issued in
the course of an increase in the subscribed capital, such
acquisition or subscription shall be made at a fair price.
6. Paragraphs 1 to 5 shall not apply to transactions
concluded by banks and other financial institutions in the
normal course of business, nor to transactions effected with a
view to the acquisition of shares by or for the company's
employees or the employees of an associate company.
However, those transactions may not have the effect of reducing
the net assets below the amount specified in Article 17(1).
7. Paragraphs 1 to 5 shall not apply to transactions effected
with a view to acquisition of shares as described in point (h) of
Article 22(1).
Article 26
In cases where individual members of the administrative or
management body of the company being party to a transaction
referred to in Article 25(1), or of the administrative or
management body of a parent undertaking within the
meaning of Article 1 of Seventh Council Directive 83/349/EEC
of 13 June 1983 based on the Article 50(2)(g) of the Treaty on
consolidated accounts ( 1 ) or such parent undertaking itself, or
individuals acting in their own name but on behalf of the
members of such bodies or on behalf of such undertaking,
are counterparties to such a transaction, Member States shall
ensure through adequate safeguards that such transaction does
not conflict with the company's best interests.
Article 27
1. The acceptance of the company's own shares as security,
either by the company itself or through a person acting in his
own name but on the company's behalf, shall be treated as an
acquisition for the purposes of Article 21, Article 22(1), and
Articles 24 and 25.
2. The Member States may decide not to apply paragraph 1
to transactions concluded by banks and other financial insti
tutions in the normal course of business.
Article 28
1. The subscription, acquisition or holding of shares in a
public limited liability company by another company within
the meaning of Article 1 of Directive 2009/101/EC in which
the public limited liability company directly or indirectly holds a
majority of the voting rights or on which it can directly or
indirectly exercise a dominant influence shall be regarded as
having been effected by the public limited liability company
itself.
The first subparagraph shall also apply where the other
company is governed by the law of a third country and has a
legal form comparable to those listed in Article 1 of Directive
2009/101/EC.
However, where the public limited liability company holds a
majority of the voting rights indirectly or can exercise a
dominant influence indirectly, Member States need not apply
the first and the second subparagraphs if they provide for the
suspension of the voting rights attached to the shares in the
public limited liability company held by the other company.
2. In the absence of coordination of national legislation on
groups of companies, Member States may:
(a) define the cases in which a public limited liability company
shall be regarded as being able to exercise a dominant
influence on another company; if a Member State
exercises this option, its national law must in any event
provide that a dominant influence can be exercised if a
public limited liability company:
— has the right to appoint or dismiss a majority of the
members of the administrative organ, of the
management organ or of the supervisory organ, and is
at the same time a shareholder or member of the other
company, or
— is a shareholder or member of the other company and
has sole control of a majority of the voting rights of its
shareholders or members under an agreement concluded
with other shareholders or members of that company.
Member States shall not be obliged to make provision for
any cases other than those referred to in the first and
second indents;

(b) define the cases in which a public limited liability company
shall be regarded as indirectly holding voting rights or as
able indirectly to exercise a dominant influence;
(c) specify the circumstances in which a public limited liability
company shall be regarded as holding voting rights.
3. Member States need not apply the first and second
subparagraphs of paragraph 1 where the subscription,
acquisition or holding is effected on behalf of a person other
than the person subscribing, acquiring or holding the shares,
who is neither the public limited liability company referred to in
paragraph 1 nor another company in which the public limited
liability company directly or indirectly holds a majority of the
voting rights or on which it can directly or indirectly exercise a
dominant influence.
4. Member States need not apply the first and second
subparagraphs of paragraph 1 where the subscription,
acquisition or holding is effected by the other company in its
capacity and in the context of its activities as a professional
dealer in securities, provided that it is a member of a stock
exchange situated or operating within a Member State, or is
approved or supervised by an authority of a Member State
competent to supervise professional dealers in securities
which, within the meaning of this Directive, may include
credit institutions.
5. Member States need not apply the first and second
subparagraphs of paragraph 1 where shares in a public
limited liability company held by another company were
acquired before the relationship between the two companies
corresponded to the criteria laid down in paragraph 1.
However, the voting rights attached to those shares shall be
suspended and the shares shall be taken into account when it
is determined whether the condition laid down in point (b) of
Article 21(1) is fulfilled.
6. Member States need not apply Article 22(2) or (3) or
Article 23 where shares in a public limited liability company
are acquired by another company on condition that they
provide for:
(a) the suspension of the voting rights attached to the shares in
the public limited liability company held by the other
company; and
(b) the members of the administrative or the management
organ of the public limited liability company to be
obliged to buy back from the other company the shares
referred to in Article 22(2) and (3) and Article 23 at the
price at which the other company acquired them; this
sanction shall be inapplicable only where the members of
the administrative or the management organ of the public
limited liability company prove that that company played
no part whatsoever in the subscription for or acquisition of
the shares in question.
Article 29
1. Any increase in capital must be decided upon by the
general meeting. Both that decision and the increase in the
subscribed capital shall be published in the manner laid down
by the laws of each Member State, in accordance with Article 3
of Directive 2009/101/EC.
2. Nevertheless, the statutes or instrument of incorporation
or the general meeting, the decision of which must be published
in accordance with the rules referred to in paragraph 1, may
authorise an increase in the subscribed capital up to a
maximum amount which they shall fix with due regard for
any maximum amount provided for by law. Where appropriate,
the increase in the subscribed capital shall be decided on within
the limits of the amount fixed by the company body
empowered to do so. The power of such body in this respect
shall be for a maximum period of five years and may be
renewed one or more times by the general meeting, each
time for a period not exceeding five years.
3. Where there are several classes of shares, the decision by
the general meeting concerning the increase in capital referred
to in paragraph 1 or the authorisation to increase the capital
referred to in paragraph 2 shall be subject to a separate vote at
least for each class of shareholder whose rights are affected by
the transaction.
4. This Article shall apply to the issue of all securities which
are convertible into shares or which carry the right to subscribe
for shares, but not to the conversion of such securities, nor to
the exercise of the right to subscribe.
Article 30
Shares issued for a consideration, in the course of an increase in
subscribed capital, must be paid up to at least 25 % of their
nominal value or, in the absence of a nominal value, of their
accountable par. Where provision is made for an issue
premium, it must be paid in full.

Article 31
1. Where shares are issued for a consideration other than in
cash in the course of an increase in the subscribed capital the
consideration must be transferred in full within a period of five
years from the decision to increase the subscribed capital.
2. The consideration referred to in paragraph 1 shall be the
subject of a report drawn up before the increase in capital is
made by one or more experts who are independent of the
company and appointed or approved by an administrative or
judicial authority. Such experts may be natural persons as well
as legal persons and companies and firms under the laws of
each Member State.
Article 10(2) and (3) and Articles 11 and 12 shall apply.
3. Member States may decide not to apply paragraph 2 in
the event of an increase in subscribed capital made in order to
give effect to a merger, a division or a public offer for the
purchase or exchange of shares and to pay the shareholders
of the company which is being absorbed or divided or which
is the object of the public offer for the purchase or exchange of
shares.
In the case of a merger or a division, however, Member States
shall apply the first subparagraph only where a report by one or
more independent experts on the draft terms of merger or
division is drawn up.
Where Member States decide to apply paragraph 2 in the case
of a merger or a division, they may provide that the report
under this Article and the report by one or more independent
experts on the draft terms of merger or division may be drawn
up by the same expert or experts.
4. Member States may decide not to apply paragraph 2 if all
the shares issued in the course of an increase in subscribed
capital are issued for a consideration other than in cash to
one or more companies, on condition that all the shareholders
in the company which receive the consideration have agreed
not to have an experts' report drawn up and that the
requirements of points (b) to (f) of Article 10(4) are met.
Article 32
Where an increase in capital is not fully subscribed, the capital
will be increased by the amount of the subscriptions received
only if the conditions of the issue so provide.
Article 33
1. Whenever the capital is increased by consideration in
cash, the shares must be offered on a pre-emptive basis to
shareholders in proportion to the capital represented by their
shares.
2. The laws of a Member State:
(a) need not apply paragraph 1 to shares which carry a limited
right to participate in distributions within the meaning of
Article 17 and/or in the company's assets in the event of
liquidation; or
(b) may permit, where the subscribed capital of a company
having several classes of shares carrying different rights
with regard to voting, or participation in distributions
within the meaning of Article 17 or in assets in the event
of liquidation, is increased by issuing new shares in only
one of these classes, the right of pre-emption of share
holders of the other classes to be exercised only after the
exercise of that right by the shareholders of the class in
which the new shares are being issued.
3. Any offer of subscription on a pre-emptive basis and the
period within which that right must be exercised shall be
published in the national gazette appointed in accordance
with Directive 2009/101/EC. However, the laws of a Member
State need not provide for such publication where all of a
company's shares are registered. In such case, all the
company's shareholders must be informed in writing. The
right of pre-emption must be exercised within a period which
shall not be less than 14 days from the date of publication of
the offer or from the date of dispatch of the letters to the
shareholders.
4. The right of pre-emption may not be restricted or
withdrawn by the statutes or instrument of incorporation.
This may, however, be done by decision of the general
meeting. The administrative or management body shall be
required to present to such a meeting a written report indicating
the reasons for restriction or withdrawal of the right of pre-
emption, and justifying the proposed issue price. The general
meeting shall act in accordance with the rules for a quorum and
a majority laid down in Article 44. Its decision shall be
published in the manner laid down by the laws of each
Member State, in accordance with Article 3 of Directive
2009/101/EC.

5. The laws of a Member State may provide that the statutes,
the instrument of incorporation or the general meeting, acting
in accordance with the rules for a quorum, a majority and
publication set out in paragraph 4, may give the power to
restrict or withdraw the right of pre-emption to the company
body which is empowered to decide on an increase in
subscribed capital within the limit of the authorised capital.
That power may not be granted for a longer period than the
power for which provision is made in Article 29(2).
6. Paragraphs 1 to 5 shall apply to the issue of all securities
which are convertible into shares or which carry the right to
subscribe for shares, but not to the conversion of such secur
ities, nor to the exercise of the right to subscribe.
7. The right of pre-emption is not excluded for the purposes
of paragraphs 4 and 5 where, in accordance with the decision
to increase the subscribed capital, shares are issued to banks or
other financial institutions with a view to their being offered to
shareholders of the company in accordance with paragraphs 1
and 3.
Article 34
Any reduction in the subscribed capital, except under a court
order, must be subject at least to a decision of the general
meeting acting in accordance with the rules for a quorum
and a majority laid down in Article 44 without prejudice to
Articles 40 and 41. Such decision shall be published in the
manner laid down by the laws of each Member State in
accordance with Article 3 of Directive 2009/101/EC.
The notice convening the meeting must specify at least the
purpose of the reduction and the way in which it is to be
carried out.
Article 35
Where there are several classes of shares, the decision by the
general meeting concerning a reduction in the subscribed capital
shall be subject to a separate vote, at least for each class of
shareholders whose rights are affected by the transaction.
Article 36
1. In the event of a reduction in the subscribed capital, at
least the creditors whose claims antedate the publication of the
decision on the reduction shall at least have the right to obtain
security for claims which have not fallen due by the date of that
publication. Member States may not set aside such a right
unless the creditor has adequate safeguards, or unless such safe
guards are not necessary having regard to the assets of the
company.
Member States shall lay down the conditions for the exercise of
the right provided for in the first subparagraph. In any event,
Member States shall ensure that the creditors are authorised to
apply to the appropriate administrative or judicial authority for
adequate safeguards provided that they can credibly demonstrate
that due to the reduction in the subscribed capital the satis
faction of their claims is at stake, and that no adequate safe
guards have been obtained from the company.
2. The laws of the Member States shall also stipulate at least
that the reduction shall be void, or that no payment may be
made for the benefit of the shareholders, until the creditors have
obtained satisfaction or a court has decided that their appli
cation should not be acceded to.
3. This Article shall apply where the reduction in the
subscribed capital is brought about by the total or partial
waiving of the payment of the balance of the shareholders'
contributions.
Article 37
1. Member States need not apply Article 36 to a reduction in
the subscribed capital whose purpose is to offset losses incurred
or to include sums of money in a reserve provided that,
following that operation, the amount of such reserve is not
more than 10 % of the reduced subscribed capital. Except in
the event of a reduction in the subscribed capital, that reserve
may not be distributed to shareholders; it may be used only for
offsetting losses incurred or for increasing the subscribed capital
by the capitalisation of such reserve, in so far as the Member
States permit such an operation.
2. In the cases referred to in paragraph 1 the laws of the
Member States must at least provide for the measures necessary
to ensure that the amounts deriving from the reduction of
subscribed capital may not be used for making payments or
distributions to shareholders or discharging shareholders from
the obligation to make their contributions.
Article 38
The subscribed capital may not be reduced to an amount less
than the minimum capital laid down in accordance with
Article 6.
However, Member States may permit such a reduction if they
also provide that the decision to reduce the subscribed capital
may take effect only when the subscribed capital is increased to
an amount at least equal to the prescribed minimum.

Article 39
Where the laws of a Member State authorise total or partial
redemption of the subscribed capital without reduction of the
latter, they shall at least require that the following conditions
are observed:
(a) where the statutes or instrument of incorporation provide
for redemption, the latter shall be decided on by the general
meeting voting at least under the usual conditions of
quorum and majority; where the statutes or instrument of
incorporation do not provide for redemption, the latter shall
be decided upon by the general meeting acting at least
under the conditions of quorum and majority laid down
in Article 44; the decision must be published in the
manner prescribed by the laws of each Member State, in
accordance with Article 3 of Directive 2009/101/EC;
(b) only sums which are available for distribution within the
meaning of Article 17(1) to (4) may be used for redemption
purposes;
(c) shareholders whose shares are redeemed shall retain their
rights in the company, with the exception of their rights to
the repayment of their investment and participation in the
distribution of an initial dividend on unredeemed shares.
Article 40
1. Where the laws of a Member State may allow companies
to reduce their subscribed capital by compulsory withdrawal of
shares, they shall require that at least the following conditions
are observed:
(a) compulsory withdrawal must be prescribed or authorised by
the statutes or instrument of incorporation before the shares
which are to be withdrawn are subscribed for;
(b) where the compulsory withdrawal is authorised merely by
the statutes or instrument of incorporation, it shall be
decided upon by the general meeting unless it has been
unanimously approved by the shareholders concerned;
(c) the company body deciding on the compulsory withdrawal
shall fix the terms and manner thereof, where they have not
already been fixed by the statutes or instrument of incor
poration;
(d) Article 36 shall apply except in the case of fully paid-up
shares which are made available to the company free of
charge or are withdrawn using sums available for
distribution in accordance with Article 17(1) to (4); in
those cases, an amount equal to the nominal value or, in
the absence thereof, to the accountable par of all the
withdrawn shares must be included in a reserve; except in
the event of a reduction in the subscribed capital that
reserve may not be distributed to shareholders; it can be
used only for offsetting losses incurred or for increasing the
subscribed capital by the capitalisation of such reserve, in so
far as Member States permit such an operation; and
(e) the decision on compulsory withdrawal shall be published
in the manner laid down by the laws of each Member State
in accordance with Article 3 of Directive 2009/101/EC.
2. Article 34(1) and Articles 35, 37 and 44 shall not apply
to the cases to which paragraph 1 of this Article refers.
Article 41
1. In the case of a reduction in the subscribed capital by the
withdrawal of shares acquired by the company itself or by a
person acting in his own name but on behalf of the company,
the withdrawal must always be decided on by the general
meeting.
2. Article 36 shall apply unless the shares are fully paid up
and are acquired free of charge or using sums available for
distribution in accordance with Article 17(1) to (4); in those
cases an amount equal to the nominal value or, in the absence
thereof, to the accountable par of all the shares withdrawn must
be included in a reserve. Except in the event of a reduction in
the subscribed capital, that reserve may not be distributed to
shareholders. It may be used only for offsetting losses incurred
or for increasing the subscribed capital by the capitalisation of
such reserve, in so far as the Member States permit such an
operation.
3. Articles 35, 37 and 44 shall not apply to the cases to
which paragraph 1 of this Article refers.

Article 42
In the cases covered by Article 39, point (b) of Article 40(1)
and Article 41(1), when there are several classes of shares, the
decision by the general meeting concerning redemption of the
subscribed capital or its reduction by withdrawal of shares shall
be subject to a separate vote, at least for each class of share
holders whose rights are affected by the transaction.
Article 43
Where the laws of a Member State authorise companies to issue
redeemable shares, they shall require that the following
conditions, at least, are complied with for the redemption of
such shares:
(a) redemption must be authorised by the company's statutes
or instrument of incorporation before the redeemable shares
are subscribed for;
(b) the shares must be fully paid up;
(c) the terms and the manner of redemption must be laid down
in the company's statutes or instrument of incorporation;
(d) redemption can be only effected by using sums available for
distribution in accordance with Article 17(1) to (4) or the
proceeds of a new issue made with a view to effecting such
redemption;
(e) an amount equal to the nominal value or, in the absence
thereof, to the accountable par of all the redeemed shares
must be included in a reserve which cannot be distributed
to the shareholders, except in the event of a reduction in the
subscribed capital; it may

(1) Avrupa Birliği’nin İşleyişi Hakkında Antlaşma’nın 54. Madde ikinci paragraf çerçevesinde üye ülkeler tarafından talep edilen, üyeler ve başka ülkelerin çıkarlarının korunmasına dair teminatların eşgüdümüne ilişkin, halka açık, limitet şirketlerin kurulması, bunların sermayelerinin muhafazası ve değiştirilmesi hususunda, bu teminatların uyumlaştırılması amaçlı, 13 Aralık 1976 tarihli 77/91/EEC sayılı ikinci konsey yönergesi çeşitli defalar esaslı değişiklikler yapılmıştır . Gelecekte de değişiklikler yapılacağından açıklık açısından yeniden biçimlendirilmesi gerekmektedir.
(2) Antlaşma’nın 50(2) sayılı maddesinin (g) noktasında ve 9 Mart 1968 tarihli 68/151/EEC sayılı, Antlaşma’nın 58. Madde ikinci paragraf çerçevesinde şirketlerin ortaklarının ve üçüncü kişilerin menfaatlerinin korunması için üye devletlerce talep edilen teminatların eşgüdümüne ilişkin ve bu teminatların uyumlaştırılmasını amaçlayan Birinci Konsey yönergesi ile başlamış olan kuruluş serbestisi üzerindeki sınırlamaların kaldırılması için programda belirtilen eşgüdüm özellikle halka açık limitet şirketler konusunda, bu şirketlerin faaliyetlerinin üye ülke ekonomilerinde hâkim olan ve sıklıkla ulusal sınırları aşan rolleri nedeniyle, özellikle önem taşımaktadır.
(3) Halka açık limitet şirketlerin hisse sahipleri ve alacaklıları için asgari uyumlulukta korumanın temini için bunların kurulması, sermayelerinin muhafazası ve değiştirilmesi hususundaki ulusal kanuni hükümlerin eşgüdümü özellikle önem taşımaktadır.
(4) Birlik’te halka açık bir limitet şirketin tüzüğü ya da tescil belgesi ilgili herhangi bir kişinin şirketin temel özelliklerini öğrenmesine olanak vermesi gereklidir. Bunlara sermayenin tam bir terkibi de dâhildir.
(5) Birlik kanun hükümleri alacaklıların güvenliğini sağlayan sermayenin muhafazası için gereklidir. Özellikle sermayenin hak sahibi olmayan hisse sahiplerine dağıtılarak indiriminin engellenmesi ve şirketin kendi hisselerini almasına kısıtlar getirilmesi buna dâhildir.
(6) Bir şirketin kendi hisselerini satın almasına getirilecek kısıtlar yalnızca şirketin tüzel kişiliğiyle yapılacak alımlara değil şirket adına hareket eden özel kişilerin yapacağı alımlara da uygulanabilir olmalıdır.
(7) Halka açık bir limitet şirketin kendi hisselerini oy hakkı çoğunluğuna sahip olduğu ya da üzerinde güçlü etki sahibi olduğu bir başka şirketi kullanarak ve ilgili kısıtlamalara tabi olmadan satın almasının engellenmesi için bu kısıtlamalar başka şirketler tarafından yapılacak bu tarz alımların en önemli ve sık rastlanan durumlarını içerecek şekilde genişletilmelidir. Bu hükümler halka açık limitet şirketin hisseleri için iştirak taahhüdünü içermek üzere genişletilmelidir.
(8) Bu yönergede olabilecek boşluklardan yararlanmayı önlemek adına Avrupa Parlamentosu ve Konsey’in 16 Eylül 2009 tarihli 2009/101/EC sayılı, Antlaşma’nın 54. Madde ikinci paragraf çerçevesinde şirketlerin ortaklarının ve üçüncü kişilerin menfaatlerinin korunması için üye devletlerce talep edilen teminatların eşgüdümüne ilişkin ve bu teminatların uyumlaştırılmasını amaçlayan yönergesi kapsamına giren şirketlerle üçüncü ülkelerin yasalarına tabi ve kıyaslanabilir yasal şekillere sahip şirketler de (7)’deki hükümlere tabi olmalıdır.
(9) (7)’de değinilen halka açık bir limitet şirketle bir başka şirket arasındaki ilişki yalnızca dolaylı bir ilişki olduğunda böyle bir ilişkinin doğrudan olduğu duruma göre hükümlerin, oy haklarının tecilini bu yönergenin hedeflerinin gerçekleşmesinin asgari ölçütü sayarak, gevşetilmesi haklı görülebilir.
(10) Ek olarak, bir mesleki faaliyetin tabiatı gereği bu yönergenin hedeflerinin tehlikede olmadığı durumların bu hükümlerden muaf tutulması da haklı görülür.
(11) Antlaşma’nın 50(2) sayılı maddesinin (g) noktasının hedeflerini göz önünde tutarak üye ülkelerin sermaye artırımı ya da indirimiyle ilgili yasalarının aynı konumdaki hisse sahiplerinin eşit muamele görmesi ve hakları sermaye indirimi kararının öncesine dayanan alacaklıların korunması ilkelerinin gözetilmesi ve uyumlaştırılmasını temin etmesi gerekir.
(12) Standardize edilmiş alacaklı korumasının bütün üye ülkelerde güçlendirilmesi için halka açık bir limitet şirketin sermaye indirimine gitmesinin bir sonucu olarak hakları tehlikeye düştüğünde alacaklılar, belirli koşullar altında, adli ya da idari bazı işlemlere başvurabilmelidir.
(13) Piyasa suiistimalinin önlenmesi için üye ülkeler bu yönergenin uygulamaya konma amacı doğrultusunda içeriden ticaret ve piyasa güdümlemesine (piyasa suiistimali) ilişkin 28 Ocak 2003 tarihli 2003/6/EC sayılı Avrupa Parlamentosu ve Konsey yönergesinin , geri satın alma programları için muafiyetler ve finansal araçların stabilizasyonu hakkında 2003/6/EC sayılı yönergeyi uygulamaya koyan 22 Aralık 2003 tarihli 2273/2003 sayılı Komisyon tüzüğünün ve kabul edilen piyasa uygulamaları, mala dayalı türev araçlar açısından içerden bilginin tanımı, içeriden öğrenenlerin listelerinin oluşturulması, yöneticilerin işlemlerinin ve şüpheli işlemlerin bildirimleri hakkında 2003/6/EC sayılı yönergeyi uygulamaya koyan 29 Nisan 2004 tarihli 2004/72/EC sayılı Komisyon yönergesinin hükümlerini dikkate almalıdırlar.
(14) Adalet Divanı’nın Parlamento ve Konsey arasındaki C-133/06 sayılı davada 6 Mayıs 2008’de aldığı karar uyarınca 77/91/EEC sayılı yönergenin 6(3) maddesinin yeniden yazılması ikincil bir yasal tabanın ortadan kaldırılması ve söz konusu maddenin birinci paragrafında belirtilen miktarın Parlamento ve Konsey tarafından incelenmesi ve revizyonuna olanak sağlamak için gerekli görülmüştür.
(15) Bu yönerge üye ülkelerin ulusal yasalara geçirme ve uygulama konularında Ek II, Kısım B’de gösterilen zorunlulukları hakkında hükümlere halel getirmemek kaydıyla.
Madde 1
1. Bu yönerge tarafından getirilen eşgüdüm önlemleri Ek I’de listelenen şirket türleri hakkında üye ülkelerdeki yasa, düzenleme ya da idari eylemle konulan hükümlere uygulanacaktır. Ek I’de listelenen türlerden birine dâhil herhangi bir şirketin ismi başka şirket türlerinden istenen tariften farklı olan bir tarifi içerecek ya da böyle bir tarif eşliğinde olacaktır.
2. Üye ülkeler bu yönergeyi değişken sermayeli yatırım şirketleri ile Ek I’de listelenen türlerden birine dâhil olarak kurulan kooperatiflere uygulamamayı tercih edebilirler. Üye ülkeler bu yönde tercih kullanmaları durumunda bu kuruluşların isimlerinin 2009/101/EC sayılı yönergenin 5. Maddesinde belirtilen bütün belgelerde ‘değişken sermayeli yatırım şirketi’ ye da ‘kooperatif’ ibarelerini içermelerini isteyeceklerdir. Bu yönerge çerçevesinde ‘değişken sermayeli yatırım şirketi’ şu kuruluşları kastetmektedir;
- Tek amacı ellerindeki fonları çeşitli menkul kıymetler, arsa ve diğer varlıklara, yatırım risklerini dağıtmak ve hisse sahiplerine varlıkların yönetiminin getirilerini sunmak üzere, yatıran şirketler,
- Kendi hisselerini sermaye iştiraki amacıyla halka açan şirketler ve
- Tüzükleri belirli asgari ve azami seviyeler arasında hisselerini ihraç etmelerine, itfa etmelerine ya da yeniden satmalarına izin veren şirketler.
Madde 2
Şirketin tüzüğü ya da tescil belgesi asgari olarak aşağıdaki bilgileri sağlamalıdır;
(a) Şirketin türü ve ismi,
(b) Şirketin hedefleri,
(c) Şirket taahhüt edilmiş sermayeye sahip olmadığında taahhüt edilmiş sermaye miktarı,
(d) Şirket taahhüt edilmiş sermayeye sahip olduğunda bunun miktarı ve şirketin kuruluşunda ya da çalışma izni aldığında taahhüt edilmiş sermaye miktarı ile taahhüt edilmiş sermaye miktarında değişiklik olan herhangi bir zamandaki taahhüt edilmiş sermaye miktarı, 2009/101/EC sayılı yönergenin 2. Maddesinin (e) noktasının hükümleri saklı kalmak koşuluyla,
(e) Yasal olarak belirlenmemiş olmaları durumunda, üçüncü taraflar nezdinde şirketi temsil yetkisi olan organlar, idare, yönetim, denetim ve kontrol organlarının üye sayısı ile bunlara üye atama prosedürleri ve bu organlar arası yetki paylaşımı,
(f) Süresiz olmadığı hallerde şirketin süresi.
Madde 3
Aşağıdaki bilgiler tüzük veya tescil belgesinde yer almalı ya da her üye ülkenin 2009/101/EC sayılı yönergeyle uyumlu yasalarının belirlediği prosedürlere göre ayrı bir belge halinde yayımlanmalıdır;
(a) Şirket merkezi (tescil edilmiş),
(b) Satın alınmış hisselerin nominal değerleri ve en az yılda bir kez olmak üzere bunların sayısı,
(c) Ulusal yasalar buna izin verdiğinde nominal değer tebliğ etmeden alınan hisselerin sayısı,
(d) Varsa, hisselerin naklini kısıtlayan özel şartlar,
(e) Birden fazla hisse sınıfı olması halinde (b), (c) ve (d)’deki bilgilerin her sınıf için ayrıntıları ve her sınıfa ait haklar,
(f) Ulusal yasalar her ikisine de izin verdiğinde hisselerin hamiline mi nama mı yazılı olduğu ve bu hisselerin çevrimi için gerekli prosedür yasalarla belirlenmediğinde buna dair hükümler,
(g) Şirketin kuruluşundaki ve iş izni aldığındaki taahhüt edilmiş sermayesi,
(h) Hisselerin nominal değeri ya da bir nominal değer belirlenmediyse nakit harici bir karşılıkla ihraç edilmiş hisselerin sayısı, söz konusu karşılığın ne olduğu ve bunu sağlayan kişinin ismi,
(i) Tüzük veya tescil belgesinin ya da şirketin aynı anda oluşturulmadığı durumlarda bunların taslaklarının adına imzalandığı gerçek ya da tüzel kişiler veya şirketlerin isimleri,
(j) Şirkete ait ödenebilir ve kuruluşundan dolayı ya da, uygulanabilir olduğunda, kuruluşundan öncesine dayanan şirketten alınabilir tüm maliyetlerin toplam miktarı veya en azından bunun bir tahmini,
(k) Şirketin kurulduğu ya da iş izni aldığı zamanda, şirketin kuruluşunda veya iş iznine olanak sağlayan işlemlerde yer alan herhangi bir kişiye tanınan özel avantajlar.
Madde 4
1. Üye bir ülkenin yasaları bir şirketin iş izni olmadan iş yapamayacağını belirtiyorsa bu iznin kabulü ya da reddi için geçen süre boyunca şirkete yüklenen ya da şirket adına yüklenilen sorumluluklar için de hükümler barındıracaklardır.
2. Birinci paragraf sözleşmelerden doğan sorumlulukları kapsamayacaktır.
Madde 5
1. Üye bir ülkenin yasaları bir şirketin kuruluşu için birden fazla üye gerektiriyorsa bütün hisselerin bir kişiye ait olması ya da üye sayısının şirketin kuruluşundan sonra yasal asgari sayının altına düşürülmesi şirketin kendiliğinden lağvına neden olmayacaktır.
2. Birinci paragrafta sözü edilen durumlarda üye bir ülkenin yasaları şirketin mahkeme emriyle tasfiyesine izin veriyorsa görevli hâkim şirkete durumunu düzeltmek için gerekli süreyi tanıyabilmelidir.
3. İkinci paragrafta sözü edilen tarzda bir tasfiye emri verildiğinde şirket likidasyona girecektir.
Madde 6
1. Üye ülkelerin yasaları bir şirketin kurulması ya da iş izni alması için 25 000 € altında olmayan bir asgari taahhüt edilmiş sermaye şartı getirmelidir.
2. Avrupa Parlamentosu ve Konsey Antlaşmanın 50(1) ve (2)(g) hükümleri uyarınca ve Komisyonun önerisi gereğince birinci paragrafta belirtilen miktarı Birlikteki iktisadi ve mali eğilimler ile Ek I’de anılan şirket türleri için yalnızca büyük ve orta ölçekli teşebbüslere izin verilmesi yönünde bir eğilim ışığında inceleyecek ve gerekli gördüğünde Avro cinsinden değiştirecektir.
Madde 7
Taahhüt edilmiş sermaye yalnızca iktisadi değerlendirmeye izin veren varlıklardan oluşabilir fakat bu varlıklar iş yapma ya da hizmet sunma amaçlı bir teşebbüsü içeremezler.
Madde 8
Hisseler nominal değerlerinin ya da nominal değerin olmadığı durumlarda hesaplanabilir itibari değerlerinin altında bir fiyattan ihraç edilemezler.
Fakat üye ülkeler aldıkları hisselerin toplam fiyatından daha az ödemek için hisseleri değiş tokuş süresince mesleklerinin ifasına bağlamaya teşebbüs edenlere izin verebilirler.
Madde 9
Bir karşılık için ihraç edilen hisseler şirketin kurulma zamanında ya da iş izni aldığı zamanda nominal değerlerinin veya bunun yokluğunda hesaplanabilir itibari değerlerinin yüzde 25’inden az olmayacak ödenmelidir.
Fakat hisselerin şirketin kurulma zamanında ya da iş izni aldığı zamanda nakit harici bir karşılık için ihraç edildiği durumlarda bu karşılık söz konusu zamandan sonra beş yıl içerisinde aktarılmalıdır.
Madde 10
1. Nakit harici herhangi bir karşılık için şirketin kurulma zamanından ya da iş izni aldığı zamandan önce idari veya adli bir makam tarafından atanmış ya da onaylanmış bir ya da daha fazla uzman tarafından bir rapor hazırlanacaktır. Bu uzmanlar gerçek kişiler olabilecekleri gibi her bir üye ülkenin yasalarına tabi tüzel kişilikler, şirketler veya firmalar da olabilirler.
2. Birinci paragrafta sözü edilen uzman raporu söz konusu karşılığı teşkil eden her bir varlığın bir tanımı ile bu varlıklara değer biçme yöntemlerini içermeli ve bu yöntemlerin uygulanmasıyla ulaşılan değerlerin hisselerin sayısına ve nominal değerine, ya da nominal değerin yokluğunda hesaplanabilir itibari değere, ve mümkün olduğunda hisseler üzerindeki prime mi karşılık geldiğini belirtmelidir.
3. Uzman raporu 2009/101/EC sayılı yönergenin 3. Maddesi uyarınca her bir üye ülkenin yasaları tarafından belirlenen usule uygun olarak yayımlanacaktır.
4. Üye ülkeler bütün hisselerin nominal değerinin ya da bunun yokluğunda hesaplanabilir itibari değerin nakit harici bir karşılık için bir veya daha fazla şirkete ihraç edildiği ve aşağıdaki koşulların oluştuğu durumlarda bu maddeyi uygulamamaya karar verebilirler;
(a) Söz konusu karşılığı alan şirkete göre Madde 3 (i) Noktasında sözü edilen kişiler uzman raporundan feragat etme konusunda uzlaşmışlardır,
(b) Bu uzlaşma üçüncü paragrafta belirtildiği üzere yayımlanmıştır,
(c) Bu karşılıkları temin eden şirketlerin yasalara ya da tüzüğe göre dağıtılamayacak olan ve en az karşılık için ihraç edilen hisselerin nominal değeri ya da bunun yokluğunda hesaplanabilir itibari değerine denk rezervleri vardır,
(d) Bu karşılıkları temin eden şirketler alıcı şirketin söz konusu hisselerin ihracı ile bu şirketin söz konusu karşılığın temin edildiği yıla ait yılsonu hesabının yayımlanmasından bir yıl sonrasına kadarki süre için (c)’de belirtilen miktara kadar borçlarını garanti etmektedir, bu hisselerin sözü edilen süre içerisinde el değiştirmesi yasaktır,
(e) (d)’de sözü edilen garanti üçüncü paragrafta belirtildiği üzere yayımlanmıştır,
(f) Bu karşılıkları temin eden şirketler (c)’de belirtilen miktara denk bir toplamı alıcı şirketin söz konusu karşılığın temin edildiği yıla ait yılsonu hesabının yayımlanmasından üç yıl sonrasına kadar ve gerekli görüldüğü taktirde (d)’de sözü edilen garantiye dair söz konusu sürede ortaya çıkmış bütün hak iddialarının çözülmüş olduğu daha sonraki bir tarihe kadar dağıtılamayacak bir rezerv koymuşlardır,
5. Üye ülkeler bir şirketin birleşme veya bölünme yoluyla kurulduğu ve bir ya da daha fazla uzmanın birleşme veya bölünme taslak şartları hakkında bir rapor hazırladığı durumlarda bu maddeyi uygulamama kararı alabilirler.
Üye ülkelerin birinci alt paragrafta sözü edilen hallerde bu maddeyi uygulamaya karar vermeleri durumunda bu maddede sözü edilen rapor ile birleşme veya bölünme taslak şartları hakkındaki raporun aynı uzman ya da uzmanlar tarafından hazırlanmasını şart koşabilirler.
Madde 11
1. Avrupa Parlamentosu ve Konseyin 21 Nisan 2004 tarihli 2004/39/EC sayılı piyasalardaki finansal araçlara ilişkin yönergenin 4(1) Maddesinin 18. noktasında tanımlanan menkul kıymetler veya aynı yönergenin 4(1) Maddesinin 19. noktasında tanımlanan para piyasası enstrümanlarının nakit harici karşılıklar olarak ödendiği ve bu menkul kıymetler veya para piyasası enstrümanlarının aynı yönergenin 4(1) maddesinin 14. noktasında tanımlanan düzenlenmiş piyasalarda bu karşılıkların ödenme tarihinden önce ulusal yasalar tarından belirlenen yeterli bir süre boyunca işlem gördükleri ağırlıklı ortalama fiyat üzerinden değerlendirildikleri durumlarda, üye ülkeler bir yönetim veya gözetim organının kararı uyarınca bu yönergenin 10(1), (2) ve (3) hükümlerini uygulamamaya karar verebilirler.
Fakat söz konusu fiyatın karşılığın ödenme tarihindeki değerini önemli ölçüde değiştiren istisnai şartlar tarafından etkilenmiş olduğu söz konusu menkul kıymetler ve para piyasası enstrümanları için piyasanın likit olmayan hal alması da dâhil olan durumlarda girişim hakkında bir sözü edilen yönetim veya gözetim organının sorumluluğunda bir yeniden değerlendirme yapılacaktır.
Bu yeniden değerlendirme için Madde 10(1), (2) ve (3) hükümleri uygulanacaktır.
2. Birinci paragrafta sözü edilen menkul kıymetler ve para piyasası enstrümanları ile nakit haricinde, muteber bir bağımsız uzman tarafından bir muhik değer biçilmiş varlıkların karşılık olarak ödendiği ve aşağıdaki şartların oluştuğu durumlarda üye ülkeler bir yönetim veya gözetim organının kararı uyarınca bu yönergenin 10(1), (2) ve (3) hükümlerini uygulamamaya karar verebilirler.
(a) Muhik değer varlık devrinin yürürlük tarihinden altı aydan daha önce olmayan bir tarih için belirlenmiştir,
(b) Değerlendirme üye ülkenin aynı tür varlıklar için genel olarak kabul edilmiş değerlendirme standart ve ilkelerine uygun olarak yapılmıştır.
Varlığın devrinin yürürlük tarihindeki değerini önemli ölçüde değiştirecek yeni şartların ortaya çıkması halinde söz konusu yönetim veya gözetim organının insiyatifiyle ve sorumluluğunda yeni bir değerlendirme yapılacaktır.
Bu yeniden değerlendirme için Madde 10(1), (2) ve (3) hükümleri uygulanacaktır.
Böyle bir yeniden değerlendirenin yokluğunda şirketin sermaye artırımı kararı alındığı tarihteki taahhüt edilmiş sermayesinin en az %5’ine sahip olan bir ya da daha fazla hissedar bağımsız bir uzman tarafından yapılacak bir değerlendirme talep edebilir(ler). Bu durumda Madde 10(1), (2) ve (3) uygulanacaktır.
Söz konusu hissedar(lar) şirketin sermayesinin artırımı kararının alındığı tarihte olduğu gibi talebin iletildiği tarihinde de halen şirketin taahhüt edilmiş sermayesinin en az %5’ine sahip olmaları şartıyla bu talepte varlık devrinin yürürlük tarihine kadar bulunabilirler.
3. Birinci paragrafta sözü edilen menkul kıymetler ve para piyasası enstrümanları ile nakit haricinde, muhik değerleri her bir varlık için bir önceki hesap dönemine ait nizami muhasebe kayıtlarından hesaplanan varlıkların karşılık olarak ödendiği durumlarda, bu kayıtların Avrupa Parlamentosu ve Konseyin 17 Mayıs 2006 tarihli ve 2006/43/EC sayılı muhasebe kayıtlarının ve konsolide mali tabloların nizami denetimine ilişkin yönergesi uyarınca bir denetime tabi olması şartıyla söz konusu üye ülkeler bir yönetim veya gözetim organının kararı uyarınca bu yönergenin 10(1), (2) ve (3) hükümlerini uygulamamaya karar verebilirler.
Bu maddenin ikinci paragrafının iki ila beşinci alt paragrafları kıyas yoluyla uygulanacaktır.
Madde 12
1. Madde 11’de sözü edilen nakit harici karşılıkların Madde 10(1), (2) ve (3)’de sözü edilen gibi bir uzman raporu olmadan, ek olarak Madde 3 (h) noktasında belirlenen gerekliliklerin oluştuğu ve varlık devrinin yürürlük tarihinden sonraki bir ay içerisinde ödendiği durumlarda aşağıdakileri içeren bir beyanname yayımlanacaktır;
(a) Söz konusu nakit harici karşılığın bir tarifi,
(b) Bunun değeri, biçilen değerin kaynağı ve uygun olduğunda, değerlendirme yöntemi,
(c) Söz konusu karşılıklar için ulaşılan değerlerin hisselerin sayısına ve nominal değerine, ya da nominal değerin yokluğunda hesaplanabilir itibari değere, ve mümkün olduğunda hisseler üzerindeki prime mi karşılık geldiğini belirten bir ibare,
(d) İlk değerlendirmenin sonucuna etki edebilecek yeni şartların oluşmadığına dair bir ibare.
Söz konusu beyannamenin yayımlanması her üye ülkenin 2009/101/EC sayılı yönergenin 3. Maddesine uygun yasalarının belirlediği usul uyarınca yapılacaktır.
2. Madde 29(2) uyarınca teklif edilen bir sermaye artırımı noktasında nakit haricinde karşılıkların Madde 10(1), (2) ve (3)’de sözü edilen gibi bir uzman raporu olmadan ödenmesinin teklif edildiği durumlarda sermaye artırımı kararının alındığı tarih ile bu Maddenin birinci paragrafında listelenen bilgileri içeren bir duyuru her üye ülkenin 2009/101/EC sayılı yönergenin 3. Maddesine uygun yasalarının belirlediği usul uyarınca söz konusu varlığın devrinin yürürlük tarihinden önce yayımlanacaktır. Bu gerçekleştiği taktirde bu Maddenin birinci paragrafı uyarınca yayımlanacak beyanname sözü edilen duyurunun yayımlanmasından itibaren yeni şartların oluşmadığını belirten ibare ile sınırlı olacaktır.
3. Her bir üye ülke Madde 10(1), (2) ve (3)’de sözü edilen gibi bir uzman raporu olmadan nakit harici karşılıkların ödendiği durumlarda 11. Maddede ve bu maddede koyulan usule uygunluğu teminat altına alan yeterli korumayı sağlayacaktır.
Madde 13
1. Ulusal yasalar tarafından şirketin kuruluşundan veya iş izni almasından itibaren en az iki yıl olmak üzere belirlenen bir süre sınırının aşılmasından önce şirket 3. Maddenin (i) noktasında sözü edilen bir kişi, şirket ya da firmaya ait taahhüt edilmiş sermayenin onda birinden az olmayan bir karşılık için bir varlık edinirse edinim incelenecek ve bunun ayrıntıları Madde 10(1), (2) ve (3)’de belirlenen usul uyarınca yayımlanacak ve genel kurul toplantısında onaya sunulacaktır.
11. ve 12. Maddeler gerekli değişiklikler yapılmış olarak geçerli olacaktır.
Üye ülkeler söz konusu varlıkların bir hissedara ya da herhangi bir üçüncü kişiye ait olması durumlarında da aynı hükümlerin uygulanmasını şart koşabilirler.
2. Birinci paragraf şirketin normal işleyişi çerçevesinde gerçekleşen edinimler, bir yönetim veya gözetim organının isteği üzerine veya denetimi altında gerçekleşen edinimler ile menkul kıymetler borsalarındaki edinimler için geçerli olmayacaktır.
Madde 14
Taahhüt edilmiş sermayenin indirimine ilişkin hükümlere uygun olarak hissedarlar katkı paylarını ödeme yükümlülüklerinden azade kılınamazlar.
Madde 15
Ulusal yasaların eşgüdümünün sağlanacağı ileriki bir tarihte üye ülkeler farklı bir tür şirketin halka açık bir limitet şirkete dönüştürülmesi durumunda ikinci ila 14. Maddeler tarafından belirlenen koruma hükümlerinin en azından aynılarının uygulanması için gereken önlemleri alacaklardır.
Madde 16
İkinci ila 15. Maddeler tüzüklerin ve tescil belgelerinin değiştirilmesine ilişkin yetki ve usulleri saklı kalmak koşuluyla uygulanacaktır.
Madde 17
1. Taahhüt edilmiş sermayede indirime gidilen durumlar haricinde hissedarlara ödeme yapılabilmesi şirketin son hesap döneminin kapanış günü itibariyle şirketin yıllık muhasebe kayıtlarının belirtiği net varlıklar taahhüt edilmiş sermaye ile yasa veya tüzükler gereği dağıtılamayacak rezervler toplamının altında olmaması ya da söz konusu ödeme ile altına düşmeyecek olması şartına bağlıdır.
2. Taahhüt edilmiş sermayenin ödenmemiş kısmının bilançoda yer almadığı durumlarda bu miktar birinci paragrafta sözü edilen taahhüt edilmiş sermaye miktarından düşülecektir.
3. Hissedarlara yapılacak bir ödemenin tutarı son hesap dönemi kapanışındaki karlar ile devreden karlar ve bu amaçla tutulan rezervler toplamından devreden zararlar ile yasalar veya tüzükler gereği rezervde tutulan miktarların çıkarılmasıyla elde edilecek tutarı geçmeyecektir.
4. Birinci ve üçüncü paragraflardaki ‘ödeme’ tabiri hisselere tekabül eden kar payı ve faiz ödemelerini kapsamaktadır.
5. Bir üye ülkenin yasaları ara temettülerin ödemesine izin veriyorsa asgari olarak aşağıdaki şartlar uygulanacaktır;
(a) Ödemeler için yeterli fonların varlığını gösteren ara muhasebe kayıtları hazırlanacaktır,
(b) Ödenecek tutar yıllık muhasebe hesaplarının hazırlandığı son hesap dönemi kapanışından beri edilen karlar ve devreden karlar ile bu amaçla tutulan rezervler toplamından devreden zararlar ile yasalar veya tüzükler gereği rezervde tutulan miktarların çıkarılmasıyla elde edilecek tutarı geçmeyecektir.
6. Birinci ila beşinci paragraflar üye ülkelerin rezervlerin kapitalizasyonu ile artırımına ilişkin hükümlerini etkilemeyecektir.
7. Üye bir ülkenin yasaları sabit sermayeli yatırım şirketleri söz konusu olduğunda birinci paragrafın hükümlerinden sapmaya izin vereilir.
Bu paragraftaki ‘sabit sermayeli yatırım şirketi’ ibaresi yalnızca şu şirketleri kapsamaktadır;
(a) Tek amacı ellerindeki fonları çeşitli menkul kıymetler, arsa ve diğer varlıklara, yatırım risklerini dağıtmak ve hisse sahiplerine varlıkların yönetiminin getirilerini sunmak üzere, yatıran şirketler,
(b) Kendi hisselerini sermaye iştiraki amacıyla halka açan şirketler.
Üye ülkelerin yasaları bu seçeneği kullandıklarında şu şartları sağlamalıdırlar;
(a) 2009/101/EC sayılı yönergenin 5. Maddesinin belirttiği belgelerde söz konusu şirketlerin ‘yatırım şirketi’ ibaresini bulundurmalarını şart koşmalıdırlar,
(b) Net varlıkları birinci paragrafta sözü edilen sınırın altına inen şirketlerin hissedarlara yapacakları ödemelere son hesap döneminin kapanışında şirketin yıllık muhasebe kayıtlarındaki toplam varlıkları alacaklılar nezdindeki toplam mali sorumluluklarının bir buçuk katının altında olduğunda ya da söz konusu ödeme nedeniyle bunun altına düşeceğinde izin vermemelidir,
(c) Net varlıkları birinci paragrafta sözü edilen sınırın altına düşen ve hissedarlarına ödeme yapacak şirketlere yıllık kayıtlarında bu durumu belirtme şartı getirmelidir.
Madde 18
17. Maddeye aykırı olarak yapılmış herhangi bir ödeme bunları alan hissedarlar tarafından şirketin söz konusu hissedarların ödemelerin usulsüzlüğünden haberdar olduklarını ispatlaması veya koşullar göz önüne alındığında haberdar olmadıklarını ispatlayamaması durumlarında iade edilmelidir.
Madde 19
1. Taahhüt edilmiş sermayede önemli ölçüde bir kayıp olması durumunda şirketin tasfiyesi veya başka önlemlere ilişkin bir genel kurul üye ülkelerin yasalarının öngördüğü usullere göre düzenlenmelidir.
2. Birinci paragrafta sözü edilen önemli addedilen sermaye kaybının düzeyi üye ülkeler tarafından taahhüt edilmiş sermayenin yarısını geçecek şekilde belirlenemez.
Madde 20
1. Bir şirketin hisseleri şirketin kendisi tarafından alınamaz.
2. Eğer bir şirketin hisseleri bir kişi tarafından kendi adıyla alındığı halde bu kişi şirket namına hareket ediyorsa bu kişi söz konusu hisseleri kendi hesabına almış sayılacaktır.
3. Üçüncü Maddenin (i) noktasında sözü edilen kişiler ya da şirketler veya taahhüt edilmiş sermayede bir artırım halinde yönetim veya gözetim organının üyeleri bu maddeye aykırı alınan hisseler için ödeme yapmakla yükümlü olacaklardır.
Fakat üye ülkelerin kanunları konuda şahsi sorumluluğu olmadığını ispatlayan kişileri bu yükümlülükten muaf tutabilir.
Madde 21
1. Eşit konumdaki hissedarların eşit muamele görmesi ilkesi ve 2003/6/EC yönergesinin hükümleri saklı kalmak koşuluyla üye ülkeler bir şirkete kendi hisselerini doğrudan ya da şirket namına hareket eden bir kişi aracılığıyla edinme izni verebilirler. Üye ülkeler bu izni verirlerse şu şartlara bağlı olacaktır;
(a) izin sözü edilen edinimlerin ve özellikle edinilebilecek azami hisse sayısı, üst sınırı yasalar beş yılı aşmayacak şekilde tarafından belirlenecek olan iznin verildiği süre ile azami ve asgari karşılık miktarlarının hüküm ve şartlarının belirleneceği bir genel toplantıda verilecektir. İdare ya da yönetim organının üyeleri izin verilen her edinimin gerçekleşmesinde (b) ve (c)’de sözü edilen şartların yerine getirilmesini sağlayacaklardır,
(b) daha önce şirket tarafından alınmış ve elde tutulan hisseler dâhil olmak üzere edinimler ile kendi adıyla ve fakat şirket namına hareket eden bir kişi tarafından edinilen hisseler net varlıkları 17(1) ve (2)’de sözü edilen düzeylerin altına düşürecek etki yapamazlar,
(c) yalnızca tamamı ödenmiş hisseler işlem konusu olabilirler.
Ek olarak üye ülkeler birinci alt paragrafa konu edinimler için aşağıdaki şartları koşabilirler;
(a) daha önce şirket tarafından alınmış ve elde tutulan hisseler dâhil olmak üzere edinilen hisseler ile kendi adıyla ve fakat şirket namına hareket eden bir kişi tarafından edinilen hisselerin nominal değeri veya bunun yokluğunda hesaplanabilir itibari değeri üye ülkeler tarafından taahhüt edilmiş sermayenin %10’undan az olmayacak şekilde belirlenen bir sınırı aşmayacaktır,
(b) birinci alt paragrafa konu olan şirketin kendi hisselerini alma yetkisi, edinilebilecek azami hisse sayısı, iznin verildiği süre ile azami ve asgari karşılık miktarları şirket tüzüğü veya tescil belgesi tarafından belirlenecektir,
(c) şirket ilgili raporlama ve bildirim gereklilikleri uyarınca hareket edecektir,
(d) üye ülkeler tarafından belirlenecek belirli şirketlere edinilen hisseleri iptal etme şartı getirilebilir ki iptal edilen hisselerin nominal değeri hissedarlara ödenemeyecek bir rezervde tutulacak ve bu rezerv yalnızca rezervlerin kapitalizasyonu yoluyla sermaye artırımında kullanılabilecektir,
(e) edinimler alacaklıların hakları saklı kalmak kaydıyla gerçekleşecektir.
2. Üye bir ülkenin yasaları (a) noktasının ilk cümlesinden sapmalara şirketin kendi hisselerini edinmesi şirkete gelecek ciddi ve kesin bir zararın önlenmesi için gerekli olduğu durumlarda izin verebilir. Böyle bir durumda bir sonraki genel kurulunda bu edinimlerin nedenleri ve içerikleri, edinilen hisselerin sayısı ve nominal değeri veya bunun yokluğunda hesaplanabilir itibari değeri, taahhüt edilmiş sermaye içinde teşkil ettikleri oran ile bu hisseler için ödenen karşılık yönetim veya gözetim organı tarafından bildirilmelidir.
3. Üye ülkeler (a) şirketin kendisi tarafından edinilen edinilen hisseler ile kendi adıyla ve fakat şirket namına hareket eden bir kişi tarafından edinilen hisselere şirketin kendi çalışanları ya da başka bir ortak şirketin çalışanlarına dağıtılmak üzere edinildilerse noktasının ilk cümlesini uygulamamayı tercih edebilirler.
Bu hisseler edinimlerini takip eden 12 ay içerisinde dağıtılmalıdır.
Madde 22
1. Üye ülkeler aşağıda tarif edilen edinimlere 21. Maddeyi uygulamamayı tercih edebilirler.
(a) bir sermaye indirimi kararı uygulanırken ya da 43. Maddede sözü edilen koşullarda edinilen hisseler,
(b) varlıkların toptan transferinin bir sonucu olarak edinilen hisseler,
(c) satış komisyonu olarak bankalar veya diğer finans kuruluşları tarafından bedelsiz olarak edinilen tamamı ödenmiş hisseler,
(d) yasal bir zorunluluk gereği ile özellikle bir birleşme, şirketin hedef ya da şeklinde bir değişiklik, şirket merkezinin yırt dışına taşınması veya hisselerin el değiştirmesine getirilen kısıtlamalar gibi azınlık hissedarların korunması için verilen bir mahkeme kararı sonucu edinilen hisseler,
(e) bir hissedardan ödenmemeleri durumunda alınan hisseler,
(f) ortak şirketlerin hissedarlarını tazmin etmek üzere edinilen hisseler,
(g) hisse sahibinin bir borcunun ödenmesi için mahkeme emriyle gerçekleşen bir satışta edinilen tamamı ödenmiş hisseler,
(h) Madde 17(7) ikinci alt paragrafında tanımlanan bir sabit sermayeli yatırım şirketi tarafından ihraç edilen tamamı ödenmiş ve bu şirkette veya bir ortak şirketteki yatırımcı talebiyle edinilmiş hisseler. Madde 17(7) üçüncü alt paragrafın (a) noktası uygulanacaktır. Bu edinimler net varlıkları taahhüt edilmiş sermaye ile dağıtılmaları yasalarla engellenmiş rezervlerin toplamının altına düşürecek bir etki yapamazlar.
2. Birinci paragrafın (b) ila (g) noktalarında listelenen durumlarda edinilen hisseler, kendi adıyla fakat şirket namına hareket eden bir kişi tarafından edinilmiş hisseler dâhil olmak üzere nominal değerleri veya bunun yokluğunda hesaplanabilir itibari değerleri taahhüt edilmiş sermayenin %10’unu aşıyorsa edinimlerini takip eden üç yıl içerisinde elden çıkarılmalıdır.
3. Eğer hisseler ikinci paragrafta belirtilen süre içerisinde elden çıkarılmazlarsa iptal edilmelidirler. Üye bir ülkenin yasaları bu iptale karşılık taahhüt edilmiş sermayede bir indirim şart koşabilir. Böyle bir indirim iptal edilecek hisselerin ediniminin net varlıkların Madde 17(1) ve (2)’de belirtilen düzeyin altına inmesine neden olması durumunda uygulanmalıdır.
Madde 23
21. ve 22. Maddelere aykırı olarak edinilen hisseler edinimlerini takip eden bir yıl içerisinde elden çıkarılacaklardır. Bu süre içerisinde elden çıkarılmamaları durumunda Madde 22(3) uygulanacaktır.
Madde 24
1. Bir üye ülkenin yasaları bir şirketin kendi hisselerini doğrudan kendisi ya da kendi adıyla fakat şirket namına hareket eden bir kişi aracılığıyla edinmesine izin veriyorsa bu hisselerin elde tutulmasını asgari olarak aşağıdaki şartlara bağlamalıdırlar;
(a) hisselere ait haklar arasında şirketin kendi hisselerine ait oy hakkı her durumda askıya alınacaktır,
(b) eğer hisseler bilançodaki varlıklar arasında gösterilmişse bunlara denk dağıtılamaz bir rezerv yükümlülükler arasında gösterilecektir,
2. Bir üye ülkenin yasaları bir şirketin kendi hisselerini doğrudan kendisi ya da kendi adıyla fakat şirket namına hareket eden bir kişi aracılığıyla edinmesine izin veriyorsa faaliyet raporunun asgari olarak aşağıdakileri içermesini şart koşmalıdırlar;
(a) hesap döneminde gerçekleştirilen edinimlerin nedenleri,
(b) hesap döneminde edinilen ve elden çıkarılan hisselerin sayısı, nominal değeri ya da bunun yokluğunda hesaplanabilir itibari değer ve bunların taahhüt edilmiş sermayede temsil ettiği oran,
(c) bir değer karşılığında edinim ya da elden çıkarma durumlarında hisselerin karşılığı,
(d) şirket tarafından edinilen ve elde tutulan hisselerin sayısı, nominal değeri ya da bunun yokluğunda hesaplanabilir itibari değer ve bunların taahhüt edilmiş sermayede temsil ettiği oran.
Madde 25
1. Üye ülkelerin bir şirkete hisselerinin bir üçüncü tarafın edinimi maksadıyla doğrudan ya da dolaylı olarak fon açma, borç verme veya kefalet sağlama izni verdiği durumlarda bu işlemler için ikinci ila beşinci paragraflarda belirtilen koşulları şart koşacaklardır.
2. İşlemler özellikle şirketin aldığı faiz ve birinci paragrafta sözü edilen borç ve avanslar için şirkete sunulan teminatlar açısından adil piyasa koşullarında yönetim veya gözetim organının sorumluluğu altında gerçekleşecektir. Üçüncü tarafın, veya çok taraflı işlemlerde diğer her bir tarafın kredi itibarı gerektiği gibi incelenecektir.
3. İşlemler yönetim veya gözetim organı tarafından önceden toplantı yeter sayısı ve çoğunluk konularında 44. Madde hükümlerinin geçerli olacağı bir genel kurulunda onaya sunulacaktır. İdare veya yönetim organı genel kurula aşağıdakileri içeren bir rapor sunacaktır.
(a) işlemin gerekçeleri,
(b) şirketin sözü edilen işlemden çıkarı,
(c) işlemin gerçekleştiği koşullar,
(d) şirketin likidite ve ödeme gücü açısından işlemin taşıdığı riskler,
(e) üçüncü tarafın hisseleri alacağı fiyat.
Bu rapor 2009/101/EC sayılı yönergenin 3. Maddesi uyarınca yayımlanmak üzere kayda geçirilecektir.
4. Üçüncü taraflara sunulan toplam mali destekler, şirketin hisselerinin Madde 21(1)’e uygun şekilde kendisi tarafından ya da şirket namına edinilmesinden kaynaklı net varlıklarda meydana gelecek herhangi bir düşüşü de hesaba katarak, net varlıkların Madde 17(1) ve (2)’de sözü edilen düzeylerin altına düşmesine neden olamaz.
Şirket bilançosundaki pasifler arasında mali yardımlara eşit miktarda dağıtılması mümkün olmayan bir rezerv gösterecektir.
5. Mali yardım alan bir üçüncü tarafın Madde 21(1) kapsamında şirketin hisselerini edinir ya da taahhüt edilmiş sermaye artırımı sırasında ihraç edilen hisseleri alırsa böyle bir edinim ya da alım muhik bir değerde yapılacaktır.
6. 1 ila 5. paragraflar bankalar veya diğer finans kuruluşları tarafından normal iş işleyişi içerisinde tamamlanan işlemler ile söz konusu şirketin ya da bir ortak şirketin çalışanları tarafından veya bunlar namına yapılan edinimlerle ilgili işlemlere uygulanmayacaktır.
Fakat bu işlemler net varlıkları Madde 17(1)’de belirlenen düzeyin altına düşüremez.
7. 1 ila 5. paragraflar Madde 22(1) (h) noktasında tarif edilen edinimlerle ilgili işlemlere uygulanmayacaktır.
Madde 26
Söz konusu şirketin yönetim veya gözetim organının Madde 25(1)’de sözü edilen bir işleme taraf olan bireysel üyelerinin ya da 13 Haziran 1983 tarihli 83/349/EC sayılı Yedinci Konsey Yönergesinin, Antlaşmanın konsolide hesaplara ilişkin Madde 50(2) (h) noktasına dayanan, birinci Maddesi kapsamındaki bir ana teşebbüsün yönetim veya gözetim organının bireysel üyelerinin ya da böyle bir ana teşebbüsün kendisinin ya da kendi adlarıyla fakat sözü edilen organların üyeleri veya böyle bir ana teşebbüs namına hareket eden kişilerin sözü edilen tarzda bir işlemin karşı tarafı olması durumlarında üye ülkeler bu işlemlerin söz konusu şirketin çıkarlarına zarar vermemesi için yeterli korumayı sağlayacaktır.
Madde 27
1. Şirketin kendi hisselerinin şirketin kendisi ya da kendi adıyla fakat şirket namına hareket eden bir kişi tarafından teminat olarak kabul edilmesi 21, 22(1), 24 ve 25 Maddeler kapsamında edinim olarak kabul edilecektir.
2. Üye ülkeler paragraflar bankalar veya diğer finans kuruluşları tarafından normal iş işleyişi içerisinde tamamlanan işlemler için birinci paragrafı uygulamamayı tercih edebilirler.
Madde 28
1. 2009/101/EC sayılı yönerge kapsamında halka açık bir limitet şirketin hisselerinin bu limitet şirketin doğrudan ya da dolaylı olarak oy hakkının çoğunluğunu elinde tuttuğu veya doğrudan ya da dolaylı bir duruma sahip olduğu bir şirket tarafından alınması, edinimi veya elde tutulması limitet şirketin kendisi tarafından yapılmış gibi muamele görecektir.
Birinci alt paragraf diğer şirketin üçüncü bir ülkenin yasalarına tabi olduğu ve 2009/101/EC sayılı yönergenin birinci Maddesinde listelenenlerle karşılaştırılabilecek bir yasal yapısı olduğu durumlarda da uygulanacaktır.
Fakat limitet şirketin dolaylı olarak oy hakkının çoğunluğunu elinde tuttuğu veya hâkim bir duruma sahip olduğu üye ülkeler birinci ve ikinci alt paragrafları diğer şirketin limitet şirketteki oy hakkının askıya alınması durumunda uygulamama yoluna gidebilirler.
2. Şirket gruplarına ilişkin ulusal mevzuatta eşgüdüm eksikliği olan durumlarda üye ülkeler;
(a) halka açık bir limitet şirketin bir başka şirket üzerinde hâkim bir duruma sahip sayılacağı durumları tanımlarlar. Üye bir ülke bu seçeneği kullanırsa bu ülkenin yasaları halka açık bir limitet şirket için aşağıdaki koşullar sağlanıyorsa hâkim bir durumun geçerli olabileceğini belirtmelidir.
- Limitet şirket diğer şirketin yönetim, gözetim veya denetim organının üyelerinin çoğunluğunu atama veya azletme hakkına sahip bir hissedarı veya üyesiyse,
- Limitet şirket diğer şirketin hissedarları veya üyeleri tarafından onanmış bir anlaşma gereği bu şirketin hissedarları veya üyelerinin oy hakkının çoğunluğuna tam manasıyla hâkim bir hissedarı veya üyesiyse.
Üye ülkeler bu iki koşul harici hiçbir durum için hükümler koymak zorunda değildir.
(b) halka açık bir limitet şirketin oy haklarını dolaylı olarak elinde tutmakta veya dolaylı olarak hâkim bir duruma sahip sayılacağı durumları tanımlarlar.
(c) halka açık bir limitet şirketin hangi özel koşullarda oy haklarını elinde tutuyor sayılacağını belirlerler.
3. Üye ülkeler hisselerin alımı, edinimi ya da elde tutulması birinci paragrafta sözü edilen limitet şirketin kendisinden veya limitet şirketin doğrudan ya da dolaylı olarak oy hakkı çoğunluğunu elinde tuttuğu veya doğrudan ya da dolaylı olarak hâkim bir duruma sahip olduğu bir başka şirketten ve hisseleri alan, edinen ya da elinde tutan kişiden farklı bir kişi namına gerçekleşiyorsa birinci paragrafın birinci ve ikinci alt paragraflarını uygulamak zorunda değillerdir.
4. Üye ülkeler hisselerin alımı, edinimi ya da elde tutulması diğer şirketin bir üye ülkede yerleşik bir menkul kıymetler borsasına üye olması veya üye bir ülkenin menkul kıymetler ticareti yapan kuruluşları denetleme yetkisi olan, bu yönerge kapsamında kredi kuruluşlarını da içeren, bir kurumu tarafından onaylanmış ya da denetiliyor olması şartıyla bu şirket tarafından kendi ehliyeti çerçevesinde ve menkul kıymetlerin ticaretini yapan bir kuruluş olarak mesleki faaliyetleri gerçekleşiyorsa birinci paragrafın birinci ve ikinci alt paragraflarını uygulamak zorunda değillerdir.
5. Üye ülkeler halka açık bir limitet şirketin hisseleri bir başka şirket tarafından bu ikisi arasındaki ilişki birinci paragrafın belirttiği kriterlere dâhil olmadan önce edinilmiş ve elde tutuluyorsa birinci paragrafın birinci ve ikinci alt paragraflarını uygulamak zorunda değillerdir.
Fakat bu hisselere ait oy hakları askıya alınacak ve Madde 21(1) (b) noktasında belirtilen koşulun gerçekleşip gerçekleşmediği belirlenirken bu hisseler dikkate alınacaktır.
6. Üye ülkeler halka açık bir limitet şirketin hisselerinin bir başka şirket tarafından edinildiği ve aşağıdaki şartların gerçekleştiği durumlarda Madde 22(2) veya (3) veya Madde 23’ü uygulamak zorunda değillerdir.
(a) diğer şirket tarafından edinilen halka açık limitet şirketi hisselerine ait oy haklarının askıya alınması,
(b) limitet şirketin yönetim veya gözetim organının üyelerinin Madde 22(2), (3) ve madde 23’te sözü edilen hisseleri diğer şirketin bunları aldığı fiyat üzerinden geri almaları; bu yaptırımın tek istisnası limitet şirketin yönetim veya gözetim organının üyelerinin şirketin söz konusu hisselerin alınması ya da edinilmesinde hiçbir rol oynamadığını ispatladığı durumlardır.
Madde 29
1. Sermayedeki herhangi bir artırım genel kurul tarafından kararlaştırılmalıdır. Hem bu karar hem de taahhüt edilmiş sermayedeki artırım her üye ülkenin yasalarının belirlediği usule göre 2009/101/EC sayılı yönergenin üçüncü Maddesi uyarınca yayımlanacaktır.
2. Bununla birlikte, birinci paragrafta sözü edilen kurallar uyarınca kararı yayımlanacak olan tüzük, tescil belgesi ya da genel kurul yasalar tarafından koyulmuş bir azami miktara uygun olarak belirleyecekleri azami bir miktara kadar taahhüt edilmiş sermaye artırımına izin verebilirler. Uygun olduğunda taahhüt edilmiş sermayedeki artırım bu miktarı belirleme yetkisine sahip şirket organının belirlediği sınırlar içerisinde gerçekleşecektir. Bu organın yetkisi azami beş yıllık bir süre için geçerli olacak ve genel kurul tarafından yine beş yılı aşmayacak süreler için bir veya daha fazla kere yenilenebilecektir.
3. Birden fazla hisse sınıfı olması halinde birinci paragrafta sözü edilen genel kurulun sermaye artırımına ilişkin kararı veya ikinci paragrafta sözü edilen sermaye artırım yetkisi en azından işlemden etkilenen her bir sınıfın hissedarları için ayrı yapılacak bir oylamaya açık olacaktır.
4. Bu Madde hisseye dönüştürülebilecek veya hisse alma hakkı taşıyan bütün menkul değerlere uygulanacak fakat bunların dönüşümlerine veya hisse alma haklarına uygulanmayacaktır.
Madde 30
Bir karşılık için bir sermaye artırımı sırasında ihraç edilen hisselerin nominal değerlerinin ya da bunun yokluğunda hesaplanabilir itibari değerin en az %25’i ödenmelidir. Karşılık bir ihraç primi için verildiğinde bunun tamamı ödenmelidir.
Madde 31
1. Bir taahhüt edilmiş sermaye artırımı sırasında nakit harici bir karşılık için hisse ihraç edildiğinde bu karşılık sermaye artırım kararını izleyen beş yıl içinde aktarılmalıdır.
2. Birinci paragrafta sözü edilen karşılık sermaye artırımı gerçekleşmeden önce idari ya da yasal bir makam tarafından atanacak ya da onaylanacak şirketten bağımsız bir ya da daha fazla uzman tarafından hazırlanacak bir rapora konu olacaktır. Bu uzmanlar gerçek kişiler olabilecekleri gibi her bir üye ülkenin yasaları kapsamındaki tüzel kişiler veya şirketler de olabilir.
Madde 10(2), (3), Madde 11 ve Madde 12 uygulanacaktır.
3. Üye ülkeler bir birleşme veya bölünme ile hisselerin alımı ya da değiş tokuşu için halka açık bir teklif dolayısıyla ve birleşen, bölünen ya da söz konusu halka açık teklife konu olan şirketin hissedarlarına ödeme yapılması için gerçekleşen sermaye artırımları için ikinci paragrafı uygulamamayı tercih edebilirler.
Fakat bir birleşme ya da bölünme durumunda üye ülkeler birinci alt paragrafı yalnızca birleşme veya bölünmenin taslak şartları hakkında bir ya da daha fazla uzman tarafından bir rapor hazırlandığı durumlarda uygulayacaklardır.
Üye ülkeler bir birleşme ya da bölünme durumunda ikinci paragrafı uygulamaya karar verdiklerinde bu Maddede sözü edilen rapor ve birleşme ya da bölünmenin taslak şartları hakkında bir ya da daha fazla uzmanın hazırlayacağı raporun aynı uzman ya da uzmanlar tarafından hazırlanmasını şart koşabilirler.
4. Üye ülkeler bir taahhüt edilmiş sermaye artırımı sırasında ihraç edilen bütün hisseler bir veya daha fazla şirkete, nakit harici bir karşılık için ihraç edilmişler, bu karşılığı alan tüm hissedarlar bir uzman raporu hazırlanmaması konusunda anlaşmışlar ve Madde 10(4) (b) ila (f) noktalarındaki tüm koşullar sağlanmışsa ikinci paragrafı uygulamamayı tercih edebilirler.
Madde 32
Bir sermaye artırımının tamamıyla kayıtlı olmadığı durumlarda sermaye yalnızca ihracın koşulları bunu içeriyorsa alınan kayıtlar kadar yükseltilecektir.
Madde 33
1. Sermayede nakit karşılıkla artırım yapıldığında hisseler hissedarlara sermayedeki oranları nispetinde rüçhanlı olarak teklif edilmelidir.
2. Bir üye ülkenin yasaları;
(a) Madde 17 kapsamındaki dağıtımlara katılım ya da şirketin likidasyonu durumunda varlıkları için sınırlı hak taşıyan hisselere birinci paragrafı uygulamamayı tercih edebilir,
(b) hisseleri farklı oy haklarına veya Madde 17 kapsamındaki dağıtımlara farklı katılım haklarına veya likidasyon durumunda varlıklara ilişkin farklı haklara sahip olan birden fazla sınıftan oluşan bir şirketin taahhüt edilmiş sermayesinde bu sınıflardan yalnızca birinde hisse ihracıyla bir artırıma gidildiğinde diğer sınıfların hissedarlarının rüçhan hakkının söz konusu sınıfın hissedarlarının rüçhan hakkından sonra uygulanmasına izin verebilir.
3. Rüçhan çerçevesinde yapılacak alım teklifleri ve rüçhan hakkının uygulanma süresi 2009/11/EC sayılı yönerge uyarınca belirlenmiş ulusal gazetede yayımlanacaktır. Fakat bir üye ülkenin yasaları bir şirketin bütün hisseleri kayıtlı olduğunda böyle bir yayımı şart koşmamayı tercih edebilir. Böyle bir durumda şirketin bütün hissedarlarına yazılı bildirim yapılmalıdır. Rüçhan hakkı teklifin yayım tarihini takip eden 14 gün ya da mektupların gönderilme tarihini takip eden 14 günden daha kısa olmayan bir süre içinde uygulanacaktır.
4. Rüçhan hakkı tüzük veya tescil belgesiyle kısıtlanamaz veya geri alınamaz. Fakat genel kurul kararıyla bu yapılabilir. Yönetim veya gözetim organı genel kurula rüçhan hakkının kısıtlanması veya geri çekilmesinin gerekçelerini gösteren ve ihraç fiyatını gerekçelendiren bir rapor sunacaktır. Genel kurul toplantı yeter sayısı ve çoğunluk konularında Madde 44’de belirlenen usul uyarınca hareket edecektir. Genel kurulun kararı her üye ülkenin yasalarının belirlediği usule göre 2009/101/EC sayılı yönergenin üçüncü Maddesi uyarınca yayımlanacaktır.
5. Üye bir ülkenin yasaları tüzük, tescil belgesi veya genel kurulun dördüncü paragrafta toplantı yeter sayısı, çoğunluk ve yayım konularında belirtilen kurallar uyarınca rüçhan hakkının kısıtlanması veya geri çekilmesi yetkisini taahhüt edilmiş sermayenin kayıtlı sermaye sınırları içerisinde artırımı kararı almaya yetkili şirket organına verebilir. Verilen bu yetki Madde 29(2)’de hükmü verilen yetkinin süresinden daha uzun bir süre için verilemez.
6. Birinci ila beşinci paragraflar hisselere dönüştürülebilecek veya hisseler için taahhüt hakkı taşıyan bütün menkul kıymetler için uygulanacak fakat bunların dönüşümleri veya taahhüt haklarına uygulanmayacaktır.
7. Dördüncü ve beşinci paragrafların amaçları doğrultusunda taahhüt edilmiş sermayede artırım kararı uyarınca bankalar ve diğer finans kuruluşlarına birinci ila üçüncü paragraflar uyarınca hissedarlara teklif edilmek üzere hisse ihracı yapıldığı durumlarda rüçhan hakkı hariç bırakılamaz.
Madde 34
Taahhüt edilmiş sermayede, mahkeme emri ile olanlar hariç, herhangi bir indirim en azından toplantı yeter sayısı ve çoğunluk konularında Madde 44’de belirlenen usul uyarınca, Madde 40 ve 41 hükümleri saklı kalmak koşuluyla hareket eden genel kurulun kararına tabi olacaktır. Bu kararlar 2009/101/EC sayılı yönergenin üçüncü Maddesi uyarınca her bir üye ülkenin yasalarının öngördüğü usule uygun olarak yayımlanacaktır. Genel kurulu toplantıya çağıran tebligat en azından sermaye indiriminin amacını ve bunun nasıl gerçekleştirileceğini belirtmelidir.
Madde 35
Birden fazla hisse sınıfın olduğu durumlarda genel kurulun taahhüt edilmiş sermayede indirime ilişkin kararı en azından hakları işlemden etkilenen her bir hisse sınıfının hissedarları için ayrı birer oylamaya tabi olacaktır.
Madde 36
1. Taahhüt edilmiş sermayede bir indirim durumunda en azından hakları indirim kararının öncesine dayanan alacaklılar en azından yayım tarihinde vadesi gelmemiş alacakları için teminat alma hakkına sahip olacaklardır. Üye ülkeler alacaklının yeterli koruması olması ya da şirketin varlıklarından ötürü korumanın gerekli olmama halleri haricinde bu hakkı geçersiz kılamazlar.
Üye ülkeler birinci paragrafta belirtilen hakkın kullanılması için geçerli koşulları belirleyeceklerdir. Her durumda üye ülkeler alacaklıların sermaye indirimi yüzünden alacaklarının ifasının tehlikeye girdiğini ve şirket tarafından kendilerine yeterli teminatın sunulmadığını gösterebilmeleri durumunda yeterli koruma için ilgili idari veya adli makamlara başvurabilmelerini taahhüt altına alacaklardır.
2. Üye ülkelerin yasaları ayrıca alacaklılar haklarını alana veya yetkili bir mahkeme bunların başvurularının kabul edilmediğine hükmedene kadar sermaye indiriminin batıl olacağını şart koşacaktır.
3. Bu madde taahhüt edilmiş sermayedeki indirimin hissedarların katkı payları bakiyelerinin tümden veya kısmen feragati ile gerçekleşmesi durumunda uygulanacaktır.
Madde 37
1. Üye ülkeler taahhüt edilmiş sermayede uğranılan zararların telafisi veya söz konusu rezervdeki miktar taahhüt edilmiş sermayenin indirimden sonraki miktarının %10’undan fazla olmamak şartıyla bir rezerv para koymak amaçlı yapılan indirimlerde Madde 36’yı uygulamamayı tercih edebilirler. Taahhüt edilmiş sermayede bir indirim durumu haricinde bu rezerv hissedarlara dağıtılamaz ve yalnızca, üye ülkeler bu işlemlere izin veriyorsa, uğranılan zararları telafi etmek ya da rezervin kapitalizasyonu yoluyla taahhüt edilmiş sermayede bir artırım için kullanılabilir.
2. Birinci paragrafta sözü edilen durumlarda üye ülkelerin yasaları en azından taahhüt edilmiş sermayede yapılan indirimden elde edilen meblağların hissedarlara ödenmesi veya dağıtılması ya da hissedarların katkı payı yükümlülüklerinden muaf tutulması için kullanılmaması için gerekli önlemleri barındıracaktır.
Madde 38
Taahhüt edilmiş sermayede Madde 6 uyarınca belirlenmiş asgari sermaye tutarının altına düşecek şekilde bir indirim yapılamaz.
Fakat üye ülkeler taahhüt edilmiş sermayedeki indirim kararının sadece taahhüt edilmiş sermayede gerekli asgari tutarın üzerine çıkacak şekilde bir artırım yapıldığında yürürlüğe girmesini sağlarlarsa böyle bir indirime izin vermeyi tercih edebilirler.
Madde 39
Üye bir ülkenin yasalarının taahhüt edilmiş sermayenin kısmi ya da tümden itfasına izin verdiği durumlarda bu yasalar en azından aşağıdakileri şart koşacaktır;
(a) tüzük veya tescil belgesi itfa durumunu içeriyorsa bunun kararı en azından olağan toplantı yeter sayısı ve çoğunluk hükümlerinin geçerli olduğu bir genel kurul oylamasıyla verilecektir, eğer tüzük veya tescil belgesi itfa durumunu içermiyorsa bunun kararı en azından Madde 44 tarafından belirlenen toplantı yeter sayısı ve çoğunluk hükümlerinin geçerli olduğu bir genel kurul oylamasıyla verilecektir, bu karar 2009/101/EC sayılı yönergenin üçüncü Maddesi uyarınca her bir üye ülkenin yasalarının öngördüğü usule uygun olarak yayımlanacaktır,
(b) yalnızca Madde 17(1) ila (4) kapsamında dağıtılmaya uygun olarak belirlenen meblağlar itfa amacıyla kullanılabilir,
(c) hisseleri itfa edilen hissedarlar şirket üzerindeki haklarını, faiz geri ödemesi ve itfa edilmemiş hisseler üzerindeki bir kar payı dağıtımı hariç, muhafaza edeceklerdir.
Madde 40
1. Üye bir ülkenin yasaları şirketlerin hisselerin zorunlu geri çekilmesiyle taahhüt edilmiş sermayelerinde bir indirime gitmelerine izin veriyorsa bu yasalar en azından aşağıdakileri şart koşacaktır;
(a) zorunlu geri çekilme tüzük veya tescil belgesi tarafından geri çekilecek hisseler alınmadan önce saptanmış ya da izin verilmiş olmalıdır,
(b) zorunlu geri çekilme yalnızca tüzük veya tescil belgesi ile saptanmış ya da izin verilmiş ise ilgili hissedarlar tarafından oy birliğiyle onaylanmamışsa genel kurul toplantısıyla kararlaştırılacaktır,
(c) zorunlu geri çekilme kararını veren şirket organı bunun şartları ve usulünü, eğer halihazırda tüzük veya tescil belgesiyle belirlenmemişse, belirleyecektir,
(d) Madde 36 şirketin karşılıksız erişebileceği ya da Madde 17(1) ila (4) uyarınca dağıtıma uygun meblağlar kullanılarak geri çekilmiş tamamı ödenmiş hisselerin durumları haricinde uygulanacaktır, bu durumlarda ise geri çekilmiş hisselerin nominal değerine ya da bunun yokluğunda hesaplanabilir itibari değere eşit bir tutar bir rezervde tutulmalıdır, taahhüt edilmiş sermayede bir indirim haricinde bu rezerv hissedarlara dağıtılamaz ve yalnızca, üye ülkeler bu işlemlere izin veriyorsa, uğranılan zararları telafi etmek ya da rezervin kapitalizasyonu yoluyla taahhüt edilmiş sermayede bir artırım için kullanılabilir,
(e) zorunlu geri çekilme kararı 2009/101/EC sayılı yönergenin üçüncü Maddesi uyarınca her bir üye ülkenin yasalarının öngördüğü usule uygun olarak yayımlanacaktır.
2. Madde 34(1), 35, 37 ve 44 bu maddenin birinci paragrafının sözünü ettiği durumlarda uygulanmayacaktır.
Madde 41
1. Şirketin kendisinin veya kendi adıyla fakat şirket namına hareket eden bir kişinin sahip olduğu hisselerin geri çekilmesi ile gerçekleşen bir taahhüt edilmiş sermaye indirimi durumunda bu çekilme her zaman genel kurul toplantısıyla karara bağlanmalıdır.
2. Hisselerin tamamen ödenmiş ve karşılıksız olarak veya Madde 17(1) ila (4) uyarınca dağıtıma açık olan meblağlar kullanılarak edinilmiş olmaları durumları hariç Madde 36 uygulanacaktır, bu durumlarda ise geri çekilmiş hisselerin nominal değerine ya da bunun yokluğunda hesaplanabilir itibari değere eşit bir tutar bir rezervde tutulmalıdır, taahhüt edilmiş sermayede bir indirim haricinde bu rezerv hissedarlara dağıtılamaz ve yalnızca, üye ülkeler bu işlemlere izin veriyorsa, uğranılan zararları telafi etmek ya da rezervin kapitalizasyonu yoluyla taahhüt edilmiş sermayede bir artırım için kullanılabilir.
3. Madde 35, 37 ve 44 bu maddenin birinci paragrafının sözünü ettiği durumlarda uygulanmayacaktır.
Madde 42
Madde 39, Madde 40(1) (b) noktası ve Madde 41(1) tarafından ele alınan durumlarda, birden fazla hisse sınıfı olduğunda, genel kurulun taahhüt edilmiş sermayenin itfası veya hisselerin geri çekilmesi yoluyla indirimi en azından her bir hisse sınıfının hakları bu işlemden etkilenen hissedarları için yapılacak bir oylamaya tabi olacaktır.
Madde 43
Üye bir ülkenin yasaları şirketlere itfa edilebilir hisseler ihraç etme izni veriyorsa bu yasalar bu hisselerin itfası için en azından aşağıdakileri şart koşacaktır;
(a) itfaya şirketin tüzüğü veya tescil belgesi tarafından itfa edilebilir hisseler alınmadan önce izin verilmiş olmalıdır,
(b) hisseler tamamıyla ödenmiş olmalıdır,
(c) itfanın koşulları ve usulü şirketin tüzüğü veya tescil belgesi tarafından belirlenmelidir,
(d) itfa yalnızca Madde 17(1) ila (4) uyarınca dağıtıma açık olan meblağlar ya da itfa amacıyla yapılmış yeni bir ihracın gelirleri kullanılarak yapılabilir,
(e) itfa edilen hisselerin nominal değerine ya da bunun yokluğunda hesaplanabilir itibari değere eşit bir tutar bir rezervde tutulmalıdır, taahhüt edilmiş sermayede bir indirim haricinde bu rezerv hissedarlara dağıtılamaz ve yalnızca, üye ülkeler bu işlemlere izin veriyorsa, uğranılan zararları telafi etmek ya da rezervin kapitalizasyonu yoluyla taahhüt edilmiş sermayede bir artırım için kullanılabilir.
(f) (e) noktası itfa amacıyla yapılmış yeni bir ihracın gelirlerine uygulanamaz,
(g) bir itfanın sonucunda hissedarlara prim ödenmesi hükmü verildiyse bu prim yalnızca Madde 17(1) ila (4) uyarınca dağıtıma açık olan meblağlar veya bu Maddenin (e) noktasında sözü edilenden farklı hissedarlara taahhüt edilmiş sermayede bir indirim durumu haricinde dağıtılamayacak bir rezervden ödenecektir, söz konusu rezerv yalnızca rezervlerin kapitalizasyonu yoluyla taahhüt edilmiş sermayede artırım veya Madde 3 (j) noktasında sözü edilen maliyetleri ya da hisse veya teminatsız tahvillerin ihraç maliyetlerini karşılamak ya da itfa edilebilir hisseleri veya teminatsız tahvilleri ellerinde tutanlara bir prim ödemesi için kullanılabilir,
(h) itfa kararı 2009/101/EC sayılı yönergenin üçüncü Maddesi uyarınca her bir üye ülkenin yasalarının öngördüğü usule uygun olarak yayımlanacaktır.
Madde 44
Üye ülkelerin yasaları Madde 33(4), (5), Madde 34, 35, 39 ve 42’de sözü edilen kararların menkul kıymetlere veya temsil edilen taahhüt edilmiş sermayeye tekabül eden oy hakkının en az üçte ikisi bir çoğunlukla alınmasını şart koşmalıdır.
Fakat üye ülkelerin yasaları taahhüt edilmiş sermayenin en az yarısının temsil edildiği durumlarda birinci paragrafta belirtilen oyların basit çoğunluğunu yeterli saymayı tercih edebilirler.
Madde 45
1. Üye ülkeler çalışanlar veya ulusal yasalarca tanımlanmış diğer kişi gruplarının katılımını teşvik etmek için koyulmuş hükümlerin benimsenmesi veya uygulanması için gerekli olduğunda Madde 9 birinci paragraf, Madde 21(1) (a) noktası birinci cümlesi, Madde 29, 30 ve 33’ten sapmayı tercih edebilirler.
2. Üye ülkeler özel bir yasa kapsamında kurulmuş sermaye hisseleri ile genel kurulda delegelerle temsil edilen ve oy hakkı olan bir organ olarak şirketin çalışanlarına ihraç edilen işçi hisseleri ihraç eden şirketlere Madde 21(1) (a) noktası birinci cümlesi, Madde 34, 35, 40, 41, 42 ve 43’ü uygulamamayı tercih edebilirler.
Madde 46
Bu yönergenin uygulama amaçları çerçevesinde üye ülkelerin yasaları aynı konumdaki hissedarların eşit muamele görmesini teminat altına alacaktır.
Madde 47
1. Üye ülkeler 77/91/EEC sayılı yönerge ile uyumluluk adına benimsenmiş yasalar, düzenlemeler ve idari hükümlerin yürürlüğe girme tarihlerinden önce kurulmuş şirketlere Madde 3 (g), (i), (j) ve (k) noktalarını uygulamamayı tercih edebilirler
2. Üye ülkeler bu yönergenin kapsadığı alanda ulusal yasalarında benimsedikleri ana hükümlerin metnini Komisyona bildireceklerdir.
Madde 48
Ek II Kısım A’da listelenen tasarruflarla yenilenen 77/91/EEC sayılı yönerge üye ülkelerin Ek II Kısım B’de listelenen yönergelerin ulusal yasalara aktarımı ve uygulaması için süre sınırları yönündeki yükümlülükleri saklı kalmak koşuluyla yürürlükten kaldırılmıştır.
Yürürlükten kaldırılan yönergeye yapılan atıflar bu yönergeye yapılmış olarak yorumlanacak ve Ek III’deki bağlılaşım tablosuna göre okunacaktır.
Madde 49
Bu yönerge Avrupa Birliği Resmi Gazetesinde yayımını takip eden yirminci günde yürürlüğe girecektir.
Madde 50
Bu yönerge üye devletlere yöneliktir.
