Summary With a market capitalization of €40 billion at the end of 2007, the Fortis Belgian-Dutch bank-insurance group was among the 20 largest European financial institutions.In October 2007, a consortium consisting of Fortis, Royal Bank of Scotland and Banco Santander had acquired ABN AMRO (a Dutch banking-insurance group with a wide international presence), with the Fortis share in the acquisition price amounting to approximately €24 billion. However, the deterioration in financial market conditions during 2008 made it more difficult for Fortis to issue the new capital and longer term debt instruments it had planned for the financing of its share of the takeover of ABN AMRO. In addition, the emerging financial crisis made it more difficult for Fortis to fund itself in the wholesale markets, and resulted in losses in its holdings of structured credits (including sub-prime mortgage backed securities). At the end of June 2008, Fortis decided to implement a series of measures designed to reinforce its financial solvency. However, shareholders responded badly to these measures and the Fortis share price began to fall. The Fortis CEO resigned a few days later. The worsening market perception of Fortis was reinforced by the failure of Lehman Brothers in mid-September 2008, which had a dramatic negative impact on confidence in banks across the US and Europe in particular. As with many other banks at this time, this led to government intervention to support Fortis. In this case, the governments of Belgium, the Netherlands and Luxembourg decided to intervene in the final weekend of September 2008 in order to avoid suspension of payments by Fortis Bank. These interventions - known as the Benelux Plan - took place at a national level in order to support the Fortis Bank operations in each of the three countries. However, to the surprise of all the protagonists, this drastic action was unable to calm the markets. Early in October 2008 the Belgian Government was forced to arrange for the sale of Fortis Bank Belgium to BNP Paribas. The shareholders of Fortis believed that these rescue actions had damaged the value of the group, so they took various legal actions against Fortis and the Belgian Government, seeking to reverse the sale to BNP Paribas, and requesting the appointment of a body of expert auditors to examine the situation of Fortis during the transfer of the banking and insurance shares to the three national governments. In December 2008, the Brussels Court of Appeal acceded to this request, freezing the sale of the assets of Fortis to BNP Paribasconcluded at the beginning of October, and leaving the late September decision on the sale of assets to an extraordinary general meeting of Fortis shareholders. At this meeting in February 2009 the shareholders of Fortis rejected the Belgian Government’s bank rescue plan, although they later (in April 2009) agreed to a revised sale plan. b. Context a. The Belgian economy The Belgian economy had grown robustly in the four years ahead of 2007, at around 2.5% a year in real terms. But this slowed to 1.1% in 2007, broadly in line with the rest of Europe, as a result of the rising cost of raw materials, the slowdown in world trade and the appreciation of the euro. Quarterly real GDP growth remained positive but low in the first three quarters of 2008, and therefore slightly stronger than in the rest of Europe, primarily due to the effect of more robust domestic demand in Belgium. However, like the other European economies, the Belgian economy was badly affected by the sharp deterioration in general economic conditions following the intensification of global financial stresses from mid- September 2008. Real GDP fell by 1.3% in the fourth quarter of 2008, comparable to the sharp falls suffered during the severe 1980-1981 and 1992-1993 short-term economic slowdowns, and the economy remained weak in 2009. Real GDP fell by 2.8% in 2009, before growing by around 2% in each of 2010 and 2011. b. The Belgian banking system The Belgian banking sector is highly concentrated. The difficulties faced by two of the largest financial institutions (Fortis and Dexia) required a recapitalization by the government, but the whole of the Belgian financial system was faced with significant stress, as shown by the losses incurred (whether realized or not) by the portfolios of financial assets held by these banks, and the fragility of the liquidity positions that resulted from the malfunctioning of the main inter-bank and wholesale financial markets. In this general context, the authorities have implemented proactive measures, including guarantees for some new short-term bank debt, the increase in the deposit guarantee ceiling, and the subscription by the Belgian Government fornew shares inKBC Group. c. The role of the CBFA and Belgian prudential regulation The Insurance, Financial and Banking Commission (CBFA) is an independent public body.It is financed by contributions from enterprises whose activities are controlled by the CBFA according to procedures established by royal decree. It is now the sole Belgian authority responsible for control of most financial institutions and financial services to the public. 4. Fortis a. Acquisition of ABN AMRO Fortis Group was originally created in 1990, as a result of the merger of AMEV, a large Dutch insurer, VSB, a Dutch banking group, and AG, a Belgian insurer. The Group then expanded into Poland and Turkey through the acquisition of banks in those countries; and into private banking, wealth management and investment banking through acquisitions in Belgium, the Netherlands and Luxembourg. In October 2007, a consortium consisting of Fortis, the Royal Bank of Scotland and Banco Santander completed the acquisition of ABN AMRO, with the Fortis share in the acquisition price amounting to approximately €24 billion (out of a total acquisition price of €71 billion). This consortium offer had first been made in April 2007, and in the end the shareholders of ABN AMRO accepted this contested offer because it offered a higher price for ABN AMRO than a rival uncontested offer from Barclays. As had been agreed in advance, the plan was for Fortis to take control of the international private banking and asset management activities of ABN AMRO, together with its retail and commercial banking activities in the Netherlands, Belgium and Luxembourg. For competition reasons, the European Commission required Fortis to re-sell ABN AMRO’s commercial banking operations in these three countries. In part as a result of its role in the acquisition of ABN AMRO, Fortis was present in more than 50 countries and had a workforce of 85,000 employees. Fortis could therefore be considered as a leader in the European financial services sector, as one of the three largest private banks and a top-ranked asset manager. With a market capitalization of €40 billion at the end of 2007 the Fortis Belgian-Dutch bank-insurance group was among the 20 largest European financial institutions. Its banking operations included retail, commercial and investment banking; and its insurance products included life insurance, health insurance and general insurance. Annexes A and B show the Fortis Group balance sheet and group structure following the acquisition of just over 33% of ABN AMRO. Fortis had financed its share of the acquisition price through a mixture of capital-raising (€13.4 billion in September-October 2007) and long and short term debt financing, with a further strengthening of its balance sheet planned for 2008. However, the drop in equity prices (at both Fortis and most of the rest of the financial sector) and the general deterioration of confidence in all financial institutions during the first half of 2008 made it difficult for Fortis to complete the additional capital raising it had planned (in effect, to replace the debt it had used to finance the takeover of ABN AMRO with equity). The market environment was also becoming increasingly difficult for Fortis because: • The purchase price of ABN AMRO included a significant amount of goodwill (ie the price paid exceeded the net asset value of ABN AMRO). Fortis would have to write-off part of these intangible assets (or hold additional capital against them because intangible assets would be deducted from regulatory capital); • Fortis had to record write-offs in the value of its holdings of structured credits (by the end of June 2008, around €2 billion had been written off against a portfolio of €53 billion); • Financial instruments were becoming more difficult to market; • The sale of the commercial banking operations required by the European Commission would have to be implemented under conditions that were less favourable than those anticipated in 2007. These operations were sold to Deutsche Bank in July 2008, resulting in a negative impact of €1.1 billion on Fortis’s capital position; and • Operating results were declining. At the end of June 2008, Fortis decided to implement a series of measures to strengthen its capital position. However, the financial conditions for these various measures were poor, and on the day the measures were announced, the Fortis share price in a single session fell by 20%from €12.50 to €10. Current and prospective shareholders were worried that Fortis needed to raise so much additional capital, and were not persuaded that future returns would be sufficient to generate a strong return on equity. Fortis did, however, manage to raise an additional €8.3 billion of capital, including €2 billion from issuing new shares; €2 billion from the sale of non-strategic assets; €1.5 billion by eliminating dividend payments; and €1.5 billion from a sale and leaseback of property. In the days that followed, market concerns continued, with declining stock prices, leading to the departure of the CEO, Mr. Jean Voltron, on 11 July 2008.The instability of the Fortis management made it even more difficult to achieve the solvency plan announced at the end of June. After a slight stabilization in July-August, the stock price continued to decline, and the rating agencies continued to downgrade the Fortis shares. For example, Standard & Poors justified its decision to reduce its rating by noting both the large absolute size of Fortis’s structured credits portfolio and the signs that further write-downs might become necessary. The following chart shows the changes in the share price during this period. The role of Fortis in the ABN AMRO acquisition was supposed to increase Fortis’s market share in "low risk" activities (retail clients, SMEs, wealth management, etc.) andto enhance group liquidity (excess deposits were estimated at €25 billion). But as market conditions deteriorated, the end result was a series of major difficulties for Fortis, reflecting the high price paid for ABN AMRO, the need to rebuild capital, and the liquidity and operational risks associated with the integration of part of ABN AMRO. Fortis found itself locked into a race to improve its capital adequacy as market conditions became increasingly difficult, and unable to adapt its strategy as the options narrowed. b. Role of the CBFA in the ABN AMRO acquisition In 2007, the CBFA became deeply involved in the ABN AMRO acquisition by a consortium composed of The Royal Bank of Scotland, Banco Santander Central Hispano SA and Fortis. This acquisition was exceptional due not only to the size of the transaction, but also the special circumstance that the three bank candidates in the acquisition of ABN AMRO had formed a consortium and concluded among themselves agreements in advance on the distribution of the activities of the Dutch banking and insurance group. In this type of operation, the role of the banking supervisory authorities was regarded at the time as being to assess whether the sound and prudent management of the banking institutions in question will be maintained and that the new entities resulting from the takeover bid hold sufficient capital and liquidity and will be subject to adequate risk management and control. Given the considerable implications for Fortis of this acquisition, the CBFA, as the authority responsible for the consolidated control of the Fortis Group, therefore monitored the various aspects of the acquisition. In particular, the CBFA closely monitored: i. the financing plan underpinning the acquisition and the evolution of the financial structure of the Fortis Group, taking into account the stressed situation of the financial markets that had begun to develop in the summer of 2007; ii. the capital adequacy of the relevant Fortis entities that would result from the acquisition; iii. the adequacy of the overall management and risk management capability of the expanded Fortis Group; and iv. the progression of the transition and integration processes established within the Fortis Group, including the adequate control of the associated financial, legal, business and computerised data processing risks. These aspects of the acquisition of ABN AMRO were also discussed in consultation with the Dutch, British and Spanish banking supervisory authorities acting in a college of supervisors structure during the transition phase. The main purpose of the supervisory college was to ensure optimal communication among these supervisory authorities and the consortium on all regulatory and prudential issues. Special attention was paid to the implementation of the "Consortium and shareholders' agreement" concluded among the three purchasers. The college would continue to operate until the completion of the ABN AMRO integration process and the realisation of the transition and separation plans for the activities of ABN AMRO. The CBFA took part in the preparatory examination conducted by the Dutch central bank and banking supervisor De Nederlandsche Bank (DNB) for the granting by the Dutch Minister of Finance of a declaration of non-objection to the change of ownership of the ABN AMRO group. The CBFA together with DNB thus ensured compliance by Fortis with the conditions laid down by the Minister of Finance, and on the conditions laid down by the DNB for granting this declaration of non-objection. These conditions dealt, among other things, with the adequate funding of the Fortis participation in the consortium. Following the announcement of the intended acquisition of ABN AMRO, the CBFA asked Fortis to present it with a detailed financing plan. In order to provide the largest share of the financing of its participation, Fortis proceeded with an increase in capital of €13 billion through a public offering with preferential rights, after obtaining the agreement of its shareholders at an extraordinary general meeting held on 6 August 2007. In September 2007, the CBFA approved the prospectus for this public offering. In order to consider the impact of the acquisition in terms of the solvency and profitability of the Fortis Group, the CBFA also addressed the valuation of the assets of ABN AMRO and the organisation and operation of the consortium. In addition, given the evolution of interbank markets during the period in question, the CBFA exercised special monitoring of Fortis Bank’s liquidity management. Another condition put in place by the Dutch Finance Minister for the granting of the declaration of non-objection focused on the establishment by the consortium of a transition plan and its approval by the DNB. This plan was analysed by the DNB in consultation with the members of the college of the supervisory authorities. The objective of this review was to ensure the proper management of the transition phase prior to the full integration of the respective ABN AMRO activities into the three members of the consortium. This transition period, which was due to extend over nearly two years, envisaged that Fortis would first integrate the activities of ABN AMRO asset management into the specialized Fortis Investment subsidiary. Fortis would then proceed with the integration of the international activities of the ABN AMRO private bank, and the retail banking and commercial segment activities in the Netherlands. For the duration of this transition period, the CBFA would pay particular attention to this integration process, and in particular to its organizational and financial impact on the Fortis entities involved. c.The Benelux plan of 27-28September 2008 The failure of Lehman Brothers on 15 September 2008 sent shock waves through the world’s financial system, as confidence in banks (and in the willingness and ability of the authorities to rescue failing banks) fell to a new low. By 25 September Fortis’s share price had fallen to €5. And the cost of credit default swaps (CDS – the cost of insuring against the failure of the firm) for claims on Fortis increased from 270 to 600 basis points from one day to the next. This rate had been around 90 basis points in the first half of 2008. On the evening of Thursday 25 September, the CBFA strongly recommendedthat Fortis should explore all useful strategic options to remedy the situation, including seeking the support of a strong external partner. On Friday 26 September, Fortis published a press release statingthat its exposure to Lehman Brothers was not significant, that it had lost only a small amount of deposits since the beginning of 2008, and that it was accelerating its planned sale of non-core assets. But this missed the point – the problems for major banks (including Fortis) were the impact of deteriorating market conditions on (i) their ability to fund themselves, especially in wholesale markets, and (ii) the value of their holdings of securities and of the collateral they held against their lending, not simply their direct exposures to Lehman Brothers. The financial markets no longer hadconfidence in banks, or in communications from banks, and indeed were generally in a state of widespread panic. By the close on Friday 26 September Fortis was confronted with a host of negative factors: i. loss of access to the overnight interbank market in which it normally obtained €15 to 20 billion of funding; ii. the bank's institutional clients began to withdraw significant deposits - €20 billion of deposits were withdrawn on 26 September, and a further €30 billion of deposits were expected to be withdrawn the following Monday; iii. private clients began to withdraw deposits; iv. by the end of the day, Fortis had mobilized all its buffer collateral for obtaining liquidity support from the European Central Bank and the repo market; v. for the first time, Fortis had to draw on the marginal emergency loan (Marginal Lending Facility) granted by the National Bank of Belgium for €5.4 billion to meet its funding needs; vi. cash requirement forecasts, and therefore the ability of Fortis Bank to continue operating,showed the need for third party intervention to enable Fortis to fund itself from the morning of Monday 29 September and the following days. During the weekend of 27-28 September 2008, Fortis was unable to present a proposal to the Belgian Government to increase capital, either from existing shareholders or from other financial institutions. Verbal indications of interestby foreign bankswere received (including from ING in the Netherlands and BNP Paribas in France), but these were deemed to be insufficient by the Belgian Government. Instead, the authorities in Belgium, the Netherlands and Luxembourg authorities decided to study the injection of capital into the banking part of the Fortis Group. The intention was that an increase in capital would restore market confidence; avoid paralysis of the payments system (in Belgium, Fortis was clearly considered to be a "systemic" financial institution); and protect depositors' savings. The liabilities of Fortis Bankamounted to nearly €600 billion, equivalent to approximately 2 times the Belgian GDP. In addition, in view of the weakness of the financial markets, the Belgian Government and the Belgian central bank were worried that they would also have to support another Belgian bank. Given the already high public debt/GDP ratio in Belgium, the granting of guarantees to the banking sector would risk exerting pressure on the Belgian state's rating, and as a consequence on the cost of financing the public debt. Given the importance of the Fortis situation to the financial stability not only of Belgium but also of Europe as a whole, Mr.Trichet,the President of the ECB and Mme Lagarde, representing the French presidency of the European Union, participated actively in the discussionson the organization of the bank rescue. One option would have been for the three national authorities to inject capital into the Fortis holding company, enabling the Fortis Group to allocate this capital to wherever it was most needed to meet losses and to strengthen the solvency of its national banking operations. However, the national authorities chose not to pursue this option, but instead to intervene in the Fortis banking subsidiary in their respectivecountries, aiming first and foremost to safeguard the financial stability and ensure the protection of depositors in each respective country. It was therefore announced on Sunday 28 September that Fortis would be partly nationalised, with the three governments investing a total of €11.2 billion (€4.7 from the Belgian Government, €4 billion from the Netherlands and €2.4 billion from Luxembourg). The Belgian Government would take a 49% stake in the overall bank holding company, while the Dutch and Luxembourg Governments would take a 49% stake in the Fortis banking operations in their respective countries. This would also have the effect of the Dutch Government taking partial control of the parts of ABN AMRO that had been acquired by Fortis, since this was held as a subsidiary of Fortis Bank Netherlands, putting an end to Fortis’s plans to develop this into a trans-national banking and insurance conglomerate. Plans to integrate the retail banking activities of ABN AMRO into Fortis were halted. In addition, the Belgian and Dutch central banks provided emergency liquidity facilities for Fortis, of €58 billion and €7 billion respectively. The Fortis Board of Directors endorsed this plan on the night of 28 September 2008. d. Early October 2008 interventions However, these planned injections of government funds into the banking subsidiaries within the Fortis Group at the end of September 2008 were not sufficient to restore market confidence in Fortis. The Fortis Group share price continued to fall, to below €4, and the withdrawal of wholesale, private banking and retail deposits continued, reaching around €50 billion by 3 October. This in turn led to Fortis having to draw down €52 billion of its emergency liquidity arrangement with the Belgian central bank and all €7 billion of its facility from the Netherlands central bank by the close of Thursday 2 October (these facilities had been agreed during the weekend of 27-28 September). This continuous and dangerous deterioration compelled the Dutch Government to announce on Friday 3 October that it would take 100% control of all the Fortis banking and insurance entities in the Netherlands (including the retail activities of ABN AMRO) for a purchase price €16.8 billion. The Dutch Government was concerned that (i) its 49% stake in Fortis Bank Netherlands would not be sufficient to resolve the problems in the Fortis Group, and that (ii) it also needed to resolve the insurance operations of Fortis in the Netherlands (because of the risk of contagion across the Fortis Group). The Dutch Government also announced that it was preserving the “healthy” part of the Fortis Group’s operations, which were located in the Netherlands. The Dutch Government subsequently used its 100% control of the Dutch operations of Fortis to create a new bank out of Fortis Bank Netherlands and the parts of ABN AMRO owned through Fortis Bank Netherlands. It also subsequently sold Fortis Corporate Insurance. On the same day (Friday 3 October), the Luxembourg Government increased its control of Fortis Bank Luxembourg from 49% to 52%. The Belgian Government was annoyed by this unilateral action by the Netherlands Government, claiming that the Netherlands had not put up the promised €4 billion from the end-September rescue agreement, and had encouraged Dutch banks and other wholesale market players to withdraw funds from Fortis. The Belgian Government was also upset by a claim by the Netherlands Government that the Fortis operations in the Netherlands were “sound” – implying that all the problems were in the Belgian operations. The Belgian Government was forced by a combination of the deteriorating position of Fortis and of the actions of the Dutch and Luxembourg Governments to seek a solution to the Fortis entities in Belgium. The Belgian Government was keen to limit its own role in any solution, and was therefore attracted to the idea of selling as much of Fortis as possible to a third party. After a weekend of difficult negotiations among Fortis, the Belgian Government and BNP Paribas, it was announced on Monday 6 October that, in effect, BNP Paribas would take majority control of Fortis, including the banking subsidiaries in Belgium and Luxembourg, and some of the insurance activities of the group. Within this deal, BNP Paribas would protect itself from most of any losses on the most toxic elements in the structured products portfolio, and Fortis Group would be left with some positive value in the group holding companies. In more detail: a. the Belgian Government bought the remaining 51% of Fortis Bank (including Bank Fortis Luxembourg) from Fortis Group for €4.7 billion; b. a €10.4 billion portfolio of structured products was split out from the bank, and a 66% share of this portfolio was sold back to Fortis Group, leaving 24% with the Belgian Government and 10% with BNP Paribas; c. 75% of Fortis Bank was then sold to Paribas BNP (due for completion in December 2008) for €11 billion in shares – making the Belgian Government a 12% shareholder in BNP Paribas; and d. BNP Paribas bought 100% of Fortis Insurance Belgium; as a result of which e. Fortis Group was left with a 66% share in the structured products portfolio, Fortis Insurance International, and a small amount of cash. Annex C shows the planned group structure following these interventions. The withdrawal of deposits began to slow down, while BNP Paribas in turn began to grant substantial advances to support interbank funding by Fortis Bank. e. The legal disputes This was not the end of the story. The shareholders of Fortis Group believed that they had been disadvantaged by both the injections of capital from the three Governments, and by the sale of part of the group to BNP Paribas. The shareholders believed that the Fortis Group could have been saved in its entirety if the three national governments had supported the Fortis Group as a whole from the outset. The shareholders therefore took legal action against the Board of Fortis, the Federal Participation and Investment Corporation (the legal entity in which the Belgian state investments were held), and BNP Paribas. They specifically requested the appointment of a body of expert auditors to examine the situation of the insurance-banker on the moment of the transfer of the banking and insurance assets; and they pleaded for the suspension of the “contentious” resolutions of the board of directors by which Fortis Belgium had been sold to BNP Paribas. On 12 December 2008 the Brussels Court of Appeal acceded to this request, ordering that the actions of 3-6 October did require shareholder approval. This froze the sale of assets to BNP Paribas, and left the decision as to the sale of the assets to an extraordinary general meeting of Fortis shareholders. Accusations that the Belgian Government had attempted to interfere with the 12 December Court of Appeal decision led to the resignation of the Government on 22 December. At the extraordinary meeting on 11 February 2009 Fortis Group shareholders rejected by 51 per cent to 49 per cent the Belgian Government rescue plan which provided for the surrender of the major part of its banking and insurance activities to BNP Paribas. And they rejected by 57 per cent to 43 per cent the sale of the Dutch entities to the Dutch Government. However, according to the report of a committee of experts designated at the request ofa Belgian Court, the BNP Paribas purchase of a large part of Fortis’ activities is "the most reasonable and most appropriate" solution to the difficulties of the Fortis Group. Negotiations between the three Governments, BNP Paribas and Fortis during February and March 2009 led eventually to a slightly revised version of the early October sales, the main difference being that more of Fortis Insurance Belgium would remain with the Fortis Group rather than being sold to BNP Paribas. On this basis the shareholders of Fortis Group finally agreed to the revised sale terms on 28 and 29 April 2009. The combined (pre-sale) Fortis Group made a loss of €28 billion in 2008, although its insurance activities showed a profit. Introduction a. Récapitulatif Avec une capitalisation boursière de 40 milliards € à la fin de 2007, Fortis, le groupe belgo-néerlandais de bancassurance, était parmi les 20 plus grandes institutions financières européennes. En octobre 2007, un consortium composé de Fortis, de la Royal Bank of Scotland et de Banco Santander avait acquis ABN AMRO, (un groupe de bancassurance néerlandais avec une large présence internationale), la participation de Fortis dans le prix d'acquisition s'élevant à environ 24 milliards €. Toutefois, la détérioration des conditions des marchés financiers en 2008 avait rendu cela plus difficile à Fortis d'émettre de nouveaux instruments de capital et des titres de créance à long terme qu'il avait prévus pour le financement de sa participation dans l'acquisition d'ABN AMRO. En outre, la crise financière sur les marchés émergents avait rendu cela plus difficile à Fortis de se financer sur les marchés de gros, et avait entraîné des pertes dans son portefeuille de crédits structurés (y compris les titres adossés à des crédits hypothécaires à risque). À la fin de juin 2008, Fortis avait décidé de mettre en œuvre une série de mesures destinées à renforcer sa solvabilité financière. Toutefois, les actionnaires avaient mal réagi à ces mesures et le prix de l'action Fortis avait commencé à chuter. Quelques jours plus tard, le PDG de Fortis démissionnait. L'aggravation de la perception du marché de Fortis avait été renforcée par la faillite de Lehman Brothers à la mi-septembre 2008, qui avait eu un impact négatif considérable sur la confiance vis à vis des banques à travers les États-Unis et l'Europe en particulier. Comme avec beaucoup d'autres banques en ce moment-là, cela avait conduit à l'intervention du gouvernement pour soutenir Fortis. Dans ce cas précis, les gouvernements de la Belgique, des Pays-Bas et du Luxembourg avaient décidé d'intervenir le dernier week-end de septembre 2008, afin d'éviter la suspension des paiements par Fortis Bank. Ces interventions - connues sous le nom du Plan Benelux - avaient eu lieu au niveau national afin de soutenir les opérations de Fortis Bank dans chacun des trois pays. Cependant, à la surprise de tous les protagonistes, cette action drastique avait été incapable de calmer les marchés. En début octobre 2008, le gouvernement belge avait été contraint de procéder à la vente de Fortis Bank Belgium à BNP Paribas. Les actionnaires de Fortis estimaient que ces actions de sauvetage avaient endommagé la valeur du groupe, alors ils avaient engagé diverses actions en justice contre Fortis et le gouvernement belge, cherchant à annuler la vente à BNP Paribas, et demandant la mise en place d'un corps d'expert auditeurs pour examiner la situation de Fortis pendant le transfert des actions de banque et d'assurance aux trois gouvernements nationaux. En décembre 2008, la Cour d'appel de Bruxelles avait accédé à cette demande en annulant la vente conclue en début octobre, des actifs de Fortis à BNP Paribas, et en laissant la décision de fin septembre sur la vente d'actifs à une assemblée générale extraordinaire des actionnaires de Fortis. Lors de cette réunion en février 2009, les actionnaires de Fortis avaient rejeté le plan de sauvetage de la banque par le gouvernement belge, bien qu'ils aient plus tard (en avril 2009), convenu d'un nouveau plan de vente. b. CONTEXTE a. L'économie belge L'économie belge avait connu une croissance robuste dans les quatre années précédant 2007, à environ 2,5% par an en termes réels. Mais cette croissance avait ralenti à 1,1% en 2007, globalement en ligne avec le reste de l'Europe, en raison de la hausse du coût des matières premières, du ralentissement du commerce mondial et de l'appréciation de l'euro. La croissance trimestrielle du PIB réel est restée positive, mais faible dans les trois premiers trimestres de 2008, et donc légèrement plus forte que dans le reste de l'Europe, principalement en raison de l'effet d'une demande intérieure plus robuste en Belgique. Cependant, comme les autres économies européennes, l'économie belge avait été gravement affectée par la forte détérioration des conditions économiques générales après l'intensification des stress financiers à l'échelle mondiale à partir de la mi-septembre 2008. Le PIB réel avait chuté de 1,3% au quatrième trimestre de 2008, comparable aux fortes chutes subies pendant les graves ralentissements économiques à court terme de 1980-1981 et de 1992-1993, et l'économie était restée faible en 2009. Le PIB réel avait chuté de 2,8% en 2009, avant de croître de l'ordre de 2% pour chacune des années 2010 et 2011. b. Le système bancaire belge Le secteur bancaire belge est très concentré. Comme le montre le tableau suivant, cinq banques (sur un total de 105 banques) détenaient 42% du total des dépôts collectés auprès du public à la fin de l'année 2006. Argenta 12 Nombre total des banques 105 Total du secteur: 290 La crise sans précédent à laquelle le système financier mondial faisait face avait sérieusement compromis la position de rentabilité et de liquidité des principales banques belges. Les difficultés rencontrées par deux des plus grandes institutions financières (Fortis et Dexia) nécessitaient une recapitalisation par le gouvernement, mais l'ensemble du système financier belge était confronté à un stress important, comme le montrent les pertes subies (réalisées ou non) par les portefeuilles d'actifs financiers détenus par ces banques, et la fragilité des positions de liquidité résultant de la défaillance des principaux marchés financiers interbancaires et de gros. Dans ce contexte général, les autorités avaient mis en œuvre des mesures proactives, y compris des garanties pour certaines nouvelles dettes bancaires à court terme, l'augmentation du plafond de garantie des dépôts, et la souscription d'actions nouvelles par le gouvernement belge dans le Groupe KBC. c. Le rôle de la CBFA et de la réglementation prudentielle belge La Commission bancaire, financière et des assurances (CBFA) est un organisme public indépendant. Elle est financée par les contributions des entreprises dont les activités sont contrôlées par la CBFA conformément aux procédures établies par décret royal. C'est maintenant la seule autorité belge compétente pour le contrôle de la plupart des institutions financières et des services financiers au public . 4. Fortis a. L'acquisition d'ABN AMRO Le Groupe Fortis à l'origine, avait été créé en 1990, à la suite de la fusion de AMEV, un grand assureur néerlandais, de VSB, un groupe bancaire néerlandais et de AG, un assureur belge. Le Groupe s'était ensuite étendu en Pologne et en Turquie en acquérant des banques dans ces pays; et s'était également engagé dans la banque privée, dans la gestion de patrimoine et dans la banque d'investissement grâce à des acquisitions en Belgique, aux Pays-Bas et au Luxembourg. En octobre 2007, un consortium composé de Fortis, de la Royal Bank of Scotland et de Banco Santander avait finalisé l'acquisition d'ABN AMRO, la participation de Fortis dans le prix d'acquisition totalisant environ 24 milliards € (sur un prix d'acquisition total de 71 milliards € ). Cette offre du consortium avait d'abord été faite en avril 2007, et à la fin, les actionnaires d'ABN AMRO avaient accepté cette offre litigieuse parce que le consortium offrait un prix plus élevé pour ABN AMRO que celui d'une offre rivale incontestée de Barclays. Comme il avait été convenu à l'avance, le plan prévoyait que Fortis prendrait le contrôle des activités de la banque privée internationale et de gestion d'actifs d'ABN AMRO, ainsi que de ses activités de banque de détail et des services bancaires commerciaux aux Pays-Bas, en Belgique et au Luxembourg. Pour des raisons de concurrence, la Commission européenne avait exigé que Fortis revende les opérations bancaires commerciales d'ABN AMRO dans ces trois pays. En partie en raison de son rôle dans l'acquisition d'ABN AMRO, Fortis était présent dans plus de 50 pays et avait un effectif de 85 000 employés. Fortis pouvait donc être considéré comme un chef de file dans le secteur européen des services financiers, comme l'une des trois plus grandes banques privées et un gestionnaire d'actifs au meilleur classement. Avec une capitalisation boursière de 40 milliards € à la fin de 2007, le groupe bancassurance belgo-néerlandais Fortis, était parmi les 20 plus grandes institutions financières européennes. Ses opérations bancaires comprenaient la banque de détail, les services commerciaux, la banque d'investissement et ses produits d'assurance comprenaient l'assurance-vie, l'assurance maladie et l'assurance générale. Les annexes A et B présentent le bilan du Groupe Fortis et la structure du Groupe suite à l'acquisition d'un peu plus de 33% d'ABN AMRO. Fortis avait financé sa part du prix d'acquisition par un mélange de mobilisation de capitaux (13,4 milliards € en septembre-octobre 2007) et le financement de la dette à long et à court terme, avec un renforcement supplémentaire de son bilan prévu pour 2008. Cependant, la baisse des cours des actions (tant de Fortis que de la plupart du reste du secteur financier) et la détérioration générale de la confiance vis à vis de toutes les institutions financières au cours de la première moitié de 2008, avaient rendu cela difficile pour Fortis de terminer la levée supplémentaire de capitaux qu'il avait prévue (en fait, pour remplacer la créance qu'il avait utilisée pour financer avec les actions l'acquisition d'ABN AMRO). L'environnement du marché devenait aussi de plus en plus difficile pour Fortis parce que: • Le prix d'achat d'ABN AMRO comprenait un important montant de l'écart d'acquisition (c'est-à-dire que le prix payé dépassait la valeur nette de l'actif d'ABN AMRO). Fortis devait radier une partie de ces actifs incorporels (ou détenir des fonds propres supplémentaires pour ces actifs incorporels parce qu'ils devaient être déduits du capital réglementaire); • Fortis avait dû enregistrer des radiations sur la valeur de ses avoirs en crédits structurés (avant la fin de juin 2008, environ 2 milliards € avaient été radiés sur un portefeuille de 53 milliards €); • Les instruments financiers devenaient plus difficiles pour le marché; • La vente de ses opérations bancaires commerciales exigée par la Commission européenne devait être exécutée dans des conditions qui étaient moins favorables que celles prévues en 2007. Ces opérations avaient été vendues à la Deutsche Bank en juillet 2008, provoquant un impact négatif de 1,1 milliard € sur la position du capital de Fortis; et • les résultats d'exploitation étaient en baisse. À la fin de juin 2008, Fortis avait décidé de mettre en œuvre une série de mesures visant à renforcer sa position de capital. Cependant, les conditions financières de ces différentes mesures étaient faibles, et le jour où ces mesures avaient été annoncées, le cours de l'action Fortis en une seule séance chuta de 20%, d'un cours habituel de 12,50 € à 10 €. Les actionnaires actuels et potentiels craignaient que Fortis devait lever autant de capital supplémentaire, et n'étaient pas persuadés que les rendements futurs seraient suffisants pour générer une forte rentabilité des capitaux propres. Fortis avait toutefois réussi à lever un montant supplémentaire de 8,3 milliards € de capitaux, y compris 2 milliards € par l'émission des nouvelles actions; 2 milliards € provenant de la vente d'actifs non stratégiques; 1,5 milliard € en éliminant les paiements de dividendes; et 1,5 milliard € provenant d'une cession-bail d'une propriété. Dans les jours qui avaient suivi, les inquiétudes du marché avaient continué, avec la baisse des cours des actions, entraînant le départ du PDG, M. Jean Voltron, le 11 juillet 2008. L'instabilité des cadres supérieurs de Fortis avait encore rendu plus difficile la réalisation du plan de solvabilité annoncé à la fin de juin. Après une légère stabilisation en juillet-août, le cours des actions avait continué à baisser, et les agences de notation continuaient à déclasser les actions Fortis. À titre d'exemple, Standard & Poors avait justifié sa décision de réduire sa cote en soulignant à la fois la grande taille absolue des crédits structurés du portefeuille de Fortis et les signes que des radiations supplémentaires de dettes ne deviennent nécessaires. Le tableau suivant montre les changements dans le cours de l'action au cours de cette période. Le rôle de Fortis dans l'acquisition d'ABN AMRO était censé augmenter la part de marché de Fortis dans les activités «à faible risque» (clients de détail, les PME, la gestion de patrimoine, etc.) et améliorer la liquidité du groupe (les dépôts excédentaires étaient estimés à 25 milliards €). Mais comme les conditions du marché se détérioraient, le résultat final avaient été une série de difficultés majeures pour Fortis, reflétant le prix élevé payé pour ABN AMRO, la nécessité de reconstituer ses fonds propres et les risques opérationnels et de liquidité liés à l'intégration d'une partie d'ABN AMRO. Fortis s'était retrouvé enfermé dans une course pour améliorer son adéquation des fonds propres parce que les conditions de marché étaient devenues de plus en plus difficiles, et Fortis était incapable d'adapter sa stratégie pendant que les options se rétrécissaient. b. Le rôle de la CBFA dans l'acquisition d'ABN AMRO En 2007, la CBFA s'était profondément impliquée dans l'acquisition d'ABN AMRO par un consortium composé de Royal Bank of Scotland, de Banco Santander Central Hispano SA et de Fortis. Cette acquisition était exceptionnelle en raison non seulement de la taille de la transaction, mais aussi de la circonstance particulière que les trois banques candidates pour l'acquisition d'ABN AMRO avaient formé un consortium et conclu entre elles des accords à l'avance sur la répartition des activités du groupe bancassurance néerlandais. Dans ce type d'opération, le rôle des autorités de surveillance bancaire était considéré à l'époque comme celui d'évaluer si la gestion saine et prudente des établissements bancaires en question sera maintenue et que les nouvelles entités résultant de l'OPA détiennent une liquidité et un capital suffisants et seront soumises à une gestion adéquate des risques et de contrôle. Compte tenu des implications considérables pour Fortis dans cette acquisition, la CBFA, en tant qu'autorité en charge du contrôle consolidé du Groupe Fortis, avait donc suivi les différents aspects de l'acquisition. En particulier, la CBFA avait étroitement suivi: i. le plan de financement qui sous-tend l'acquisition et l'évolution de la structure financière du Groupe Fortis, en tenant compte de la situation de stress des marchés financiers qui avaient commencé à se développer à l'été 2007; ii. l'adéquation des fonds propres des importantes entités de Fortis qui naîtront de l'acquisition; iii. l'adéquation de la gestion globale et de la capacité de la gestion du risque du Groupe élargi Fortis; et iv. l'évolution des processus de transition et d'intégration établies au sein du Groupe Fortis, y compris le contrôle adéquat de leurs risques financiers, juridiques, opérationnelles et de traitement des données informatisées. Ces aspects de l'acquisition d'ABN AMRO avaient également été discutés en consultation avec les autorités de surveillance bancaire néerlandaises, britanniques et espagnoles agissant dans une structure de collège de superviseurs pendant la phase de transition. Le but principal du collège de surveillance était d'assurer une communication optimale entre ces autorités de surveillance et le consortium sur toutes les questions réglementaires et prudentielles. Une attention particulière avait été accordée à la mise en œuvre de l'«accord entre le consortium et les actionnaires», conclu entre les trois acheteurs. Le collège avait continué à fonctionner jusqu'à l'achèvement du processus d'intégration d'ABN AMRO et la réalisation des plans de transition et de séparation pour les activités d'ABN AMRO. La CBFA avait pris part à l'examen préparatoire mené par la banque centrale et le superviseur bancaire De Nederlandsche Bank (DNB) néerlandais pour l'octroi par le ministre néerlandais des Finances d'une déclaration de non-objection à la modification de l'actionnariat du groupe ABN AMRO. La CBFA conjointement avec la DNB, avaient ainsi assuré le respect par Fortis des conditions fixées par le ministre des Finances, et des conditions définies par la DNB pour l'octroi de cette déclaration de non-objection. Ces conditions traitaient entre autres, du financement adéquat de la participation de Fortis dans le consortium. Suite à l'annonce de son intention d'acquérir ABN AMRO, la CBFA avait demandé à Fortis de lui présenter un plan détaillé de financement. Pour fournir la plus grande part du financement de sa participation, Fortis avait procédé à une augmentation de capital de 13 milliards € à travers un appel public avec droits préférentiels, après avoir obtenu l'accord de ses actionnaires au cours d'une assemblée générale extraordinaire tenue le 6 août 2007. En septembre 2007, la CBFA avait approuvé le prospectus relatif à cet appel public. Afin d'examiner l'impact de l'acquisition en termes de solvabilité et de rentabilité du Groupe Fortis, la CBFA avait également abordé l'évaluation des actifs d'ABN AMRO et l'organisation et le fonctionnement du consortium. En outre, compte tenu de l'évolution des marchés interbancaires au cours de la période en question, la CBFA avait exercé une fonction de surveillance particulière sur la gestion de la liquidité de Fortis Bank. Une autre condition fixée par le ministre néerlandais des Finances pour l'octroi de la déclaration de non-objection s'intéressait à la mise en place par le consortium, d'un plan de transition et son approbation par le DNB. Ce plan avait été analysé par le DNB en consultation avec les membres du collège des autorités de surveillance. L'objectif de cette révision était d'assurer la bonne gestion de la phase de transition avant la pleine intégration des activités respectives d'ABN AMRO au sein des trois membres du consortium. Cette période de transition, qui devait s'étendre sur près de deux ans, prévoyait que Fortis devait d'abord intégrer les activités de gestion d'actifs d'ABN AMRO dans la filiale spécialisée Fortis Investment. Fortis devait ensuite procéder à l'intégration des activités internationales de la banque privée, de la banque de détail et des activités du secteur commercial d'ABN AMRO aux Pays-Bas. Pour la durée de cette période de transition, la CBFA devait accorder une attention particulière à ce processus d'intégration, et en particulier à son impact organisationnel et financier sur les entités de Fortis impliquées. c. Le plan Benelux du 27-28 septembre 2008 La faillite de Lehman Brothers le 15 septembre 2008, avait envoyé des ondes de choc qui s'étaient propagées sur l'ensemble du système financier mondial, parce que la confiance vis à vis des banques (et dans la volonté et la capacité des autorités à sauver les banques en faillite) était tombée à un niveau plus bas. Avant le 25 septembre, le cours de l'action de Fortis était tombé à 5 €. Et le coût des contrats d'échange sur risque de crédit (CDS - le coût de l'assurance contre la faillite de l'entreprise) pour les réclamations d'assurance de Fortis avait augmenté de 270 à 600 points de base d'un jour à l'autre. Ce taux tournait autour de 90 points de base au premier semestre 2008. Dans la soirée du jeudi 25 septembre, la CBFA avait fortement recommandé que Fortis explore toutes les options stratégiques utiles pour remédier à la situation, y compris en recherchant le soutien d'un solide partenaire externe. Le vendredi 26 septembre, Fortis avait publié un communiqué de presse indiquant que son exposition à Lehman Brothers n'était pas importante, qu'il avait perdu une petite quantité seulement de dépôts depuis le début de 2008, et qu'il était en train d'accélérer son projet de vente d'actifs non stratégiques. Mais Fortis n'avait rien compris - les problèmes pour les grandes banques (y compris Fortis) portaient sur l'impact de la détérioration des conditions du marché sur (i) leur capacité à se financer, en particulier sur les marchés de gros, et (ii) la valeur de leurs portefeuilles de titres et celle des garanties qu'elles détenaient contre leurs prêts, et pas simplement sur leurs expositions directes à Lehman Brothers. Les marchés financiers n'avaient plus confiance dans les banques ou dans leurs communications, et en fait, étaient généralement dans un état de panique généralisée. À la clôture du vendredi 26 septembre, Fortis faisait face à une série de facteurs négatifs: i. la perte de l'accès au marché interbancaire au jour le jour duquel il obtenait normalement 15 à 20 milliards € de financement; ii. les clients institutionnels de la banque avaient commencé à retirer d'importants dépôts - 20 milliards € de dépôts avaient été retirés le 26 septembre, et d'autres dépôts de 30 milliards € étaient prévus être retirés le lundi suivant; iii. les clients privés avaient commencé à retirer les dépôts; iv. En fin de compte, Fortis avait mobilisé toute sa garantie de réserve pour obtenir un soutien de trésorerie auprès de la Banque centrale européenne et le marché des pensions; v. pour la première fois, Fortis avait dû tirer du prêt d'urgence marginal (Facilité de prêt marginal) accordé par la Banque Nationale de Belgique pour 5,4 milliards € pour répondre à ses besoins de financement; vi. les prévisions des besoins de trésorerie, et par conséquent la capacité de Fortis Bank à poursuivre ses opérations, ont montré la nécessité de l'intervention d'une tierce partie pour permettre à Fortis de se financer dès le matin du lundi 29 septembre et les jours suivants. Pendant le week-end du 27-28 septembre 2008, Fortis avait été incapable de présenter une proposition au gouvernement belge pour augmenter le capital, soit auprès d'actionnaires existants ou d'autres institutions financières. Des indications verbales d'intérêt par des banques étrangères avaient été reçues (y compris celle d'ING aux Pays-Bas et de BNP Paribas en France), mais celles-ci avaient été jugées insuffisantes par le gouvernement belge. Au lieu de cela, les autorités de la Belgique, des Pays-Bas et du Luxembourg avaient décidé d'étudier l'injection de capitaux dans la partie bancaire du groupe Fortis. L'intention était qu'une augmentation de capital restaurerait la confiance du marché; éviterait la paralysie du système de paiements (en Belgique, Fortis était clairement considéré comme une institution financière «systémique»); et protègerait l'épargne des déposants. Les passifs de Fortis Bank s'élevaient à près de 600 milliards €, l'équivalent d'environ 2 fois le PIB belge. En outre, compte tenu de la faiblesse des marchés financiers, le gouvernement belge et la banque centrale belge étaient inquiets du fait qu'ils auraient aussi à soutenir une autre banque belge. Étant donné le ratio dette publique/PIB déjà élevé en Belgique, l'octroi des garanties au secteur bancaire risquerait de faire pression sur la note de l'État belge, et en conséquence sur le coût du financement de la dette publique. Compte tenu de l'importance de la situation de Fortis sur la stabilité financière non seulement de la Belgique mais aussi de l'Europe dans son ensemble, M. Trichet, le président de la BCE et Mme Lagarde, représentant la présidence française de l'Union européenne, avaient participé activement aux discussions sur l'organisation du sauvetage de la banque. Une option aurait été pour les trois autorités nationales d'injecter des capitaux dans la société holding de Fortis, permettant au Groupe Fortis d'allouer ce capital là où il était le plus nécessaire pour couvrir les pertes et renforcer la solvabilité de ses opérations bancaires nationales. Cependant, les autorités nationales avaient choisi de ne pas poursuivre cette option, mais plutôt, d'intervenir dans la filiale bancaire de Fortis dans leur pays respectif, visant avant tout à préserver la stabilité financière et à assurer la protection des déposants dans chaque pays respectif. Il avait donc été annoncé le dimanche 28 septembre que Fortis serait en partie nationalisée, les trois gouvernements investissant un total de 11,2 milliards € (4,7 milliards € du gouvernement belge, 4 milliards € des Pays-Bas et 2,4 milliards € du Luxembourg). Le gouvernement belge prendrait une participation de 49% dans l'ensemble de la société holding de la banque, tandis que les gouvernements néerlandais et luxembourgeois prendraient une participation de 49% dans les activités bancaires de Fortis dans leur pays respectif. Cela aurait aussi l'intérêt du gouvernement néerlandais, prenant le contrôle partiel des parties d'ABN AMRO qui avait été acquis par Fortis, car cela avait été gardé comme une filiale de Fortis Bank Netherlands, mettant fin aux plans de Fortis de le transformer en un conglomérat bancassurance transnational. Les plans visant à intégrer les activités de banque de détail d'ABN AMRO au sein de Fortis avaient été interrompus. En outre, les banques centrales belge et néerlandaise avaient fourni des facilités de liquidité d'urgence de 58 milliards € et 7 milliards € respectivement pour Fortis. Le Conseil d'administration de Fortis avait approuvé ce plan dans la nuit du 28 septembre de 2008. d. Les interventions du début octobre 2008 Cependant, ce projet d'injection des fonds publics dans les filiales bancaires du Groupe Fortis à la fin de septembre 2008, n'avait pas suffit pour restaurer la confiance du marché vis à vis de Fortis. Le cours de l'action Fortis Group continuait de chuter à moins de 4 €, et le retrait des dépôts de gros, de la banque privée et de détail continuait, atteignant environ 50 milliards € le 3 octobre. Cela avait poussé Fortis à tirer 52 milliards € de sa facilité de liquidité d'urgence auprès de la banque centrale belge et tous les 7 milliards € de sa facilité auprès de la banque centrale des Pays-Bas à la clôture du jeudi 2 octobre (ces facilités avaient été approuvées au cours du week-end du 27-28 septembre). Cette détérioration continue et dangereuse avait contraint le gouvernement néerlandais à annoncer le vendredi 3 octobre qu'il prenait le contrôle de 100% de toutes les entités bancaires et d'assurance de Fortis aux Pays-Bas (y compris les activités de détail d'ABN AMRO) pour un prix d'achat de 16,8 milliards €. Le gouvernement néerlandais craignait que (i) sa participation de 49% dans Fortis Bank Netherlands ne serait pas suffisante pour résoudre les problèmes dans le Groupe Fortis, et qu' (ii) il devait également résoudre les opérations d'assurance de Fortis aux Pays-Bas (en raison du risque de contagion au sein du Groupe Fortis). Le gouvernement néerlandais avait également annoncé qu'il détenait la partie «saine» des opérations du Groupe Fortis qui se trouvait aux Pays-Bas. Le gouvernement néerlandais avait par la suite utilisé son contrôle de 100% des opérations néerlandaises de Fortis pour créer une nouvelle banque à partir de Fortis Bank Netherlands et des parties d'ABN AMRO détenues par Fortis Bank Netherlands. Il avait aussi par la suite vendu Fortis Corporate Insurance. Le même jour (vendredi, 3 octobre), le gouvernement luxembourgeois avait augmenté son contrôle de Fortis Bank Luxembourg de 49% à 52%. Le gouvernement belge fut gêné par cette action unilatérale du gouvernement néerlandais, affirmant que les Pays-Bas n'avait pas déboursé les 4 milliards € promis dans l'accord de sauvetage de fin septembre, et avait encouragé les banques néerlandaises et d'autres acteurs du marché de gros à retirer leurs fonds de Fortis. Le gouvernement belge était également bouleversé par la déclaration du gouvernement des Pays-Bas selon laquelle les opérations de Fortis aux Pays-Bas étaient « saines» - ce qui impliquait que tous ces problèmes étaient dans les opérations belges. Le gouvernement belge avait été contraint par une combinaison de la détérioration de la position de Fortis et des actions des gouvernements néerlandais et luxembourgeois à rechercher une solution aux entités de Fortis en Belgique. Le gouvernement belge tenait à limiter son propre rôle dans toute solution, et avait donc été attiré par l'idée de vendre à un tiers autant d'entités Fortis que possible. Après un week-end de négociations difficiles entre Fortis, le gouvernement belge et BNP Paribas, il avait été annoncé le lundi 6 octobre qu'en fait, BNP Paribas prendrait le contrôle majoritaire de Fortis, y compris les filiales de banque en Belgique et au Luxembourg, et une partie des opérations d'assurance du groupe. Dans cette transaction, BNP Paribas devait se protéger de la plupart des pertes sur les éléments les plus toxiques du portefeuille des produits structurés, et le Groupe Fortis allait rester avec une valeur positive dans les sociétés holding du groupe. Plus en détail: a. le gouvernement belge avait acheté les 51% restants de Fortis Bank (y compris la Bank Fortis Luxembourg) auprès du Groupe Fortis pour un montant de 4,7 milliards €; b. un portefeuille de 10,4 milliards € de produits structurés de la banque avait été divisé, et une part de 66% de ce portefeuille avait été revendue au Groupe Fortis, laissant 24% au gouvernement belge et 10% à BNP Paribas; c. 75% de Fortis Bank avait ensuite été vendu à BNP Paribas (qui devait s'achever en décembre 2008) pour 11 milliards € en actions - faisant du gouvernement belge un actionnaire de 12% de BNP Paribas; et d. BNP Paribas avait acheté 100% de Fortis Insurance Belgium; à la suite de quoi, e. le Groupe Fortis avait été laissé avec une part de 66% dans le portefeuille des produits structurés, Fortis Insurance International, et une petite somme d'argent. L'annexe C montre la structure planifiée du groupe à la suite de ces interventions. Le retrait des dépôts avait commencé à ralentir, tandis que BNP Paribas à son tour avait commencé à accorder des avances substantielles pour soutenir le financement interbancaire par Fortis Banque. e. Les litiges Ce n'était pas la fin de l'histoire. Les actionnaires du Groupe Fortis trouvaient qu'ils avaient été désavantagés par les deux injections de capital des trois gouvernements, et par la vente d'une partie du groupe à BNP Paribas. Les actionnaires estimaient que le Groupe Fortis aurait pu être sauvé dans son intégralité si les trois gouvernements nationaux avaient soutenu le Groupe Fortis dans son ensemble dès le début. Les actionnaires avaient par conséquent engagé une procédure judiciaire contre le Conseil d'administration de Fortis, la Société fédérale de participations et d'investissement (l'entité juridique dans laquelle les investissements de l'État belge étaient détenus), et BNP Paribas. Ils avaient expressément demandé la mise en place d'un corps d'expert auditeurs pour examiner la situation de la bancassurance au moment du transfert des actifs bancaires et d'assurance; et ils avaient plaidé pour la suspension des résolutions «litigieuses» du conseil d'administration selon lesquelles Fortis Belgique avait été vendu à BNP Paribas. Le 12 décembre 2008, la Cour d'appel de Bruxelles avait accédé à cette demande, en ordonnant que les décisions des 3-6 octobre nécessitaient l'approbation des actionnaires. Ceci avait gelé la vente d'actifs à BNP Paribas, et avait laissé la décision quant à la vente des actifs à une assemblée générale extraordinaire des actionnaires de Fortis. Les accusations selon lesquelles le gouvernement belge avait essayé d'influencer la décision du 12 décembre de la Cour d'appel, avaient entraîné la démission du gouvernement le 22 décembre. À la réunion extraordinaire du 11 février 2009, les actionnaires du Groupe Fortis avaient rejeté par 51 pour cent contre 49 pour cent le plan de sauvetage du gouvernement belge qui prévoyait la cession de la majeure partie de ses activités bancaires et d'assurance à BNP Paribas. Et ils avaient rejeté par 57 pour cent contre 43 pour cent la vente des entités néerlandaises au gouvernement néerlandais. Toutefois, selon le rapport d'un comité d'experts désignés à la demande d'un tribunal belge, l'achat par BNP Paribas d'une grande partie des activités de Fortis est «la solution la plus raisonnable et la plus appropriée» aux difficultés du Groupe Fortis. Les négociations entre les trois gouvernements, BNP Paribas et Fortis en février et mars 2009 avaient finalement conduit à une version légèrement révisée des ventes du début d'octobre, la principale différence étant qu'une grande part de Fortis Insurance Belgium allait rester avec le Groupe Fortis plutôt que d'être vendue à BNP Paribas. Sur cette base, les actionnaires du Groupe Fortis avaient finalement accepté les termes de vente révisés les 28 et 29 avril 2009. Le Groupe Fortis combiné (pré-vente) avait enregistré une perte de 28 milliards € en 2008, bien que ses activités d'assurance avaient présenté un bénéfice. Automatic Processes 6.1 Introduction Certain processes that are initiated either at Beginning of Day (BOD) or End of Day (EOD), execute certain events on the days they fall due. The Batch processes that are applicable to Funds Transfers are discussed in this chapter. They are: • Autobook of a contract • The Rate Update Function 6.2 Autobook Function The autobook function handles the processing of future valued contracts. A future valued contract is one that has been stored with a value date in the future and may have rate pickup specifications as of the day you defined for the contract. The values that you enter in the ‘rate as of’, ‘message as of’ and ‘accounting as of’ fields will drive the processing of a future dated contract. All authorized contracts that are due for initiation as of a particular day are picked up and processed by this batch processing function at EOD or BOD as the case may be. If you have specified that the contract requires a rate update on a particular day then the rate as of that day is picked up from the exchange rate table and applied to the transfer amount and to the other components of the transfer. However, if you have specified that the rate of the day must be applied to the transfer amount only after the rate refresh program for the day has been run, then the Autobook function will just mark these contracts as ‘to be processed by the Rate Update Function’. The Rate Update function will process transfers that require a rate update after the rate refresh process has been run and authorized. The Autobook function will also automatically pass Accounting Entries for all Contracts processed by it. These Accounting Entries will bear the date of the transfer i.e., the value date of the transfer. Based on the specifications you make in the ‘Message as of’ field’, settlement messages and advices will be generated. The Auto book function posts accounting entries for a contract that it processes based on the option set in the Accounting As Of specification in the contract details. If accounting is indicated as of ‘Message Date’, the relevant accounting entries are passed before the messages are generated, on the date of message generation. For contracts involving products for which the Allow Messaging Before Accounting option has been set, the messages are indicated to be generated on the booking date, and the accounting could be indicated either on the message generation date (that is, on the booking date) after the generation of messages, or on the debit value date of the contract, depending on the specification made in the Accounting As Of field.
