IN CONSIDERATION for your consent for the entry of our personnel, crew, agents, subcontractors, and/or visitors (collectively “Subcontractor “) into PT. xxx (the “Shipyard”) during the reparation of the Vessel____________ and IMO number ___________ for the purpose of carrying out inspection, witnessing tests project supervision and delivery and acceptance of the vessel, we, the undersigned, hereby warrants to PT. xxx (“the Shipyard”) that each of the subcontractor workers shall possess and maintain valid work and entry permits as required by Indonesia regulation to enable the Subcontractor to legally perform their works in the Shipyard.
1) We hereby undertake to indemnify and hold harmless the Shipyard including all of their employees, officers, agents and or subcontractor against any and all claims, costs, loss, injuries, damage and expenses which arises from any breach by us or the subcontractor mentioned herein.
2) We hereby further undertake that in event of any claims, action, proceedings, or threatened claims, actions or proceedings against the Shipyard or any costs, loss or expenses suffered or incurred by the Shipyard as a result of or in connection with matters being indemnified under this indemnity letter, we shall promptly take all the appropriate and necessary action to settle such claim without the involvement of the Shipyard.
Translation - Indonesian SURAT JAMINAN GANTI RUGI
DENGAN PERTIMBANGAN terhadap persetujuan anda mengenai pemberian ijin masuk personel, kru, agen, subkontraktor, dan / atau pengunjung (secara kolektif disebut “Subkontraktor“) kami ke PT. xxx (disebut “Galangan”) selama perbaikan kapal ____________ dan Nomor IMO ___________ untuk tujuan inspeksi, menyaksikan pengawasan dari proyek pengetesan dan proses serah terima kapal maka, kami yang bertanda tangan di bawah ini, memberikan jaminan kepada PT. xxx ( “Galangan”) bahwa setiap pekerja subkontraktor kami wajib memiliki izin / entri kerja yang sah seperti yang dipersyaratkan dalam peraturan yang berlaku di Indonesia untuk memungkinkan Subkontraktor tersebut secara hukum, dapat melakukan pekerjaan mereka di Galangan tersebut.
1. Kami dengan ini berjanji untuk mengganti kerugian dan membebaskan Galangan termasuk semua karyawan, petugas, agen dan atau subkontraktor-nya terhadap setiap / semua klaim, biaya, kerugian, cedera, dan kerusakan maupun biaya-biaya yang timbul apabila terjadi pelanggaran yang dilakukan oleh kami ataupun subkontraktor kami.
2. Lebih lanjut, dengan ini kami menjamin bahwa terhadap peristiwa/kejadian yang menyangkut klaim/aksi/tindakan/klaim bersifat mengancam/tuntutan hukum ditujukan kepada Galangan, ataupun beban biaya/kerugian atau pengeluaran-pengeluaran yang harus dialami/dikeluarkan oleh Galangan sebagai akibat dari/atau dengan hubungannya terhadap hal-hal yang diganti rugikan dalam surat jaminan ganti rugi ini, maka kami dengan segera akan mengambil segala tindakan yang tepat dan diperlukan untuk menyelesaikan klaim tersebut tanpa melibatkan Galangan.
