Dear sir, Mount Vernon 20th Deer 1784.
I am indebted to you for several letters; & am as much so for the Fish you kindly intended, as if it had actually arrived, & I was in the act of paying my respects to it at table—the chance, how¬ever, of doing this would be greater, was it at Boston, than in
York-town in this State, where, I am informed it was landed at the time the Marqs de la Fayette did; who proceeded from thence to richmond, where I met him, & conducted him to Annapolis on his way to New York; the place of his intended embarkation for France, about the middle of this month.
I am glad to hear that my old acquaintance Colo. Ward is yet under the influence of vigorous passions—I will not ascribe the intrepidity of his late enterprize to a mere flash of desires, because, in his military career he would have learnt how to distinguish between false alarms & a serious movement.

Char¬ity therefore induces me to suppose that like a prudent general, he had reviewed his strength, his arms, & ammunition before he got involved in an action—But if these have been neglected, & he has been precipitated into the measure, let me advise him to make the first onset upon his fair del Tobosa, with vigor, that the impression may be deep, if it cannot be lasting, or frequently renewed.
We are all well at this time except Miss Custis, who still feels the effect, & sometimes the return of her fever—Mrs Lund Washington has added a daughter to her family—She, child and husband are well, & become house keepers at the distance of about four miles from this place.
We have a dearth of News, but the fine weather keeps us busy, & we have leisure for cogitation. Ail join in best wishes for you. Doctr & Mrs Stuart are of those who do it. I am Dr sir yrs &c.
"ALL THIS NAVIGATION BUSINESS"

My Dr Sir, Mount Vernon 22d Jan. 1785.
It is not easy for me to decide by which my mind was most af¬fected upon the receipt of your letter of the 6th inst.—surprize or gratitude: both were greater than I have words to express. The attention & good wishes which the Assembly have evi¬denced by their act for vesting in me 150 shares in the naviga¬tion of each of the rivers Potomac & James, is more than mere
compliment—there is an unequivocal & substantial meaning annexed—But believe me sir, notwithstanding these, no cir¬cumstance has happened to me since I left the walks of public life, which has so much embarrassed me. On the one hand, consider this act, as I have already observed, as a noble and unequivocal proof of the good opinion, the affection, & dispo¬sition of my Country to serve me; & I should be hurt, if by declining the acceptance of it, my refusal should be construed into disrespect, or the smallest slight put upon the generous intention of the Country: or, that an ostentatious display of disin-terestedness or public virtue, was the source of the refusal.
On the other hand, it is really my wish to have my mind, & the actions which are the result of contemplation, as free & independent as the air, that I may be more at liberty (in things which my opportunities & experience have brought me to the knowledge of) to express my sentiments, & if necessary, to suggest what may occur to me, under the fullest conviction, that altho' my judgment may be arraigned, there will be no suspicion that sinister motives had the smallest influence in the suggestion. Not content then with the bare consciousness of my having, in all this navigation business, acted upon the clearest conviction of the political importance of the measure; I would wish that every individual who may hear that it was a favorite plan of mine, may know also that I had no other mo¬tive for promoting it than the advantage I conceived it would be productive of to the Union, & to this State in particular, by cementing the Eastern and Western Territory together, at the same time that it will give vigor & encrease to our Commerce, & be a convenience to our Citizens.
How would this matter be viewed then by the eye of the world; and what would be the opinion of it, when it comes to
be related that G: W n exerted himself to effect this work—
and G.W. has received 20,000 Dollars, and £5,000 Sterling of the public money as an interest therein? Would not this in the estimation of it (if I am entitled to any merit for the part I have acted; & without it there is no foundation for the act) deprive me of the principal thing which is laudable in my conduct? Would it not, in some respects, be considered in the same light as a pension? And would not the apprehension of this make me more reluctantly offer my sentiments in future? In a word,
under what ever pretence, & however customary these gratu¬itous gifts are made in other Countries, should I not thence forward be considered as a dependant? one moments thought of which would give me more pain, than I should receive pleasure from the product of all the tolls, was every farthing of them vested in me: altho' I consider it as one of the most cer¬tain & increasing Estates in the Country.
I have written to you with an openess becoming our friend¬ship—I could have said more on the subject; but I have already said enough to let you into the State of my mind. I wish to know whether the ideas I entertain occurred to, & were ex¬pressed by any member in or out of the House. Upon the whole, you may be assured my Dr Sir, that my mind is not a litde agitated—I want the best information & advice to settle it. I have no inclination (as I have already observed) to avail myself of the generosity of the Country: nor do I want to ap-pear ostentatiously disinterested, (for more than probable my refusal would be ascribed to this motive) or that the Country should harbour an idea that I am disposed to set little value on her favours—the manner of granting which is as flattering as the grant is important. My present difficulties however shall be no impediment to the progress of the undertaking. I will re¬ceive the full & frank opinions of my friends with thankfulness. I shall have time enough between this & the sitting of the next Assembly to consider the tendency of the act—& in this, as in all other matters, will endeavor to decide for the best.
My respectful compliments & best wishes, in which Mrs Washington & Fanny Bassett (who is much recovered) join, are offered to Mrs Harrison & the rest of your family. It would give us great pleasure to hear that Mrs Harrison had her health restored to her. With every sentiment of esteem, regard & friendship, I am My Dr Sir &c. &c.
"I AM CONSCIOUS OF A DEFECTIVE EDUCATION"

My dear Humphreys Mount Vernon July 25th 1785.
Since my last to you I have received your letters of the 15th of Jany and (I believe) that of the nth of Novr; 8c thank you for them both—It always gives me pleasure to hear from you; and I should think, if amusements would spare you, business could not so much absorb your time as to prevent your writing to me more frequently; especially as there is a regular 8c safe conveyance once a month, by the Packett.
As the complexion of European politics seem now (from the letters I have received from the Marquisses de la Fayette 8c Chastellux—the Chevr de la Luzerne, 8cca) to have a tendency to Peace, I will say nothing of War, nor make any animadver¬sions upon the contending Powers—otherwise I might possibly have added, that the retreat from it seemed impossible, after the explicit declarations of the Parties.
My first wish is, to see this plague to Mankind banished from the Earth; 8c the Sons 8c daughters of this World employed in more pleasing & innocent amusements than in preparing im¬plements, & exercising them for the destruction of the human race. Rather than quarrel abt territory, let the poor, the needy, & oppressed of the Earth; and those who want Land, resort to the fertile plains of our Western Country, to the second Land of promise, & there dwell in peace, fulfilling the first & great Commandment.
In a former letter I informed you, My dear Humphreys, that if I had talents for it, I have not leizure to devote my time & thoughts to commentaries. I am conscious of a defective edu¬cation, 8c want of capacity to fit me for such an undertaking. What with Company, letters, 8c other Matters, many of them extraneous, I have not yet been able to arrange my own private concerns so as to rescue them from that disordered state into which they have been thrown, by the War; and to do which, is become indispensibly necessary for my support, whilst I remain on this stage of human action.
The sentiment of your last letter on this subject gave me threat pleasure. I should indeed be pleased to see you undertake this business. Your abilities as a writer—Your discernment re¬specting the principles which lead to the decision by Arms— Your personal knowledge of many facts as they occurred, in the progress of the War—Your disposition to justice, candour & impartiallity, and your diligence in investigating truth, com¬bining, fits you, in the vigor of life, for this task, and I should with great pleasure not only give you the perusal of all my Pa¬pers, but any oral information of circumstances which cannot be obtained from the latter, that my memory will furnish. And I can with great truth add, that my House would not only be at your Service during the period of your preparing this work, but (and without an unmeaning compliment I say it) I shoud be exceedingly happy if you would make it your home. You might have an Apartment to yourself in which you could com¬mand your own time. You would be considered, & treated as one of the family. And would meet with that cordial recep¬tion 8c entertainment, which are characteristic of the sincerest friendship.
To reverberate European News would be idle; and we have little of a domestic kind worthy of attention. We have held treaties indeed with the Indians, but they were so unseasonably delayed that these people from our last accts from the West¬ward are in a discontented mood—supposed by many to be instigated thereto by our late enemy—now, to be sure, good 8c fast friends; who, from anything I can learn, under the in¬definite expression of the treaty, hold, 8c seem resolved to re¬tain, possession of our Western Posts. Congress have also—after long 8c tedeous deliberation—passed an Ordinance for laying of the Western territory into States, 8c for disposing of the Land; but in a manner, and on terms, which few people (in the Southern States) conceive can be accomplished. Both sides are sure, 8c the event is appealed to—time must decide. It is to be regretted however, that local politics, 8c self interested views, obtrude themselves into every measure of public utility. But on such characters, be the obloquy—My attention is more immediately engaged in a project which I think is big with great political, as well as Commercial consequences to these States, especially the middle ones. It is, by removing the
obstructions—and extending the inland Navigations of our Rivers, to bring the States on the Atlantic in close connection with those forming to the Westward, by a short & easy Land transportation. Without this is effected, I can readily conceive that the Western Settlers will have different views—seperate interests—and other connections.
I may be singular in my ideas, but they are these, that to open the front door to, & make easy the way for those Settlers to the Westward (which ought to progress regularly & com¬pactly) before we make any stir about the Navigation of the Mississipi, and before our settlements are far advanced towards that River would be our true line of policy. It can I think be demonstrated, that the produce of the Western territory (if the Navigations which are now in hand succeed, and of which I have no doubt) as low down the Ohio as the Great Kanhawa (I believe to the Falls) and between the parts above, & the Lakes, may be brought to the highest shipping Port either on this, or James River, at a less expence, with more ease (including the return) and in a much shorter time than it can be carried to New Orleans, if the Spaniards, instead of restrictions were to throw open their ports, & envite our trade—But if the com¬merce of that Country shd embrace this channel, and connec¬tions be formed, experience has taught us (and there is a very recent one in proof, with Great Britain) how next to impracti¬cable it is to divert it—and if that shd be the case, the Atlantic States (especially as those to the Westward will, in a great de¬gree, fill with foreigners) except to excite—perhaps with too much cause—our fears that the Country of California, which is still more to the Westward, & belonging to another Power. Converter lining heating before first melt shall be effected under valid at the enterprise regime (schedule) of hitting. It's interdicted to interrupt a process of heating. First melt shall be effected in partial load mode under the following scheme (iron casting, light-weight scrap charge, blowing, metal and slag teeming). During the initial period of converter lining exploitation for refractory heating through the thickness (up to 200 melts upon service life), it shall be run with minimum idle hours.

3.1. Загальна сума цього договору визначена на основі комерційної пропозиції Підрядника, що є невід'ємною частиною Договору (Додаток №6), і складає ______ грн (________ , ПДВ 20 % складає ______ грн. Усього ______ грн. (______ в тому числі:
- сума страхових внесків, вказаних в п. 5.5. складає ________ грн. без ПДВ;
- сума гарантійного фонду складає ______ грн. без ПДВ.
3.2. Ціна даного договору є не змінною, окрім випадку, коли в процесі виконання роботи виникнуть обставини, щодо необхідності збільшення об’єму роботи, це може бути:
• зміни в робочих кресленнях, які можуть бути внесені Замовником згідно вимог нормативної документації або виявлених помилок проектування. Таке повинно бути зафіксовано трьохстороннім протоколом: Проектувальник, Замовник та Підрядник, та відображено в журналі авторського нагляду та оформлено додатковою угодою до цього Договору.
• Ініціювання Замовником додаткової роботи, що не була предметом конкурсного завдання. Таке повинно бути оформлено додатковою угодою до цього Договору
Ціна на такі роботи визначається на підставі
Додатку №3 данного Договору.
3.3.У разі появи обставин, що зумовлюють необхідність перевищення договірної ціни, Підрядник протягом 2-х робочих днів з дня виявлення цих обставин зобов’язаний повідомити Замовника письмово і приступить до виконання робіт лише після одержання відповідного письмового дозволу від Замовника на виконання робіт.
3.4. Замовник прийме рішення щодо уточнення договірної ціни і повідомить про нього Підрядника письмово протягом 1 тижня з дня одержання відповідного повідомлення
3.5. У випадку якщо Підрядник звертається до Замовника про необхідність перевищення договірної ціни з порушенням домовленостей згідно п.3.2. чинного Договору, Замовник має право не погодитись на підвищення договірної ціни та залучити третю сторону для виконання домовленостей, по яких було заявлено перевищення договірної ціни.
В такому разі домовленості між Підрядником та Замовником, по яких було заявлено перевищення договірної ціни, втрачають силу, а Замовник стягує штраф з Підрядника у розмірі 3% від вартості домовленостей (робіт та матеріалів), по яких було заявлено перевищення договірної ціни.
4. Забезпечення виконання зобов'язань Сторін за Договором
4.1.Виконання зобов'язань Підрядника за даним Договором забезпечується Гарантійним фондом, який формується наступним чином:
Підрядник в продовж строку будівництва формує гарантійний фонд самостійно з коштів, не пов’язаних з даним договором, шляхом відкриття рахунку у європейському банку першої категорії та накопиченням на ньому грошових коштів. Термін дії Гарантійного фонду закінчується не раніше 12 місяців з моменту підписання останього акту виконанних робіт, але у будь якому випадку до повного усунення виявлених за цей час недоліків.
Формування гарантійного фонду здійснюється згідно графіку фінансування (Додаток №____).
Зобов’язання сторін по формуванню та використанню гарантійного фонду регламентується Дог №___________. Підрядник у термін 14 днів з моменту підписання даного договору зобов'язаний надати Замовнику належним чином засвідчену копію договору з банком.
Обов'язковою умовою списання коштів,або їх частини, є наявність письмового дозволу Замовника.
4.2. У разі виявлення дефектів у гарантійний термін, Замовник зобов'язаний письмово повідомити Підрядника про необхідність прибуття його представника на об'єкт. Замовник та Підрядник складають двосторонній Акт про наявність недоліків, на підставі якого Сторони складають розрахунок витрат на їх усунення та узгоджують його у термін 3 робочих дні .У разі , якщо Сторони не дійшли згоди що до розрахунку витрат, Замовник та Підрядник мають право провести незалежну експертизу. Право проведення експертизи надається__________.
У разі незгоди виконання робіт по усуненню недоліків Підрядником, Замовник виставляє рахунок Підряднику для сплати їх вартості . Рахунок підлягає оплаті у термін 10 банківських днів з моменту його отримання. Після надходження коштів на розрахунковий рахунок , Замовник,за зверненням Підрядника, надає банку письмовий дозвіл на списання (використання) Підрядником коштів в сумі сплаченого рахунку у термін 10 робочих днів з моменту отримання звернення.
У разі виконання робіт по усуненню недоліків Підрядником, Підрядник у термін 5 робочих днів з моменту завершення цих робіт, готує і узгоджує з Замовником акт виконаних робіт. Після узгодження акту виконаних робіт, Замовник надає банку письмовий дозвіл на списання (використання) Підрядником суми виконаних робіт у термін 10 робочих днів з моменту його підписання.
Для виконання робіт по усуненню дефектів Замовник має право залучити як Підрядника, так і іншу організацію.
Translation - Ukrainian 3. Contractual price
3.1. The sum total of this Contract is defined on the basis of the Contractor’s offer, which is an integral part of the Contract (Annex # 6), and amounts UAH _____ (_________), VAT 20% - UAH _____ (_________). Total contractual price is UAH ________ (_________)
including:
- the amount of insurance fees listed in item 5.5. amounts UAH ______ without VAT;
- the amount of guarantee fund is UAH ______ without VAT.
3.2. The Contract amount is fixed except for the cases when in the process of works fulfillment there occur the circumstances as to increasing of scope of works, such as:
• changes in the design drawings that can be done by the Employer on the basis of normative documents requirements or design flaw. Such changes shall be fixed by the Minutes signed by three parties: Designer, Employer and Contractor, as well as fixed in the field supervision log and legalized in Amendment to this Contract.
• Additional work, which was not a part of the original scope, initiated by the Employer, must be legalized in Amendment to this Contract.
The cost of such works is defined on the basis of Annex # 3 of this Contract.
3.3. In the event of circumstances, called forth increasing of contractual price, Contractor must inform Employer in written form within 2 working days since circumstances beginning and proceed works execution only after getting from the Employer of appropriate written permission for works continuation.
3.4. Employer will take decision about specification of contractual price and inform Contractor in written form within 1 week since day of getting appropriate notification.
3.5. If Contractor applies to the Employer with the request to increase contractual price violating item 3.2 of this Contract, Employer has a right not to agree with increasing of contractual price and invite third party for fulfillment of works, which exceeds contractual price.
In this case agreements between Contractor and Employer as to price increasing are ceased to be in force, and Employer can impose a fine to the Contractor in the amount 3% of agreed value (works and materials) for which contractual amount increasing was asked.
4.Ensuring fulfillment of commitments under the Contract
4.1. Fulfillment of Contractor’s engagements under the Contract is secured by Guarantee Fund, which is made up in the following way: While the construction period the Contractor shall independently make up the Guarantee Fund from the means not connected with this Contract by establishing the account in one of European bank of the first category and accumulating of money means in it. The validity period of the Guarantee Fund shall be expired not until 12 month from the date of signing the last Act for works fulfillment, but in any case by full elimination of defects found in this period.
The forming of the Guarantee Fund shall be under the financing schedule (Annex №____).
The obligations of the Parties as of forming and applying the of the Guarantee Fund are regulated by Agreement №___________. Within 14 days from the date this Agreement signing Contractor are obliged to give the certified copy of the Agreement with a bank.
The obligatory condition for charging off the means or its part is the written permission of Employer.
4.2. In case of detecting of flaws within the guarantee period, Contractor shall be obliged to inform Contractor in writing about necessity for visit of the site by his representative. Employer and Contractor shall draw up the bilateral Act about flaws, which is the base for cost estimation for its elimination and agree it within 3 working days. If the Parties do not reach understanding as of cost estimation, both Employer and Contractor have a right to hold independent expertise. The right for holding expertise is given to ______________________.
In case of Contractor’s refusal to fulfill works aimed to eliminate flaws, Employer shall issue the invoice to Contractor to pay its value. The invoice shall be paid within 10 bank days from the date of receipt. After putting of money to the settlement account, the Employer, by Contractor’s request, shall give the written permission to the bank for charging (usage) by Contractor off means in the amount of settled account within 10 working days from the date of getting the request.
In case of works fulfillment on elimination defects by Contractor, Contractor shall prepare and agree with Customer the Act for works fulfillment within 5 working days. After approval of the Act for works fulfillment, Employer shall give to the bank the written permission for charging off (usage) the amount for the works fulfilled by Contractor within 10 working days from the date of its signing.
For works fulfillment of elimination defects, Employer can involve either Contractor or other organization.
