Source text - English 15. Grievance Procedure and Dispute Resolution
15.1 Grievance Procedure—Any and all complaints or claims by AP arising out of
or relating to the terms or performance of this agreement must be presented and
pursued in accordance with Holt’s written “Client Grievance Procedure.” A copy of the
Client Grievance Procedure will be provided to AP when and if AP’s application is
accepted by Holt. The provisions of the Client Grievance Procedure are incorporated
herein by this reference. Exhaustion of the Client Grievance Procedure, including all
appeals, is a condition precedent to any further mediation or arbitration of AP’s
complaint or claim. Except as otherwise specifically provided in this agreement or in
the Placement Agreement, any complaint or claim of AP which cannot be resolved by
the Client Grievance Procedure, and any other dispute, controversy or claim arising out
of or relating to the terms or performance of this agreement which cannot be resolved
by good faith negotiation among the parties, must be resolved as specified in the
following subsections.
15.2 Mediation—The parties agree to attempt in good faith to resolve any
unresolved dispute, claim or controversy by mediation administered by U.S. Arbitration
and Mediation of Oregon or some other mutually acceptable mediator, under
commercial mediation policies and procedures then adopted by U.S. Arbitration and
Mediation of Oregon or the mutually acceptable mediator.
15.2.1 Definition of Good Faith—"Good faith" is defined as an honest
intention to proceed in a manner which maximizes the likelihood of mediation being
effective. "Good faith" shall not be construed to require either party to make any
concession that party does not believe is in its interest.
15.2.2 Statute of Limitations—The running of any applicable statutory
limitation period is tolled from the date of the first scheduled mediation session until
60 days after the final mediation session, during which period the status of any statute
of limitations issue shall be preserved. This provision shall be construed to give effect
to its intent, which is that neither party's position regarding the statute limitations shall
be improved or damaged as a result of having engaged in mediation.
15.3 Arbitration—If mediation fails to resolve the dispute, claim, or controversy it
must be resolved by arbitration in Lane County, Oregon, pursuant to all applicable rules
then in effect in the Circuit Court of Oregon for Lane County.
The parties must select a single arbitrator within ten (10) days of the date a
written demand for arbitration is received by either party from the other. In the event
the parties fail to select an arbitrator within the 10-day period, either party may make
immediate application to the Circuit Court of Oregon for Lane County for the
appointment of an arbitrator. The parties agree to be bound by the Court's
appointment of an arbitrator.
The arbitrator has broad authority to fashion an equitable remedy, including the
authority to award specific performance. Any decision of the arbitrator must be
reduced to and entered as final judgment in the appropriate Lane County Oregon
court. Such award and judgment constitutes a final and binding adjudication of all
matters submitted to arbitration. The parties expressly agree to waive any and all rights
to appeal the arbitrator's decision. The arbitrator is not empowered to award damages
in excess of compensatory damages, and each party expressly waives and forgoes any
right to punitive, exemplary or similar damages unless a statute requires that
compensatory damages be increased in a specified manner.

15.1 Procédure de Réclamation - Toute demande ou réclamation du PA relative
aux stipulations du présent Contrat ou à son application doit être présentée et
défendue conformément à la version écrite de la « Procédure de Réclamation Client »
de Holt. Une copie de la Procédure de Réclamation Client est remise au PA si et quand
la requête du PA est acceptée par Holt. Les dispositions de la Procédure de Réclamation
Client sont jointes aux présentes par cette mention. L’épuisement de la Procédure de
Réclamation Client, en ce compris tous les appels, est une condition préalable à toute
autre médiation ou tout arbitrage de la demande ou réclamation du PA. Sauf
stipulation expressément contraire du présent Contrat ou du Contrat de Placement,
toute demande ou réclamation du PA, qui ne peut être réglée par la Procédure de
Réclamation Client, et tout autre litige, toute réclamation ou controverse relative aux
stipulations du présent Contrat ou à son application, qui ne peut être réglée par une
négociation de bonne foi entre les Parties, doit être réglée conformément aux
dispositions des alinéas suivants.
15.2 Médiation - Les Parties s’engagent à tenter de régler de bonne foi tout litige,
toute réclamation ou controverse non résolue par la médiation menée par U.S. Arbitration and Mediation of Oregon3 ou tout autre médiateur approuvé par les
Parties, au titre des politiques et procédures commerciales de médiation adoptées à ce
titre par U.S. Arbitration and Mediation of Oregon ou le médiateur approuvé par les
Parties.
15.2.1 Définition de Bonne Foi - « Bonne Foi » est définie comme l’intention
honnête d'agir d’une manière qui augmente les chances que la médiation aboutisse. La
« Bonne Foi » n’est pas interprétée comme requérant d’une des Parties toute
concession qu’elle ne croit pas dans son intérêt.

15.2.2 Délai de prescription - Tout délai de prescription en vigueur est
calculé à partir de la date de la première séance de médiation et jusqu’à 60 jours après
la dernière séance de médiation. Durant ladite période, le statut de tout objet de litige
lié au délai de prescription est préservé. Cette stipulation est interprétée afin de
donner effet à son intention, à savoir qu’aucune position des Parties concernant le
délai de prescription n’est améliorée ou endommagée pour avoir pris part à la
médiation.
15.3 Arbitrage - Si la médiation ne règle pas le litige, la réclamation ou la
controverse, le litige sera résolu par voie d’arbitrage dans le comté de Lane, Oregon,
États-Unis, conformément à toutes les lois applicables dans le circuit judiciaire de
l’Oregon pour le comté de Lane.
Les Parties seront tenues de désigner un seul arbitre dans les dix (10) jours après
la date de réception de la demande écrite d’arbitrage par l’autre Partie. Dans
l’éventualité où les Parties ne désigneraient pas d’arbitre dans les dix jours, l’une ou
l’autre des Parties peut soumettre une requête immédiate auprès du circuit judiciaire
de l’Oregon pour le comté de Lane afin de désigner un arbitre. Les Parties conviennent
d’être liées par la désignation du Tribunal.
L’arbitre dispose de pouvoirs étendus pour trouver une solution équitable, en ce
compris l’autorité de décider d’une exécution en nature. Toute décision de l’arbitre
peut être résumée et enregistrée comme jugement final auprès du Tribunal de l'État de
l’Oregon compétent dans le comté de Lane. Ledit jugement et ladite décision
constituent une décision finale ayant force obligatoire pour toutes les questions
soumises à l'arbitrage. Les Parties s’engagent expressément à renoncer à tout droit
d’appel de la décision de l’arbitre. L’arbitre n’a pas le pouvoir d'attribuer des
dommages-intérêts supérieurs aux dommages-intérêts compensatoires, et chaque
Partie renonce expressément à tout droit à des dommages-intérêts punitifs,
exemplaires ou similaires, sauf prescription expresse visant à augmenter de manière
déterminée les dommages-intérêts compensatoires.
