وحيث أن الطرف الثاني المشتري يرغب في شراء إحدى وحدات المشروع قد تم تحرير هذا العقد بينه وبين الطرف الأولى البائع طبقا للشروط والبنود التالية :

البند الأول يعتبر البند التمهيدي السابق، جزء لا يتجزأ من هذا العقد وله ما لكنافة بنوده من آثار وحجية ملزمة قانوناء
البند الثاني
موضوع التعاقد و بموجب هذا العقد با وأسقط وتنازل الطرف الأول البائع متحمل بكافة الضمانات الفعلية والقانونية إلى الطرف الثاني المشتري القابل لذلك، بيها موقوفا علي شرط شداد كامل الشن بالإضافة إلي الالتزام بكافة الشروط الأخرى المنصوص عليها في هذا العقد منا هو: الشقة رقم) الكائنة بعمارة ( بالدور علوي نموذج رقم ( ) بمسطح قدره (0 ) مترا مربعا فقط لا غير) وهذا المسطح شاملا المنافع العامة والمشتركة للعقار مع ما يتبع هذه الوحدة من حصة شاشة في الأرض والمنافع المشتركة وبنسبة مساحتها إلي إجمالي مساحة وعند جميع الوحدات بمشروع ) المبين الحدود والمعالم تفصيلا بالبند التمهيدي من هذا العقد وذل بعد استكمال بناء جميع وحدات المشروع ومن المتفق عليه صراحة أن الأجزاء المشتركة ومرافقي المشروع لا تقبل القسمة ويكون نصيب كل مشتري فيها بنسبة قيمة الجزء الذي يملكه إلي المشروع بأكمله. أما السطح والجراج والواجهات فهي مملوكة ملكية خاصة للطرف الأولى السينا نسع، وملكيتها مستقلة تماما عن موضوع هذا العقد، ولا تعتبر من الأجزاء المشتركة أو الشائعة بين المشترين ) للوحدات. الطرف الأول (البائع)

تسم هذا البيع للوحدة والحصة الشائعة المبيعة بإيجاب وقبول طرفي اعضد نظیر شستن إجمالي قدره .. ---- - ( فقح ها و بهبوووالو جب .... لا غير ) وقد قام الطرف الثاني المشتري بسداد مبلغ به مکه راجنية (فقطعها نجراج يوما بعد مروری ب ر لا غير وذلك كدفعة تعاقد أما باقي الثمن وقدره ن جنية (ا غير ) فقد تم الاتفاق على إلتزام الطرف الثاني المشتري بسدادها علي أقساط على النحو التالي:

البند الخامللل
من المتفق عليه صراحة أنه إذا تأخر الطرف الثاني المشتري في سداد أي قسط من الأسمدة ست الموضحة بالبند الثالث من هذا العقد أو جزء منه عن موعده المحدد - سواء كان ذلك قبل تسنيم الوحدة المبيعة أو بعده - يعتبر هذا العقد مفس و خا من تلقاء نفسه - فور - دون حاجة إلي تنبيه أو إنذار أو إعذار وذلك طبقا لنص المادة 18 من القانون المدنيي

ويحق للطرف الأول البائع في هذه الحالة التصرف بالتخصيص والبيع لوحدة التعامل تتغير ودون أن يكون من حق الطرف الثاني الاعتراض علي ذلك بأي حال من الأحوال ودون أن يترتب ثم ي حق من الحقوق قبل الطرف الأولى وفسخ
العقد مخصوما منه ۱۰ ( عشرة بالمائة من قيمة
الشقة بالكامل كمصاريف إدارية و تعويض نهائي اتفاقي عن إخلال الطرف الثاني بالتزامه.
ويتم رد باقي المبلغ علي أقساط مساوية لأقسام والمدن التي تم الدفع بها من قبل المشتري
ويبدأ رد المبالغ بعد شهر من اعتبار العقد منسوخ - ولا يحق للطرف الثاني المشتري المطالبة بأية تعويضات أو فوائد تحت أي ظرف من الظروف ولأي سبب من الأسباب.
وديعة الصيانة:
يلتزم الطرف الثاني المشتري بدفع ما يخص وحدته من قيمة ود يخلق صيانة وإدارة العقار وشو مبلغ وقدره فقط جنيه مصري فقط لا خير ) بموجب ايصال استلام مستقل يخصص عائدها الشهري للصرف علي خدمات ومرافق المشروع وحراسته ومن المتت عليه صراحة أنه لا يجوز للطرف الثاني المشتري استلام الوحدة المبيعة إلا بعد سداد قيمة هنا المبلغ بالكامل .

تاريخ التسنيم : من المتفق عليه أن تسليم الوحدة موضوع التعامل للطرف الثاني المشتري حسب الموضح سببيان التشطيباية الملحق بهذا العقد في موعد لا يتجاوز ا ل بشرط سداد دفعة الاستلام المذكورة بالعقد وذلك بموجب محضر تسليم موقع من المشتري بشرط التزامه بسداد كافة الالتزامات المالية المستحقة عليه بموجب أي بند من بنود هذا العقد في نمو میبینه استحقاقها. وتحرير شيكات بنكية بالأقساط المتبقية بعد الاستلام مع احتفاظ الطرف الأولى بحقه في الفسخ وفقا للبند الخامس في حالة رجوع أو رفض الشيكات المحررة لصالحه وفي حالة تأخر الطرف الاول عن التسليم في موعده المحدد يلتزم بسداد مبلغ وقدره جنيه كغرامة تأخير شن

يقر الطرف الثاني المشتري بأنه يتنازلي صراحة وبصفة نهائية من حق الشفعة في أي جزء أ وحدة من وحدات العقار وكافة مكوناته ويحق للطرف الأولى التصرف فيها لنفسه أو تتغير بحرية مطلقة، وهذا الإقرار ملزم للطرف الثاني تخلفه العام والخاص

يلتزم الطرف الأولى بمواصفات التشطيب للوحده ( نصف تشطيب ) كالاتي : - جميع أعمال الخرسانة والمباني وفقا للمواصفات الهندسية.
۲- محارة داخلية وحلوق نجارة داخلية وابواب الشقق. ج- أعمال السباكة الخارجية ووصلة لكل شقة. - عزل الحمامات والمطابخ. . 5- أعمال الكهرباء الخارجية وكهرباء السلم والمدخل و عمود المصاعد ووصلات الكهر با بها لكل شقة. - مصاعد مستوردة مستوى عالي. - عزل الاسطح عزل حراري ورطوبه. - واجهات معمارية راقية. 4- المدخل و السلالم من الرخام والجرانيت الفاخر حسب الرسومات. ۲۰- دش مركزي. ا- انتركم. ۱۲- محطات دفع مياه. 13- مولدات كهرباء للمصاعد والسلالم ومحطات المياه و الجراجات والمداخل .

أو يكون ملاك الوحدات شركاء كل بقدر حصته في ملكية الأرض المقام عليها المشروع. أما أجزاء البناء المعدة للاستعمال المشترك فتخضع للأحكام الأتية:
- الحواجز المشتركة بين وحدتين تكون ملكيتها مشتركة بين صاحبي هاتين الوحدتين أما باقي الأجزاء المشتركة كالسلام والمناور والمصاعد والمداخل للعمارة وتواعد الأرضيات وكل أنواع الأنابيب إلا ما كان منها داخل الوحدة و أجزاء البناء المعدة للاستعمال المشتر شده و بو جه خاص الأساسات والجدران الرئيسية فتكون ملكيتها شيوعا بين جميع ملاك العقار، ولا يجوز لأي مالک وحدة إحداث أي تغييرات فيها أو عمل مناشر للغسيل علي الواجهات أو تقضين البلكونات و عمل أية دهانات، أو وضع أجهزة تكييف أودش. ٢- ويحق لكل مالك أن ينتفع بالأجزاء المشتركة فيما أعدت له وبشرط ألا يعوق ذلك انتفاع باقي الملاك بهذه الأجزاءه ٣- ولا يجوز لأي مالك إحداث أي تغييرات في هذه الأجزاء بمعرفته وثو علي نفقته الجامعية إلا بتصريح كتابي من البائع.
- لا يجوز لأي مالك التخلي عن نصيبه في الأجزاء المشتركة لأي سبب من الأسباب ولا يجوز
له أن يطلب قسمتها قضائيا وإلا كان هذا التصرف باطلا. 5- ولا يجوز لأي مالك التصرف في نصيبه في الأجزاء المشتركة بأي نوع من أنواع التصرفات البناقة الفطيكية ، و المتعلقة بها دون التصرف في كامل نصيبه بالعقار مع مراعاة الالتز؛ ما نت المقررة في هذا الشأن وإلا كان التصرف باطلا. 6- حفاظا علي شكل العام للمبني: لا يجوز تمالك الوحدة وضع أجهزة التكييف علي الواجهات إلا في الأماكن المحددة لذلك من الشركة ، ولا يجوز عمل فتحات لأجهزة تكييف شباك علي الواجهة. أو وضع شيش خشب علي نوافذ البلكونات والشبابيك بالمواجهات، ولا يجوز له وضع دش بالواجهات أو البلكونات أو السطح أو عمل أي نوع من التوصيلات أو الأسلاك علي الواجهات.
- كل مخالفة لهذه الأحكام يترتب عليها اعتبار العقد منسوخا من تلقاء نفسه دون تنبيه أو إنذار فضلا عن حق الطرف الأول البائع في وقف الأعمال أو التعديلات وإزالتها وإعادة الحالي إلي ما
كان عليه، وذلك بمصروفات علي عاتق المخالف، مع احتفاظ الطرف الأول البائع بالحق في الرجوع علي الطرف الثاني بالمناسب من التعويضات.

والإعلان عليها دون الرجوع للطرف الثاني المشتري ودون أي تدخل منه في ذلك،

Preamble
Whereas, the first party owns a vacant land of total surface m2 (Only ) located at, having the following boundaries:

Whereas, the second party (the Buyer) intends to purchase one of this project’ units, therefore, this contract was concluded between both parties (buyer and seller), as per the following conditions and articles:
Article One:
The above mentioned preamble is considered as integral part of this contact and all its provisions have legally binding effects and authorizations.
Article Two:
Property- contract’ subject:
According to this contract, the first party bearing all the actual and legal guarantees has conditionally sold, waived and assigned a property to the second party who has approved the matter, provided that he shall fulfill the full payment of the total value, and that he shall also comply to all other conditions stated for elsewhere in this contract.

This surface includes all the public and joint utilities of the building, in addition to the related common share of the property in the land and joint utilities that is proportional to the total surface and number of all the units of the project of ( ) which surfaces and descriptions are detailed in the preamble of this contract. The assignment shall be effective upon the finalisation of all units of the project. It is explicitly agreed upon that the common surfaces and utilities of the project shall not be shared or divided, and each buyer’s share shall be proportional of his property value to the whole project.
The roof, the garage and the building’ facades are privately owned by the first party (the seller), its ownership are therefore totally independent of the subject of this contract, and shall not be considered as of the common or joint parts between the buyers of the units.

Article three:

The unit and the common share selling has been concluded upon the acceptance and the approval of both parties for a total value of LE (only Egyptian pounds).
The second party has paid the amount of LE (only Egyptian Pounds) as contractual downpayment. The outstanding balance amounting LE (Only Egyptian Pounds) shall be paid as installments by the second party as shown hereunder:

Ownership:
The ownership of the land of the project has been transferred by selling mean according to the contract concluded on.
Article five:
It is explicitly agreed upon that in the event that the second party (the buyer) has failed to fulfill any or part of the installments mentioned in article three of this contract in their due dates, whether this occurred before or after the handover of the sold apartment, this contract shall automatically be considered cancelled without need to any notice, warning or excuses, as per article no. 158 of the civil code.

The second party shall then return the sold property immediately to the first party (the seller) after moving all its contents. The first party in this case shall have the right to allocate or sell the subject property for others without any objection nor claiming any rights by the second party. The contract shall be cancelled with a deduction of % ( percent) of the the apartment value as administrative fees and final contractual indemnity for breach of obligation by the second party.
The balance amounts will be returned by installments equivalent to those settled by the buyer at the same periods of maturity.
The return of amounts shall begin after one month of the contract cancellation.
The second party has no right to claim for any indemnity or interest under any circumstance or for any reason.
Article six:
Maintenance deposit:
The second party (the buyer) shall undertake to pay the value of his property share in respect of the building’ deposit for maintenance and administration, amounting LE (only Egyptian Pounds) against a separate payment receipt. The deposit's monthly yield shall be assigned to cover the expenses of services, utilities and security of the project.
It is explicitly agreed upon that the second party has not the right to acquire the property unless this amount is fully paid.
Article seven:
Handover date:
It is agreed upon that the handing-over of the subject property to the second party (the buyer), according to the finishings annexed to this contract, shall not exceed , provided that he has paid the downpayment mentioned in this contract against a handover report and that all the financial liabilities- stated elsewhere in the articles of this contract- are settled in their due dates. Bank cheques shall be issued for the balance installments after acquiring the property. If the cheques made-out in his favor are returned or dishonored, the first party (the seller) shall reserve his right to cancel the contract in accordance with article five. In case the first party shall fail to handover the property in the due date, he shall be liable to pay LE as delay penalty for each month.

Article eight:
The first party (the seller) shall declare that the sold property and the real-estate share subject of this contract are not bound by any personal rights as well as the real rights in rem whether principal or accessory. He shall also declare that he has never disposed of the property previously and that it is not foreclosed to the bank.
Article nine:
The first party shall reserve the ownership of the subject property till the second party has paid its full value as well as all financial dues stated in this contract. Accordingly, the second party has no right to dispose of the property allocated to him upon this contract under any circumstances whether by sale, lease or mortgage…etc, or before or after the handover until he has settled all installments and dues and received a final written release from the seller; otherwise, any performed action shall be considered void as per article 823 of the Civil Code. In the event of any contravention of conditions by the buyer, he shall not have any rights before the seller and the contract shall be considered automatically canceled without the need of any warning, notice, excuses or other legal action.
Article ten:
The second party (the buyer) shall declare his explicit and final disclaim of the preemptive rights for any of the parts or units of the building and its full contents. The first party shall be entitled with freewill to dispose of those for himself or for others. This declaration shall be biding on the second party as well as his particular and general successors.
Article eleven:
The first party shall undertake a half-finishings for the property as per following specifications:
1- All concrete and construction operations- as per the engineering specifications.
2- All interior skim coating, “profili” woodworkings and apartments’ doors.
3- The exteriors plumbing operations and the piping for each apartment.
4- The insulation for kitchens and bathrooms.
5- All exterior electricity operations, including the stairs, the building’ entrance, the elevators and the couplings and wire jumpers.
6- upscaling imported elevators.

Article twelve:
The owners of the apartments shall be proportionally partners each in accordance of his share of the project land ownership. As for the common constructions, those shall be submitted to following conditions:
1- The common borders between two apartments are a shared property for the owners of those apartments. Other common parts such as stairs, skylights, elevators, building entrances, floors, all sorts of pipes- except those in the apartments- and all construction parts established for common uses, especially the basic foundations and walls, those shall be a joint ownership for all building’s properties. The property’s owners shall not be allowed to make any modifications whatsoever, such as fixing rack laundry driers on the building frontal facades, closing a balcony, paintings or fixing any air-conditioning or antennas.
2- Each owner shall be entitled to utilize the common facilities with respect to their functions, without altering the rights of others for the same utilization.
3- Any owner shall not be entitled to effect any changes or modifications on any facility, even on his own expenses, unless he receives a written approval from the seller.
4- Any owner shall not assign to others his share of the common parts for any reason and he shall not file an action for legal partition, otherwise his action shall be void.
5- Any owner shall not dispose of his share of the common parts by any related action of ownership transfer, unless he will dispose of his full property’ share, subject to the obligations in this regard, otherwise his action shall be void.

6- In respect of the layout of the building, the property owner shall not be entitled to fix any air-conditions on the facades except in the designated places by the company, it is also prohibited to create a slot or compartment for the air-conditions on the facades, or to install wooden windows for the front balconies, neither to fix antennas on the facades or on balconies or on roofs, or any related connections and wires.
7- Any contravention to theses conditions shall automatically result in the contract cancellation without notice or warning. The first party shall then have the right to stop and remove any act of adjustments and restore things to their previous condition, expenses of which will be charged to the violator. The first party shall also have the right to claim the second party for any appropriate indemnity.
Article thirteen:
It is explicitly agreed upon between both parties that the parts which are not considered as joint utilities and excluded of this contract are:
1- The upper roof of the building that may be utilized, exploited or undergone additional floors by the first party (the seller) without referring back to the second party (the buyer) and without his interference.
2- The basement and the garage are also properties of the first party that he may utilize, exploit and dispose of without the interference of the second party.
3- The solid elevation of the building which may be utilized only by the first party (the seller) for advertising purposes without referring to the second party (the buyer) or his interference.
Article fourteen:
The inspection: the second party (the buyer) declares that he has reviewed the architectural drawings of the project including his property- subject of this contract, the finishings specifications and the title deed before purchasing and that after he has reviewed the afore-mentioned documents, he shall never be entitled to have any recourse to the seller. The second party also declares that he shall be prohibited to abolish, remove or effect any modifications on the property subject of this contract including the walls or partitions or pillars. Under no circumstances, he shall not be entitled to make any changes or modifications on the front facade of the building. The second party shall respect all the regulations and conditions in this regard for the sake of the building and its inmates, and he shall assume the civil and criminal responsibility for the contravention of this condition.

Article fifteen:
The second party shall not conclude any contracts with the service entities: water, electricity, gas and telephones, unless he has fulfilled all financial dues stated in this contract and has received the relevant deed from the first party as well as his approval to include such utilities in the sold property. Otherwise, the seller shall have the right to object and immediately stop the installation of these utilities and charge the buyer with the relevant expenses and indemnities.
The second party shall be liable to pay the basic building facilities value (water, electricity and drainage) relevant to his property share which is estimate to LE ( Egyptian pounds) to be paid upon acquiring the property.
Article sixteen:
The second party undertakes that he shall perform all the finishings of his property subject to this contract at the latest months from acquiring the property and he shall also deposit a certain sum as insurance covering the occurrence of any damage during the finishings.
Article seventeen:
Both parties agreed to register the sold property on the expenses of the second party (the buyer) who shall pay all fees and charges of the Real-Estate Registration Authority.
Article eighteen:
Both parties declare that the addressees stated in this contract thereto their names are valid for all legal correspondences or judicial notices, and any changes or amendments shall be considered void unless other parties have been notified in writing by registered mail with acknowledgement of receipt.
Article nineteen:
Any conflict or dispute arising upon the interpretation or application of the conditions of this contract shall be of the jurisdiction of the courts of .
Article twenty:
This contract has been drawn up on two duplicate copies and on eight pages, one for each party to act upon. Attached to each party’s copy architectural drawings for the sold property.

وقد اجرت السلطات المختصة هناك التحقيق وتبين أن سبب السقوط والوفاة هو قضاء وقدر مع عدم وجود أية شبهة جنائية.
وقد اصدرت القنصلية المصرية شهادة وفاة للمذكور بناءً علي ما إنتهت إليه التحقيقات
وبموجب اشهاد وفاة ووراثة في القضية رقم لسنة نيابة الجمرك لشئون الاسرة – بالاسكندرية انحصر إرثه الشرعي في اخوته الاشقاء البلغ وهم :
