Source text - Spanish PLIEGO DE CLÁUSULAS ADMINISTRATIVAS PARTICULARES PARA LA CONTRATACIÓN DE PRESTACION DE SERVICIOS POR EL PROCEDIMIENTO ABIERTO DE CONCURSO
CLÁUSULA 1 – OBJETO DEL CONTRATO
El contrato que se regirá por el presente pliego de cláusulas administrativas particulares, tiene por objeto la realización de la prestación de servicio especificada en el apartado A del cuadro de características, que lo encabeza. Se celebrará, en todo caso, con personas físicas o jurídicas cuya actividad tenga relación directa con el objeto del contrato.
Los Pliegos de Prescripciones Técnicas y los precios unitarios ofertados revestirán, junto con el presente Pliego, carácter contractual, por lo que la presentación de ofertas implicará manifestación expresa del licitador de que acepta el contenido de ambos Pliegos y su conformidad con los mismos, debiendo ser firmados ambos por el adjudicatario en el acto mismo de la formalización del contrato.
CLÁUSULA 2 – PRESUPUESTO DE LICITACIÓN
El presupuesto de licitación de la prestación de servicio, es el indicado en el apartado B del cuadro de características.
CLÁUSULA 3 – PLAZO DE EJECUCIÓN Y LUGAR DE ENTREGA
El plazo de ejecución del contrato será el fijado en el apartado C del cuadro de características que encabeza este Pliego. Dicho plazo comenzará a partir de la fecha indicada en el contrato.
El expediente podrá ser objeto de prórrogas anuales, con un máximo de dos, como consecuencia del mutuo acuerdo entre XXXX y la empresa adjudicataria.
La prestación de servicios de mantenimiento y soporte técnico in situ, la entrega de nuevas versiones del XXXX ® se realizará en las dependencias de la XXXX.
El resto de servicios los realizará el adjudicatario en sus dependencias.
CLÁUSULA 4 – PROCEDIMIENTO Y FORMA DE ADJUDICACIÓN
El contrato se adjudicará por el procedimiento abierto y la forma de adjudicación de Concurso.
CLÁUSULA 5 – PUBLICIDAD DE LAS LICITACIONES
Se publicarán los correspondientes anuncios en el Diario Oficial de las Comunidades Europeas y en el Boletín Oficial del Estado.
La fecha de apertura de las proposiciones económicas será publicada en los mismos medios con la excepción de que los licitadores fueran todos de nacionalidad española, en cuyo caso, solo se publicará en el Boletín Oficial del Estado.
CLÁUSULA 6 – CAPACIDAD Y PROHIBICIONES PARA CONTRATAR CON XXXX
Podrán contratar con XXXX las personas naturales o jurídicas, españolas o extranjeras, que tengan plena capacidad de obrar y acrediten su solvencia económica, financiera y técnica o profesional.
En el supuesto de personas jurídicas dominantes de un grupo de sociedades, se podrá tener en cuenta a las sociedades pertenecientes al grupo, a efectos de la acreditación de la solvencia económica, financiera y técnica o profesional, siempre y cuando se acredite que se tienen, efectivamente, a disposición los medios de dichas sociedades necesarios para la ejecución de los contratos.
Prohibiciones e incompatibilidades para contratar con XXXX
En ningún caso podrán contratar con XXXX las personas en quienes concurra alguna de las circunstancias siguientes:
a) Haber sido condenadas mediante sentencia firme por delitos de falsedad, contra el patrimonio y contra el orden socioeconómico, cohecho, malversación, tráfico de influencias, revelación de secretos, uso de información privilegiada, delitos contra la Hacienda Pública y la Seguridad social, delitos contra los derechos de los trabajadores o por delitos relativos al mercado y a los consumidores. La prohibición de contratar alcanza a las personas jurídicas cuyos administradores o representantes, vigente su cargo o representación, se encuentren en la situación mencionada por actuaciones realizadas en nombre o a beneficio de dichas personas jurídicas o en las que concurran las condiciones, cualidades o relaciones que requiera la correspondiente figura del delito para ser sujeto activo del mismo
b) Haber sido declaradas en quiebra, en concurso de acreedores, insolvente fallido en cualquier procedimiento o sujeto a intervención judicial; haber iniciado expediente de quita y espera o de suspensión de pagos o presentado solicitud judicial de quiebra o de concurso de acreedores, mientras, en su caso, no fueren rehabilitadas.
c) Haber dado lugar, por causa de la que hubieren sido declarados culpables, a la resolución firme de cualquier contrato celebrado con XXXX o con cualquier otro organismo de la Administración española.
d) Haber sido sancionadas con carácter firme por infracción grave en materia de disciplina de mercado, en materia profesional o en materia de integración laboral de minusválidos, o muy grave en materia social, de acuerdo con lo dispuesto en la Ley 8/1988 de 7 de abril sobre Infracciones y Sanciones en el Orden Social o en Materia de Seguridad y Salud en el Trabajo, de conformidad con lo dispuesto en la Ley 31/1995 de 8 de noviembre sobre Prevención de Riesgos Laborales.
e) Estar incursa la persona física o los administradores de la persona jurídica en alguno de los supuestos de la Ley 12/1995, de 11 de mayo, de Incompatibilidades de los Miembros del Gobierno de la Nación y de los Altos Cargos de la Administración General del Estado, de la Ley 53/1984 de 26 de diciembre, de Incompatibilidades del Personal al Servicio de las Administraciones Públicas o tratarse de cualquiera de los cargos electivos regulados en la Ley Orgánica 5/1985 de 19 de junio del Régimen Electoral General, en los términos establecidos en la misma. La prohibición alcanza, igualmente a los cónyuges, personas vinculadas con análoga relación de convivencia afectiva y descendientes de las personas a que se refiere el párrafo anterior, siempre que respecto de los últimos, dichas personas ostenten su representación legal.
f) No hallarse al corriente en el cumplimiento de las obligaciones tributarias o de seguridad social impuestas por las disposiciones vigentes.
g) Haber incurrido en falsedad grave al facilitar a XXXX o a cualquier otro organismo de la Administración, las declaraciones exigibles.
h) Haber incumplido las obligaciones impuestas al empresario por los acuerdos de suspensión de las clasificaciones concedidas por XXXX o por la Administración o de la declaración de inhabilitación para contratar con XXXX o cualquiera de las Administraciones Públicas.
i) Si se trata de empresarios no españoles de Estados miembros de la Comunidad Europea, no hallarse inscritos en su caso en un registro profesional o comercial en las condiciones previstas por la legislación del estado donde estén establecidos.
j) Haber sido sancionado como consecuencia del correspondiente expediente administrativo en los términos previstos en el Articulo 82 de la Ley General Presupuestaria y en el Articulo 80 de la Ley General tributaria.
k) No hallarse debidamente clasificadas, en caso de venir así exigido por los correspondientes Pliegos de Bases, o no acreditar la suficiente solvencia económica, financiera y técnica o profesional.
Procedimiento para su declaración y efectos
1. Las prohibiciones de contratar contenidas en los párrafos b), e), f), i), j) y k), se apreciarán de forma automática por los Órganos de Contratación y subsistirán mientras concurran las circunstancias que, en cada caso, las determinan.
2. La prohibición de contratar por las causas previstas en el párrafo a) del apartado anterior, se apreciará de forma automática por los Órganos de Contratación. No obstante, el alcance de la prohibición se determinará en el procedimiento que, de conformidad con lo dispuesto en los números 5 y 6 de este apartado, deberán, necesariamente instruirse.
3. En los restantes supuestos, la prohibición para contratar requerirá su previa declaración mediante procedimiento cuya resolución fijará, expresamente, su alcance y su duración.
4. La declaración de la prohibición para contratar en los supuestos a que se refieren los párrafos a), d), g), h) y j), o la apreciación de la misma en las causas de los párrafos b), e) y f), producirá la suspensión de las clasificaciones que hayan sido concedidas a las empresas durante el plazo de duración de la prohibición o mientras subsista la causa determinante de su apreciación, sin necesidad de expediente específico a tal efecto.
5. El alcance de la prohibición se apreciará atendiendo, en su caso, a la existencia de dolo o manifiesta mala fe en el empresario y a la entidad del daño causado a los intereses públicos y no excederá de cinco años, con carácter general, o de ocho para prohibiciones que tengan por causa la existencia de condena mediante sentencia firme. En todo caso se estará a los pronunciamientos que sobre dichos extremos, en particular sobre la duración de la prohibición de contratar, contenga la sentencia o resolución firme y, en tal supuesto, las prohibiciones de contratar se aplicarán de forma automática por los Órganos de Contratación.
6. La competencia para declarar la prohibición de contratar en los supuestos contemplados en los párrafos a), en el caso de condena por sentencia firme y d), del apartado anterior, corresponderá al Director General de XXXX que dictará resolución a propuesta de la XXXX y revestirá carácter general para toda XXXX. En los supuestos previstos en los apartados c), g) y h), del apartado anterior, la competencia será de los órganos citados de XXXX o el que corresponda en función de la Administración de que se trate.
7. A los efectos de aplicación de este apartado, serán comunicadas a todas las Unidades y Órganos de Contratación las sanciones y resoluciones firmes recaídas en los procedimientos correspondientes.
Efectos de la falta de capacidad, solvencia y de las prohibiciones de contratar
Las adjudicaciones de contratos a favor de personas que carezcan de la capacidad de obrar o de solvencia y de las que se hallen comprendidas en alguno de los supuestos de prohibición para contratar, serán nulas de pleno derecho. Sin perjuicio de ello, el Órgano de Contratación, podrá acordar que el empresario continúe la ejecución del contrato, bajo las mismas cláusulas, por el tiempo indispensable para evitar perjuicios al interés público.
Translation - English SCHEDULE OF SPECIFIC ADMINISTRATIVE CLAUSES RELATING TO THE TENDER FOR SERVICE CONTRACTS
CLAUSE 1 – PURPOSE OF CONTRACT
The purpose of the contract subject to this schedule of specific administrative clauses is to provide technical assistance as indicated in item A of the features table at the beginning of this document. This will be carried out by persons or companies whose activities are directly related to the purpose of this contract.
The Schedule of Technical Specifications and unit prices offered, together with the present document, will be of a contractual nature; therefore, submitting a bid will imply the bidder’s express acceptance of and compliance with the contents of both schedules. Each must be signed by the winning bidder at the time of formalizing the contract.
CLAUSE 2 – TENDER BUDGET
The maximum tender price is indicated under item B of the features table.
CLAUSE 3 – PERIOD OF PERFORMANCE AND PLACE OF DELIVERY
The period of performance of the contract will be the period defined in item C of the features table at the start of this document. This period will commence on the date indicated in the contract.
The contract may be subject to annual extensions, for a maximum of two years, as agreed between XXXX and the successful bidding company.
The supply of on-site technical support and maintenance services and the delivery of new versions of XXXX ® will be carried out on XXXX premises.
The successful bidder will perform the remaining services on its own premises.
CLAUSE 4 – ADJUDICATION PROCEDURE
The contract will be awarded through an open competitive tender process.
CLAUSE 5 – ADVERTISING OF TENDERS
Notices will be published in the Diario Oficial de las Comunidades Europeas (Official Journal of the European Communities) and in the Boletín Oficial del Estado (Official Bulletin of the State).
The opening date for financial proposals will be published in the same media unless all the bidders are of Spanish nationality, in which case this notice will only be published in the Boletín Oficial del Estado.
CLAUSE 6 – ELIGIBILITY AND INELIGIBILITY FOR XXXX CONTRACTS
Spanish or foreign persons or companies are eligible to contract with XXXX if they are fully able to operate and can provide evidence of their economic, financial and technical or professional solvency.
In the case of legal entities that control a group of companies, regard may be had to the companies within the group, for the purposes of providing evidence of economic, financial and technical or professional solvency, if and when they provide evidence that they have effective control of the resources of these companies necessary to perform the contract.
Ineligibility and conflicts in contracting with XXXX
Under no circumstances can persons contract with XXXX if any of the following applies:
a) They have been found guilty, by final judgment, of misrepresentation, crimes against property, bribery, embezzlement, influence peddling, breach of confidence, use of privileged information, offences in relation to taxation, social security or workers’ rights or relating to the market and consumers. Ineligibility will extend to legal entities whose current directors or representatives are in this situation as a result of actions undertaken on behalf of or for the benefit of said entities, or in circumstances that involve the conditions, characteristics or relationships required to establish liability for the corresponding offence.
b) They have been declared bankrupt, a creditors’ meeting has been called, they have been declared insolvent, or a suspension of payments proceeding has been filed or legal bankruptcy or creditors’ meeting proceedings have been initiated, unless rehabilitated.
c) They have caused the termination of any other contract, for which they have been found to be at fault, with XXXX or the Spanish government.
d) They have been the subject of final and binding sanctions for serious offences relating to market discipline, professional conduct, integration of people with disabilities into the workplace, or very serious offences relating to industrial relations, in accordance with the provisions of Law 8/1988 of 7 April on Infractions and Sanctions in the Social Order or Relating to Workplace Health and Safety, in accordance with the provisions of Law 31/1995 of 8 November on Occupational Risk Prevention.
e) The person or directors of the legal entity are subject to any of the provisions of Law 12/1995 of 11 May on Conflicts of Interest in Members of National Government and Senior Officeholders in the General Administration of State, or of Law 53/1984 of 26 December on Conflicts of Interest in Public Administration Employees, or occupy any of the elective positions regulated by Organic Law 5/1985 of 19 June on the General Electoral System as defined in this legislation. Ineligibility extends to spouses, de facto partners and children of persons referred to in the previous paragraph, providing that in the latter case the said persons have legal capacity to act on their behalf.
f) They are not up to date with tax or social security obligations imposed by the current regulations.
g) They have made a serious misrepresentation in providing the required declarations to XXXX or any other government body.
h) The business has not complied with obligations imposed on it by agreements to suspend classifications granted by XXXX or the Administration, or by a declaration of disqualification to contract with XXXX or any other government body.
i) In the case of non-Spanish businesses within a European Union Member State, they have failed to register with the applicable professional or commercial registry in accordance with the terms of the legislation of the State in which they are based.
j) They have been sanctioned following administrative proceedings pursuant to the terms of Article 82 of the General Budgetary Law and Article 80 of the General Taxation Law.
k) They have not been duly classified in cases where the tender documentation requires this, or they have not provided evidence of sufficient economic, financial, technical or professional solvency.
Procedure for declaration and its effects
1. The ineligibility criteria contained in paragraphs b), e), f), i), j) and k) will be automatically assessed by the Órganos de Contratación (Contracting Bodies) and this assessment will remain in place while the circumstances determining such ineligibility continue to exist.
2. The ineligibility criterion contained in paragraph a) of the previous section will be automatically assessed by the Contracting Bodies. However, the extent of ineligibility will be determined in proceedings that must be instituted pursuant to the provisions of numbers 5 and 6 of this section.
3. With regard to the remaining provisions, ineligibility to contract will require a prior declaration to this effect, following proceedings whose resolution will expressly set the extent and duration of such ineligibility.
4. A declaration of ineligibility to contract pursuant to the provisions of paragraphs a), d), g), h), and j), or an assessment to this effect on grounds provided for in paragraphs b), e) and f), will result in the suspension of classifications granted to companies for the period of ineligibility, or while the circumstances determining such ineligibility continue to exist, without need for specific proceedings to this effect.
5. The extent of ineligibility will be assessed taking into account, if appropriate, the existence of fraud or bad faith and the level of harm caused to the public interest, and will generally not exceed a period of five years, or a period of eight years in the case of ineligibility resulting from a final judgment of guilt. In every case where such judgment specifies the extent of ineligibility, in particular the period of ineligibility to contract, this will be applied automatically by the Contracting Bodies.
6. The ability to make a declaration of ineligibility to contract in the circumstances contemplated in paragraphs a), in the case of a definitive finding of guilt, and d), of the previous section, will rest with the General Manager of XXXX, who will make a decision at the request of the XXXX, which will be of general application in relation to all of XXXX. In the circumstances described in c), g) and h) of the previous section, this capacity will lie with the XXXX bodies cited or with the equivalent body of the authority concerned.
7. For the purposes of applying this section, sanctions and final decisions made in the corresponding proceedings will be communicated to all Contracting Bodies and Units.
Effects of lack of capacity, solvency or eligibility to contract
The award of contracts in favour of persons who lack the capacity to operate or solvency, or who are in circumstances rendering them ineligible to contract, will be null and void. Notwithstanding this provision, the Contracting Body may agree to allow the business to continue to perform the contract, subject to the same conditions, for a period necessary to avoid damaging the public interest.
