1. De volgende contractdocumenten omschrijven in onderlinge samenhang de rechten en verplichtingen die voor partijen uit de Overeenkomst voortvloeien:
(a) deze Overeenkomst;
(b) de Vraagspecificatie;
(c) de door partijen geparafeerde, bij de Vraagspecificatie gevoegde annexen met betrekking tot:
(I) de vergunningen, ontheffingen, beschikkingen en toestemmingen die door de Opdrachtgever moeten worden verkregen;
(II) de planning;
(III) het acceptatieplan;
(IV) het toetsingsplan Ontwerpwerkzaamheden;
(V) de vrijkomende materialen;
(VI) het overzicht van werkzaamheden die door nevenopdrachtnemers worden verricht alsmede van de tijdstippen waarop zij worden uitgevoerd;
(VII) de verrekening van wijzigingen van lonen, sociale lasten, prijzen, huren en vrachten;
(VIII) (niet van toepassing;)
(IX) de bankgarantie;
(X) de verzekeringen;
(XI) (niet van toepassing;)
(XII) verplichtingen bij schade, schademelding en schade afwikkeling;
(XIII) prestatieverklaring XYZ
(XIV) Service Framework Agreement (SFA)
(XV) Grote wijziging en Kleine wijziging
(d) de Uniforme Administratieve Voorwaarden voor geïntegreerde contractvormen (UAV-GC 2005) en de wijzigingen hierop zoals weergegeven in “XYZ aanvullingen en/of wijzigingen op de UAV-GC 2005 (gele boekje)”
(e) de Aanbieding;
(f) de Documenten als bedoeld in § 1 sub d UAV-GC, voor zover die door de Opdrachtnemer overeenkomstig de daarop betrekking hebbende procedure ter kennis zijn gebracht van de Opdrachtgever.
2. Indien contractdocumenten onderling tegenstrijdig zijn, geldt, tenzij een andere bedoeling uit de Overeenkomst voortvloeit, de volgende rangorde:
(a) deze Overeenkomst;
(b) de Vraagspecificatie;
(c) de bij de Vraagspecificatie gevoegde annexen;
(d) de Uniforme Administratieve Voorwaarden voor geïntegreerde contractvormen (UAV-GC 2005) en de wijzigingen hierop zoals weergegeven in “XYZ aanvullingen en/of wijzigingen op de UAV-GC 2005 (gele boekje)”
(e) de Aanbieding;
(f) de Documenten als bedoeld in § 1 sub d UAV-GC2005.
Wanneer echter de kwaliteit van het aangebodene uitgaat boven de in de Vraagspecificatie geëiste kwaliteit of de Opdrachtnemer aanbiedt het Werk op een eerder tijdstip op te leveren dan door de Vraagspecificatie wordt geëist, prevaleert de Aanbieding boven alle andere contractdocumenten met uitzondering van de Overeenkomst.
3. De Opdrachtnemer is verantwoordelijk voor de inhoud van Documenten, voor onderlinge tegenstrijdigheden tussen twee of meer Documenten, alsmede voor onderlinge tegenstrijdigheden tussen verschillende onderdelen van één Document.
4. De Opdrachtgever is verantwoordelijk voor onderlinge tegenstrijdigheden tussen eisen in de Vraagspecificatie, alsmede voor strijdigheden in de door hem verstrekte informatie. Het in dit lid bepaalde geldt ook voor onderlinge tegenstrijdigheden tussen de bij de Vraagspecificatie gevoegde annexen.
5. Het in lid 4 bepaalde laat onverlet de verplichting van de Opdrachtnemer om de Opdrachtgever te waarschuwen in geval van een in dat lid bedoelde klaarblijkelijke tegenstrijdigheid.
6. In geval van een (voorgenomen) wijziging in de Hoofdovereenkomst zal de Opdrachtgever dat zo spoedig mogelijk aan de Opdrachtnemer laten weten en met de Opdrachtnemer overleggen over de eventuele gevolgen van die wijziging voor deze Overeenkomst.
7. Indien en voor zover de Opdrachtnemer een wijziging zou willen voorstellen (VTW) zal de Opdrachtgever zich inspannen om deze wijziging door XYZ geaccepteerd te krijgen, mits de Opdrachtnemer voldoende heeft aangetoond welke gevolgen deze wijziging heeft voor (de uitvoering van) het Project inclusief de werkzaamheden van derden en de Opdrachtgever die gevolgen uitdrukkelijk heeft geaccepteerd. Een wijziging op verzoek van de Opdrachtnemer geldt uitsluitend na goedkeuring ervan door XYZ .
8. Tenzij partijen uitdrukkelijk iets anders zijn overeengekomen, eindigt een termijn waarbinnen de Opdrachtgever jegens de Opdrachtnemer moet presteren 14 dagen na de termijn die daarvoor tussen de Opdrachtgever en XYZ geldt. Andersom eindigt de termijn waarbinnen de Opdrachtnemer jegens de Opdrachtgever een prestatie moet verrichten 14 dagen eerder.

1. The following contract documents describe the mutual rights and obligations of the parties resulting from the Agreement:
(a) This Agreement;
(b) The Tender specification;
(c) The Appendices added to the Tender Specification which was initialled by the parties, regarding:
(I) the licences, exemption, dispositions and grants that should be received from the Contractor;
(II) the planning;
(III) the acceptance plan;
(IV) the testing plan of the Design activities;
(V) the released materials;
(VI) the overview of the activities performed by the other Sub-contractors as well as the times when it is performed;
(VII) the calculation of changes in wages, social taxes, prices, rent and loads;
(VII) (not applicable;)
(IX) the bank guarantee;
(X) the insurance;
(XI) (not applicable;)
(XII) liability with damages, notification of damage and damage distribution;
(XIII) performance statement XYZ
(XIV) Service Framework Agreement (SFA)
(XV) Major changes and Small changes
(d) The Uniform Administrative Conditions for integrated contract types (UAV-GC 2005) and the changes to this as indicated in “XYZ additions and/or changes to the UAV-GC 2005 (yellow booklet)”
(e) The Tender;
(f) The Documents as intended in § 1 sub d UAV-GC, in so far as these have been brought to the attention of the Sub-contractor regarding the procedure by the Contractor.
2. If the contract documents are contradicting one another, the following, unless stated differently in this Agreement, order is applicable:
(a) This Agreement;
(b) The Tender specification;
(c) The Appendices added to the Tender Specification;
(d) The Uniform Administrative Conditions for integrated contract types (UAV-GC 2005) and the changes to this as indicated in “XYZ additions and/or changes to the UAV-GC 2005 (yellow booklet)”
(e) The Tender;
(f) The Documents as intended in § 1 sub d UAV-GC2005.
However, when the quality of the tenderer is higher than that required in the Tender specification or if the Sub-contractor Tender to deliver the Work at an earlier date than what is required in the Tender specification, the Tender prevails above all other contract documents with the exception of the Agreement.
3. The Sub-contractor is responsible for the contents of the Documents, for contradictions between two or more documents, as well as for contradictions between different sections of one Document.
4. The Contractor is responsible for contradictions between the requirements in the Tender specification, as well as for contradictions in the information provided by them. The stipulations in this section are also applicable to contradictions between the Appendices added to the Tender specifications.
5. The stipulations in section 4 do not effect the obligation of the Sub-contractor to warn the Contractor about an obvious contradiction as intended in the section.
6. In case of a (intended) change in the Main agreement, the Contractor will inform the Sub-contractor as soon as possible and will consult with the Sub-contractor regarding any consequences of the change on this Agreement.
7. If and in so far as the Sub-contractor wants to suggest a change (VTW), the Contractor will try and get XYZ to accept this change, as long as the Sub-contractor sufficiently motivated the consequences this change will have on the (execution of) Project, including the activities of third parties and the Contractor, who has explicitly accepted the consequences. A change on request of the Sub-contractor will only be applicable after approval thereof by XYZ .
8. Unless the parties explicitly agreed differently, the term within which the Contractor has to perform to the Sub-contractor ends 14 days after the term applicable to the Contractor and XYZ . Vice versa, the term within which the Sub-contractor should perform towards the Contractor, is 14 days prior to that.
