PARTIES:
1. Name:

2. ________ a company incorporated under company number ____ under the laws of Antigua and Barbuda whose registered office is at ____________(the "Sponsor");
WHEREAS:-
(A) It is the aim of the Poker Player and the Sponsor (together the "Parties") to enter in to this Agreement whereby the Poker Player grants the Sponsor certain sponsorship rights related to the Poker Player in return for the consideration and obligations set out in this Agreement.
(B) The Parties intend to regulate their reciprocal relationship in the manner and under the conditions stipulated herein.
IT IS AGREED as follows:-
1. INTERPRETATION
1.1 In this Agreement the following words and phrases shall, unless the context requires otherwise, have the following meanings:
"Branded Clothing" means t-shirts, shirts and caps branded with the Sponsor’s Logo.
"Competitor" means any company or individual who the Sponsor, in its sole discretion, considers to be a competitor of the Sponsor’s business.
"Intellectual Property Rights" means all intellectual property rights including without limitation UK and foreign (whether or not registered) patents registered and unregistered design rights, copyrights, trade marks, service marks, trading names and domain names.
"Sponsor Logo" means the name and/or logo of the Sponsor on the Branded Clothing as specified by the Sponsor from time to time.
"Sponsorship Rights" means the rights of the Sponsor in relation to the WSOP Event 45 as set out in Schedule 1 or as may be agreed between the Parties from time to time.
"Sponsor’s Websites" means www.paradisepoker.com, www.sportingbet.com or any other website used for the purposes of this Agreement as determined by the Sponsor from time to time.
"Term" means the duration of this Agreement as set out in Clause 2 of this Agreement.
"WSOP Event 45" means the World Series of Poker Event 45 in Las Vegas, NV, USA commencing on the 25th of June 2010 with an entry fee of $1500 at Rio Hotel & Casino

1.2 The singular includes the plural and vice versa and any gender includes any other gender.
1.3 The headings in this Agreement are for convenience only and shall not affect the interpretation.
2. TERM OF AGREEMENT
2.1 This Agreement shall be effective on and from the date of this Agreement and thereafter for a period of one (1) year following the final day of the WSOP Event 45 (the "Term") unless previously terminated as hereinafter provided.
2.2 The Sponsor shall have the option to terminate this Agreement giving one (1) months’ written notice.
3. RIGHTS
3.1 Subject to the terms of this Agreement, the Poker Player grants to the Sponsor the Sponsorship Rights.
3.2 The Poker Player undertakes with the Sponsor that for the duration of the Term the Poker Player:
3.2.1 shall not enter into any sponsorship, promotional, advertising, marketing or any other such agreement or activity with any Competitor in relation to the WSOP Event 45.
3.2.2 shall not, without the consent of the Sponsor, enter into any other sponsorship, promotional, advertising, marketing or any other such agreement or activity with any other third party in relation to the WSOP Event 45.
4. CONSIDERATION
4.1 In consideration of the rights granted by the Poker Player in Clause 3 above, the Sponsor shall pre register the Poker Player into the WSOP Event 45
5. SPONSOR’S OBLIGATIONS
5.1 The Sponsor shall, at its own expense, supply to the Poker Player prior to the start of the WSOP Event 45, the Branded Clothing, to be worn in accordance with the Sponsorship Rights;
6. POKER PLAYER’S OBLIGATIONS
6.1 The Poker Player shall:
6.1.1 on a bona fide basis, use his best endeavours to perform to the best of his ability at the WSOP Event 45 ;
6.1.2 not, at the WSOP Event 45 or otherwise, promote the products or services of any Competitor;
6.1.3 grant the Sponsor the right without further compensation to use the Poker Player’s image and name in any publicity or promotion undertaken by the Sponsor throughout the Term and fully co-operate with the Sponsor in the preparation and handling of any such publicity or promotion;
6.1.4 keep the Branded Clothing safe and sound and shall not distribute them to any third party;
6.1.5 use the Branded Clothing provided by the Sponsor only for the purposes of the proper performance of this Agreement;
6.1.6 shall not make any statement or supply or display any information in relation to the Sponsor without the prior written consent of the Sponsor;
6.1.7 not to do anything at the WSOP Event 45, or otherwise which may reasonably be considered to be prejudicial to the good image of the Sponsor and/or the Sponsor Logo;
6.1.8 in the event of any circumstances occurring in respect of an Event which seriously damage or are likely to seriously damage the image and good standing of the Sponsor and/or the Sponsor Logo;
6.1.8.1 take such steps as may reasonably be required by the Sponsor, including without limitation forthwith ceasing to use and removing all reference to the Sponsor Logo in conjunction with the WSOP Event 45; and
6.1.8.2 liaise and fully co-operate with the Sponsor in the handling of all publicity arising out of such circumstances so as to minimise the likelihood of any damage arising to the image and good standing of the Sponsor and/or the Sponsor Logo.
7. INDEMNITY AND INSURANCE
7.1 The Poker Player shall fully indemnify and keep fully indemnified the Sponsor forthwith on demand against any liability, damage, expense, loss, claim or cost suffered by the other as a result of a material breach of this Agreement, particular, but not limited to, clause 6.1.4 above.
7.2 Nothing in this Agreement is intended to exclude or limit any liability which can not be lawfully excluded or limited or any liability which arises from the negligence, wilful default or fraud of either Party.

ZWAŻYWSZY ŻE:-
(A) Intencją Gracza Pokerowego oraz Sponsora (łącznie „Strony”) jest zawarcie niniejszej Umowy, na mocy której Gracz Pokerowy nadaje Sponsorowi określone prawa sponsorskie dotyczące Gracza Pokerowego, w zamian za wynagrodzenie oraz zobowiązania określone w niniejszej Umowie.
(B) Zgodnie z intencją Stron, ich wzajemna relacja uregulowana jest w sposób i na warunkach określonych w niniejszej Umowie.
STRONY UZGODNIŁY co następuje:-
1. INTERPRETACJA
1.1 W niniejszej Umowie następujące słowa i wyrażenia, jeśli z kontekstu nie wynika inaczej, mają następujące znaczenie:
“Odzież z Logo” oznacza t-shirty, koszule i czapki z Logo Sponsora.
„Konkurent” oznacza spółkę lub osobę fizyczną, którą Sponsor, według własnego uznania, uważa za konkurenta firmy Sposora.
„Prawa Ochrony Własności Intelektualnej” oznacza wszelkie prawa ochrony własności intelektualnej, w tym przyznane w Wielkiej Brytanii lub w innym kraju (zarówno zarejestrowane jak i nie zarejestrowane) patenty, zarejestrowane jak i niezarejestrowane prawa do wzoru, prawa autorskie, znaki towarowe, znaki usługowe, nazwy handlowe oraz nazwy domen.
„Logo Sponsora” oznacza nazwę lub logo Sponsora na Ubraniach z Logo jak Sponsor określi od czasu do czasu.
„Prawa Sponsorskie” oznacza prawa Sponsora dotyczące turnieju WSOP wydarzenie nr 45, jak okreslono w Załączniku 1 lub jak Strony ustalą od czasu do czasu.
„Strona Internetowa Sponsora” oznacza strony www.paradisepoker.com, www.sportingbet.com lub każde inne strony internetowe używane dla celów niniejszej Umowy, jak Sponsor określi od czasu do czasu.
„Okres Trwania Umowy” oznacza czas trwania niniejszej Umowy, jak okreslono w punkcie 2 niniejszej Umowy.
„WSOP Event 45" oznacza turniej World Series of Poker (WSOP) wydarzenie nr 45 w Las Vegas, w stanie Nevada, Stany Zjednoczone, rozpoczynającym się 25 czerwca 2010 r. z opłatą za wpisowe wynoszącą $1500, w Hotelu i Kasynie Rio 3700, West Flamingo Road
Las Vegas, Nevada, Stany Zjednoczone.
1.2 Liczba pojedyncza oznacza również liczbę mnogą, a każdy rodzaj oznacza każdy inny rodzaj.
1.3 Nagłówki w niniejszej Umowie mają wyłącznie charakter informacyjny i nie mają wpływu na interpretację Umowy.
2. OKRES TRWANIA UMOWY
2.1 Niniejsza Umowa wchodzi w życie z dniem podanym w niniejszej Umowie, a następnie obowiązuje przez okres jednego (1) roku po ostatnim dniu turnieju WSOP wydarzenia nr 45 („Okres Trwania Umowy”) jeżeli nie zostanie wcześniej wypowiedziana jak określono poniżej.
2.2 Sponsor może wypowiedzieć niniejszą Umowę za jednomiesięcznym (1) pisemnym wypowiedzeniem.
3. PRAWA
3.1 W zależności od warunków niniejszej Umowy, Gracz Pokerowy nadaje Sponsorowi Prawa Sponsorskie.
3.2 Gracz Pokerowy wraz ze Sponsorem w czasie Okresu trwania umowy zobowiązuje się:
3.2.1 nie zawierać żadnych innych umów sponsorskich, promocyjnych, reklamowych, marketingowych, ani żadnych podobnych umów oraz nie podejmuje żadnych dzaiałań z Konkurentem w związku z turniejem WSOP wydarzenie nr 45.
3.2.2 nie zawierać bez zgody Sponsora żadnych innych umów sponsorskich, promocyjnych, reklamowych, marketingowych, ani żadnych podobnych umów oraz nie podejmuje żadnych dzaiałań ze stroną trzecią w związku z turniejem WSOP wydarzenie nr 45.
4. WYNAGRODZENIE
4.1 W ramach wynagrodzenia za prawa nadane przez Gracza Pokerowego w punkcie 3 powyżej, Sponsor wstępnie zapisuje Gracza Pokerowego na turniej WSOP wydarzenie nr 45.
5. ZOBOWIĄZANIA SPONSORA
5.1 Sponsor na własny koszt zaopatruje Gracza Pokerowego przed rozpoczęciem turnieju WSOP wydarzenie nr 45, w Odzież z Logo, noszoną zgodnie z Prawami Sponsora;
6. ZOBOWIĄZANIA GRACZA POKEROWEGO
6.1 Gracz Pokerowy:
6.1.1 w dobrej wierze dokłada wszelkich starań aby podczas turnieju WSOP wydarzenie nr 45 grać najlepiej jak potrafi;
6.1.2 nie promuje podczas turnieju WSOP wydarzenie nr 45 ani nigdzie indziej produktów ani usług żadnego Konkurenta;
6.1.3 nadaje Sponsorowi prawo bez dodatkowego wynagrodzenia do wykorzystywania wizerunku i nazwiska Gracza Pokerowego we wszelkich reklamach lub promocjach przeprowadzanych przez Sponsora w Okresie trwania niniejszej Umowy oraz w pełni współpracuje ze Sponsorem w przygotowywaniu i przeprowadzaniu tego typu reklam i promocji;
6.1.4 zachowuje Odzież z Logo w dobrym stanie i nie udostępnia jej żadnym osobom trzecim;
6.1.5 używa Odzieży z Logo wyłącznie dla celów odpowiedniego wykonania niniejszej Umowy;
6.1.6 nie wypowiada się, nie dostarcza ani nie ujawnia żadnych informacji o Sponsorze bez uprzedniej pisemnej zgody Sponsora;
6.1.7 nie czyni niczego podczas turnieju WSOP wydarzenie nr 45, ani nigdzie indziej co mogłoby być uznane jako naruszające dobry wizerunek Sponsora lub Logo Sponsora;
6.1.8 w przypadku zajścia jakichkolwiek okoliczności podczas Turnieju, które mogą poważnie naruszyć wizerunek oraz dobrą pozycję Sponsora lub Logo Sponsora;
6.1.8.1 Gracz Pokerowy podejmuje kroki wymagane przez Sponsora, w tym niezwłoczne zaprzestanie korzystania z oraz usunięcia wszelkich odniesień do Logo Sponsora w związku z turniejem WSOP wydarzenie 45; oraz
6.1.8.2 pośredniczy i w pełni współpracuje ze Sponsorem w uniknięciu negatywnego rozgłosu, w celu zminimalizowania ryzyka naruszenia wizerunku oraz dobrej pozycji Sponsora lub Logo Sponsora;
7. UBEZPIECZENIE OD ODPOWIEDZIALNOŚCI CYWILNEJ
7.1 Gracz Pokerowy niezwłocznie na żądanie w pełni zabezpieczy i będzie zabezpieczał Sponsora od odpowiedzialności za wszelkie zobowiązania, szkodę, koszty, stratę, roszczenia lub obciążenia wynikające z istotnego naruszenia warunków niniejszej Umowy, w szczególności punktu 6.1.4 powyżej.
7.2 Niniejsza Umowa nie wyłącza ani nie ogranicza odpowiedzialności, która nie może być prawnie wyłączona lub ograniczona ani odpowiedzialności wynikającej z zaniedbania, umyślnego niewywiązania się z zobowiązań lub oszustwa którejkolwiek ze Stron.
