99. The Directors may meet together for the dispatch of business, adjourn, and otherwise regulate their meetings as they think fit and questions arising at any meeting shall be decided by a majority of votes. In case of an equality of votes, the Chairman shall have a second or casting vote. A Director may, and the Secretary on the requisition of a Director shall, at any time summon a meeting of Directors. It shall be necessary to give a 96 hours notice of a meeting of Directors to any Director for the time being absent from
Cyprus who has supplied to the Company a registered address situated outside Cyprus.
100. The quorum necessary for the transaction of the business of the Directors may be fixed by the Directors, and unless so fixed, the quorum shall be two Directors or their alternates.
101. The continuing Directors may act notwithstanding any vacancy in their body, but, if and so long as their number is reduced below the number fixed by or pursuant to the Regulations of the Company as the necessary quorum of Directors, the continuing Directors or Director may act for the purpose of increasing the number of Directors to that number, or summoning a general meeting of the Company but for no other purpose.
102. The Directors may elect a Chairman of their meeting and determine the period for which he holds office; but if no such Chairman is elected, or if at any meeting the Chairman is not present within five minutes after the time appointed for holding the same, the Directors present may choose one of their number to be Chairman of the meeting.
103. The Directors may delegate any of their powers to a committee or committees consisting of such member or members of their body as they think fit; any committee so formed shall in the exercise of the powers so delegated conform to any Regulations that may be imposed on it by the Directors, as to its powers, constitution, proceedings, quorum or otherwise.

99. Директора могут встречаться для закрытия дела, имеют право отложить встречу; иначе, директора могут встречаться в любое удобное им время; вопросы, возникаемые во время таких встреч, решаются большинством голосов. В случае равенства голосов, Председатель имеет право второго, или решающего, голоса. Любой из директоров может в любое время созвать встречу директоров. По просьбе одного из директоров, Секретарь обязуется созвать встречу директоров. В случае нахождения одного из директоров вне пределов Кипра, необходимо предупредить его о предстоящей встрече директоров за 96 часов до начала такой встречи, если он осведомил компанию свой адресом пребывания вне территории Кипра.
100. Необходимый кворум для проведения сделок, который может быть изменен директорами, равен двум директорам или их заместителям.
101. Постоянные директора могут не смотря ни на что занять любую должность в своих отделениях. Они могут служтиь для увеличения числа директоров до необходимого числа присутствующих на собрании, если это число, установленное в привилах компании, не было достигнуто во время такого собрания; и созыва генерального собрания компании и не более.
102. Директора имеют право назначить Председателя встреч директоров и срок его должности. Если председатель не назначен или отсутствует в течение пяти минут с начала встречи, присутствующие директора могуг назначить одного из своих рядов в качестве председателя собрания.
103. Директора имеют право передать свои полномочия комитету или комитетам, состоящих из подходящих для этого дела лиц из числа директоров. Любой созданный таким образом комитет в исполнении своих полномочий подчиняется наложенным на него директорами правилам, касающимся полномочий, конституции, деятельности, кворума или тому подобное.
