（二） 出席董事会会议的董事中应当包括A公司提名的至少一名董事或其委托的其他人全程出席。
如果在通知的董事会会议时间后30分钟内，仍有董事无法参加会议，且该名董事不能与会导致董事会的召开达不到本章程规定的必要条件，董事会会议将在原定时间上延后七（7）个工作日，在同一地点召开，并以书面方式通知所有的董事。如果由少数股东提名的董事未出席根据本条规定延期召开的董事会会议，仅为讨论和通过会议议程所列议题的目的，该董事会会议可在仅有B指定的两（2）位董事参会的情况下召开，但是，前提是上述董事不得在会议上通过任何需要一致通过的或原会议议程之外的议题。
Translation - English Article I. A board meeting will not be held unless the number of attending directors meets the following quorum:
(I) Over one-third of the directors or two (2) directors (whichever is more) to attend the meeting;
(II) The attending directors shall include at least one director nominated by Company A or another person designated by him/her, who will be present throughout the meeting.
In case a director is unable to attend the meeting within 30 minutes after a notified board meeting time, and absence of such a director causes holding of the meeting fails to satisfy the preconditions for a board meeting set forth in the Articles, the meeting shall be postponed to the seventh (7th) working day after the originally notified time at the same venue, and a notification in writing shall be sent to all directors. If directors nominated by a minority shareholder fail to attend a board meeting postponed as set forth in this article, the board meeting may be held with attendance of two (2) directors appointed by B for the purpose of deliberation and approving proposals listed in the meeting agenda only, provided that the said directors shall not approve any proposals requiring unanimous approval or other than those listed in the meeting agenda.

Source text - English 1. Filing and Approval Requirements for Acquisition of Control of U.S. Insurers
The purchase by any person of a controlling interest in a U.S. insurer would typically involve filing an application to acquire control with the state insurance regulator of the state of domicile of the insurer to be acquired and obtaining the approval of that regulator. “Control” is presumed to exist if the acquiring person seeks to acquire 10% or more of the voting securities of the acquired person. In this case, control will be presumed if Company A acquires 10% or more of the voting securities of Company B.
The application to acquire control typically requires that the acquiring person disclose the following:
• Identification of the insurer to be acquired and the method of acquisition.
• Identification of the acquirer and background information on the acquirer including a detailed organization chart.
• Background information regarding directors and executive officers of the acquirer.
• A description of the nature, source and amount of consideration including disclosure of any borrowing to fund the purchase.
• A discussion of future plans of the acquired insurer.
• Financial statements of the acquirer.
Some states also have specific additional requirements, set forth in the following section, as to information about control persons and the acquiring person’s overall enterprise.
