Die Methode EN 1811:1998 A1:2008 zur Bestimmung der Nickellässigkeit wird bis März 2013 aufgehoben und durch die DIN EN 1811:2011-05 ersetzt.
In der neuen DIN EN 1811:2011-05 erfolgt im Vergleich zur alten Fassung der Norm eine Aufteilung des Anwendungsbereiches. Die neue Norm gilt für alle Gegenstände und wurde auch um sämtliche Stäbe, die durch Ohren oder andere Körperteile gestochen werden, erweitert.
Eine Ausnahme sind Brillenfassungen und Sonnenbrillen, die jetzt durch die DIN EN 16128:2011-05 abgedeckt werden.
Die wesentliche Änderung in der neuen Norm ist die Änderung der Simulationslösung und die Bewertung der Messergebnisse:
Die Bewertung der Messergebnisse geht mit gravierenden Änderungen einher. Der vorher verwendete Korrekturfaktor entfällt, dafür wird eine in Ringversuchen ermittelte Messunsicherheit von 46% eingesetzt.
Dieses hat natürlich erhebliche Auswirkungen auf die Bewertung nickelhaltiger Gegenstände nach der neuen Norm DIN EN 1811:2011-05.

Die Bewertung mit „Inconclusive“ (nicht entscheidbar) ist dabei aus unserer Sicht für den Auftraggeber unbefriedigend, da daraus keine rechtssichere Handlungsanweisung folgt:

Die Bewertung durch das Prüfinstitut ***** wird im Falle von Inconclusive (nicht entscheidbar) mit FAIL durchgeführt, um eine eindeutige Bewertung im gewohnten Schema PASS / FAIL zu ermöglichen.

In our opinion the rating “inconclusive” is not satisfactory to the client, since no legally secure instructions follow from this result:
“If no explicit decisions are possible, the manufacturer and / or importer is not able to substantiate the conformity with the legal migration limit of the Regulation (EC) no. 1907/2006 of the European Parliament and Council in its current version.”
Instead of grading inconclusive, the Test Institute ***** will rate a FAIL in such cases, to enable an explicit evaluation with the customary PASS/FAIL scheme.
This proceeding facilitates the firm compliance with statutory regulations, and avoids inconclusive gray areas to provide manufacturers or importers with legally secure instructions.

A new conservation finance instrument
Recently, a major EU co-financed project titled ‘Business & Biodiversity Campaign’ has been launched and will run until December 2012. As part of this ambitious project, Landscape Auctions will be organized in a number of European countries. They present a huge opportunity not only to highlight the importance of biodiversity for the private sector, but also to actively stimulate private actors to conserve biodiversity in their home country and region. The landscape auctions will bring Business & Biodiversity into practise: who bids more?
In this article, the concept of Landscape Auctions is introduced and it explains how it can help companies to include biodiversity conservation as part of their Corporate Social Responsibility strategy as well as business model.
What is a Landscape Auction?
The concept of Landscape Auctions has been developed by the Expertise Centre Triple E, and represents a new conservation finance instrument. The aim is to generate additional revenues for nature conservation, and fill the discrepancy that exists between how we value our landscape and biological diversity and what we pay for it. It is also a tool for companies to put Corporate Social Responsibility into practise by taking care of the landscape they are part of. Finally, Landscape Auctions are a communication tool: they provide a platform for companies to present their involvement in maintaining the landscape they are part of.
For Landscape Auctions a number of landscape elements – e. g. preservation of habitat for endangered species, a hedge, etc – will be selected by nature conservation organizations, and accordingly auctioned and “sold” to the highest bidder. The successful bidder, however, will not legally own the element, but rather “secure” it by paying the landowner (e.g. farmer, conservation organisations) for the management costs related to the conservation or rehabilitation of the element for a given period of time.
This is Innovation!
What makes this financing mechanism innovative compared to existing instruments, is that “what you see is what you get”: the money paid for a particular landscape element is only spent on that element! Furthermore, this concept does not compete with other sources of finance for conservation, but focuses on “buyers” that have previously been difficult to reach, such as local companies that operate in the vicinity of the landscape on offer. Auctions are distinct in the sense that they offer a unique time-saving and tangible marketplace to protect biodiversity and our landscape. It is a flexible mechanism to serve the many motivations behind acting responsibly, in a transparent, direct and positive way. Last, but not least, the auctions are fun. Together with the other contestants you make a difference in a positive and relaxed atmosphere.
The Landscape Auctions in the EU Business & Biodiversity Campaign
The goal of the EU Business & Biodiversity Campaign is to involve the private sector in biodiversity conservation efforts. This can be done by implementing practices that do not harm biodiversity or even benefit biodiversity, but also in other ways. As part of the campaign, meetings with companies will be held to discuss several options and chances. As an example of how Business & Biodiversity can be combined, auctions will be held during the meetings. This will enable companies to move from paper to practise: by bidding for the landscape and biodiversity on auction the company makes a direct and tangible contribution.
The Landscape Auctions that will be organized over the course of the coming three years, will be joint projects between the partners in this consortium and relevant local/national organizations in the countries where they will take place. For each auction, a unique prospectus will be made displaying all the landscape elements that are put up for auction. Any company participating in the meetings is invited to place a bid for an element to make a tangible contribution to landscape and biodiversity conservation in their own region or country. Moreover, an attractive programme will be developed, which will include professional auctioneers, local celebrities, as well as cultural performances in order to gain maximum exposure. The presence of the local and national media will ensure positive spin-offs and improve the dissemination of the project’s goals, as well as the new way businesses deal with Corporate Social Responsibility and their surroundings.
Strengths and Opportunities
Since the first auction in September 2007 in the Ooijpolder in the Netherlands, Triple E has organized fifteen Landscape Auctions under different circumstances and for many different audiences, which have had a remarkable success, both nationally (in the Netherlands, Germany and Poland) and internationally. Despite the scepticism of those who thought it would not work, we have proven them wrong: the auctions have generated additional funding for conservation efforts and represent a new established instrument. Companies participate in and value the instrument for its positive angle on how companies can make a difference and play a role in society.
The Landscape Auction has enabled companies to secure landscape elements from hedges to ponds and from walking trails to ancient burial sites. When asked why companies placed a bid the message was simple: we are part of society. The auctions do not only attract companies, they also appeal to private individuals, schools and rotaries. This makes it a truly unique experience, as all these actors together make a strong positive communication signal: we take care of our landscape and of biodiversity. Local and national media have covered the events and spread this message.
The application of this concept in European regions might require some modification. Very likely some of the planned auctions in the EU regions will deal with other circumstances then at previous auctions, such as a lower population density, a different approach to market-based mechanisms, and a different attitude towards landscape protection. But the concept has already proven to work under different circumstances and is able to involve companies in each setting.
Auctions for projects in other countries have also been held, for example during COP 9 of the CBD in Bonn (2008). Global Nature Fund and Triple E joined forces to make a statement during the negotiations: that we are moving from paper to practise. German Companies placed a bid for conservation projects in countries like Brazil and Indonesia. This shows that the concept of landscape auctions can also be applied to non-regional/national projects and that companies act when they are offered a new and exciting opportunity.
Later this year a Landscape Auction will be organized in the state of Vermont in The United States of America. This is the first auction in the USA and will offer items for sale that are typical for the working landscape of Vermont: river corridors, covered bridges, apple trees, etc. The concept of Landscape Auctions will now also be applied to the Malua Biobank, Sabah, Malaysia. The idea is to auction conservation efforts which will help conserve one of the last strongholds of the Sumatran Rhino, Orang-Utan and horn bills. This shows that the concept can be applied locally as well as internationally, and that landscape auctions can meet many different demands and needs.
Similar to the fight against global climate change, the world needs smart business solutions to combat biodiversity loss. Landscape Auctions are not a panacea, but one instrument in a range of new and innovative tools, necessary to reverse the process of biodiversity loss. This tool provides a new and more market-oriented approach to conserve biodiversity, allowing sustainable investments and long term commitment, where participants are active stakeholders in safeguarding their own surroundings.

Landschaftsauktionen werden als ein Teil dieses ehrgeizigen Projekts in mehreren europäischen Ländern stattfinden. Sie bieten die große Chance nicht nur die Wichtigkeit der Biodiversität für den privaten Sektor aufzuzeigen, sondern auch um aktiv private Akteure anzuregen die Biodiversität in ihrem Heimatland oder -region zu bewahren. Dieser Artikel bietet eine Einführung in das Konzept der Landschaftsauktionen, und erklärt wie sie Unternehmen dabei helfen können Biodiversität in ihre Nachhaltigkeitsstrategien und Geschäftsmodelle zu integrieren.
Was ist eine Landschaftsauktion?
Das Konzept der Landschaftsauktion wurde als ein neues Finanzierungsinstrument für den Naturschutz von dem Kompetenzzentrum Triple E ins Leben gerufen. Ziel ist, zusätzliche Einnahmen für die Erhaltung der Natur zu erwirtschaften und die Diskrepanz zwischen unserer Wertschätzung der Landschaft und biologischen Diversität und dem was wir für sie tun, auszugleichen. Es ist auch ein Mittel für die Unternehmen ihre soziale Verantwortung umzusetzen indem sie sich um das Landschaftsbild kümmern von dem sie ein Teil sind. Nicht zuletzt sind Landschaftsauktionen ein Kommunikationsmittel. Sie bieten Unternehmen eine Plattform ihr Engagement für die Erhaltung der Natur, ihrer Umgebung, zu präsentieren.
Einige landschaftliche Elemente, z.B. die Erhaltung des Lebensraumes einer gefährdeten Art, eine Hecke, o.ä., werden von Naturschutzorganisationen für die Landschaftsauktionen ausgewählt, und dementsprechend an den Meistbietenden „versteigert“. Der erfolgreiche Bieter, jedoch, ist dauraufhin nicht der Eigentümer, sondern sorgt für eine bestimmte Dauer durch die finanzielle Unterstützung der Besitzer (wie Bauern oder Naturschutzorganisationen) für die Kosten die zur Erhaltung oder Wiederherstellung des jeweiligen Objekts nötig sind.

Was dieses Finanzierungskonzept so einzigartig macht, im Vergleich zu bereits bestehenden Möglichkeiten, ist, dass man bekommt was man sieht: Das Geld das man für ein bestimmtes Landschaftselement bezahlt, wird auch nur dafür ausgegeben! Zudem konkurriert dieses System nicht mit anderen Finanzierungsquellen, sondern konzentriert sich auf „Käufer“ die sonst nur schwer erreichbar waren, wie Unternehmen die in der direkten Umgebung der angebotenen Landschaft operieren. Auktionen bieten in dieser Hinsicht einen idealen Markt um in einzigartiger, zeitsparender und sehr konkreter Art und Weise die Biodiversität und die Landschaft die sie beherbergt zu schützen. Was auch die Motivation für verantwortungsvolles Handeln sein mag, Landschaftsauktionen bieten ein klares, direktes und durchweg positives Mittel um ihr gerecht zu werden. Zu guter Letzt, sind diese Auktionen auch sehr unterhaltsam. Zusammen mit seinen Mitstreitern kann man in positiver und entspannter Atmosphäre wirklich etwas bewirken.
Landschaftsauktionen in der Business & Biodiversity Kampagne der EU
Das Ziel der Business & Biodiversity Kampagne der EU ist, den privaten Sektor stärker in die Anstrengungen um die Erhaltung der Biodiversität einzubinden. Dies kann durch den Verzicht auf Praktiken die der Biodiversität schaden geschehen, oder ihr sogar Nutzen, aber auch in anderer Weise. Ein Treffen mit den Unternehmen um verschiedene Möglichkeiten und Optionen zu diskutieren wird im Rahmen der Kampagne stattfinden. Als ein Beispiel wie Business und Biodiversität vereinbar sind, wird während dieses Treffens eine Auktion abgehalten werden. Das wird es den Unternehmen ermöglichen direkt an Ort und Stelle die Theorie in die Praxis umzusetzen. Indem sie für die angebotenen Landschaftselemente und Biodiversitätsprojekte bieten, leistet das Unternehmen einen direkten und konkreten Beitrag.
Die Landschaftsauktionen die über die nächsten drei Jahre hinweg organisiert werden, sind Gemeinschaftsprojekte zwischen Partnern dieser Unternehmensgruppe und wichtigen lokalen und nationalen Organisationen, in den jeweiligen Ländern in denen sie stattfinden. Für jede Auktion wird es einen eigenen Prospekt geben, in dem die angebotenen Landschaftselemente vorgestellt werden. Jedes Unternehmen das an den Gesprächen teilnimmt, wird eingeladen ein Gebot für ein Element ihrer Wahl abzugeben um einen konkreten Beitrag zum Schutz und der Erhaltung der Biodiversität in ihrer Heimatregion zu leisten. Natürlich wird ein attraktives Rahmenprogramm, mit professionellen Auktionatoren, lokalen Berühmtheiten und kulturellen Darbietungen dafür sorgen, dass das Projekt größtmögliche Aufmerksamkeit erhält. Die Anwesenheit der lokalen und nationalen Medien wird die Kunde der hehren Ziele des Projekts im ganzen Land verbreiten, und die positive Darstellung wird sich auf die Unternehmen ausweiten die einen Neuen Weg gewählt haben mit ihrer Umgebung und ihrer sozialen Verantwortung umzugehen.
Stärken und Gelegenheiten
Seit der ersten Auktion im September 2007 in der Ooijpolder in den Niederlanden, hat Triple E fünfzehn weitere Landschaftsauktionen unter den verschiedensten Umständen und für die verschiedensten Zielgruppen veranstaltet. Sie hatten sowohl national (in den Niederlanden, Deutschland und Polen), als auch international bemerkenswerten Erfolg. All der Skeptiker zum Trotz, haben wir bewiesen: Die Auktionen haben zusätzliche Mittel für Umweltschutzaktionen erwirtschaftet, und repräsentieren somit ein neues Finanzierungsinstrument für den Naturschutz etabliert. Die Unternehmen wertschätzen dieses Instrument wegen seiner vorteilhaften Perspektive für die Art wie Unternehmen etwas bewirken können, sowohl für den Naturschutz, als auch für die Rolle die sie in der Gesellschaft spielen, und dementsprechend gerne Nutzen sie es.
Die Landschaftsauktion hat Unternehmen ermöglicht landschaftliche Elemente zu schützen. Von Hecken zu Teichen, und von Wanderwegen zu historischen Grabstätten. Fragt man die Unternehmen nach dem Grund für ihr Gebot, ist die Antwort einfach: Wir sind Teil dieser Gesellschaft.Und nicht nur Unternehmen bieten mit. Auch private Personen, Schulen und Rotarier Clubs fühlen sich angesprochen. Das macht dieses Konzept wirklich einzigartig, denn all diese Akteure zusammen haben eine starke Botschaft: Wir kümmern uns um unsere Landschaft und seine Biodiversität. Unterstützt werden sie dabei von der lokalen und nationalen Presse, die mit ihren Berichten über die Auktionen die Botschaft in die Welt tragen.
Dieses Konzept in Europäischen Regionen anzuwenden könnte einige Anpassung erfordern. Gut möglich das einige der geplanten Auktionen in den EU Regionen einen anderen Fokus haben als vorherige. Geringe Bevölkerungsdichte, zum Beispiel, oder ein alternativer Umang mit Marktmechanismen, und ein anderer Standpunkt zum Landschaftsschutz im Allgemeinen. Aber das Konzept hat sich auch unter anderen Umständen schon bewährt, und lässt sich individuell auf verschiedene Anforderungen anpassen.
Auch in anderen Ländern wurden schon Auktionen abgehalten. Zum Beispiel während COP 9 des CBD in Bonn (2008). Global Nature Fund und Triple E taten sich während der Verhandlungen zusammen um ihrer Aussage Gewicht zu verleihen: Wir setzen die Theorie in die Praxis um. Deutsche Unternehmen boten für Naturschutzprojekte in Ländern wie Brasilien oder Indonesien. Es ist die erste Auktion in den USA und wird Elemente anbieten die typisch für das Landschaftsbild Vermonts ist: Flusskorridore, gedeckte Brücken, Apfelbäume, usw. Das Konzept der Landschaftsauktionen wird des weiteren auch für die Malua Biobank in Sabah, Malaysia, angewendet werden. Das Ziel dessen ist Erhaltungsmaßnahmen für eine der letzten Hochburgen des Sumatranashorns, Orang-Utans und des Nashornvogels zu versteigern. Und das zeigt wiederum das Landschaftsauktionen auch international angewendet werden können, und den verschiedensten Erfordernissen gerecht werden kann.
Zu guter letzt
Ähnlich wie im Kampf gegen den globalen Klimawandel, braucht die Welt intelligente Business Lösungen um den Kampf gegen den Verlust der Biodiversität aufzunehmen. Landschaftsauktionen sind zwar kein Patentrezept, aber ein Mittel in einer Reihe von neuen und innovativen Hilfsmitteln um den Verlust der Biodiversität auf unserem Planeten aufzuhalten und umzukehren. Dieses Instrument bietet einen Neuen, Marktorientierten Ansatz um die biologische Diversität zu erhalten indem es nachhaltige Investitionen und langanhaltendes Engagement ermöglicht, in dem Teilnehmer aktiv ihre Umgebung schützen und erhalten können.

Source text - German ALLGEMEINE GESCHÄFTSBEDINGUNGEN DER PRÜFINSTITUT ***** GMBH
1. Allgemeines / Geltungsbereich
1.1 Die folgenden Allgemeinen Geschäftsbedingungen (nachfolgend "AGB" genannt) gelten für alle Aufträge an die Prüfinstitut ***** GmbH (nachfolgend "Prüfinstitut" genannt). Entgegenstehende oder von diesen Bedingungen abweichende Bedingungen des Auftraggebers erkennt das Prüfinstitut nicht an, es sei denn, es hätte diesen ausdrücklich schriftlich zugestimmt.
1.2 Die AGB gelten nur gegenüber Kaufleuten, soweit der Vertrag zu dessen Handelsgewerbe gehört, und gegenüber juristischen Personen des öffentlichen Rechts und öffentlich-rechtlichen Sondervermögen (§ 24 AGBG).
1.3 Diese AGB gelten bis auf Widerruf des Prüfinstituts auch für alle künftigen Geschäfte mit dem Auftraggeber aus laufender Geschäftsbeziehung.
2. Auftragserteilung
2.1 Alle Vereinbarungen, die zwischen dem Prüfinstitut und dem Auftraggeber zwecks Ausführung des Vertrages getroffen werden, sind schriftlich niederzulegen. Änderungen und Ergänzungen des jeweiligen Vertrages bedürfen der Schriftform. Erteilt der Auftraggeber einen Auftrag, so wird der Vertrag nur wirksam, wenn das Prüfinstitut eine Auftragsbestätigung erteilt.
2.2 Die Angebote des Prüfinstituts sind freibleibend, sofern das Prüfinstitut nicht ausdrücklich etwas anderes schriftlich erklärt hat.
2.3 An Abbildungen, Zeichnungen, Kalkulationen, Software und sonstigen Unterlagen behält sich das Prüfinstitut seine Eigentums- und Urheberrechte im vollem Umfang vor; der Auftraggeber darf jedoch im Rahmen des Auftrages vom Prüfinstitut gefertigte Zertifikate/Gutachten, Prüfberichte, Berechnungen, Darstellungen etc. ausschließlich für den Zweck verwenden, für den sie vereinbarungsgemäß gefertigt wurden. Eine Weitergabe und/oder Veröffentlichung der Prüfberichte, Berechnungen, Darstellungen und sonstigen Unterlagen an Dritte sind nur in vollem Wortlaut und nur mit ausdrücklicher, schriftlicher Genehmigung des Prüfinstituts zulässig.
3. Preise / Zahlungsbedingungen
3.1 Falls nichts anderes schriftliches vereinbart ist, gelten die am Tag der Auftragserteilung gültigen Listenpreise, die das Prüfinstitut auf Anfrage übermittelt. Leistungen, die über die reine Prüftätigkeit hinausgehen, z. B. Reparaturen und Umbauten an dem Prüfinstitut übergebenem Material, werden nach Arbeits- und Materialaufwand gesondert berechnet.
3.2 Die Preise des Prüfinstituts verstehen sich, sofern nichts anderes schriftlich vereinbart ist, zuzüglich der jeweils zu entrichtenden Umsatzsteuer.
3.3 Sofern schriftlich kein anderes Zahlungsziel bestimmt ist, ist die Rechnung ohne jeden Abzug binnen 14 Tage nach Rechnungsdatum, Zugang der Rechnung vorausgesetzt, zahlbar.
3.4 Das Prüfinstitut ist berechtigt, eine angemessene Anzahlung vor Ausführung des Auftrages zu verlangen.
3.5 Rechnungen des Prüfinstitutes können nur innerhalb von 28 Tagen nach Rechnungseingang schriftlich beanstandet werden. Nach Ablauf dieser Frist gilt die Rechnungssumme als anerkannt.
3.6 Kommt der Auftraggeber in Zahlungsverzug, so ist das Prüfinstitut berechtigt, Verzugszinsen in Höhe von 5 % p. a. über dem jeweiligen Diskontsatz der Deutschen Bundesbank bzw. des bei Einführung des Euros dann geltenden Basiszinssatzes zu berechnen. Die Geltendmachung weiterer Schadenersatzansprüche bleibt vorbehalten.
3.7 Bei nachträglichen Änderungswünschen des Auftraggebers behält sich das Prüfinstitut sowohl eine Preisberichtigung als auch die Geltendmachung von Messplatzausfall bzw. Maschinenstillstand aufgrund der Änderung des Auftrages vor.
3.8 Aufrechnungsrechte stehen dem Auftraggeber nur zu, wenn sein Gegenanspruch rechtskräftig festgestellt, unbestritten oder vom Prüfinstitut anerkannt ist. Die Ausübung eines Zurückbehaltungsrechtes durch den Auftraggeber ist nur zulässig, wenn die zuvor genannten Voraussetzungen erfüllt sind und außerdem sein Gegenanspruch auf dem gleichen Vertragsverhältnis beruht.
4. Ausführungen und Ausführungszeit
4.1 Der Beginn der von uns angegebenen Ausführungszeiten setzt die Abklärung aller technischen Fragen und die Einhaltung der Verpflichtungen des Auftraggebers voraus. Sofern nichts anderes vereinbart ist oder sich aus dem Vertragsverhältnis ergibt, ist die vom Prüfinstitut angegebene Ausführungszeit stets unverbindlich.
4.2 Ausführungsverzögerungen aufgrund höherer Gewalt oder aufgrund unvorhergesehener und nicht durch das Prüfinstitut zu vertretender Umstände wie Betriebsstörungen, Streiks, Aussperrungen, Mangel an Transportmitteln, Energiebeschaffungsschwierigkeiten, behördlicher Anordnungen oder nicht rechtzeitiger Belieferungen durch Lieferanten führen nicht zum Verzug des Prüfinstituts. Eine vereinbarte Ausführungsfrist verlängert sich um die Dauer der Behinderung. Dauert die Behinderung länger als 3 Monate, so sind das Prüfinstitut und der Auftraggeber nach Ablauf einer angemessenen Nachfrist berechtigt, hinsichtlich des noch nicht erfüllten Teils vom Vertrag zurückzutreten. Schadensersatzansprüche sind in diesem Falle ausgeschlossen. Etwaige Verzögerungen aufgrund dieser Umstände wird das Prüfinstitut dem Auftraggeber möglichst mitteilen.
4.3 Setzt der Auftraggeber dem Prüfinstitut nach dessen Verzug eine angemessene Nachfrist mit Ablehnungsandrohung, so ist der Auftraggeber nach fruchtlosem Ablauf dieser Nachfrist berechtigt, vom Vertrag zurückzutreten. Schadensersatzansprüche wegen Nichterfüllung in Höhe des vorhersehbaren Schadens stehen dem Auftraggeber nur zu, wenn der Verzug auf Vorsatz oder grober Fahrlässigkeit beruhte. Ansonsten ist die Schadensersatzhaftung auf höchstens € 2.500,00 beschränkt, es sei denn, der Auftraggeber hat das Prüfinstitut bei Auftragserteilung schriftlich auf ein höheres Schadensrisiko hingewiesen.
4.4 Das Prüfinstitut ist zu Teilleistungen berechtigt, sofern dem nicht ein erkennbares begründetes Interesse des Auftraggebers entgegensteht.
5. Versand / Gefahrübergang
5.1 Soweit sich das Prüfinstitut ausnahmsweise zur Lieferung, auch Rücklieferung, gewisser Gegenstände verpflichtet hat, gilt, sofern nichts anderes vereinbart ist, Lieferung ab Prüflabor oder Auslieferungslager. Nur auf ausdrücklichen Wunsch des Auftraggebers wird die Lieferung durch eine Transportversicherung eingedeckt. Die insoweit anfallenden Kosten trägt der Auftraggeber.
6. Rücknahme bzw. Verwahrung der Prüfmuster
6.1 Der Auftraggeber ist verpflichtet, die dem Prüfinstitut überlassenen Prüfmuster nach Durchführung des Auftrages zurückzunehmen. Wünscht der Auftraggeber den Versand der Prüfmuster, so geschieht dies auf Rechnung und Gefahr des Auftraggebers.
6.2 Müssen aufgrund von Vorschriften Referenzmuster über eine bestimmte Zeit aufbewahrt werden, so ist der Auftraggeber verpflichtet, diese Vorschriften zu erfüllen. In Ausnahmefällen ist die Aufbewahrung durch das Prüfinstitut gegen Entgelt möglich. Nach Ablauf der Aufbewahrungsfrist wird das Prüfinstitut die Referenzmuster auf Rechnung und Gefahr des Auftraggebers ohne weitere Mitteilung an die vom Auftraggeber angegebene Adresse senden.
7. Gewerbliche Schutzrechte
7.1 Sofern nichts anderes ausdrücklich schriftlich vereinbart ist, verbleiben sämtliche gewerblichen Schutzrechte an den gelieferten Gegenständen, Gutachten und Zertifikaten einschließlich etwaig gelieferter Software bei dem Prüfinstitut, soweit die gewerblichen Schutzrechte in der Tätigkeit des Prüfinstituts ihren Ursprung haben. Der Auftraggeber hat kein Recht, Lizenzen oder Unterlizenzen zu erteilen.
7.2 Das Prüfinstitut haftet nur für die Freiheit des gelieferten Gegenstandes, Gutachtens, Zertifikates etc. von gewerblichen Schutzrechten Dritter, die der vereinbarten bzw. dem Prüfinstitut bekannten Nutzung durch den Auftraggeber im Inland entgegenstehen.
8. Rechte Dritter
8.1 Der Auftraggeber hat dafür einzustehen, dass an dem dem Prüfinstitut überlassenen Material keine Rechte Dritter bestehen, wie z. B. Eigentums-, Pfand, Urheber-, Patent- und/oder andere Nutzungsrechte, insbesondere gewerbliche Schutzrechte, die der vertragsgemäßen Nutzung durch das Prüfinstitut entgegenstehen. Sollten aufgrund solcher Rechte Ansprüche gegen das Prüfinstitut geltend gemacht werden, so wird der Auftraggeber das Prüfinstitut auf erste Anforderung unmittelbar von allen Ansprüchen Dritter und etwaigen Rechtskosten freistellen.
8.2 Vorschläge des Prüfinstituts für Änderungen an überprüftem Material sind vom Auftraggeber selbst dahingehend zu überprüfen, ob Rechte Dritter, insbesondere gewerbliche Schutzrechte, verletzt werden. Für derartige Rechtsverletzungen haftet das Prüfinstitut nicht, es sei denn, es wären ihm diese Rechte Dritter bekannt. Der Auftraggeber hält das Prüfinstitut auch insoweit von Ansprüchen Dritter frei.
9. Gewährleistung
9.1 Die Gewährleistungsrechte des Auftraggebers setzen - auch im Fall von reinen Werkverträgen und Werklieferverträgen - voraus, dass der Auftraggeber die gelieferten Ergebnisse des Prüfinstituts unverzüglich untersucht und Mängel unverzüglich ordnungsgemäß rügt; versteckte Mängel sind unverzüglich nach deren Entdeckung zu rügen (§§ 377, 378 HGB). Rügen haben unter spezifizierter Angabe des Mangels schriftlich zu erfolgen. Werden diese Voraussetzungen nicht beachtet, so verliert der Auftraggeber seine Mängelgewährleistungsrechte.
9.2 Macht der Auftraggeber bei Auftragserteilung keine konkreten Angaben über den Umfang der anzuwendenden Prüfbestimmungen, so führt das Prüfinstitut die Prüfungen nach billigem Ermessen und nach dem jeweiligen allgemeinen Stand der Wissenschaft, Technik und der gültigen allgemein bekannten Normenwerke durch. Ansonsten teilt das Prüfinstitut die Normen mit, nach denen die Prüfung erfolgen wird. Der Auftraggeber muss dem Prüfinstitut schriftlich mitteilen, ob eine Prüfung nach weiteren Normen erfolgen soll.
9.3 Soweit ein von dem Prüfinstitut zu vertretender Mangel vorliegt, ist das Prüfinstitut nach seiner Wahl zur Mangelbeseitigung oder zur Ersatzlieferung berechtigt. Ist das Prüfinstitut zur Mangelbeseitigung/Ersatzlieferung nicht bereit oder nicht in der Lage, verzögert sich diese insbesondere über angemessene Fristen hinaus aus Gründen, die das Prüfinstitut zu vertreten hat, oder schlägt in sonstiger Weise die Mangelbeseitigung/Ersatzlieferung fehl, so ist der Auftraggeber nach seiner Wahl berechtigt, Wandelung (Rückgängigmachung des Vertrages) oder Minderung (entsprechende Herabsetzung des Preises) zu verlangen.
9.4 Soweit nachstehend nichts anderes bestimmt, sind weitergehende Ansprüche des Auftraggebers - gleich aus welchen Rechtsgründen - ausgeschlossen. Das Prüfinstitut haftet daher nicht für Schäden, welche nicht am Arbeitsergebnis selbst entstanden sind. Insbesondere haftet das Prüfinstitut nicht für entgangenen Gewinn oder sonstige Vermögensschäden des Auftraggebers.
9.5 Schadensersatzansprüche wegen Nichterfüllung gemäß § 635 BGB im Falle von Werkverträgen und Werklieferverträgen über unvertretbare Sachen kann der Auftraggeber darüber hinaus nur geltend machen, wenn das Werk einen nicht nur unwesentlichen Mangel aufweist, den das Prüfinstitut zu vertreten hat, und die Gebrauchsfähigkeit des Werkes dadurch nicht nur unerheblich beeinträchtigt wird, oder wenn der Mangel auf einem Verstoß gegen die anerkannten Regeln der Technik beruht. Auch in diesem Fall haftet das Prüfinstitut vorbehaltlich der nachfolgenden Regelungen nicht für Schäden, die nicht an dem Arbeitsergebnis selbst entstanden sind, insbesondere nicht für entgangenen Gewinn oder sonstige Vermögensschäden des Auftraggebers.
9.6 Vorstehende Haftungsbeschränkungen gelten nicht, soweit die Schadensursache beruht auf Vorsatz, oder grober Fahrlässigkeit der Organe (Geschäftsführer) des Prüfinstituts oder grober Fahrlässigkeit der leitenden Angestellten des Prüfinstituts, oder grob fahrlässiger Verletzung von vertragswesentlichen Pflichten durch sonstige Erfüllungsgehilfen oder fahrlässige Verletzung von vertragswesentlichen Pflichten durch die Organe oder leitende Angestellten des Prüfinstituts. Im Falle einfacher Fahrlässigkeit unserer sonstigen Erfüllungsgehilfen ist, sofern hiernach gehaftet wird, der Schadensersatzanspruch auf € 2.500,00 beschränkt, wenn nicht der Auftraggeber das Prüfinstitut bei Auftragserteilung schriftlich auf ein höheres Schadensrisiko hingewiesen hat. Die Haftungsbeschränkungen gelten ferner dann nicht, wenn der Auftraggeber wegen des Fehlens einer zugesicherten Eigenschaft Schadensersatzansprüche wegen Nichterfüllung geltend macht. Die Ersatzpflicht des Prüfinstituts ist, sofern kein Vorsatz vorliegt, auf den vorhersehbaren Schaden begrenzt.
9.7 Soweit nichts anderes vereinbart ist, beträgt die Gewährleistungsfrist 6 Monate, gerechnet ab Gefahrübergang. Im Übrigen gelten die gesetzlichen Fristen bei Werk-leistungen. Diese Fristen sind Verjährungsfristen und gelten auch für Ansprüche auf Ersatz von Mangelfolgeschäden, soweit keine Ansprüche aus unerlaubter Handlung geltend gemacht werden.
10. Haftung aus sonstigen Gründen
10.1 Soweit gemäß Ziff. 9.5 bis 9.7 die Haftung des Prüfinstituts auf Schadenersatz ausgeschlossen oder beschränkt ist, gilt dies auch für alle anderen Ansprüche, einschließlich von Ansprüchen wegen Verschuldens bei Vertragsabschluss, Verletzung von Nebenpflichten, insbesondere für Ansprüche aus der deliktischen Produkthaftung (§§ 823 ff. BGB). Diese Regelung gilt jedoch nicht für Ansprüche aus dem Produkthaftungsgesetz.
10.2 Soweit die Haftung des Prüfinstituts ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung der Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen.
10.3 Die Verjährung aller Haftungsansprüche des Auftraggebers gegen das Prüfinstitut richtet sich nach Ziff. 9.8, soweit nicht Ansprüche aus der deliktischen Produkthaftung (§§ 823 ff. BGB) betroffen sind.
11. Gerichtsstand / Erfüllungsort
11.1 Sofern der Auftraggeber Vollkaufmann ist oder seinen Sitz nicht in Deutschland hat, ist Gerichtsstand Hamburg. Das Prüfinstitut ist jedoch berechtigt, den Auftraggeber auch an dem Gericht seines Sitzes, seiner Niederlassung bzw. seines gewöhnlichen Aufenthaltes zu verklagen.
11.2 Erfüllungsort ist Hamburg, sofern nichts anderes schriftlich vereinbart ist.
12. Anwendbares Recht / Salvatorische Klausel / Zahlungen in Euro
12.1 Die Rechtsbeziehung zwischen den Parteien richtet sich ausschließlich nach deutschem Recht unter Ausschluss des UN-Kaufrechts (UNCITRAL/CISG).
12.2 Sollten einzelne Bestimmungen des Vertrages oder dieser AGB unwirksam sein, so wird dadurch die Wirksamkeit der anderen Bestimmungen nicht berührt.

Translation - English GENERAL TERMS AND CONDITIONS OF THE TEST INSTITUTE ***** LTD.
1. General / Scope of Terms
1.1 The following terms and conditions (called “GTC” in the following) are valid for all mandates issued to the test institute ***** Ltd. (called “test institute” in the following). Conflicting or inconsistent terms and conditions of the client will not be recognized, unless expressly agreed upon in writing.
1.2 The GTC apply exclusively towards registered businessmen/businesswomen if the contract is integrated in operating their business and towards legal entities and separate estates or assets under public law (§ 24 AGBG, German Law on General Business Conditions).
1.3 These GTC are valid until revoked by the test institute and shall also apply to all future transactions with the client from current business relations.
2. Ordering
2.1 All agreements made between the test institute and the client for the purpose of performance of a contract shall be recorded in writing. Alterations and additions to the contract must take place in written form. If the client places an order, it is only valid if the test institute issues a written confirmation.
2.2 The offers of the test institute are without obligation unless the test institute has explicitly stated otherwise in writing.
2.3 The test institute reserves all property and copyrights on images, designs, calculations, software and other documents made accessible to the customer; however, the client may use the certificates/surveys, test reports, calculations, imagery, etc. issued by the test institute within the framework of the order for the sole purpose for which they were made in accordance with the agreement. Distribution and/or publication of the test reports, calculations, imagery and other documents to a third party are only permitted in full, and with the explicit written consent of the test institute.
3. Prices / Payment Terms
3.1 If not otherwise confirmed in writing, the list price, which the test institute supplies on request, applicable on the day on which the order is placed shall apply. Services that exceed the testing activities, such as repairs and conversions of material supplied to the test institute, are charged extra according to labor and material requirements.
3.2 Prices of the test institute are deemed plus value added taxes, unless otherwise agreed in writing.
3.3 The invoice is payable strictly net within 14 days of the invoice date, provided the invoice was received, unless otherwise agreed in writing.
3.4 The test institute is entitled to demand a reasonable down payment prior to execution of the contract.
3.5 Invoices by the test institute may be objected to in writing and only within 28 days of receipt. After this period the invoice is considered accepted.
3.6 If the client is in default of payment, the test institute is entitled to charge default interest in the amount of 5% above the respective discount rate of the German Federal Bank, resp. the basic interest rate at the introduction of the Euro. We reserve the right to enforce further compensation claims.
3.7 The test institute reserves the right to price adjustments in case of subsequent requests for moderation by the client, as well as the assertion of a malfunction or loss of a measuring station due to the modified order.
3.8 The client is only entitled to set-off if his counter claims have either been determined as legally valid, are undisputed, or have been recognized by the test institute. The exercise of a right to withhold payment by the client is only permitted if the previously stated conditions are met, and if the client’s counterclaim is based on the same contractual relationship.
4. Execution and Execution Time
4.1 The commencement of any execution times stated by us is subject to prior clarification of all technical issues and the fulfillment of any obligations by the client. Unless otherwise agreed or anything arises from the contractual relationship, the execution time specified by the test institute is always without obligation.
4.2 Delays of the execution due to force majeur or due to other unforeseeable events occurring without default of the test institute such as breakdowns, strikes, lock-out, lack of transport, difficulties in the delivery of power, official orders or delayed deliveries by our suppliers shall not constitute a delay in performance on the part of the test institute. An agreed execution time shall be extended by the period the respective obstruction continues. Should the obstruction exceed three months, the test institute or the client are entitled to withdraw from the unfulfilled part of the agreement after granting a reasonable deadline extension. Damage compensation claims are excluded in such cases. Should any delays due to previously stated circumstances arise, the test institute will notify the client if possible.
4.3 If the client sets an adequate time limit to the test institute with a warning of disaffirmation, he is entitled to withdraw from the contract after fruitless expiration of said period. The client shall only be entitled to compensation on grounds of non-performance in the amount of the foreseeable damage if said delay is based on malice aforethought or gross negligence. In other respects liability for compensation is limited to € 2.500,00, unless the client has given the test institute written notice of a higher risk of damage in his order.
4.4 The test institute is entitled to render partial services, provided that no recognizable and reasonable interest of the client is opposed.
5. Shipment / Transfer of Risk
5.1 In so far as the test institute has exceptionally committed to the delivery, as well as return delivery, of certain articles, delivery is made, unless otherwise agreed, either from the test institute or distribution center. The delivery will only be covered by transport insurance by the express request of the client. Any incurring costs are paid by the client.
6. Retraction resp. Custody of the Test Specimens
6.1 The client is obligated to retract the test specimens provided to the test institute upon completion of the order. Should the client request that the test specimens be shipped to him, this is carried out at the risk and expense of the client.
6.2 Should reference samples have to be kept over a certain period of time due to regulations, the client is obligated to fulfill these requirements. In exceptional cases, storage by the test institute is possible for remuneration. After the storage period, the test institute will send the reference samples to the address specified by the client, without further notice and at the risk and expense of the client.
7. Industrial Property Rights
7.1 Unless expressly agreed otherwise in writing, all industrial property rights of the supplied items, reports and certificates, including any supplied software, remain with the test institute insofar as the industrial property rights originate from the function of the test institute. The client does not have the right to grant licenses or sub-licenses.
7.2 The test institute shall only be liable for freedom from third-party industrial rights relating to the supplied item, report, certificate, etc., which could preclude the domestic use by the client agreed upon, resp. known to the test institute.
8. Third Party Rights
8.1 The client shall be responsible for ensuring that the material supplied to the test institute does not infringe on third party rights, such as title, pledge, copy, patent and/or other property rights, especially industrial property rights, which preclude the use by the test institute in accordance with the contractual conditions. Should any claims be filed against the test institute on account of such infringement, the client will hold the test institute harmless from any legal costs and claims by third parties upon first notice.
8.2 Recommendations by the test institute regarding modifications of tested material are to be reviewed by the client himself whether third party rights, especially industrial property rights, are being violated. The test institute is not liable for infringements of that kind, unless it is aware of such third party rights. The client will hold the test institute harmless from claims by third parties in that regard as well.
9. Warranty
9.1 The warranty rights of the client – also in case of mere service and work supply contracts – imply, that the client examines the results of the test institute and objects to any defects in due form immediately upon receipt; hidden defects must be objected to immediately upon discovery (§§ 377, 378 HGB [German Commercial Code]). Objections must take place in written form, giving a detailed description of the defect. If these requirements are not met, the client loses his rights with regard to warranties for defects.
9.2 If the client fails to give specific information on the extent of the applied test regulations, the test institute will perform the tests to equitable discretion and according to the current state of science, technology and the generally valid and accepted standards. Otherwise the test institute will inform the client on the standards which it will apply for the tests. It is the clients responsibility to inform the test institute whether the testing should take place based on further standards.
9.3 With respect to defects for which the test institute is liable, it is in the test institutes sole discretion either to remove any such defects or to provide a substitute. If the test institute is not capable or willing to remove/replace a defect, if it is delayed especially beyond reasonable periods for reasons foe which the test institute bears responsibility, or if repair or replacement fail in any other way, the client shall be entitled at its option to demand rescission (cancellation of the contract) or abatement (lowering of the price).
9.4 If not agreed otherwise, any further claims of the client – regardless of their legal basis – are excluded. Thus, the test institute is not liable for defects not caused to the test institutes output itself. The test institute is especially not liable for loss of profit or other financial losses of the client.
9.5 The client can only assert the right of compensation claims due to non-performance according to § 635 BGB (German Civil Code) in case of contracts for work or work performance contracts about non-fungible products, if the product does not only have a minor defect, for which the test institute is responsible, and the usability is not only affected in a minor way, or if the defect is based on a breach of the recognized engineering rules. Also in this case the test institute is not liable for defects not caused to the test institutes output itself, if not agreed otherwise, especially not for loss of profit or other financial losses of the client.
9.6 The above liability limitations do not apply if the defect was caused deliberately or through gross negligence on the part of the statutory representatives or managerial employees of the test institute, or a grossly negligent fundamental breach of contract on the part of any vicarious agents or the statutory representatives or managerial employees of the test institute. In case of ordinary negligence by one of our vicarious agents, the claim for compensation is limited to € 2.500,00 unless the client has informed the test institute in written form of a higher insurance risk when placing the order. Moreover the liability limitations do not apply if the client asserts claims for compensation due to non-performance as a result of the absence of an assured attribute. The obligation of indemnification of the test institute shall be limited to the predictable loss or damage, except for willful intent.
9.7 If not agreed upon otherwise, the warranty period is six months, beginning with the transfer of risk. In all other respects, the statutory periods shall apply for services rendered. These periods are limitation periods and apply to claims for compensation to consequential harm, insofar as no claims are asserted from an illicit act.
10. Liability due to Other Reasons
10.1 In so far as the liability of the test institute is excluded or limited, following clause 9.5 to 9.7, the same shall apply to any other claims, including claims due to fault during the contract settlement, a breach of secondary obligations, especially for claims of tortious product liability (§§ 823 ff. BGB [German Civil Code]). However, this provision does not apply to claims under the German Product Liability Act.
10.2 In so far as the liability of the test institute is excluded or limited, this shall also apply to the personal liability of workers, employees, representatives and agents of the test institute.
10.3 The limitation of all liability claims of the client towards the test institute are subject to clause 9.8, insofar as they do not pertain to the tortious product liability (§§ 823 ff. BGB [German Civil Code]).
11. Court of Jurisdiction
11.1 In so far as the client is a commercially registered merchant or is domiciled outside Germany, the court of jurisdiction is Hamburg, Germany. The test institute is entitled, however, to bring suit against the client at the clients at a court with jurisdiction over the registered office or branch office, resp. his usual stay.
11.2 Place of performance is Hamburg, Germany, except where otherwise agreed in writing.
12. Applicable Law/ Severability Clause/ Payment in Euro
12.1 The legal relationship between the parties is subject exclusively to the law of the Federal Republic of Germany, and exclude the UN Convention on the international sale of goods (UNCITRAL/CISG).
12.2 Any provisions of the contract or these terms and conditions that are invalid shall have no effect on the validity of the remaining provisions.

Cleantech Venture Capital im Silicon Valley und Deutschland

Cleantech ist eine ideale Verbindung von Technologie und Sinnhaftigkeit. Hier kann Informationstechnologie und das Internet, Halbleiter, Chemie und Biotechnologie für die Rettung der Welt eingesetzt werden. Tausende Professionals im Valley planen den Karrierewechsel von sinnentleerten Jobs in Software-Companies zu den neuen„Green Jobs“. Venture Capitalists nutzen die Chance der Stunde und raisen neue Cleantech Funds. Vinod Khosla versteht es wie kein zweiter, ein ganzes Segment neu zu erfinden: Biotreibstoffe aus Cellulosic Ethanol - Alkohol aus Pflanzenabfaellen, also ohne Eingriff in die Nahrungsmittelproduktion.
Anders als in Deutschland werden neue Ideen im Valley in der ersten Reaktion nicht kritisiert und eher gedämpft, sondern vielmehr verstärkt, vor allem wenn sie auf einem so gewichtigen Fundament beruhen. Man kann jeden Tag auf einem anderen Seminar oder einer Paneldiskussion verbringen, die von den Universitäten, den Anwaltsbüros oder Wirtschaftsprüfern, und den vielen Freiwilligenorganisationen veranstaltet werden.
Venture Capital for Grand Challenges
Die Vordenker im Valley beziehen sich auf die so genannten „Grand Challenges“, die großen Herausforderungen an die Menschheit, die von internationalen Organisationen erkannt und formuliert werden: Der Copenhagen Consensus, die Millenium Goals, die U.S. National Academy of Engineering, alle sind sich einig, die Menschheit muss die exponentiellen Wachstumseffekte in den Griff bekommen, die jetzt aus dem Ruder laufen: Bevölkerungswachstum, Energieverbrauch, Klimakrise, Zerstörung der Artenvielfalt, Ausbeutung der natürlichen Ressourcen inklusive Land und Wasser; aber auch soziale Probleme wie Menschenrechtsverletzungen, die Kluft zwischen Arm und Reich, Mangel an Demokratie, Epidemien, oder die Gleichstellung der Frau.
Alle diese Entwicklungen wachsen exponentiell, ein Vorgang, für den wir als Menschen kein Gefühl entwickelt haben, und den wir daher stark unterschätzen. Als das Internet in den 1990ern scheinbar plötzlich auf der Bühne erschien, war das in Wahrheit ein stetiges, aber eben exponentielles Wachstum, das sich über Jahre hinweg abzeichnete. Ray Kurzweil weist darauf hin, dass wir schon in 20 Jahren eine „Singularität“ erleben werden, in der positive wie negative Wachstumsprozesse zu einer Zukunft leiten werde, die wir uns heute prinzipiell nicht mehr vorstellen können.
Eines ist aber klar: wir können den negativen Bewegungen nur mit gewaltigen Anstrengungen gegensteuern. Kleine Verbesserungen oder Flickschusterei können nichts im großen Maßstab bewirken. Oder wie Vinod Khosla sagt: „Es ist ganz gleichgültig, ob wir hier in Kalifornien mehr oder wenig Prius fahren; es zählt nur, welche Autos die Millionen neuer Autofahrer in China und Indien fahren werden.“ Übersetzt auf Deutschland: es ist nicht wichtig, ob der deutsche Autokonzern einen Extra-Elektromotor in seinen 350 PS SUV dazupackt, sondern ob die deutschen Automobilzulieferer Technologie für einen $2.000 Tata-Automobil liefern werden bzw. überhaupt liefern können.
Was bedeutet das für die Märkte? Die auslaufenden Rohstoffvorräte, der wachsende Energiebedarf, und die aufstrebenden BRIC Staaten (Brasilien, Russland, Indien, China) werden enorme Marktstörungen mit sich bringen, meist in der Form von Versorgungsengpässen, Konflikte um Ressourcen und Preiserhöhungen. Darin liegen aber gerade die Chancen für neue Technologien, die Energie sparen, erneuerbare Energien effizienter erzeugen, transportieren und speichern, und die wertvolle Rohstoffe, Land und Wasser schonen. Ganze Branchen werden grundsätzlich umstrukturiert. Zum Beispiel werden Elektroautos mit Kohlefaserkarosserien ganz verschieden und vor allem viel schneller entwickelt und gebaut als heutige Modelle. Kleinserienproduktion wird möglich, und die Stahlpressen bei den großen Herstellern überflüssig.
Venture Capital in Deutschland
Unternehmensaufbau in Cleantech ist teuer und dauert lange, besonders im Vergleich mit Software oder Internetfirmen. In den USA werden dazu wesentlich größere Funds formiert als in Europa. In 2009 gingen drei Super-Funds ins Rennen: Khosla Ventures ($1.1 Milliarden), NEA New Enterprise Associates ($2.5 Milliarden), Norwest Venture Partners ($1.2 Milliarden), mit jeweils einem grossen Anteil für Cleantech; und mit einem Blick nach Indien und China.
VC Investments in Cleantech in North America stiegen rasant von $1.33 Milliarden (2005) auf $2.88 Milliarden (2006) und $4.21 Milliarden (2007). Der höchste Stand wurde 2008 erreicht: $6.09 Milliarden. Der Vergleichswert für Europa (mit Israel) liegt nur bei $1.83 Milliarden (2008), einem Drittel.
Fragt man im Silicon Valley die Cleantech Insider, was die allgemeine Meinung über Deutschland sei, bekommt man die gewohnten Antworten: Deutschland sei in vielen Bereichen Technologieführer, aber unbekannt in der internationalen Öffentlichkeit. Kaum jemand weiß, dass die Region Berlin-Brandenburg den weltweit größten Cleantech Cluster darstellt. Deutschland hatte traditionell starke Ingenieure, aber die Unternehmen denken zu klein und wachsen lieber mit einem Kredit der lokalen Sparkasse als mit Venture Capital. Damit werden sie regelmäßig von VC-finanzierten Wettbewerbern aus den USA oder Asien überholt, oder sie verkaufen sich zu billig an Siemens und andere Platzhirsche.
Für wirklich signifikante Projekte werden auch große Investoren gebraucht. Wer soll das Elektroauto mitsamt Ladestationen entwickeln? Andere große Projekte, die anstehen, sind die Modernisierung des Stromnetzes („Smart Grid“), Green Computing und andere Energieeffizienztechnologien, die nächsten Generationen von Windenergie, Photovoltaik und Solarthermie, sowie Wasseraufbereitung und Abwasserreinigung.
Haben ausländische Investoren Interesse an deutscher Cleantech? Ja, aber sie haben noch mehr Appetit auf den asiatischen Markt, speziell in China, Indien, und Singapur. Frank Levinson, Gründer von Finisar und eines Incubators in Singapur, sagt: „China hat billigere Arbeitskräfte, mehr Ingenieure, mehr Entrepreneure, mehr von allem - inklusive Geld.“ Da VCs gerne nah an ihren Portfoliocompanies sind, müssen sie unter großen Kosten und Risiko Büros eröffnen, wenn sie international expandieren wollen. Und wenn sie das auf sich nehmen, können sie auch gleich das stagnierende Europa/Deutschland überspringen und nach Asien gehen. Machen amerikanischen VCs investieren in Deutschland indirekt, d.h. als Co-investoren, wenn sie in Deutschland einen lokalen VC-Partner haben, der sich intensiv um die Startups kümmert.
Innovation, Entrepreneurship, Venture Capital
Innovation, Entrepreneurship und Venture Capital, wenn diese drei Räder verzahnt sind, so wie im Silicon Valley, dann entsteht ein leistungsfähiger Wirtschaftsmotor. Wenn Forschungsergebnisse nicht praxisrelevant sind, oder nicht von Entrepreneurs aufgegriffen werden, oder wenn Start-Ups keine Finanzierung bekommen, ist das System blockiert. Machen wir uns nichts vor, die großen, etablierten Unternehmen werden nicht die neuen Arbeitsplätze in Deutschland schaffen. Nur durch die Gründer entstehen neue Produkte und Dienstleistungen, aus denen später ganze Branchen hervorgehen. Erinnern wir uns: das Internet wurde nicht von Siemens erfunden, und auch nicht von der Deutschen Telekom. Im Gegenteil, dem Vater des deutschen Internet, Prof. Werner Zorn, dem inzwischen das Bundesverdienstkreuz verliehen worden ist, wurde an der Universität Karlsruhe lange Zeit das Leben schwer gemacht, weil er nicht die von der deutschen Industrie bevorzugten Alternativen zum internationalen Internet verfolgte.
Packen wir’s also an: denken wir international! Wer sind die Persönlichkeiten aus Politik, Wissenschaft, Philosophie, Kultur, die als Meinungsführer die wichtigen Fragen dieses Jahrhunderts diskutieren, sowohl in deutschen Foren und Massenmedien als auch international?
Denken wir bitte in den Forschungslabors, und bei den Förderprogrammen des Bundes und der Länder daran, dass nicht lokale Evolution gefragt ist, sondern globale Revolutionen gebraucht werden. Wie helfen wir mit deutschen Exporten, in Indien und China den CO2-Ausstoss zu vermindern, die Massenmotorisierung möglichst umweltgerecht zu gestalten, oder CO2-neutrale Städte in die arabische Wüste zu bauen? Deutsche Start-Ups, die solche Themen anpacken, brauchen mehr Geld, als die heutigen VC Funds aufbringen können. Ein Cleantech Unternehmen braucht ein Vielfaches mehr an Kapital als ein Internet Start-Up.

Cleantech Venture Capital in Silicon Valley and Germany

Cleantech is the ideal combination of technology and sense. It connects information technology with the internet, semiconductor technology, chemical and biotechnology and puts it to use to save the world. Thousands of professionals in the Valley are planning to change their career paths from meaningless jobs in software companies to the new “Green Jobs”. Venture capitalists are seizing the opportunity and are raising new cleantech funds. Like Vinod Khosla, who understands to reinvent a whole segment like no one else: biofuel from cellulosic ethanol – alcohol from plant waste, thus not interfering with food production.
Unlike in Germany, the initial reaction to new ideas is not criticism or restraint in the Valley, but rather encouragement, especially if they are based on such a substantial foundation. Every day can be spent on a different seminar or panel discussion, organized by universities, law firms or auditors, and the many voluntary organizations.
Venture Capital for Grand Challenges
The masterminds in the Valley are referring to the so-called “Grand Challenges”, the greatest challenges to humanity, that were recognized and formulated by international organizations like the Copenhagen Consensus, the Millennium Goals, and the U.S. National Academy of Engineering. They all agree that humanity needs to get to grips with the exponential growth effects that are getting out of control: population growth, energy consumption, climate crisis, destruction of biodiversity, exploitation of natural resources including land and water; but also social issues such as human rights violations, the gap between rich and poor, the lack of democracy, epidemics or the equal treatment of women.
All of these developments are growing exponentially, a process for which we, as human beings, have not developed a sensitivity, and thus are dangerously underestimating them. When the internet seemingly appeared all of a sudden in the 90's, it was, in fact, a constant, but exponential growth, which was evident for years. Ray Kurzweil points out that we will experience a “singularity” in only 20 years, in which positive as well as negative growth effects will lead us into a future that we cannot even imagine.
One thing, however, is certain: we can only counter the negative progressions with an enormous effort. Minor improvements or patch-up jobs will achieve nothing on a larger scale. Or, as Vinod Khosla puts it: “It is completely irrelevant how many people drive a Prius here in California, what counts is what kind of car the millions of new car owners in China or India will drive”. Applied to Germany, this means it does not matter whether the German car manufacturer adds an extra electric motor to its 350 PS SUV, but whether the German automobile supplier will, or even can, provide this technology for a $2.000 Tata automobile.
What does this mean for the markets? The diminishing raw material reserves, the growing energy demand, and the emerging BRIC countries (Brazil, Russia, India, China) will create massive market disruptions, mostly in the form of a shortage of supplies, conflicts over resources and price increases. Precisely that, however, offers new technologies a chance to save energy, to create, transport and store renewable energies more efficiently, and to preserve valuable resources, land and water. Entire economic sectors are being fundamentally restructured. Electric cars with carbon fiber bodies, for instance, are developed and built very differently, and above all, much faster than current models. Thus, small series production becomes possible, and the steel presses of the big manufacturers no longer necessary.
Venture Capital in Germany
Business startup in cleantech is expensive and takes a long time, especially in comparison with software or internet businesses. In the USA significantly larger funds are formed up than in Europe. Three super-funds started the race in 2009: Khosla Ventures ($1.1 billion), NEA New Enterprise Associates ($2.5 billion), and Norwest Venture Partners ($1.2 billion), each with a large share for cleantech; and with an eye on India and China.
VC Investments in cleantech in North America increased rapidly from $1.33 billion (2005) to $2.88 billion (2006), and $4.21 billion (2007). The highest level was achieved in 2008 with $6.09 billion. Europe (with Israel), in comparison, is only at $1.83 billion (2008), which is only one third.
When asked for their opinion on Germany, the Cleantech insiders in Silicon Valley give the usual answers: Germany may be technology leader in many areas, but unknown in the international public. Hardly anyone knows, that the Berlin-Brandenburg region constitutes the worlds biggest cleantech cluster. Germany traditionally had strong engineers, but the businesses are small-minded and would rather take a credit from the local savings bank than from venture capital. The consequence is that they are regularly outrun by VC financed competitors from the USA or Asia; or they sell themselves too cheaply to Siemens or other top dogs.
The really crucial projects need big investors anyway. Who should devise the electric car together with the power dispensing stations? Other big projects ahead are the modernization of the power supply system (“Smart Grid”), Green Computing and other energy efficiency technologies, the next generation of wind energy, photovoltaics and solar thermic energy, as well as water processing and wastewater treatment.
Are foreign investors interested in German cleantech? Yes, but their appetite is even bigger for the Asian market, especially China, India and Singapore. Frank Levinson, founder of Finisar and an incubator in Singapore, says: “China has cheaper labor, more engineers, more entrepreneurs, more of everything – including money”. Since VCs like to be close to their portfolio companies, they have to open offices at great expense and risk, if they want to expand internationally. So, if they shoulder that, they might as well skip over stagnant Europe/Germany and go to Asia directly. Some American VCs are indirectly investing into Germany, meaning as co-investors, if the have a local VC partner in Germany who concentrates on the start-ups.
Innovation, Entrepreneurship, Venture Capital
Innovation, entrepreneurship and venture capital, if these three work in unison, it can result in a powerful economic driver. If research findings are not practice-relevant, or are not adopted by entrepreneurs, or if start-ups do not receive the necessary funding, the system is blocked. Let us not deceive ourselves; the large and established companies are not going to create the new jobs in Germany. Only the pioneers can create new projects and services, that will develop into entire business sectors. Remember: the internet was not invented by Siemens or the German Telekom. On the contrary: the father of the German internet, Prof. Werner Zorn, who in the meantime was awarded with the Federal Cross of Merit, had a hard time at the University of Karlsruhe because he did not pursue the alternatives to the international internet that were favored by the German industry.
So, let’s take the bull by the horns: let’s think international! Who are the personalities from politics, science, philosophy, culture, who are discussing the important issues of the century as opinion leaders, as well in German forums and mass media as internationally?
Let us remember, in the research laboratories, and in the German support programmes from the national and state governments, that not local evolution is needed, but global revolutions. How do German exports help India and China to reduce their CO2 emissions, to ensure that the mass motorization is as environmentally correct as possible, or to build CO2-neutral cities in the Arabic desert? German start-ups that tackle these issues need more money than the current VC funds have to offer. A cleantech business requires considerably more capital than an internet start-up.
We need a campaign for urgency and passion. We are not threatened by sudden destruction, but by gradual decline into ordinariness.
