Source text - English 3 ARTICLES OF ASSOCIATION
3.1.1 The Articles of Association of the Company and the Articles of Association of NM, in the form set out in Schedule 3.1.1(a) and Schedule 3.1.1(b), respectively, reflecting to the maximum extent possible the terms of this Agreement (and in particular the composition of the Board of Directors and the Reserved Matters (as defined below)), have been adopted on the date hereof and shall, to the extent permitted by law, always reflect such terms for so long as this Agreement remains in force.
More generally, the Parties shall procure that no change shall be made to the Articles of Association of the Company and the Articles of Association of NM which would contradict the terms of this Agreement and that the provisions of this Agreement shall be reflected to the maximum extent possible in the articles of association of the Group Companies.
3.1.2 The Shareholders agree that at all times the provisions of this Agreement shall prevail over the provisions of the Articles of Association of the Company and/or the Articles of Association of NM, as the case may be, to the maximum extent permitted by applicable Laws. In the event there is a conflict or inconsistency between this Agreement, on the one hand, and the Articles of Association of the Company and/or the Articles of Association of NM, as the case may be, on the other hand, the Shareholders shall take all lawful actions necessary to amend the applicable Articles of Association of the Company and/or the Articles of Association of NM to the maximum extent permitted by applicable Laws in order to implement the terms of this Agreement, and shall act in accordance with this Agreement.
4 CORPORATE GOVERNANCE
The Parties undertake that the Company, NM, and any other Group Company shall be, at all times during the term of this Agreement, managed in accordance with the provisions of all applicable Laws, this Agreement and the relevant articles of association.
4.1 Management of the Company
The Company is and shall remain a sociétà per azioni managed by a board of directors (the “Board of Directors”) composed of five (5) members which shall delegate powers as set forth below to a Chief Executive Officer (CEO).
4.2 Chief Executive Officer (CEO)
4.2.1 Appointment, term and dismissal
The CEO of the Company shall be appointed or removed by the Shareholders' meeting of the Company upon simple majority decision.
The first CEO is and shall remain the Majority Shareholder, Nello Marini, represented by its legal representative, i.e. as at the date hereof Mr. Nello Marini.
For the avoidance of doubt, the CEO may be removed / dismissed at all times, without any requirement or condition, by the Shareholders' meeting at the simple majority, it being agreed by the Parties that the Majority Shareholder shall vote on any decision in this regard.
Translation - Italian 3 STATUTI
3.1.1 Lo Statuto della Società e lo Statuto di NM, così come definiti rispettivamente all’Allegato 3.1.1(a) e all’Allegato 3.1.1(b), conformandosi il più possibile ai termini del presente Patto (in particolar modo in merito alla composizione del Consiglio di Amministrazione e alle Questioni Riservate, come di seguito definiti), sono adottati alla data di sottoscrizione del presente atto e dovranno, nei limiti di legge e finché il presente Patto rimarrà in vigore, conformarsi sempre e comunque ai termini dello stesso.
Più in generale, le Parti si impegnano a far sì che nessuna modifica in contraddizione con i termini del presente Patto sia apportata allo Statuto della Società e di NM e che gli statuti delle Società del Gruppo rispecchino il più possibile le disposizioni del presente Patto.
3.1.2 Gli Azionisti convengono espressamente che, nei limiti consentiti dalla Legge, le disposizioni del presente Patto debbano prevalere sulle disposizioni dello Statuto della Società e/o di NM. In caso di discrepanza o conflitto tra le disposizioni del presente Patto da una parte e lo Statuto della Società e/o di NM dall’altra, gli Azionisti si impegnano, nei limiti consentiti dalla Legge, a intraprendere qualsiasi azione legale necessaria alla rettifica dello Statuto della Società e/o di NM al fine di perfezionare termini e condizioni del presente Patto, e ad agire conformemente alle disposizioni dello stesso.
4 CORPORATE GOVERNANCE
Le Parti convengono espressamente che la Società, NM, e qualsiasi altra Società del Gruppo saranno, per tutta la durata del presente Patto, amministrate in ottemperanza alle disposizioni di qualunque Legge applicabile, del presente Patto e dei rilevanti articoli dei rispettivi statuti.
4.1 Amministrazione della Società
La società è, e continuerà ad essere, una società per azioni amministrata da un consiglio di amministrazione (il “Consiglio di Amministrazione”) composto da cinque (5) membri che delegheranno i propri poteri a un Amministratore Delegato (AD) secondo le modalità qui di seguito disciplinate.
4.2 Amministratore Delegato (AD)
4.2.1 Nomina, permanenza in carica e rimozione dall’incarico
L’AD della Società sarà nominato o rimosso dall’assemblea degli Azionisti della Società con decisione adottata a maggioranza semplice.
Il primo AD è e continuerà ad essere l’Azionista di Maggioranza, Nello Marini, nella persona del proprio rappresentante legale, ovvero, alla data di sottoscrizione del presente Patto, il Sig. Nello Marini.
L’AD potrà essere rimosso/destituito in qualsiasi momento, senza necessità di requisiti particolari e/o condizioni specifiche, dall’assemblea degli Azionisti con decisione adotta a maggioranza semplice.
