Source text - Arabic طعن رقم 17687 لسنة 77 القضائية
1 - تنص المادة 105 من القانون المدنى على أنه" إذا أبرم النائب فى حدود نيابته عقدًا باسم الأصيل، فإن ما ينشأ عن هذا العقد من حقوق والتزامات يُضاف إلى الأصيل".
وفى المادة 699 منه على أن" الوكالة عقد بمقتضاه يلتزم الوكيل بأن يقوم بعمل قانونى لحساب الموكل" وما جاء بالمذكرة التمهيدية للقانون المدني من أنه "إذ كان شخص النائب هو الواجب الاعتداد به فيما يتعلق بتمام العقد فعلى النقيض من ذلك ينبغي أن يرجع إلى شخص الأصيل وحده، عند تعيين مصير أثاره فالأصيل دون النائب هو الذي يعتبر طرفًا في التعاقد وإليه تنصرف جميع أثاره فيكسب مباشرة كل ما ينشأ عنه من حقوق ويقع على عاتقه كل ما يترتب من التزامات ولعل هذا الأثر المباشر أهم ما أحرز القانون الحديث في شأن النيابة القانونية" كل ذلك يدل على أن أثر ما يبرمه النائب في حدود نيابته تنصرف إلى الأصيل مباشرة لأن نيابة النائب ليست نيابة الالتزام بأحكام العقد إنما هي في إنشاء العقد وبالتالي يبقى النائب غريبًا عن آثار التصرف الذي أبرمه باسم الأصيل فلا ينصرف إليه شيء مما أنتجه من حقوق والتزامات ولا يقبل مقاضاته بصفته الشخصية عن شيء من ذلك.
2 - المقرر – في قضاء محكمة النقض – أن مؤدى نص المادتين 147، 150 من القانوني المدني أن العقد هو قانون المتعاقدين والخطأ في تطبيق نصوصه خطأ في تطبيق القانون، ويمتنع على أي من المتعاقدين نقض العقد أو تعديله كما يمتنع على القاضي وعليه أن يلتزم بعبارات العقد الواضحة باعتبارها تعبيرًا صادقًا عن الإرادة المشتركة للمتعاقدين فلا يجوز الانحراف عنها بدعوى تفسيرها.
3- المقرر – في قضاء محكمة النقض – أن المناط في التعريف على مدى سعة الوكالة من حيث ما تشتمل عليه من تصرفات قانونية خوّل الموكل للوكيل إجراءها يتحدد بالرجوع إلى عبارات التوكيل ذاته وما جرت به نصوصه وإلى الملابسات التي صدر فيها التوكيل وظروف الدعوى وأن تحديد مدى سعة الوكالة يُعد تفسيرًا لمضمونها مما يضطلع به قاضي الموضوع بغير معقب عليه من محكمة النقض مادام هذا التفسير مما تحتمله عباراته بغير مسخ.
4– إذ كان الواقع في الدعوى أن المطعون ضده الأول اشترى من المطعون ضده الثاني الوحدة المبينة بالأوراق بتاريخ 7/8/1999 إلا أنه بتاريخ لاحق أبرم مع الطاعن الاتفاق المؤرخ 30/10/2003 وملحقه وتولى الأخير بموجبه أعمال الإدارة والصيانة والتشغيل وتحصيل المستحقات لحساب المطعون ضده الثاني وقد خلا ذلك الاتفاق إلى ما يشير إلى أنه حل محله ومن ثم تظل الحقوق والالتزامات المترتبة على عقد البيع مقصورة على طرفيه وقد تأيد ذلك بما ورد بالاتفاق اللاحق والذي نص فيه صراحة على عدم مسئولية الطاعن عن أية مستحقات أو دعاوى قضائية أو مطالبات مالية من العملاء المشترين لوحدات القرية سابقة على تحرير هذا الاتفاق، إلا أن الحكم المطعون فيه خالف هذا النظر وأهدر مدلول هذا الاتفاق، وهو ما يعيبه ويوجب نقضه.
Translation - English Appeal No.17687 of 77 Judicial Year
1 - Article 105 of Civil Code reads that “If the representative, within his representation, concluded a contract on behalf of the Principal, the rights and obligation resulting from or arising out of such contract shall be added to the Principal.”
In Article 699 of the Civil Code reads: "Representation is a contract under which Representative shall do legal act for the Principal" and what has been indicated in the preliminary note of civil code that reads:
“If the representative as a person shall be invoked when it comes to the validity of the contract. On the contrary, only the Principal as a person shall be responsible for the effects of the contract because the Principal, rather than the representative, is a party to the contract. Only the Principal receives the effects of the contract: he gets all the rights contained therein and bears all liabilities resulting therefrom. This direct impact is the most important achievement of modern law on legal representation.” All of this proves that the effect of any contract concluded by the representative within his representation is directly borne by the Principal, since the representation of the representative shall not be the representation of complying with the provisions of the contract, but it shall be in concluding the contract, and consequently, the representative shall be free of the effects of the act that he concluded in the name of the principal, so he shall not get anything resulting from rights and obligations, and he shall not persecuted in person of the same.
2 - It is established in the judgments of the Court of Cassation that Articles 147 and 150 of the Civil Code indicate that pacta sunt servanda. Any misapplication of any of the contract provisions is a misapplication of law. No contracted party shall challenge or modify the contract. The Judge shall also refrain from the same and shall comply with the clear contract statements as they are a true expression of the common will of the parties. Therefore, it shall not be varied on grounds of explaining it.
3 - It is established in the judgments of the Court of Cassation that the scope of the power of attorney, in terms of the legal acts authorized by the Principal to the attorney, is determined by referring to the statements and provisions of the power of attorney, the circumstances under which the power of attorney was issued and the circumstances of the case. The determination of the scope of the power of attorney is considered an interpretation of its content. This is undertaken and performed by the trial judge without any feedback or comments by the Court of Cassation as long as its interpretation is derived from the power of attorney’s statements without distortions.
4 - If it is true in the claim that the First Appellee bought from the Second Appellee the unit described in the documents on 07/08/1999. However, after that, he concluded an agreement and its annex dated 30/10/2003 with the Appellant, under which the latter undertook the management, maintenance and operation works plus collecting the receivables for the Second Appellee. Such an agreement is free and clear of any reference that the Appellant represents the Second Appellee. Thus, the rights and obligations resulting from the Sale Contract is limited to the parties thereto. This was further upheld by the subsequent agreement which explicitly provided that the Appellant shall not be liable for any dues, lawsuits or financial claims made by the clients/buyers of the units of the resort prior to the conclusion of the agreement. However, the Appealed Judgment violated these facts and consideration and disregarded such agreement, which makes it defective and appealable.

Source text - Arabic يرتبط التوحيد في الفكر الإنساني بالحضارة ارتباطًا وثيقًا، إذ تشكّل المعتقدات القوة الحافزة لبناء وقيام الحضارة.من هنا كان التوحيد هو المحور الذي تدور عليه عجلة الحضارة الاسلامية، فهو من أبرز دوافع التغيير والنهوض. كما أنه المقصد الكفيل بتحقيق الحياة الطيبة للإنسان على هذه الأرض وفي الآخرة.
ويفرض التوحيد على الإنسان الالتزام بالقيام بكافة التكاليف والمسؤوليات التي أوجبها الله سبحانه عليه، والعمل ضمن إطار النهج الالهي، الأمر الذي يدفع بالإنسان نحو البناء الحضاري المتوازن، الذي يقيم العلاقة بين الإنسان والكون باتساق لم تتمكن مختلف الحضارات من صناعته.
كما يسهم التوحيد في تشكيل عنصر المسئولية الذاتية وخلقها في الإنسان ليجد المسلم نفسه مندفعاً لأداء التكليف الالهي بالالتزام ببناء الحضارة في الواقع والحفاظ على مكتسباتها ومنجزاتها. وإطار التوحيد هذا يؤسس لنسق حضاري معرفي شمولي يحدد تصورا متكاملا لعلاقة الإنسان بالله سبحانه وعلاقته بالكون ينعكس على منهج التفكير والسلوك الفردي والجماعي، ويجعل العمل الصالح هدف الإنسان الأعلى.
وتعد أم الكتاب السورة التي تتجلى فيها هذه المعاني العظيمة لمقصد التوحيد فهي تحرر الإنسان عقلاً وقلبًا وسلوكًا، وتحدد حركته وسلوكه الاجتماعي، القائمة على تحمل الأمانة بتوحيد الله وتحقق مقتضيات الاستخلاف بعبادته دون سواه في أداء العمل الصالح. والإنسان الصالح المصلح هو النموذج الذي جاءت سورة الفاتحة العظيمة لإعداده وبنائه على عين التعاليم القرآنية الجامعة والمقاصد الكاملة.

وقد نهجت الدراسة منهج الاستقصاء والتحليل والاستقراء لهذه المفاهيم في سورة الفاتحة نظرا لما حوته من أمهات العلوم والأسس في علاقة الإنسان بخالقه سبحانه.
Translation - English Monotheism in human thought is closely related to civilization, as beliefs constitute the incentive to build and establish civilization. Accordingly, Monotheism is the heart upon which the wheel of Islamic civilization is based. It is one of the most prominent drivers for change and advancement. Moreover, it is the purpose that guarantees achieving a good life for Human beings in this World and the After-life.
Monotheism imposes on Human beings the obligation to carry out all commitments and responsibilities that Allah, the Almighty, has placed upon them, and to work within the frame of the divine approach, which leads Human beings to build a balanced civilization that establishes the relationship between Human beings and the universe in a consistent manner that various civilizations have not been able to create.
Moreover, Monotheism contributes in constituting and establishing the element of self-responsibility in Human beings, so that a Muslim finds himself motivated to perform the divine mandate through committing himself to build civilization in reality, and to preserve its achievements and acquisitions. Such Monotheism frame establishes a comprehensive cultural and cognitive manner that defines an integrated conception of the relationship of Human beings with Allah, the Almighty, and Universe, which is reflected on the way of individual and collective thinking and behavior, and makes good deeds the supreme goal of Human beings in this universe.
Um Al-Kitab (Mother of the Book) is the Sura in which these great meanings for the purpose of Monotheism are manifested. It frees man's mind, heart and behavior, and determines his movement and social behavior, which is based on bearing the trust through Monotheism. Moreover, it achieves the requirements of succession through worshiping Allah exclusively in performing good deeds. Good and peace-making Man is the model which the holy Sura Al-Fatiha has come to prepare and build upon the eyes of all-inclusive Qur’anic teachings and purposes.
This study deals with the Monotheism of such manifestations that appear for those who mind in Sura Al-Fatiha, which we are ordered to recite in each prayer rak'ah to continuously remind Man in turn to achieve the characteristics of Monotheism in itself and real life.
The study addresses several points; Monotheism is the cornerstone of civilizational building in the Holy Quran, the greatest purpose in Sura Al-Fatiha is Building Monotheism and Mechanisms of building Monotheism in Sura Al-Fatiha; Praise, Freedom and Succession.
The study concludes with emphasizing the following results: Monotheism establishes the overall vision of the universe, life and Human beings. Additionally, Monotheism builds the dimensions of the human role in the universe and life.
Sura Al-Fatiha initiates the relationship between the servant and His Creator, the Almighty, through the establishing the oath of accomplished Monotheism, which begins with praises and thanks for Him, the Almighty, and the confession of His lordship to the worlds. Additionally, one of the greatest mechanisms for building Monotheism at which study concludes is Succession that constitutes the moral development of Human beings to play his role and improve human life on earth through enabling him to do good deeds, which is the essence of human testing. Doing good deeds is the practical translation of Monotheism and Succession.
The study follows the method of surveying, analysis and extrapolation of such concepts existed in Sura Al-Fatiha, because of what it contains of mothers of sciences and fundamentals in the relationship between Man and his Creator.

Creative innovations and inventions such as medication, literature, films can all be protected under IP laws. Also, trademarks and service marks can protect distinguishing features such as names, logos, package design that are associated with product or service that indicate commercial source. By striking the right balance between the interests of innovators and the wider public interest, the IP system aims to foster an environment in which creativity and innovation can flourish.
A patent is an exclusive right granted for an invention. Generally speaking, a patent provides the patent owner with the right to decide how - or whether - the invention can be used by others. In exchange for this right, the patent owner makes technical information about the invention publicly available in the published patent document. i.e. A patent is a legal monopoly lasting 20 years granted in exchange for describing an invention and paying fees to the Patent Office.
Some inventions could be challenging and time consuming to patent, and it may make more sense to try and protect your intellectual property in other ways. For example, a computer program in some territories is considered an author’s right to patent, but other territories don’t see it as a patentable. Patent gets complicated when the offering changes constantly. For example, a big software program that continually changes making it difficult to manage ongoing patentability.
So, not all inventions are patentable. For example, aluminum foil cannot be patented because it is not novel or new and because it was patented before. Coming up with a new name of an engine cart cannot be patented either because it should be registered as a trademark, which we will discuss later. On the other hand, there are many inventions that are patentable. A new drug to stop headaches that works differently to existing drugs or an existing drug with a new use. For example, there are drugs used for hair growth that have a side effect on reducing acne. Under the right circumstances you could patent its new use. You could also patent a new design of heart stent to be placed inside an artery or a new anti-corrosion formula to stop rust on various metals.
There are three other types of rights that can be used instead of a patent that you need to be aware off.

براءة الاختراع هي حق حصري ممنوح لاختراع. وبشكلٍ عام، تمنح براءة الاختراع مالكها حق تقرير كيفية استخدام الآخرين للاختراع وما إذا كان مسموحًا بذلك أم لا. وفي مقابل الحصول على هذا الحق، يتيح مالك البراءة معلومات تقنية عن الاختراع للجمهور في وثيقة البراءة المنشورة، أي أن البراءة هي احتكار قانوني يستمر لمدة 20 سنة يتم منحه في مقابل وصف الاختراع ودفع الرسوم لمكتب البراءات.
