MANUFACTURER agrees to defend, indemnify and hold harmless, Customer and all directors, officers, employees, and agents (each, a "Customer Indemnitee") from and against all claims, actions, losses, expenses, damages or other liabilities, including reasonable attorneys' fees (collectively, "Damages") incurred by or assessed against any of the foregoing, but solely to the extent the same arise out of third-party claims relating to:
a) any actual or threatened injury or damage to any person or property caused, or alleged to be caused, by a Product sold by MANUFACTURER to Customer hereunder, but solely to the extent such injury or damage has been caused by the breach by MANUFACTURER of its express limited warranties related to MANUFACTURER's workmanship and manufacture in accordance with the Specifications only as further set forth in Section X or,
b) any infringement of the intellectual property rights of any third party, but solely to the extent that such infringement is caused by a process that MANUFACTURER uses to manufacture, assemble and/or test the Products; provided that, MANUFACTURER shall not have any obligation to indemnify Customer if such claim would not have arisen but for MANUFACTURER's assembly or test of the Product in accordance with the Specifications.
Customer agrees to defend, indemnify and hold harmless MANUFACTURER and its affiliates, and all directors, officers, employees and agents (each, a "MANUFACTURER Indemnitee") from and against all Damages incurred by or assessed against any of the foregoing to the extent the same arise out of, are in connection with, are caused by or are related to third-party claims relating to:
a) any failure of any Product sold by MANUFACTURER hereunder to comply with any safety standard to the extent that such failure has not been caused by MANUFACTURER's breach of its express limited warranties set forth in Section X (relates to other portions of contract)
b) any actual or threatened injury or damage to any person or property caused, or alleged to be caused, by a Product, but only to the extent such injury or damage has not been caused by MANUFACTURER's breach of its express limited warranties
c) related to MANUFACTURER's workmanship and manufacture in accordance with the Specifications only as further set forth in Section X (relates to other portions of contract)[…].

Producent zgadza się chronić i zwalniać od odpowiedzialności Dystrybutora i wszystkich dyrektorów, członków zarządu, pracowników i agentów (każdy zwany dalej „zwolnionym z odpowiedzialności ze strony Dystrybutora”) na wypadek wszelkich roszczeń, działań, strat, wydatków, odszkodowań lub innego rodzaju odpowiedzialności, włączając stosowne koszty obsługi prawnej (zwanych łącznie "Odszkodowaniami") poniesione przez lub zasądzone na niekorzyść któregokolwiek z ww., ale jedynie o ile wynikną one z roszczeń stron trzecich w odniesieniu do:

April 15, 2009
WHEREAS, the November 19, 2008, resolution by the Board of Directors of McKenzie Bay
International Ltd. through unanimous written consent pursuant to Article VI, Section 3 of the
bylaws, amended ARTICLE FOURTH of our Certificate of Incorporation to increase the number of shares of common stock, $0.001 par value, from 150,000,000 to 300,000,000 shares; that the stated intent for the increase was to set aside shares of Common Stock specifically for private placement investment in the corporation by accredited investors to fund the retirement of outstanding debts and provide working capital going forward.
RESOLVED, that the stock transfer agent, Signature Stock Transfer, is hereby instructed to
reserve all remaining unissued Common Stock solely for the stated purpose of the November, 19, 2008 Resolution referenced above; that the President, Kevin B. Cook, and the Secretary, Michael A. Pollakowski, are hereby authorized to instruct the transfer agent when, to whom, and how many shares will be issued upon receipt of investment from an accredited investor(s).

I translate Polish into English and vice versa.
I mainly translate legal and economic texts as well as agreements, legal opininons, commentaries to and and summaries of laws and regulations, annual reports of companies, balance sheets.
In 2010 I graduated from post-graduate studies in specialist translations (legal and certified translations) and have been translating actively since that time. In 2015 I completed a course in interpreting. I am also a graduate of the American Studies Center and English Teachers' Training College at the University of Warsaw.
Translation is my passion.
