An arrangement whereby a security issue is cancelled if the underwriter is unable to resell the entire issue.
Example sentences:
All or none underwriting allows the issuing corporation to contract for the sale of all shares. If any shares remain at the end of the underwriting process, the underwriting is cancelled. There is one last variation. That is called an 'All Or None Underwriting'. Under this type of underwriting the underwriter agrees to do his best to sell the entire issue by a certain date. All of the proceeds go into an escrow account. If the securities are not all sold by the certain date, the money is returned to the purchasers and the issue is canceled. 残額につき買取責任のない売出方式の引受に際して、万が一、全額につき引受がなく、売れ残りが出るような場合は、発行会社の判断で発行案件自体をキャンセルできるという条件を付したうえで進められるケースを言う。
Example sentences:
間接発行には委託募集、引受募集、総額引受の3つの方式があるが、委託募集は発行者が他の会社に募集を委託する方法で、受託会社は事務手続や募集行為は行うが応募不足額を引き受ける責任がないため、債券が成立しない可能性がある。そのため通常は2番目の引受募集という方法で、発行者が引受会社と募集取扱い、残額引受の契約を結び、募集を委託し募集額が発行総額に満たない場合は残額を引受会社に引き取らせることにして、発行されている。なお最後の総額引受は発行者が特定者と契約して、発行総額を一括して引受させる方法である。 (文部科学省)
