English to Russian Law/Patents Law: Contract(s) securities

To the extent that corporate events including, without linutation, extraordinary dividends, share dividends, share splits or combinations, bonus issues, rights offerings or other events that could similarly effect the price of the Shares in ways that would render the comparison of the Private Placement Price to the Transaction Price to have a meaning unlike that intended in the absence of such events, an independent arbitrator that is mutually acceptable to the AAA and the ZZZ (the "Arbitrator") will determine such adjustments.
