If any of the following has occurred:
(i) a ***Liquidity Event***;
(ii) the [Warrant] Termination Date;
(iii) an Event of Default;
(iv) a repayment or prepayment of the Loan;
(v) [a payment of dividends by the Borrower]; or
any other event as specified in the Warrant Agreement,
the Lender shall be entitled to exercise its rights contained in the Warrant Agreement.
