Gaat hier om een vennootschap die is opgericht naar Zwitsers recht (statutaire vestigingsplaats in Zwitserland), maar waarvan de werkelijke zetel (= leiding en alle werkzaamheden) zich buiten Zwitserland bevindt. Deze opzet kan fiscale voordelen opleveren.
Men spreekt in dit verband in NL wel van een zgn. 'offshore-vennootschap', maar deze term wordt voornamelijk gebruikt voor vennootschappen opgericht naar het recht van landen die aan water grenzen (bijv. Hong Kong, Malta, Aruba). Vreemd genoeg wordt de term echter ook wel gebruikt om de Zwitserse vennootschappen aan te duiden die belastingvoordelen kunnen opleveren (de zogenaamde 'société de domicile').
Ik zou dan ook kiezen voor de vertaling: zogenaamde 'offshore-vennootschap' ('société de domicile' naar Zwitsers recht).
