I seem to have lost my bearings on this. I would normally say: a xxx company where xxx is the name of the Parent but I am not convinced that "company subject to direction and coordination by xxx" is correct either (taken from glossary). Can someone help

This phrase is taken directly from Italian law, and consequently does not have an equivalent. It means that it is part of a Group of companies with a parent company which actually controls and manages it by putting directors on its board, rather than merely collecting the profits in the form of dividends. So it is managed by the parent and co-ordinated with the other companies in the group. I always translate it with this term.

Instead of using all the words from Italian you can just say "company managed by" which would eventually mean that it is subject to direction and coordination as well of the other company.. this is in my opinion using a lot words to mean something very simple...

subject to the direction and control of...
non direi proprio managed in quanto è il BoD che manage la società. This is a specific provision in the CC and concerns a chain between companies rather than how it is actually managed. that is why I prefer to stick with the literal.
