This is from a glossary that explains what "cartolarizazione" is.

So, first step, assets (usually receivables) are transferred to a Special Purpose Vehcicle "che è una società cessionaria abilitata ad emettere i titoli in cui sono incorporati i crediti ceduti. L'SPV versa al cedente il corrispettivo economic ottenuto attraverso l'emissione ed il collocamento di titoli obbligazionari. Le obbligazioni emesse sono divise in classi in funzione del livello di rating, con un merito di credito che è minore quanto più è alto il livello di subordinazione nella restituzione del debito obbligazionario, fino ad arivare alla ***componente azionaria***"

Things start to go pear-shaped for me at "subordinazione", and then it's just downhill all the way until the coup de grace of "componente azionaria". Are we talking about bonds or shares here?

Would much appreciate any clarification

Securitised bonds (they are usually called notes if the maturity is not too long) are usually divided into tranches with different classes of seniority. The highest level of seniority is usually called "class A" and these are paid first. Then you go down through the ranks ("class B - C") etc., until you get to the lowest most junior level which (like shares in a company and these are not) are paid last and this is often called the "Equity Class"

Wiki explains it well:
"The most junior class (often called the equity class) is the most exposed to payment risk."

It means that the credit rating of the receivables is lower, the further they are down the ranking list of creditors.

The SPV is issuing bonds but these are essentially bundles of various types of receivable. If the receivables are secured on capital assets, and hence at the top of the ranking list, then they get a higher rating. Shares, being at the bottom, get the lowest credit rating.

So we're talking about bonds made up of shares - alchemy in its purest form!

equity component

bonds have different degrees of subordination, that is they are repaid with different priorities, the most senior come first and so on, finally comes equity

e.g. in case of bankruptcy
