Je pensais à "spécifications et faits", mais cela me semble un peu trop littéral.

"specifications" could mean either the requirements regarding some goods or services to be delivered or simply a detailed description of what is being sold - in both cases "les spécifications" is a perfectly valid translation - pas besoin de chercher midi à quatorze heures - just for the sake of avoiding false false friends!
"both parties.... know the facts" - all the facts related to the contract - que les deux parties au contrat prennent connaissance/soient conscientes de l'état factuel
