TAXES & COST RECOVERY

Notwithstanding anything else to the contrary within the Completion Documents or this Agreement:
(a) the Seller shall at its own cost and expense perform and shall be responsible for and shall indemnify and hold the Purchaser harmless against any and all tax payments and penalties arising out of the assessment of any taxes and penalties imposed by the local Government under any taxation law in relation to the Transferred Interest including but not limited to the branch profits tax assessed on any transfer of interest in the Transferred Interests Documents imposed prior to, but not subsequent to the Economic Date; and
(b) the refund of any taxes and/or penalties paid by Seller in relation to Seller's responsibility pursuant to Clause ‎11.1(a) shall be the entitlement of the Seller.

From a Seller/buyer's Agreement and obviously referring to the "Economic Date" mentioned at the end of point (a)above which is just as obscure but the answer for the one will give clarify the other.
Unfortunately this is the only instance of the term in the document so nothing more to help clarify it.
