Hola, en un contrato de préstamo, en la cláusula de Remedies, Waivers & Consents:

A failure or delay by a party to exercise any right or remedy provided under this agreement shall not constitute a waiver of that or any other right or remedy, prevent or restrict any further exercise of that or any other right or remedy or constitute an election to affirm this Agreement. No election to affirm this Agreement shall be effective unless it is in writing.

En este contexto, election to affirm es "confirmar"? alguna otra sugerencia?

...no constituirá la renuncia a estos o a otros derechos o recursos, no impedirá el ejercicio posterior de dichos derechos o recursos... ni supondrá que dicha parte ***haya optado por ratificar/afirmar el Contrato (dar continuidad al Contrato/mantenerlo como válido)***. La opción de afirmación del Contrato no será efectiva hasta que conste/se ratifique por escrito...

Cuando una parte tiene conocimiento de un incumplimiento contractual que puede invalidar el contrato puede optar por rescindirlo o aceptar su rescisión, o por su continuación; en este caso, opta por la afirmación del contrato.
