Intercreditor Agreement: Key Terrms

Creditor Liabilities:

Each of the Parties agree that the liabilities owed by the Original/Additional Borrower to the creditors shall rank in right and priority of payment in the following order and are postponed and subordinated to any prior ranking liabilities as follows:

First, the Senior Loan Liabilities
Second, the Junior Loan Liabilities

Transaction Security:

Each of the Parties agrees that the Transaction Security shall rank and secure the following Liabilities (but only to the extent that such Transaction Security is expressed to secure those Liabilities) in the following order:

First, the Senior Loan Liabilities
Second, the Junior Loan Liabilities
